TCW Podcast Episode 259 - A Cendant to Vivendi CUC International looked like a company that never missed. Quarter after quarter, just barely beating estimates, right up until the moment Henry Silverman got access to their books and found out why. When a new customer signed up, CUC booked a full year of revenue immediately, even though billing was monthly. If that customer left before the year was up, CUC never corrected the books. The money just stayed there. Perfectly functional assets were declared worthless on paper, with the supposed losses paid off using money from merger funds. That same merger money was then counted again as incoming revenue, making the company look larger and more profitable than it was. Over $500 million in income that never existed. Walter Forbes was forced to resign and was eventually convicted of the largest accounting scandal of the time. Cendant realized the software and games division itself had been part of the machinery. They sold it to French media company Havas. That sale landed in the orbit of Vivendi, a sprawling conglomerate that had started as a 19th century French waterworks company. Its CEO Jean-Marie Messier had bigger things in mind. AOL had just merged with Time Warner, and Messier was not going to watch an American walled garden of films, music, and games swallow the market he wanted to own. TCW Podcast Episode 258 - The Shenanigans of CUC Software Walter Forbes built CUC International from Comp-U-Card, a phone-in discount shopping club that cut out the middleman with a small markup and annual fee, not unlike a proto-Amazon Prime. As computer networks like CompuServe, Prodigy, and GEnie rose, CUC pivoted online and Forbes set his sights on the games business, joining the Sierra On-Line board and buying out Ken Williams and Davidson and Associates for a combined 1.7 billion dollars in stock swaps. Despite promises to Williams that he would not be secondary to a competitor, Bob Davidson of Davidson and Associates ended up running the software division, and when Davidson discovered something troubling enough to dump his stock and left. The cracks were beginning to show. Williams tried to take over, was not given the time of day, and eventually left. Forbes meanwhile pursued a merger with Henry Silverman's HFS, a hospitality giant owning Days Inn, Ramada, Howard Johnson, Century 21, Coldwell Banker, and Avis, forming the new conglomerate Cendant. Originally from Liberia, Dr. Matthew Waritay Guah is professor of Management and Dean of the College of Business & Information Systems at South Carolina State University. He heads a college that is accredited by AACSB International—being one of only 5% of the top business schools in the world. Previous roles Dr. Guah has held at SC State University include Associate Provost for Academic Affairs, Department Chair for the Business Administration, MBA Program Director, and Faculty Athletic Representative for NCAA (Mid-Eastern Atlantic Conference) Matthew Guah earned a PhD in Information Systems and Management Controls from Warwick University (2006), Masters in Technology Management from Manchester University (1998) and Bachelors in Information Technology from Salford University (1996). He brings into academia industry experience from British Airways, Merrill Lynch, British Standards Institute, and UNICEF. Before joining SC State University ten years ago, Dr. Guah worked at Claflin University (SC), Erasmus School of Economics (Rotterdam), University of Hawaii (Honolulu), Warwick University (UK) and Brunel University (London). As an academic researcher, his primary focus is business systems in healthcare organizations—reforming healthcare delivery process and performance evaluation. His research work also involves Big Data—considered the next frontier for innovation, competition, and productivity. He has written six books and around 90 journal articles, book chapters and international conference papers, mostly in healthcare management, project management and business accountability. Dr. Guah has served on editorial boards for several academic journals as well as track chair, session chair and panelist for many international conferences. This proud son of Liberia, West Africa, has been married to Evelyn Morgan Guah since 1995, with two grown children, Within the past year, Dean Guah has spearheaded a team of American academics to tour universities in Ghana (West Africa) and Kenya (East Africa) for the purpose of establishing collaborations that will bring developments and improved facilities for the benefits of African youth in preparation for more ethical leadership on the motherland. He even met with a few officials at UL and CUC in Monrovia. Dean Guah is Lector, Eucharistic Minister, and a Parish Council member at Holy Trinity Catholic Church in Orangeburg, SC. He has served on the African American board at the Commission of Minority Affairs since 2015. He strongly believes in the power of minority voice in America and persistently promotes the Ethos for Black People in America.

As a child, Kathy wanted to be a nurse. She completed her first year of nursing classes at Columbia Union College, while also taking voice lessons. By the end of that year, she felt called to be a music teacher.Kathy sang her first solo when she was five years old for Adult Sabbath School. Thanks to her parents, music education was an important part of her life as she began piano lessons in 2nd grade, sang solos and with choirs, played flute during her elementary and academy years, took harp lessons, and continued voice lessons with her teacher at Southern Missionary College. Kathy completed a Bachelor of Music Education in voice (1983), followed by teaching school music (1983-1984), and elementary certification at CUC (1984-1985). She gained teaching experience by providing music classes, giving private lessons, and directing children's and adult choirs.Before completing an M.Ed. in music at the University of Maryland (1985-1990), Kathy taught 4th /3rd elementary classes at John Nevins Andrews School (1989-1994) her childhood elementary school. Favorite activities include worship, Bible classes, and teaching students to praise God by presenting Bible musical dramas. Kathy married her husband, Rick, in 1987.Kathy then taught K-11 music at Spencerville Adventist Academy (1994-1999) until Rick was called to work as the VP of Finance for the Carolina Conference. After moving to Charlotte, Kathy taught music lessons and classes at several SDA schools, planned music for conference events, and camp meetings, and directed the camp meeting choir. Rick and Kathy were blessed by God with the adoption of their son, Bradley Russell from Ukraine (2002), and their daughter, Grace Russell from China (2008). Kathy has loved being a mom and homeschooling her kids!Before Grace arrived, Kathy was invited to lead as Children's Ministries Director for the Carolina Conference (2007). Her work is to equip Children's Ministry leaders to help children know and love Jesus. Leading Primary and Kindergarten, supporting Adventurers and leading Pathfinders, preaching evangelistic campaigns, and recording Kathy's Kids StoryTime, have all contributed to Kathy's personal growth in ministry.During her extensive work with children in the Carolinas, those who served with her recognized the spiritual depth and extensive pastoral ministry that Kathy is providing to these young people—that she is truly the Children's Pastor for the Conference—and rightfully recommended that she be Commissioned.She is grateful to God for allowing her to do ministry with Rick. She is grateful for the love and support of family and friends, and for the way God has used her life experiences to prepare her for the next steps in His service. Kathy is willing to follow God where He leads.
