Ep 535 Inside the Mind of an Acquirer: When Your Buyer Is Risking Their House

Most business owners assume their buyer will be a private equity group or a strategic acquirer. But if you run a smaller business in a niche category, the person most likely to buy you is an individual — someone who likes what you've built, can see a path to improve it, and is willing to put their own name on the line to finance the deal.  This week on Built to Sell Radio, Joe Soelberg joins the Inside the Mind of an Acquirer series to pull back the curtain on what that kind of buyer actually looks like — and what it means for you as a seller. Listen and you discover how to:  spot the tells of a real buyer versus "capital partners" theater  pressure-test proof of funds without turning it adversarial  use a seller note as a credibility filter, not just a concession  understand why individual buyers consistently misread the cash down, seller note, bank structure and how to use that to your advantage  ask questions that surface risk early, before lawyers get involved

This episode is part of our Inside the Mind of an Acquirer series, and it unpacks the ETA (Entrepreneurship Through Acquisition) wave now flooding the market.  For business owners, ETA is a double-edged sword. On the upside, more buyers courting you means more choice, more urgency, and more liquidity. On the downside, many ETA buyers are first-timers who lean on heavy leverage and seller financing. If they misread your business or hit a snag they can't handle, the part of the deal you financed can quickly become the part you never collect.

From Customer to Acquirer: Filevine's Ryan Anderson and Pincites' Sona Sulakian on Building AI Contract Intelligence

In this episode of LawNext, we talk with Ryan Anderson, co-founder and CEO of Filevine, and Sona Sulakian, former CEO and co-founder of Pincites, about Filevine's acquisition of the AI-powered contract redlining company. The deal, which closed in December, marks Filevine's second major AI acquisition of the year. Even more notably for this traditionally litigation-focused company, it represents a significant strategic expansion into the corporate and transactional legal market — a segment where Filevine saw 120% growth in 2025. What makes this acquisition particularly compelling is its origin story: Filevine was actually a customer of Pincites before acquiring the company. After Filevine's legal team became early adopters and enthusiastic users of the product, Anderson and his team recognized that Pincites' Word-native contract intelligence platform filled a critical gap in their offerings. The acquisition brings aboard sister co-founders Sona and Mariam Sulakian and their team, who will continue developing what Filevine now calls "LOIS for Word" — a drafting and redlining tool integrated directly into Microsoft Word. Along with host Bob Ambrogi, they discuss how the Sulakian sisters identified the market gap that led them to build Pincites, why they chose to build directly into Word rather than create a standalone platform, and what attracted them to Filevine among multiple suitors. Anderson shares his vision for building a comprehensive Legal Operating Intelligence System (LOIS) that connects contracts, depositions and all legal work into a single unified platform. They also explore the broader implications of AI for legal practice and access to justice, and how tools like Pincites and Filevine are transforming the way legal work gets done.   Thank You To Our Sponsors This episode of LawNext is generously made possible by our sponsors. If you're considering your endgame, you're probably looking at private equity. Most PE firms use a familiar formula: buy a majority stake and ask the owner to "roll equity"—re-invest part of the proceeds—into the newco they're building. The downside: you become a minority shareholder in a business you no longer control.   There's another path: growth equity, which lets you take chips off the table via a secondary while maintaining control. That's the business John Ruffolo is in as Founder & Managing Partner at Maverix Private Equity (he also founded OMERS Ventures).

It’s not the numbers that make a business thrive—it’s the people, the trust, and the purpose behind it. In this revealing episode, Jaryd Krause sits down with Antoine Minoux, Principal Product Designer at Yelp and a serial entrepreneur who has founded, grown, and sold multiple successful SaaS ventures, including Improvmx and VoilaNorbert. Together, they unpack what really happens behind the scenes of buying, scaling, and selling online businesses—and the emotional intelligence required to do it right. Antoine shares his candid reflections on navigating acquisitions, from spotting undervalued opportunities to balancing multiple ventures and knowing when it’s time to sell. They explore how trust and transparency form the foundation of any successful deal, why valuation isn’t just about numbers, and how emotional awareness can be the difference between a smooth exit and a painful one. Through Antoine’s firsthand experiences, this conversation provides a roadmap for entrepreneurs looking to grow not just through innovation but through strategic acquisition and authentic relationships. Together, they explore: ✔️ Why buying an existing business can be less risky than starting from scratch✔️ The emotional and relational side of business acquisitions most founders overlook✔️ How to balance multiple ventures without losing clarity or momentum✔️ The right way to approach valuation and negotiation in SaaS deals✔️ Lessons learned from multiple exits—and why selling doesn’t always mean letting go Whether you’re an aspiring acquirer, a seasoned founder, or somewhere in between, this episode will challenge how you think about growth, exits, and the role of trust in entrepreneurship.

Interest rates are up, LPs are demanding more, and the firms that win will need to act more like operators than bankers. If you're planning to sell, and private equity is your natural buyer, you'll want to hear this.

Wharton Professor: The 7 Hidden Types of Entrepreneurs | with Lori Rosenkopf

#634: Picture this: you're 26 years old, fresh out of Wharton, and you decide to start a business with two friends. You spend years building a digital marketing firm that eventually works with Dollar Shave Club and Madison Reed. You bootstrap the entire thing without taking a dime of venture capital funding. That's exactly what one Wharton graduate did — and his story represents the reality of entrepreneurship that most people never hear about. Lori Rosenkopf, a management professor at Wharton Business School and head of Venture Labs, joins us to shatter the biggest myths about starting a business. The Mark Zuckerberg college dropout story? It's not just rare — it's misleading. Research shows that the most successful entrepreneurs, those in the top 0.1 percent of venture-backed firms, average late 30s to early 40s when they start their companies. Many continue launching businesses into their 50s and 60s.  Your age and corporate experience isn't holding you back from entrepreneurship — it's actually giving you an advantage. Rosenkopf breaks down seven different types of entrepreneurs, from disruptors who overturn entire industries to bootstrappers who build profitable businesses using their own resources. You'll hear about a founder who disrupted the hair color industry in her 50s with Madison Reed, and a banker who built an entire financial services division inside Square. We cover the rise of direct-to-consumer brands in 2013, why 80 percent of entrepreneurs are bootstrappers, and how artificial intelligence is creating new opportunities for people to start businesses without massive upfront investments. Rosenkopf explains her "six Rs" of entrepreneurial thinking: reason, recombination, relationships, resources, resilience, and results. She argues that most people already think entrepreneurially without realizing it — even parents who optimize their family routines are solving problems through innovation. We explore the world of "intrapreneurs" — people who build new businesses within established companies — and discuss acquisition entrepreneurship, where people buy existing small businesses instead of starting from scratch. Whether you want to start a side hustle, position yourself for a promotion, or eventually launch your own company, Rosenkopf's framework shows multiple paths to creating value through innovation. Most founders measure success by the price they get for their company.  David Hauser did that—he built Grasshopper to $30M Annual Recurring Revenue (ARR) and sold it for $175M – almost 6 times revenue. He and his partner owned the majority of the shares so the deal was life-changing for Hauser. But what makes this interview different is what Hauser did next: he crossed the table to become an investor and now acquires businesses through Durable Capital.  It's a study in contrasts. As a founder, Hauser chased growth. As an investor, he's ruthlessly disciplined. He mocks the PE herd chasing home services roll-ups and avoids auction-driven deals. Drawing on his experience founding Grasshopper and Mark Cuban-backed Chargify, he outmaneuvers ETA buyers and first-time acquirers with quiet, direct, close-ready offers. This is a rare window into how someone who's built and sold a business thinks about buying one—and what makes a deal attractive from the other side.
