Strine, Jr., is Of Counsel in the Corporate Department at Wachtell, Lipton, Rosen & Katz.  Prior to joining the firm, he was the Chief Justice of the Delaware Supreme Court from early 2014 through late 2019.  Before becoming the Chief Justice, he served on the Delaware Court of Chancery as Chancellor since June 22, 2011, and as a Vice Chancellor since November 9, 1998.In his judicial positions, Mr. Strine wrote hundreds of opinions in the areas of corporate law, contract law, trusts and estates, criminal law, administrative law, and constitutional law.  Notably, he authored the lead decision in the Delaware Supreme Court case holding that Delaware's death penalty statute was unconstitutional because it did not require the key findings necessary to impose a death sentence to be made by a unanimous jury.For a generation, Mr. Strine taught various corporate law courses at the Harvard and University of Pennsylvania law schools, and now serves as the Michael L. Last Thursday morning saw the return of dawn raids on eight major insurance companies conducted by the Competition Commission. The commission said it has reasonable grounds to suspect that the insurers have engaged in collusive practices to fix prices and/or trading conditions in respect of fees for investment products such as retirement annuity and premiums for risk-related products. The products are in the life insurance cover, disability cover, life cover and funeral assistance benefits. Tomorrow, legal practitioners, economists, politicians, academics, industry role players and civic society will meet at the 16th Annual Competition Law, Economics and Policy Conference to discuss and reflect on competition regulation, the state of the economy and policy proposals aimed at shaping an inclusive, growing, and deconcentrated economy. Today we took on the challenge of unpacking the SEC's proposed climate disclosure rules and their potential implications. To help us do so, we had a panel of experienced leaders in the space join for a lively discussion that we hope will provide clarity and understanding. Our panel today includes Travis Wofford, Chair of the Corporate Department in Houston and Vice Chair of the Global M&A Practice and Scott Janoe, Chair of the Environmental, Safety & Incident Response Section from Baker Botts, and Dan Romito, Consulting Partner with Pickering Energy Partners.The framework of our discussion included an overview of the proposed requirements and background on the buildup to the SEC's new proposals, the key SEC players involved (with some particular focus on the dissenting view from Commissioner Peirce), the likelihood of the proposed rules becoming final, what the disclosures would cost and the potential liabilities for public companies, the potential unintended consequences of these new regulations, whether the SEC should be the governing body addressing these disclosures, implications for small to large companies, the importance of materiality, and the "climate industrial complex," just to hit a few. FEATURED GUESTSLeo E. Strine Jr.Leo E. Strine, Jr., is of Counsel in the Corporate Department at Wachtell, Lipton, Rosen & Katz. Before joining the firm, he was the Chief Justice of the Delaware Supreme Court from early 2014 through late 2019. Before becoming the Chief Justice, he had served on the Delaware Court of Chancery as Chancellor since June 22, 2011, and as a Vice Chancellor since November 9, 1998. In his judicial positions, Mr. Strine wrote hundreds of opinions in the areas of corporate law, contract law, trusts and estates, criminal law, administrative law, and constitutional law. Notably, he authored the lead decision in the Delaware Supreme Court case holding that Delaware’s death penalty statute was unconstitutional because it did not require the key findings necessary to impose a death sentence to be made by a unanimous jury. Mr. Strine holds long-standing teaching positions at Harvard and the University of Pennsylvania, where he teaches diverse classes in corporate law addressing, among other topics, mergers and acquisitions, the role of independent directors, valuation, and corporate law theories. He is a member of the American Law Institute, and currently serves as an advisor on the project to create a restatement of corporate law. Mr. Strine also serves as a Senior Fellow of the Harvard Program on Corporate Governance and as an advisor to Penn’s Institute for Law & Economics.
