On behalf of Taiwan in the Indo-Pacific Region and its National Security Task Force the Hoover Institution held a Taiwan Roundtable Discussion on Tuesday, February 18, 2025, from 5:00 - 6:00 pm PT. Taiwan is facing a potential constitutional crisis. In December 2024, Taiwan's opposition-controlled legislature voted to impose a 2/3 supermajority quorum for the Constitutional Court to hear new cases. The legislature then voted down all the new nominees to the Court, leaving it with only 8 of members and unable to meet the new quorum requirement. The government has appealed to the Court to meet anyway and rule that the new amendments are unconstitutional. In this discussion, three experts on Taiwan's politics and judicial system discuss the factors leading up to this confrontation, the options facing the court, and the potential for deeper reforms to strengthen judicial independence in the face of a deepening confrontation between the ruling and opposition parties. Never before have LPs been presented with such an array of different liquidity offerings to back. There are specialised secondaries funds focusing on healthcare, on impact investing, on real assets in Asia or on acquiring direct minority equity stakes in companies in India. There are funds focusing on writing large cheques to multi-billion-dollar single-asset continuation funds; and there are funds focusing on making late primary commitments to buyout funds that are still in their fundraising mode. In short, if you're an LP looking to back a secondaries fund, you're spoiled for choice. In this special episode, we sit down with Nigel Dawn, global head of Evercore's Private Capital Advisory group; Leor Landa, head of the investment management practice at Davis Polk; and Yann Robard, managing partner at Dawson Partners. Mr. Untouchable, a 2007 documentary directed by Marc Levin, describes the rise and fall of former New York City drug kingpin, Leroy (“Nicky”) Barnes. In the early 1970s, Barnes formed “The Council,” an organized crime syndicate that controlled a significant part of the heroin trade in Harlem. Inspired by the Italian-American mafia, Barnes became one of the most powerful and notorious figures in New York City. A flashy and flamboyant fixture on the free-wheeling social scene of the period, Barnes quickly drew the attention of law enforcement. After several unsuccessful state prosecution attempts, Barnes, along with multiple other associates, was indicted by federal prosecutors in New York in 1977. Barnes was convicted and sentenced to life imprisonment. Barnes, however, was released in 1998, in exchange for working as a government informant, and entered the Witness Protection Program, where he remained until his death in 2012.  Barnes was also depicted in Ridley Scott's 2007 film American Gangster, which starred Denzel Washington as Frank Lucas, another notorious drug kingpin from the era. Cuba Gooding Jr. portrayed Barnes in that film. Joining me to talk about Mr. Untouchable and the Nicky Barnes case is Robert B. Fiske, Jr., Senior Counsel at Davis Polk in New York, where he previously served as litigation partner for many years. Bob Fiske is one of the most prominent and respected trial lawyers in America. He has been involved in some of the most notable cases of the last half-century, including as special prosecutor in the Whitewater controversy and the death of White House counsel Vince Foster, the Three Mile Island nuclear disaster, the antitrust suit between the USFL and. NFL, the most contentious America's Cup ever, and the financial swindler Bernie Madoff.  Mr. Fiske also served as the U.S. Attorney for the Southern District of New York from 1976 to 1980, during which time he led the prosecution of Nicky Barnes. Timestamps:0:00   Introduction3:18     Drug trafficking in Harlem and the South Bronx in the 1970s4:55    Who was Nicky Barnes6:27     Trying to bring Barnes to justice7:57      “Mr. Untouchable” and a call from Attorney General Griffin Bell13:08   A sequestered and anonymous jury17:22    Navigating credibility issues with key government witnesses29:25   An issue with a juror dubbed the “Marlboro Man”33:46   The guilty verdict against Barnes36:25   The larger implications of the Barnes case37:51    The depiction of Nicky Barnes on filmFurther reading:Barnes, Leroy & Folsom, Tom, Mr. Untouchable: The Rise, Fall, and Resurrection of Heroin's Teflon Don (2007)Ferretti, Fred, “Mr. Untouchable,” N.Y. Sean was also a lawyer at Covington & Burling LLP and Davis Polk & Wardwell LLP.Sean and I had a fascinating conversation about the evolution of private markets through the parallel evolution of the GP stakes space.  We discussed:The early days of the GP stakes industry. What it was like to convince GPs and LPs why stakes made sense. How the $1B GP commitment by Bain Capital in their fund post-GFC really opened everyone's eyes to the need to tap into financing as firms grew their fund size and their business.A “cash in” rather than a “cash out.” Why GP stakes investing is mainly about positive selection since managers are choosing to sell a stake in their business. How alternative asset management has evolved as a business. How GP stakes investments have elements of bond-like coupons from cashflows due to management fees and option value from the upside of carry. Why GP stakes investments are “the most diversified single line item investment one can make in private markets.”Where allocators bucket GP stakes investments. What makes a great GP stakes investor. The power of permanent capital. The different paths to liquidity in GP stakes investments. Thanks Sean for coming on the show to share your views and wisdom on private markets. The word unprecedented became commonplace in banking circles in 2023. The Federal Reserve's rate hike campaign pushed bank balance sheets deeply underwater, spurred deposit outflows and exposed asset/liability mismatches at some institutions that culminated in record-breaking bank runs that led to the second, third and fourth largest bank failures in US history. Those closures and the liquidity crunch, regulatory response, market selloff and eventual recovery that followed changed the competitive landscape and the way bank observers view the industry. This episode features commentary from experts at BTIG, Davis Polk, Janney Montgomery Scott, KBW, Luse Gorman, Piper Sandler and others on the lessons learned from the liquidity crunch, the fallout afterward and the potential opportunities that lie ahead.

In our continued coverage of the Israeli-Palestinian conflict, Ralph welcomes James Zogby, co-founder and president of the Arab American Institute and author of "Palestinians: The Invisible Victims.” Then, no-nukes activist Harvey Wasserman joins to warn us about the dangerous condition of nuclear reactors across the country, including the threat of “embrittlement” at the California reactor in Diablo Canyon. James Zogby is co-founder and president of the Arab American Institute, and he is featured frequently on national and international media as an expert on Middle East affairs. Since 1992, he has written a weekly column— “Washington Watch” —that is published in 12 countries. He is the author of several books, including Looking at Iran: The Rise and Fall of Iran in Arab Public Opinion, The Tumultuous Decade: Arab, Turkish, and Iranian Public Opinion - 2010-2019, Arab Voices: What They Are Saying to Us, and Why it Matters, and Palestinians: The Invisible Victims. There are two narratives, and we have to understand both. There's Israeli trauma and Jewish trauma, and there's Palestinian and Arab trauma. Both are real because there are two groups of humanity who each have histories. When we adopt one and ignore the other, then we end up creating the kind of torment the Palestinians have been living with.James ZogbyThis does not make Israel more secure. Taking massive amounts of Palestinian lives, evacuating them, forcing them to flee from their homes, murdering them from the air—doesn't make them more secure. At the end of the day, when the dust settles and the tears dry, you're going to have a whole lot more dead people, a whole lot more anger, a whole lot more frustration, and nothing else will change in Gaza or in the West Bank.James ZogbyHamas was a tiny religious organization which was fostered into a more powerful organization by the United States and Israel. They thought that if they built up a religious organization, it would undermine the PLO (the Palestine Liberation Organization). And once again, just as in Afghanistan, we create our own adversaries, blundering back and forth.Ralph NaderHarvey Wasserman is a journalist, author, democracy activist, and advocate for renewable energy. Mr. Wasserman is the author of Solartopia! Our Green-Powered Earth, and The People's Spiral Of U.S. History. He has written and researched atomic energy since 1973, and co-authored Killing Our Own: The Disaster of America's Experience With Atomic Energy. There's only one explanation why they're continuing to operate these two reactors and all the other reactors in the United States. And that's because the commercial reactor industry is now the infrastructure of the nuclear weapons industry. If you like nuclear power, you love nuclear weapons. They are joined at the hip, these two industries.Harvey WassermanThese two reactors are upwind of the entire United States. An accident at Diablo Canyon could—within four hours—send an apocalyptic radioactive cloud into Los Angeles, into the Central Valley where we get our fruits and vegetables for the winter, and into the Bay Area. The stakes could not be higher. And again, these are military facilities, masquerading as fighters of global warming, which is absolutely ridiculous.Harvey WassermanIn Case You Haven't Heard with Francesco DeSantis1. The Huffington Post reports that the State Department has imposed a censorship regime, directing high-level diplomats involved in Middle East affairs to refrain from using the following phrases: “de-escalation/ceasefire, end to violence/bloodshed, and restoring calm.” This mirrors White House Press Secretary Karine Jean-Pierre's response to a reporter's question during a recent briefing, when she deemed calls for a ceasefire by progressives in Congress “wrong…repugnant, and…disgraceful.” Rejecting this censorious framework, Rep. Jamaal Bowman tweeted that the “Official statement from [his] office [is] De-escalate. End the violence. Restore calm.”2. According to Semafor, MSNBC has “quietly” pulled their Muslim anchors from the air, preventing them from covering the rapidly escalating situation in Gaza. “The network did not air a scheduled Thursday night episode of The Mehdi Hasan Show…reversed a plan for Ayman Mohyeldin to fill in this week…for…Joy Reid's 7 p.m. show… [and] the network also plans to have Alicia Menendez fill in …for Ali Velshi.” This piece goes on to quote from anonymous MSNBC sources who “[feel] all three hosts have some of the deepest knowledge of the conflict.” NBC denies this is an intentional and coordinated move, instead claiming these shifts are merely “coincidental.” Meanwhile, MSNBC did prominently feature New York City Mayor Eric Adams making the extraordinarily dubious claim that “the DSA and others [were] carrying swastikas and calling for the extermination of Jewish people.” DSA members are now mulling a suit against the mayor for defamation, per City and State NY.3. The Intercept is out with a story about divisions within the liberal Zionist advocacy group, J Street. Per the story, J Street is supporting a congressional resolution that “pledges unconditional support to Israel's war in Gaza,” which “makes no mention of Palestinian civilians.” In response, over 1,000 former J Street staffers and representatives are urging the organization to join calls for a ceasefire. J Street's position mirrors that of many congressional progressives who have been hesitant to call for a ceasefire even as the civilian death toll continues to mount.4. Law schools have become another major venue for conflict on this issue. The Jewish Law Students Association of the City University of New York has issued a statement, expressing their “uncompromising solidarity with the Palestinian people in their righteous struggle for self-determination,” and noting that “institutions like the UN have consistently demonstrated an unwillingness and/or inability to hold Israel accountable over its blatant disregard for international law.” Similar statements have come out of Harvard, Columbia, and NYU – leading top law firm Davis Polk to rescind job offers they had extended to students from these institutions, per NBC. Some donors have also cut ties with Harvard over the statement, including the Wexner foundation, founded by former Victoria's Secret CEO and close Epstein associate Leslie Wexner.5. The Washington Post reports Venezuela and the United States have reached a breakthrough agreement in which the U.S. will ease sanctions on the country's oil industry, and in exchange the country will hold  “a competitive, internationally monitored presidential election next year.” This agreement represents a win for both nations, with the Biden administration hoping it will ease oil and gas prices, while the Maduro administration will, at long last, have the opportunity to reaffirm its legitimacy following the Trump-backed coup attempt that began in 2019.6. Senator John Fetterman of Pennsylvania has called on the full Senate to expel Senator Bob Menendez of New Jersey following his indictment on corruption charges and allegations by the Department of Justice that he was acting as an unregistered foreign agent. Fetterman's statement reads “Senator Menendez should not be a U.S. Senator. He should have been gone long ago. It is time for every one of my colleagues in the Senate to join me in expelling Senator Menendez…This is not a close call.” This from the Hill.7. Negotiations between SAG-AFTRA and the AMPTP have broken down yet again, this time over two specific issues. The first, according to the LA Times, is the actors' demand for a 2% share of streaming revenue, or alternatively 57 cents per subscriber per year. The studios have called this an “overreach” which would “create an untenable economic burden.” The other major point of contention is AI, with the studios “continuing to demand ‘consent' on the first day of employment for use of a performer's digital replica for an entire cinematic universe (or any franchise project),” per Deadline. Meanwhile, the guild has lauded a new Senate bill – the NO FAKES Act – which would “prevent a person from producing or distributing an unauthorized AI-generated replica of an individual to perform in an audiovisual or sound recording without the consent of the individual being replicated.” SAG-AFTRA President Fran Drescher said of the bill “A performer's voice and their appearance are all part of their unique essence, and it's not ok when those are used without their permission. Consent is key,” per Deadline.  8. Finally, the Guardian reports that Indian officials have approved a trial for sedition against renowned author Arundhati Roy concerning a 2010 speech she made on Kashmir. The article notes Reporters Without Borders has warned that “press freedom is in crisis” in India. Roy herself has been an outspoken critic of the rising tide of Hindu nationalism in India, which has earned her the ire of right-wing authoritarian Prime Minister Narendra Modi. It is separate from the iconic Capitol building but is considered part of the Capitol complex. It is the oldest congressional office building on Capitol Hill. Rep. Rashida Tlaib (D-MI), who falsely accused Israel of bombing a Gaza hospital Tuesday, addressed the protesters. Fox 5 in Washington, DC, reported: A large group of pro-Palestinian protesters are demonstrating inside the Cannon Rotunda on Capitol Hill. The Cannon House Office Building holds the House Committee offices. U.S. Capitol Police say demonstrations are not allowed inside Congressional Buildings and are working to clear the crowd. Police have already detained some individuals as chants of “ceasefire” are echoing around the building. Left-wing protesters have staged demonstrations inside the Capitol before, but none have been treated the way participants in the January 6, 2021 protesters have been treated, many of whom were detained and given harsh sentences for non-violent offenses. The U.S. has seen anti-Israel protests in major cities and on college campuses since a Hamas terror attack Oct. 7 killed 1,400 Israelis and wounded roughly 4,400 more. About 200 people — including some Americans — were taken to Gaza as hostages. FBI Director Christopher Wray called the Capitol riot “domestic terrorism.” In this case, the pro-Palestinian protest is supporting terrorism against Israelis and Americans; a ceasefire would allow Hamas to escape without consequences for its atrocities. https://www.washingtonexaminer.com/policy/education/israel-war-harvard-columbia-students-lose-job-offer-law-firm Harvard and Columbia students lose law firm job offer for anti-Israel stance A major law firm has rescinded its offer of employment to three students at Harvard and Columbia law schools who endorsed statements that blamed Israel for a series of terrorist attacks by Hamas. The law firm Davis Polk notified employees in an internal email that the firm had withdrawn job offers to three students from Harvard and Columbia who had signed statements that blamed the Israeli government for the attacks by Hamas. The Columbia statement went further and said the attacks were justified acts of resistance. The attacks and the subsequent military response by Israel have claimed the lives of more than 4,000 people. “These statements are simply contrary to our firm’s values and we thus concluded that rescinding these offers was appropriate in upholding our responsibility to provide a safe and inclusive work environment for all Davis Polk employees,” the firm said in the email to employees. The firm's action is the latest example of students losing employment offers because of their support for the statement. Ryna Workman, a law student at New York University and the president of the student bar association, lost an employment offer from the law firm Winston & Strawn after supporting a statement that said: “Israel bears full responsibility for this tremendous loss of life.” In addition to withdrawn job offers, other prominent figures have urged that the students be named publicly and face professional consequences. A number of the 31 student groups who signed the Harvard statement have since withdrawn their support for the statement. Billionaire Bill Ackman, a Harvard alum, asked that the names of the students who signed the statement be publicly released "so as to ensure that none of us inadvertently hire any of their members." Sweetgreen CEO Jonathan Neman echoed Ackman, saying, "I would like to know so I know never to hire these people." https://www.theblaze.com/news/sen-vances-new-bill-would-protect-mothers-who-exit-the-workforce-to-care-for-their-babies-from-undue-healthcare-costs Sen. Vance's new bill would protect mothers who exit the workforce to care for their babies from undue health care costs Republican Sens. J.D. Vance (Ohio) and Marco Rubio (Fla.) introduced legislation Tuesday that would ensure that mothers "who choose to prioritize their child's early development and recover rather than return to work" after giving birth won't be retroactively stripped of their health care premiums for having done so. Currently, the Family and Medical Leave Act of 1993 requires covered companies with over 50 employees to give their workers 12 weeks of unpaid medical leave in a 12-month period for the birth of a child as well as in cases of adoption. Furthermore, it requires the "continuation of their group health benefits under the same conditions as if they had not taken leave." The bill, entitled "Fairness for Stay-At-Home Parents Act," would amend the FMLA to "prohibit an employer from recovering any health care premium paid by the employer for an employee if the employee fails to return to work due to the birth of a child, and for other purposes." In addition to preventing clawbacks, the legislation would have employers continue their health premium contributions for the duration of the 12-week leave. "Our laws should not penalize new parents who choose to stay home to care for their newborn babies," Vance said in a statement. "We should celebrate and promote young families, not punish them. This legislation would relieve a serious financial burden for working families all over America and steer Washington in a more pro-family direction." America appears to be in dire need of a "pro-family direction." The U.S. Census Bureau revealed in November 2022 that less than 24% of children under the age of 15 living in normal families had a stay-at-home mother. Only 1% had a stay-at-home father. The Pew Research Center indicated that as of 2021, 26% of mothers stayed home with their children and 7% of fathers stayed home with their children. According to the Mayo Clinic, over half of women return to work after their maternity leave. Not only are fewer people staying home to raise their children, but fewer Americans are having children. The Centers for Disease Control and Prevention indicated in a June report that the provisional number of births in the U.S. for 2022 was just over 3.6 million, a decline from the previous year. The fertility rate was 56.1 per 1,000 women ages 15-44. This figure is roughly half of what the rate was in the 1960s and more or less on par with the rate in 2020, which was the lowest rate on record. The New York Times noted in 2018 that one of the key drivers behind Americans having fewer or no children is financial insecurity. A poll conducted by USA Today last year confirmed that was still the case. About 46% of respondents suggested their personal financial situation influenced their planned or current childlessness; 40% indicated work-life balance was at least partly to blame. The Washington Examiner noted that financial struggles hit parents straight out the gate. The national average cost of child delivery in a hospital exceeds $18,000, or $3,000 out of pocket for those with insurance. The 12-week reprieve that some parents might find as a result of Vance's bill could go a long way. "The Fairness for Stay-At-Home Parents Act supports mothers' and parents' invaluable role in raising the next generation," said Rubio, the original co-sponsor of Vance's bill. "This legislation stops employers from imposing harsh financial penalties if a parent decides not to return to work after unpaid leave, and it empowers families to make choices that prioritize the well-being of their children." Rubio, like Vance, appears keen on bolstering the family. Following the Supreme Court's Dobbs ruling, Rubio released a pro-family framework, stressing the "need to adopt pro-life policies that support families, rather than destroy them." Among the proposals in the Florida senator's framework were an expansion to the child tax credit; an allowance for new parents to pull forward up to three months of their Social Security benefits to finance paid parental leave; tax relief for adoptive parents; expanded support for pro-life crisis pregnancy centers; and the establishment of a grant program funding integrated mentoring services for poor mothers. Following the overturning of Roe v. Wade, the Manhattan Institute's Brian Riedl prophesied to the Washington Post that Republicans would likely take a stronger lead on bolstering the family beyond just sparing the unborn from mass extermination. "I could see if Republicans decide that abortion politics are working against them, there could be a push for child-care benefits, more maternal health care, and better adoption services to make it easy and more affordable for more mothers to carry the babies to term," said Riedl. "It would put their money where their mouth is when challenged on making it easier for mothers to afford their children and get their health care." https://www.outkick.com/conor-mcgregor-no-charges-nba-finals-heat-sexual-assault-allegation/ CONOR MCGREGOR WON’T FACE CHARGES AFTER BEING ACCUSED OF SEXUAL ASSAULT DURING NBA FINALS Conor McGregor won’t face charges stemming from allegations he sexually assaulted a woman during the NBA Finals. McGregor was accused by a woman of sexually assaulting her in the bathroom of Kaseya Center during a Heat/Nuggets NBA Finals game, and the UFC star always maintained he didn’t do anything wrong. Prosecutors have now decided there is “insufficient evidence” to pursue the situation further, according to TMZ. Authorities also cited “contradicting and/or no corroborating witnesses” as another reason for why no charges will be brought. “In light of the above facts and circumstances, the State would not be able to satisfy its burden of proof beyond a reasonable doubt,” prosecutors wrote in a closeout memo, according to the same TMZ report. The woman initially claimed security separated her from her friends to get her in a bathroom with McGregor, but video of the situation told a very different story. She was filmed entering the bathroom with McGregor on her own freewill, and nobody was forcing her to go anywhere. TMZ also reported she was seen at a club with McGregor AFTER they left the bathroom together where she alleged she was assaulted. An attendant outside the bathroom told authorities they “did not hear any signs of distress or sounds that would corroborate that whatever was occurring was not consensual.” McGregor’s attorney told TMZ, “After a thorough investigation, including a review of videos and interviews with eyewitnesses, the authorities have concluded that there is no case to pursue against my client, Conor McGregor. On behalf of my client, his family and his fans we are pleased this is now over.” The situation is now behind McGregor, and that means he can focus on getting back in the octagon.

On this day in legal history, August 16, 1918, Lothar Witzke was convicted of espionage in the United States on behalf of Germany and became the first German spy convicted during World War I. Lothar Witzke was a junior officer in the German Imperial Navy during World War I, who became a spy and saboteur in the United States and Mexico. After escaping internment in Chile, he reached San Francisco in 1916 and began sabotage activities with another agent, Kurt Jahnke. They were involved in various missions, including suspected connections to significant explosions, though later investigations ruled out their involvement in some cases. Witzke was arrested in 1918 near the Mexican border, convicted, and sentenced to death, but his sentence was commuted to life imprisonment by President Woodrow Wilson. After an act of heroism in prison and diplomatic pressure from Germany, he was pardoned and released by President Calvin Coolidge in 1923. Upon his return to Germany, Witzke was decorated with the Iron Cross and later served in the Abwehr, or German military intelligence, during World War II. After the war, he became a member of the Hamburg Parliament, representing the German Party from 1949 to 1952.Donald Trump may have a 40 point lead ahead of DeSantis in the GOP primary, and Chris Christie may have overtaken the Florida governor in early New Hampshire polling, but among one demographic DeSantis seems to have the edge over all other Republican candidates–lawyers. According to a report by Bloomberg Law, Ron DeSantis has a significant advantage over Donald Trump in campaign donations from lawyers, leading with a 6-to-1 ratio. As of the end of June, DeSantis had received over $1.3 million from individual lawyer contributions, compared to just under $200,000 for Trump. DeSantis's background includes a Harvard Law School education and time as a U.S. Navy lawyer, while Trump has been known to criticize and even sue attorneys. Many larger law firms seem uncomfortable supporting Trump, contributing to DeSantis's advantage.DeSantis's fundraising from lawyers has also surpassed other GOP primary candidates, including former Governor Nikki Haley and Senator Tim Scott. His campaign haul includes significant contributions from elite law firms like Sullivan & Cromwell. DeSantis's support in Republican legal circles also includes several high-ranking Trump Justice Department officials and lawyers from Jones Day.While DeSantis leads in lawyer contributions, he still trails Trump by double digits in state and national polls. Some political analysts question whether DeSantis's momentum will continue, especially as his campaign has faced staff shakeups and strategy shifts. Meanwhile, Trump's campaign, powered by small-dollar donors, has raised over $50 million between January and June. Contributions from the legal industry have historically favored Democrats, with President Joe Biden out-raising DeSantis among lawyers so far this year with $1.5 million.DeSantis Crushes Trump in Cash from Lawyers Seeking AlternativeDavis Polk & Wardwell, a prominent law firm, has signed a 25-year lease extension to expand its Midtown headquarters in Manhattan, adding 30,000 square feet to its current space at 450 Lexington Ave. This deal increases the firm's footprint to 700,000 square feet, making it the largest commercial space leased in New York City in 2023, as announced by the building's landlord RXR Realty. The firm's managing partner, Neil Barr, emphasized that the expansion reflects the firm's growth strategy.Davis Polk has been proactive in moving back to in-office work after the pandemic and is requiring its lawyers and business services personnel to be in the office Monday through Thursday after Labor Day. The building, located near Grand Central Terminal, will undergo a $300 million renovation, including private outdoor terraces for Davis Polk and new gathering spaces. The firm's lease renewal comes amid a challenging time for Manhattan's commercial real estate market, with available office space reaching an all-time high in the second quarter of 2023. Financial and legal services have dominated the leasing transactions, with Davis Polk's lease being a significant highlight. Other law firms like Wachtell, Lipton, Rosen & Katz, Paul Hastings, and Sheppard Mullin have also renewed or expanded their New York footprints this quarter.Davis Polk Inks Manhattan's Biggest Office Lease of 2023 (1)A Delaware judge has ruled that the fair value of Pivotal Software Inc.'s shares at the time of its 2019 go-private merger with VMWare Inc. was $14.83 per share. This ruling came in an appraisal suit brought by Pivotal's former investors, who argued that the shares should have been worth $20, while Pivotal sought a valuation closer to $12. Chancellor Kathaleen St. J. McCormick arrived at the fair value figure by averaging two valuation methods suggested by the parties. The court's decision also clarified that the deal price does not provide a cap on fair value, emphasizing the importance of strong procedural protections for minority stockholders.Ex-Pivotal Investors Lose $20 Share Valuation Bid in VMWare DealThe American Bar Association (ABA) is considering a new rule that may require law schools to adopt free speech policies. This change comes after several incidents where students disrupted controversial speakers on campuses. The ABA's Council of the Section of Legal Education and Admissions to the Bar will consider a rule mandating "written policies that encourage and support the free expression of ideas." Schools would develop their own policies, but they must protect the rights of faculty, staff, and students to communicate controversial ideas and ensure robust debate. The proposed rule emphasizes that becoming an effective advocate requires learning civil discourse, even in disagreement, and that concerns about civility should not justify barring controversial discussions. While ABA's law school standards have covered academic freedom for faculty, this proposal would be the first to address free speech for the entire law school community.Prominent U.S. law schools have faced criticism for handling student protests against conservative speakers, leading to apologies and mandated free speech training at institutions like Stanford. Yale Law School also strengthened its commitment to free speech after disruptive incidents. The proposed rule would allow restrictions on unlawful expression, defamatory speech, threats, harassment, or unjustifiable invasions of privacy, and would enable reasonable regulation of the time and manner of expression. The council is set to vote on Friday on whether to send the proposed rule for public notice and comment, and further revisions are anticipated.ABA weighs new free speech rule for law schools | ReutersA federal appeals court has refused to revive a lawsuit by longtime umpire Angel Hernandez, who accused Major League Baseball (MLB) of racial discrimination. The 2nd U.S. Circuit Court of Appeals in Manhattan rejected Hernandez's arguments in a 3-0 decision, stating that the league's promotion practices, including its failure to promote him to crew chief, did not reflect unfair treatment of minorities. Hernandez, an MLB umpire since 1993, claimed he had been discriminated against after being passed over for crew chief five times between 2011 and 2018. He also cited a "history of animosity" with Joe Torre, MLB's chief baseball officer at the time of the lawsuit. The court found that Hernandez failed to show a statistically significant disparity in promotion rates, despite a "bottom-line imbalance" between white and minority crew chiefs. It also rejected Hernandez's claim that the judge erred in accepting MLB's reasons for not promoting him, which included a missed call and an "overly confrontational style." The court upheld the March 2021 dismissal of the lawsuit, and lawyers for Hernandez did not immediately respond to requests for comment. In 2020, MLB named its first black and Hispanic crew chiefs born outside the United States.Major League Baseball umpire loses appeal of discrimination lawsuit | Reuters Get full access to Minimum Competence - Daily Legal News Podcast at www.minimumcomp.com/subscribe

On this day, June 8, in legal history James Madison first proposed the Bill of Rights. On June 8, 1789, James Madison presented the proposed Bill of Rights to the House of Representatives. Initially, Madison included more amendments than what eventually made it into the final version. The House agreed on a Bill of Rights with 17 amendments, but later the Senate consolidated them to 12. Ultimately, in December 1791, 10 out of the 12 amendments were approved by the states, becoming the Bill of Rights. One of the rejected amendments, regarding congressional pay, was later ratified as the 27th Amendment in 1992. Madison also suggested a two-part Preamble for the Constitution, incorporating part of Thomas Jefferson's Declaration of Independence. However, this proposal was not adopted.Madison emphasized the need to assert the equal rights of conscience, freedom of the press, and trial by jury in criminal cases for all states. Madison also wanted to clarify the distinct roles of each branch of government, ensuring they did not encroach upon one another's powers. However, these provisions did not pass the congressional review process.Madison's proposed Article VII, highlighting the separation of powers, did not make it into the Constitution. However, the second part of that article survived as the Tenth Amendment, which reserves powers not delegated to the federal government to the states. Additionally, Madison's version of the Second Amendment recognized the right to bear arms in the context of a well-regulated militia.Madison desired to interweave the Bill of Rights within the Constitution, but this idea faced resistance due to concerns of appearing to rewrite the Constitution. Consequently, the Bill of Rights was appended at the end of the document. Despite these alterations, many of Madison's core ideas were incorporated into the ratified version of the Bill of Rights. Madison aimed to bolster the rights of the people and earn their confidence by protecting them against government encroachments. On this day: James Madison introduces the Bill of Rights | Constitution CenterCooley LLP, a Silicon Valley-based law firm, has asked some incoming first-year associates to delay their start dates for another year, offering them a $100,000 stipend in return. The firm reached out to incoming corporate associates, providing them with three options. They can defer their start dates and receive a stipend, stick to their original January start dates in the corporate group, or switch to another practice area with more available work. These measures are being taken to reduce the size of Cooley's incoming corporate class due to a slowdown in demand. The firm had already postponed the start date for its first-year class from November to January 2024. Cooley laid off 150 attorneys and staff in late 2022 as a necessary response to decreased workload. Despite being a top recruiter during the pandemic, the firm is now facing reduced demand for corporate and deals work, leading to the need for workforce adjustments. As always, the claim is the move is aimed at facilitating mentorship, training, and relationship-building opportunities that are believed to be more effective in an in-person environment – none of these announcements ever admit it's just to bring associates to heel. Davis Polk will also introduce a new remote day "bank" that allows employees to choose 16 days per year to work from home. Other law firms, such as Skadden and Quinn Emanuel Urquhart & Sullivan, have also made adjustments to their work policies, with some offering more flexibility for remote work.Law firm Davis Polk adopts four-day office work-week, joining Skadden | ReutersFlorida Governor Ron DeSantis has signed a new privacy law, S.B. 262, aimed at giving consumers more control over their data and addressing concerns about tech giants' alleged censorship of conservative views. The law, known as the "Digital Bill of Rights," includes provisions common to other state privacy laws, granting consumers rights over their data collection, storage, and sharing. However, it also requires search engines to disclose whether political ideology influences search results and prohibits government-mandated content moderation on social media platforms. The law provides additional protections for children under 18 years old. Florida is the ninth state to enact comprehensive privacy legislation, and it targets only the largest tech companies, subjecting them to significant fines. The law will take effect in stages, with the social media moderation section starting this July and the bulk of provisions going into effect on July 1, 2024. Consumer advocacy group Consumer Reports has called for stronger measures in the law, citing limited applicability and potential loopholes that could leave personal information unprotected. The law applies to companies with more than $1 billion in gross annual revenue and over half of their revenue coming from online ads. It also covers companies operating smart speakers and those running app stores with at least 250,000 available applications. Violations of the law could result in penalties exceeding the maximum fines imposed by other state privacy laws. The attorney general will have sole enforcement power and can seek civil penalties of up to $50,000 per violation, which may be tripled under certain circumstances. Consumers will have the right to access, correct, and delete their data, as well as opt out of processing for targeted advertising or profiling purposes. Businesses will be required to reasonably secure consumer data and conduct assessments to evaluate data collection risks and benefits. The law also prohibits state and local government entities from requesting the removal of content or accounts on social media platforms based on "unfair censorship" concerns.DeSantis Takes Swing at Big Tech in New Florida Privacy Law (1)Federal prosecutors have informed former U.S. President Donald Trump's attorneys that he is the target of an investigation into his handling of classified materials, according to a person familiar with the matter. The notification from the Justice Department does not necessarily mean Trump will be charged but gives him an opportunity to present his own evidence before a grand jury. The news comes just days after Trump's attorneys met with Justice Department officials to discuss the case. Trump's legal team was notified on Monday, although the timing of such notifications does not indicate when charges might be brought. Trump, who is currently campaigning for the 2024 Republican presidential nomination, has dismissed the investigations as politically motivated. One federal grand jury is investigating Trump's retention of classified materials after leaving the White House, while another criminal investigation is focused on alleged efforts to overturn his 2020 election loss. In August 2022, investigators seized around 13,000 documents from Trump's Mar-a-Lago estate, some of which were marked as classified. Trump's legal troubles have expanded, including a civil lawsuit in which he was ordered to pay damages for sexual abuse and defamation, as well as a criminal investigation in Georgia related to his efforts to reverse the 2020 election results.Trump lawyers notified that he is the target of classified documents probeA Hollywood actor is the latest January 6th rioter arrested – I guess you can tell by the way I'm introducing this you're not going to have heard of them.Jay Johnston, an actor known for his roles in TV shows like "Arrested Development" and "Bob's Burgers," has been arrested for his involvement in the January 6, 2021 Capitol riot. Johnston is the latest individual to be charged in connection with the incident, which aimed to keep Donald Trump in the White House. He was charged with various offenses, including interfering with law enforcement officers, entering a restricted building, disorderly conduct, and impeding passage through Capitol grounds. Johnston surrendered to the FBI in Los Angeles, where he resides. An FBI affidavit stated that he was seen wielding a stolen U.S. Capitol Police riot shield and participating in the mob that clashed with officers near a tunnel leading into the Capitol building. Online amateur investigators reportedly identified Johnston from FBI-released images seeking public assistance in identifying participants in the riot. Trump had encouraged his supporters to disrupt the certification of Joe Biden's electoral victory. Johnston has appeared in numerous films and TV shows, often playing law enforcement roles, and he voiced a character in the animated series "Bob's Burgers" until he was reportedly banned from the show following his association with the Capitol mob.Hollywood actor becomes latest arrested in Jan 6 Capitol assault | Reuters Get full access to Minimum Competence - Daily Legal News Podcast at www.minimumcomp.com/subscribe
