We interview Leo Strine on the purpose of the corporation, differentiating between shareholder primacy and stakeholder theory. We discuss ESG and the power of stockholders and workers. Leo Strine applies his perspective on corporate purpose to corporate acquisitions and lays out his hopes for the future of corporations. Some critical articles to learn more about the shareholder primacy vs stakeholder theory debate:Origins of the argument: - Merrick Dodd, For Whom Are Corporate Managers Trustees?, 45 HARV. L. REV. 1145 (1932) - Adolph A. Berle, Jr., For Whom Corporate Managers Are Trustees: A Note, 45 HARV.. L. REV. 1365, 1372 (1932)Shareholder primacy ownership argument: - Milton Friedman, A Friedman doctrine– The Social Responsibility of Business Is to Increase Its Profits, N.Y. Times, Sept. 13 1970.Critique on shareholder primacy: - Lynn A. Stout, Bad and Not-so-Bad Arguments for Shareholder Primacy, 75 S. CAL. L. REV. 1189 (2002).Example of Application: - Lucian Bebchuk and Roberto Tallarita, The Illusory Promise of Stakeholder Governance. 106 Corn. L. Wachter Distinguished Fellow in Law and Policy at the University of Pennsylvania Carey Law School and a Senior Fellow of the Harvard Program on Corporate Governance. This week I had the distinct pleasure of visiting with former Chief Justice of the Delaware Supreme Court, the Honorable Leo E. Strine, Jr., Of Counsel, at Wachtell, Lipton, Rosen & Katz. Judge Strine and I discuss the intense focus on environmental, social, and governance (ESG) standards and the pressures on corporate directors and managers occasioned by the Caremark decision and its progeny, among other developments. These initiatives have particular relevance to businesses many of our clients and listeners manage, as they often involve environmentally sensitive chemical products and manufacturing operations. We discuss Judge Strine's thoughts on implementing ESG programs by building upon existing corporate compliance programs and how best to allocate compliance responsibilities between corporate boards and senior management. As the three culture-curious mates remedy last episode's sangria-lessness with beer and chianti, Dean (our resident global cultures expert) challenges Tom and Torin (our very-much-not-experts) to play six of his self-written CultureQuizzes - that is, brief quizzes about fundamental culture concepts in particular regions - against each other. Perhaps due to their mild inebriation or Torin's overactive competitive side, or both, Tom and Torin agree to duke it out over two quizzes about Australia and the Middle East in this episode, all in pursuit of precious points (and possibly a jar of Vegemite). Can one of the blokes understand Strine in order to come out on top, or will continued drinking over this three-part episode series simply result in ignominious strife? Listen ASAP to find out! ***Subscribe to Dean's Substack here to find ALL of Dean's CultureQuizzes, including the CultureQuizzes from this episode and many many more. The next two parts of this three-part episode series include Dean's CultureQuizzes about Asia, Europe, Africa, and Latin America.*** PLEASE NOTE: This episode was recorded in September 2023. We are heartbroken by the escalating crisis in Gaza and Israel, and we invite you to give what you can to on-the-ground humanitarian organizations such as the World Food Programme and World Central Kitchen. You can't understand our globalized world without understanding religion. But that's easier said than done. For any given person, it's sometimes hard enough to understand your own religious perspectives. They often change throughout life, modified by experience and ideas. Modified by people and events. Modified by an encounter with the world and an encounter with God. Then go ahead and multiply that challenge by about 7.7 billion people and the ways that some of them collide and interact. Then we see a few things: we see that diversity is both a promise and a peril, we see that approaches to religious studies, sociology of religion, and the practice of theology all must be grounded in an "informed empathy," and we see that the only way to make progress is to accept responsibility and limits as an individual, and hope and commit to the necessity of collaboration.About Casey StrineCasey Strine is Senior Lecturer in Ancient Near Eastern History and Literature at The University of Sheffield in the United Kingdom. Winston Churchill called the Australian accent "the most brutal maltreatment that has ever been inflicted" on the English language. But when Strine first emerged, it was praised as an unusually pure variety. Linguist Felicity Cox traces the history of our accent from the Sydney colony to the present day - when it's still changing.   Plus: pronunciation can be a source of personal anxiety and public controversy. The dictionary editors muse on the Americanisation of Australian English, the rise of "haitch", and the oral gymnastics of "ophthalmologist".   Read more about Word for Word at macquariedictionary.com.au/podcast
