It's commonly said that there are three guarantees in this life…death, taxes, and Bodybuilding.com pretty much annually being involved in M&A activity. Since July 2019, Bodybuilding.com has been involved in four confirmed mergers and acquisitions transactions. The first was a related-party transaction that happened between Liberty Expedia Holdings and Expedia Group. About a year later, Expedia Group faced huge market pressures from the “Great Shutdown” decimating the travel industry and it was forced to sell off its non-core assets. That was when private equity firm The Najafi Companies took advantage of the fire sale and attempted to stabilize the struggling specialty supplement ecommerce retailer. But it eventually decided to cut its losses early and sell two years later to Retail Ecommerce Ventures…the retail brand portfolio company that was co-founded by internet personality Tai Lopez. In a piece of content from March 2023, I mentioned Retail Ecommerce Ventures was reportedly in financial trouble and had hired advisors to consider a variety of strategic options that include lining up a potential buyer for its portfolio companies, putting up intellectual property as collateral for a loan or investment, or filing for Chapter 11 bankruptcy protection. Well…as of last quarter, we now know that a group of investors, that had backed Retail Ecommerce Ventures, under the new company name of OMNI Retail Enterprises, acquired most of the retail brand assets. These include three keystone assets of Dress Barn, Pier 1, and Bodybuilding.com. Subsequentially, Retail Ecommerce Ventures dissolved as an operating entity without resorting to bankruptcy…and Tai Lopez and his co-founder are not involved in the new venture. About a month after the M&A transaction, OMNI Retail Enterprises hired Sharon Leite as the new CEO. If that name sounds familiar, it's because she was the CEO of The Vitamin Shoppe from August 2018 to January 2023. Additionally, Sharon Leite has held leadership positions previously in each of those consumer goods categories, including an 8.5-year stint at the home goods retailer Pier 1 when it had over 1000 stores in North America. But for the final part of this content, I essentially put myself in a hypothetical situation where Sharon calls me up, asks me to take the quick flight from Houston to Dallas, and says give me your Bodybuilding.com transformation pitch. Regardless, I've consistently said in numerous content pieces over the years that I believe there's still value in Bodybuilding.com, but what it doesn't need is another “let's do as we've always done but a little cheaper and expect better results” owner. My hope is that OMNI Retail Enterprises is the type of transformative thinking organization that has sufficient capital and the patience to make Bodybuilding.com great again. Mel Hopkins says she hasn't gone to Seven “to put lipstick on a pig”. The former Optus CMO says CEO James Warburton wants “total transformation” – and not just across ratings – so she's hatched a four-point plan. Hopkins has also committed to linking Seven's marketing activity and investment directly to earnings and the P&L “in real time”. Anything less, she says, “and I am failing to do my job”. More than just maternity services are slated for possible elimination. According to Dr. David Kurish, Nuvance plans to do away with the hospital's intensive care unit or ICU, aiming to replace it with an intermediate level care medical-surgical and telemetry team called a “progressive care unit” (PCU). Terminating either obstetrics or ICU services is subject to approval from the Connecticut Office of Health Strategy (OHS). The failure to maintain an ICU at Sharon, combined with proposed cuts to the surgery department, would have dire implications for all Cornwall residents who may need emergency treatment. First Selectman Gordon Ridgway considers the measures proposed by Nuvance a threat both to economic development and public safety. “The most important thing the town does,” says Ridgway, “is getting people to a hospital quickly: whether it's women who go into labor or older people who need emergency care.” For example, a school like Hotchkiss that drives part of the local economy relies on a good hospital for its students and families of its faculty. Selectmen from the Northwest Corner of Connecticut, as well as town supervisors from New York, have joined with state representatives to demand public hearings. Save Sharon Hospital, a group founded in 2018 to fend off an earlier attempt to cut off maternity services by Health Quest, Nuvance's predecessor, has hired a lawyer and is organizing opposition to Nuvance's plans. The City of Spartanburg and its partners are inviting the public to join us at Macedonia Missionary Baptist Church (502 S Daniel Morgan Ave.) on August 13, from 6-8 p.m. for the first public meeting to help create a new transformation plan for the Highland Neighborhood. The Highland Neighborhood Transformation Plan will create a vision for the growth of the community, and this is the first of multiple public input sessions planned throughout the process. The transformation plan process seeks to evaluate Highland as a whole, both its assets and its challenges, ultimately creating a blueprint for everything from housing, public spaces, and transportation, to education at all levels and job training programs. Building Your Transformation Plan in Three Steps It's common, especially as the weather gets nicer, to want to make a change in your physique. Losing fat, gaining muscle, shaping and toning, whatever you want to call it. It all comes down to making a transformation. There's all kinds of media sources out there that will give you their idea of a plan, but I find they're usually lacking. Maybe they rely on wishful thinking. Maybe working out is the only answer. Maybe a super-special diet or supplement will do the trick. The thing is, there's some part of all of those in any successful physical transformation plan. I've had the benefit of helping hundreds of people make tremendous transformations and the method they use is like traveling the journey by car. There are three key pieces to make the journey successful: 1. The car. 2. Fuel for the car. 3. A driver to direct the car. In this podcast, I'm going to get into those three pieces, why I chose that metaphor, and how to maximize each component to build a transformation plan that you'll actually be successful with.

Solid and Secure Friendships. Biblical Friendship: 1. Few friends are true friends. (Join a Group) (1 Thessalonians 2:8) We loved you so much that we were delighted to share with you not only the gospel of God but our lives as well, because you had become so dear to us. (Acts 2:42) They spent their time learning the apostles' teaching, sharing, breaking bread, and praying together. (Luke 10:27) The man answered, “‘You must love the Lord your God with all your heart, all your soul, all your strength, and all your mind.' And, ‘Love your neighbor as yourself.' (Luke 10:37) The man replied, “The one who showed him mercy.” Then Jesus said, “Yes, now go and do the same.” God's Transformation Plan for your life: 1. He wants you to have a friendship with others. (Romans 12:9-10) (MSG) Love from the center of who you are; don't fake it. … Be good friends who love deeply; practice playing second fiddle. 2. He wants you to have a relationship with Him. (Revelation 3:20) Here I am! I stand at the door and knock. If anyone hears my voice and opens the door, I will come in and eat with that person, and they with me.
