Tolu has made progress on multiple initiatives as it advances operations at the Tolukuma mine in Papua New Guinea. Key developments include the commissioning of a gravity gold plant, optimisation of access road construction and plans for hydropower infrastructure. The gravity gold plant, built by Appropriate Process Technologies (APT), was completed in December 2024, with cold commissioning finalised the same month. Full commissioning will proceed using lower-grade ore stockpiles to optimise plant performance, with higher-grade ore to follow once the Inspector of Mines grants final approval. Full production will begin immediately after approval. Tolu faced delays in constructing an access road due to extended rainy conditions and landslides. To address these challenges, the company redesigned the route in late 2024 to follow ridge lines, reducing risks of landslips and improving long-term safety and maintenance. While this redesign delays road completion to mid-2025, the new route is expected to enhance operational reliability. In energy infrastructure, Tolu is exploring a Special Purpose Vehicle (SPV) model for refurbishing its hydroelectric power station. Hutson explained that the company decided to execute a sale of producing assets in Appalachia to a Special Purpose Vehicle (SPV), while retaining a 20% minority interest in the SPV and maintaining operatorship of the assets. This strategic move generated proceeds of approximately $200 million for Diversified Energy, comprising an Asset Backed Securitization placed at the SPV and a sale of an 80% equity interest in the SPV for approximately $30 million. The funds obtained from this transaction were utilized to repay outstanding borrowings under the company's Sustainability-Linked Loan, resulting in an approximate 12% reduction in net debt. Mondo ist ein B2B-Zahlungsunternehmen, welches eine "Buy Now, Pay Later"-Lösung für B2B-Handelsunternehmen und -Marktplätze entwickelt hat. Die Zahlungslösungen bieten Unternehmen in Deutschland und Österreich ihre bevorzugten Offline-Zahlungsmethoden und flexible Zahlungsbedingungen in einem Online-Checkout an. Geschäftskunden haben dabei die Möglichkeit, zu kaufen und zu bezahlen, zu welchem Zeitpunkt sie wollen, was sich in einer höheren Conversion Rate und einem größeren Warenkorb auswirken soll. Firmen, die mit dem FinTech zusammenarbeiten, sind vor dem Ausfallrisiko geschützt, sodass sie sich auf ihr Kerngeschäft konzentrieren und schneller skalieren können. Mondu wurde im Jahr 2021 von Malte Huffmann, Philipp Povel und Gil Danziger in Berlin gegründet, um Zahlungslösungen anzubieten, die es jedem B2B-Unternehmen ermöglichen, schnell und sicher zu wachsen. Mittlerweile beschäftigt das Jungunternehmen mehr als 120 Mitarbeitende. Mondu hat nun auch den Ratenkauf eingeführt. Die neue Lösung ermöglicht es Unternehmen, ihre Einkäufe in gleiche, zinsfreie Zahlungen aufzuteilen, ohne dass zusätzliche oder versteckte Gebühren anfallen. Das Berliner FinTech hat nun in einer Finanzierungsrunde 20 Millionen Euro von der deutschen Vereinigten Volksbank Raiffeisenbank als Darlehen erhalten. Dieses wird an ein in Luxemburg ansässiges Special Purpose Vehicle (SPV) vergeben und ist besichert. Die Gründung des SPVs ermöglicht ein schnelleres Wachstum und die Diversifizierung der Refinanzierung bei externen Investoren. Seit der Gründung des Unternehmens hat Mondu in zwei Finanzierungsrunden insgesamt 57 Millionen US-Dollar von amerikanischen Investoren wie Valar Ventures, Cherry Ventures, FinTech Collective und Angel-Investoren erhalten. Mit dem frischen Kapital möchte das Startup ein neues Büro in den Niederlanden eröffnen, lokales Personal einstellen und in lokale Marketingaktivitäten investieren.

Legal Issues in Equity Crowdfunding Hello, this is Hall T. Martin with the Startup Funding Espresso -- your daily shot of startup funding and investing. There are specific legal issues regarding equity crowdfunding campaigns. Here's a list to keep in mind: The regulations for fundraising are as follows: Reg CF -- SEC designation for an equity crowdfunding raise that lets anyone invest in a startup for equity up to $5M. Reg A+ -- SEC designation for an equity crowdfunding raise that lets anyone invest in a startup for equity up to $75M. Reg D -- SEC designation for a fundraise that requires the investors to be accredited such as an angel investor or venture capitalist. The funds raised on a Reg CF or Reg A+ will be placed in a Special Purpose Vehicle (SPV) which takes one line on the cap table of the company. You can promote your fundraise to your family and friends, but the content must be factual and you cannot include terms.  The terms of the fundraise must be kept on the fundraise platform to ensure all investors receive the same information. All investments must be made on the fundraise platform. You can use SAFE notes, convertible notes, as well as equity for the type of security. You must file a Form C along with two years of GAAP financials. You'll need to file one annual report one year from the date of closing the raise. Keep these legal issues in mind in preparing your fundraise campaign. Nium, a global B2B payments network, has raised more than $200M in a Series A round, at a valuation of more than $1B, making it a unicorn. The money will be used to expand the company's payments network infrastructure, develop new products, and recruit top industry personnel.Tekmetric has established a partnership with AutoVitals, a shop management software for vehicle repair companies. The two auto repair company systems are now working together, allowing for easier two-way communication and a better customer experience.  Vision Quest Velocity LLP, a virtual cycling company, has raised $3.4M in a seed funding round led by strategic financial partners. The strategic investment will be used by Velocity to develop ground-breaking software, new technologies, and platform awareness.Marble Financial, an AI-based financial solution business, has inked a formal credit facility agreement with CHP Agent Services Inc. Under the Credit Agreement, Marble will receive a $10 million credit facility through its wholly-owned Special Purpose Vehicle (SPV) subsidiary. Dover has acquired CDS Visual Inc., a provider of SaaS solutions. Dover's Engineered Products business will house CDS Visual as an operational unit. CDS Visual's software is built on a patented unique technology that enables for “live” 3D setup.Sila has announced its fundraise of $13M in a Series A funding round led by Revolution Partners and others. It would continue supporting founders in scaling their products and platform, and its aspirations of building innovative technology companies in the US and Australia.Deloitte has made two acquisitions – TransientX and Sentek Global – for an undisclosed sum to bolster secure networking and cybersecurity offerings to clients.
