Since Elon Musk acquired social network Twitter in October 2022, the company has been pretty much constantly in the spotlight, and not really for the right reasons. It started very shortly after, with controversy erupting when the new owner fired 80% of the company's workforce, including CEO Parag Agrawal. Of course, the change of name from Twitter to X.com then followed in summer 2023. There's been a great deal of disillusionment among long-time Twitter users, many of whom have now chosen to leave the platform completely. Just last week, The Guardian announced it would no longer post on X, and many other famous figures have also opted to do the same, like Stephen King and Jamie Lee Curtis. Vier oud-topmanagers van het voormalige Twitter mogen doorgaan met hun rechtszaak tegen Elon Musk. Dat heeft een rechter in San Francisco bepaald. Voormalig topman Parag Agrawal en drie andere oud-managers vinden dat Musk ruim 128 miljoen dollar aan ontslagvergoedingen achterhoudt. This episode is packed with deals, antitrust musings, AI and more, so let's get into it!For our first deal of the week, one of the many lawsuits Musk faces after firing 6,000 Twitter employees after his 2022 takeover was dismissed. The result may be good news for Musk, but it doesn't eliminate Musk's legal troubles. Musk is facing at least one other lawsuit from CEO Parag Agrawal, who along with three other former Twitter Inc. executives are seeking $128 million in severance payments from X Corp. Next up, Rebecca broke down Microsoft's decision to leave its observer seat on OpenAI's board, after which the AI company will no longer host observers. The legacy tech giant said it has seen enough progress being made at OpenAI and is “confident in its direction,” but we're not exactly buying that Microsoft would give up such a coveted spot so easily. We suspect that the decision was fueled by ongoing antitrust scrutiny of Big Tech's influence over emerging AI players. After that, Becca talked about Duolingo's deal to buy Hobbes, a Detroit-based animation and motion design studio. Hobbes is a company that Duolingo has worked with for years on several features, including Duolingo Music, so it's interesting to see the acquisition happen at this stage. Maybe Hobbes was having money trouble and needed a lifeline? Either way, Duolingo is calling this an acqui-hire deal. While Hobbes isn't an AI company, we make a prediction that we'll see similar acquisitions of smaller AI startups as larger companies scoop up the AI startups they're already working with. We've been noticing a few stories lately that investigate what happens when a company's founder or owner dies. Today, Rebecca went over the story of Unseen Capital, whose founder Kayode Owens passed away in 2021 just after raising $30 million. The VC's mission was to help early-stage healthcare companies started by underrepresented founders. Pharma company Eli Lilly was one of Unseen's LPs, and in a move to protect its own investment while signaling confidence in Unseen's mission, has brokered a deal for Seae Ventures to acquire the unmoored VC. It's a good fit, as Seae Ventures is another diversity-focused VC firm.Meanwhile, a recent TC story on deep tech funding caught the Equity pod's attention. The gist: a recent survey of 30 deep tech VCs from eight countries found that very technical CEOs raise larger rounds. The survey also noted that pre-seed and Series A deep tech hardware rounds were bigger in 2023 than in 2022.While the survey seems to provide a rosy picture for technical CEOs, it does not provide a complete one. For instance, the survey focused on Europe, which got the Equity crew musing about whether those same stats would hold up in North America. And it followed rounds up through Series A. The Equity pod wondered if the results changed in Series B rounds and beyond. Former Twitter employees, including ex-CEO Parag Agrawal, ex-legal head Vijaya Gadde, and ex-CFO Ned Segal, have sued the social network over alleged unpaid legal reimbursements.
In the latest development of the ongoing saga between Tesla CEO Elon Musk and Twitter, it has been revealed that some of the alleged unpaid bills relate to work done by the social media platform to close the contentious acquisition deal with Musk himself. As the deal came together last fall, Twitter executives were reportedly racing to complete it and arranged last-minute charter flights for then-Chief Marketing Officer Leslie Berland. However, after the deal closed, Twitter refused to pay for the flights, with head of global strategic sourcing Marty O'Neill arguing that only designated representatives were allowed to book flights through the charter. Another Twitter worker claimed that former CEO Parag Agrawal had approved the flights, but O'Neill responded that "new management is not going to budge." In response, the air-charter company, Private Jet Services Group, filed a lawsuit seeking $197,725, which has now been voluntarily dismissed with no comment from either side. Meanwhile, Tesla had been facing its own financial challenges, with CEO Elon Musk stating that the company was not behind on payments to suppliers because of a lack of funds but because it was "arguing whether the parts are right." The automaker had also been seeking rent reductions from some landlords in the early days of the Covid-19 pandemic as it, along with many other companies, scrambled to conserve cash.

Perhaps most disturbingly, Stanford University Professor of Medicine Jay Bhattacharya was also “shadow banned” for suggesting that prolonged COVID-19 lockdowns could irreparably harm children—particularly educationally. According to Weiss' reporting, the group banning the most high-profile Twitter accounts included former CEOs Jack Dorsey and Parag Agrawal. After establishing that former Twitter executives authorized shadow banning conservative accounts, the next question that must be answered: were these bans being compelled by governmental officials and/or political organizations? While speaking with John Roberts on Fox News, former Vice President Mike Pence was asked if he believed shadow bans on social media—Twitter specifically—cost Trump-Pence the 2020 presidential election. On September 5th, 2018, while speaking before Congress, Twitter CEO Jack Dorsey stated, “[w]e don't consider political viewpoints, perspectives, or party affiliation in any of our policies or enforcement decisions, period. Impartiality is our guiding principle.” This statement now appears to be false. Will Dorsey be held accountable?

The deal's closing removes a cloud of uncertainty that has hung over Twitter's business, employees and shareholders for much of the year. After initially agreeing to buy the company in April, Musk spent months attempting to get out of the deal, first citing concerns about the number of bots on the platform and later allegations raised by a company whistleblower. Musk has been trying to get this information since his acquisition process for the platform began. Musk has reportedly called Twitter's unwillingness to provide the information a "clear material breach" to the terms of the agreement that is still under negotiation. As a result, Musk is reserving his right to not complete the transaction. In the letter to Twitter Chief Legal Officer Vijaya Gadde, Skadden attorney Mike Ringler for Musk said that "Mr. Musk reserves all rights resulting therefrom, including his right not to consummate the transaction and his right to terminate the merger agreement," according to CNBC. He said further that Twitter must provide the information that is being requested, and that the merger agreement requires it. Ringler disputed Twitter's claim that they are not responsible to give that data in order to close the deal. "Mr. Musk is entitled to seek, and Twitter is obligated to provide," Ringler wrote, "information and data for, inter alia, 'any reasonable business purpose related to the consummation of the transaction.'" "At this point," Ringler continued, "Mr. Musk believes Twitter is transparently refusing to comply with its obligations under the merger agreement, which is causing further suspicion that the company is withholding the requested data due to concern for what Mr. Musk's own analysis of that data will uncover." The letter, submitted to the SEC, posited that "If Twitter is confident in its publicized spam estimates, Mr. Musk does not understand the company's reluctance to allow Mr. Musk to independently evaluate those estimates. As noted in our previous correspondence, Mr. Musk will of course comply with the restrictions provided under Section 6.4, including by ensuring that anyone reviewing the data is bound by a non-disclosure agreement, and Mr. Musk will not retain or otherwise use any competitively sensitive information if the transaction is not consummated." Twitter shares were down 5 percent on Monday morning trading. Musk has been adamant throughout the process that he needs to know how many of the accounts on Twitter are actual humans. There is speculation that if the number is higher than Twitter execs have reported, Musk could negotiate a new buying price that's less than the $44 billion initially offered and agreed to. Musk and his team have been willing to do the calculations themselves, but Parag Agrawal, current CEO who took over after founder Jack Dorsey left in the fall, said that for Musk to undertake this count he would need access to information that is not currently public. Boris Johnson survives but is weakened by no-confidence vote https://www.washingtonpost.com/world/2022/06/06/boris-johnson-tory-leadership-vote/ British Prime Minister Boris Johnson survived a cliff-hanger vote of no confidence by his fellow Conservative Party lawmakers Monday evening, prevailing despite deep disgust over lockdown-breaking parties at Downing Street and broad discontent with his leadership, which one former ally branded a “charade.” Johnson won the party-only secret balloting by 211 to 148 — surpassing the simple majority of 180 votes he needed to remain in office. Lindsay went on to say "I would like to thank the beautiful and talented dancers who supported me along the way alumni TopCats family and friends for your love and support. I would not have gotten to this moment in my life if it wasn’t for the support. Also to my beautiful coach @chandalaelanouette you are a special being that I truly cherish thank you taking that leap of faith on me to be apart of your legacy and so many others. Elon Musk's lawyers send letter to Twitter threatening to terminate deal over inflated user data https://thepostmillennial.com/breaking-elon-musks-lawyers-send-letter-to-twitter-threatening-to-terminate-deal-over-inflated-user-data?utm_campaign=64487 Elon Musk has accused Twitter of "resisting and thwarting" his inquiries about how many fake, or bot accounts are currently on the Twitter platform. Musk has been trying to get this information since his acquisition process for the platform began. Musk has reportedly called Twitter's unwillingness to provide the information a "clear material breach" to the terms of the agreement that is still under negotiation. As a result, Musk is reserving his right to not complete the transaction. In the letter to Twitter Chief Legal Officer Vijaya Gadde, Skadden attorney Mike Ringler for Musk said that "Mr. Musk reserves all rights resulting therefrom, including his right not to consummate the transaction and his right to terminate the merger agreement," according to CNBC. He said further that Twitter must provide the information that is being requested, and that the merger agreement requires it. Ringler disputed Twitter's claim that they are not responsible to give that data in order to close the deal. "Mr. Musk is entitled to seek, and Twitter is obligated to provide," Ringler wrote, "information and data for, inter alia, 'any reasonable business purpose related to the consummation of the transaction.'" "At this point," Ringler continued, "Mr. Musk believes Twitter is transparently refusing to comply with its obligations under the merger agreement, which is causing further suspicion that the company is withholding the requested data due to concern for what Mr. Musk's own analysis of that data will uncover." The letter, submitted to the SEC, posited that "If Twitter is confident in its publicized spam estimates, Mr. Musk does not understand the company's reluctance to allow Mr. Musk to independently evaluate those estimates. As noted in our previous correspondence, Mr. Musk will of course comply with the restrictions provided under Section 6.4, including by ensuring that anyone reviewing the data is bound by a non-disclosure agreement, and Mr. Musk will not retain or otherwise use any competitively sensitive information if the transaction is not consummated." Twitter shares were down 5 percent on Monday morning trading. Musk has been adamant throughout the process that he needs to know how many of the accounts on Twitter are actual humans. There is speculation that if the number is higher than Twitter execs have reported, Musk could negotiate a new buying price that's less than the $44 billion initially offered and agreed to. Musk and his team have been willing to do the calculations themselves, but Parag Agrawal, current CEO who took over after founder Jack Dorsey left in the fall, said that for Musk to undertake this count he would need access to information that is not currently public. Boris Johnson survives but is weakened by no-confidence vote https://www.washingtonpost.com/world/2022/06/06/boris-johnson-tory-leadership-vote/ British Prime Minister Boris Johnson survived a cliff-hanger vote of no confidence by his fellow Conservative Party lawmakers Monday evening, prevailing despite deep disgust over lockdown-breaking parties at Downing Street and broad discontent with his leadership, which one former ally branded a “charade.” Johnson won the party-only secret balloting by 211 to 148 — surpassing the simple majority of 180 votes he needed to remain in office. Though he held on to his job, the vote was remarkably close for a prime minister who helped the Conservatives win a landslide election in 2019. His salvation may have been the lack of an obvious successor. There remains an active open rebellion from within the party, with many top voices now on-the-record saying this prime minister is unfit to serve. How Johnson proceeds with his domestic and foreign agenda is unclear — and it puts Britain’s western allies in Europe and the United States on notice that Johnson’s authority has been undercut by his own doing. Though Johnson can now fight another day, he is a wounded leader. He and the Conservatives will struggle to rebuild their brand in the face of soaring inflation and diminished public trust. Surviving a no-confidence vote under the current rules insulates Johnson from additional party challenges for a year. But those rules can be changed. Looming over Monday’s vote was the recollection that Johnson’s predecessor, Theresa May, beat a no-confidence challenge over her failed Brexit deal in 2018, only to be forced to resign the next year. When May faced her vote, 37 percent of her lawmakers voted against her; Johnson did worse, with 41 percent of his lawmakers voting against him. Calls for Johnson’s resignation have been simmering for months, fueled by what many saw as weaselly responses to questions about Partygate and by local elections that were a disaster for Conservatives. The first hearing will start Thursday, June 9, at 8 p.m. Eastern. Shares in Twitter rose 5 percent on Monday in reaction to the news. This after Musk revealed made his public, $43 billion bid for the influential platform, then secured the financing. The board, and current CEO Parag Agrawal, appeared opposed to the deal at first, but the offer per share is well in excess of the current price. Musk offered $54.20 per share, saying that this was his "best and final" offer. Twitter shares were valued at over $60 through much of 2021. According to the Wall Street Journal, Twitter was planning to reject Musk's April 14 offer, and looked at a plan to issue a "poison pill" to block him from increasing his stake. Twitter changed its attitude and began negotiations after Musk announced that he had obtained the financing to back hid bid, The Journal reported earlier Sunday. According to Reuters, Musk "wooed many of the social media company's shareholders with financing details on his $43 billion acquisition offer," but noted that, per sources familiar with the process, "The company’s decision to engage with Musk… does not mean that it will accept his $54.20 per share bid," but that "It signifies, however, that Twitter is now exploring whether a sale of the company to Musk is possible on attractive terms." Twitter is scheduled to report first-quarter earnings Thursday and is expected to address the bid by then, if not sooner. Musk reportedly met privately with several shareholders on Friday to discuss his proposal and has also pledged to solve the free-speech issues on the platform, his main reason for undertaking the takeover. Instead, the company will likely favor the setting of an extra fee for those accounts being used by multiple people outside of the home. This announcement comes after Netflix’s first quarter report came out, showing that Netflix had lost subscribers for the first time in over a decade. The company reported a loss of 200,000 subscribers globally compared to Q4, and it’s forecasting even bigger losses to come. Joseph Kennedy, a coach for the Bremerton, Wash., High School Varsity and JV football teams began praying with his players before and after games in 2008. At the end of a game, he would take a knee and say a prayer with his players at midfield. By the 2015 season, Kennedy was often joined at the 50-yard line as well by players from the opposing team. Indeed, it was an approving comment by an opposing coach that finally alerted school district officials to the practice.Oh that HORRIBLE PRACTICE, Those Christians are at it again! Stop them! We want them worshipping Baal instead! The prayers prompted the athletic director, and later the superintendent, to order the coaching staff to stop praying with students. Kennedy stopped his locker room prayers completely, and for a least one game left the home field, returning later when the crowds had gone, to pray by himself on the 50-yard line. But the Marine veteran didn't like doing it that way. So Kennedy returned to his praying practice right after the game, mainly at away games, and with little fanfare. By the time of the big homecoming game, Kennedy had retained lawyers from the First Liberty Institute. Shares in Twitter rose 5 percent on Monday in reaction to the news. This after Musk revealed made his public, $43 billion bid for the influential platform, then secured the financing. The board, and current CEO Parag Agrawal, appeared opposed to the deal at first, but the offer per share is well in excess of the current price. Musk offered $54.20 per share, saying that this was his "best and final" offer. Twitter shares were valued at over $60 through much of 2021. According to the Wall Street Journal, Twitter was planning to reject Musk's April 14 offer, and looked at a plan to issue a "poison pill" to block him from increasing his stake. Twitter changed its attitude and began negotiations after Musk announced that he had obtained the financing to back hid bid, The Journal reported earlier Sunday. According to Reuters, Musk "wooed many of the social media company's shareholders with financing details on his $43 billion acquisition offer," but noted that, per sources familiar with the process, "The company’s decision to engage with Musk… does not mean that it will accept his $54.20 per share bid," but that "It signifies, however, that Twitter is now exploring whether a sale of the company to Musk is possible on attractive terms." Twitter is scheduled to report first-quarter earnings Thursday and is expected to address the bid by then, if not sooner. Musk reportedly met privately with several shareholders on Friday to discuss his proposal and has also pledged to solve the free-speech issues on the platform, his main reason for undertaking the takeover. First, in his last news brief on Friday, Pastor Toby Sumpter went over a new abortion ban bill that has been signed in Oklahoma. Well later that same day, Florida Governor Ron Desantis got in on the action as well, by signing House Bill 5, which bans abortions after the 15-week mark. https://www.npr.org/2022/04/14/1084485963/florida-abortion-law-15-weeks Governor DeSantis released a statement saying: “House Bill 5 protects babies in the womb who have beating hearts, who can move, who can taste, who can see, and who can feel pain. Life is a sacred gift worthy of our protection, and I am proud to sign this great piece of legislation which represents the most significant protections for life in the state's modern history." The new Florida law, which takes effect July 1, will replace a previous one that allowed abortions until 24 weeks of pregnancy. The new 15-week ban does not make exceptions for cases of incest, rape or human trafficking. It does allow an abortion if it would save the life of a pregnant person or prevent serious injury to them. Yeah, believe it or not, it’s not okay to murder a baby just because the child was created through terrible circumstances. Now of course, murderous dictator, or rather, Planned Parenthood President Alexis McGill Johnson, had to release her own statement, saying: "We've entered a dangerous time for Floridians' reproductive freedom. In just a few months, thousands of pregnant people in Florida will no longer be able to access the care they need without leaving their state. The supporters of this bill have put their own political ambitions and beliefs before the health and futures of their constituents." I think the term or phrase you’re looking for Alexis, is “the supporters of this bill want to save babies from being slaughtered.” Now, it should be noted that this bill definitely doesn’t go far enough. Until all abortions are made illegal in this country, at ANY period, not just the 15-week mark, but, the winds seem to be shifting in a favorable direction, across the country. Our nation needs to fall on it’s knees in repentance to our creator, but our nation’s pride refuses to buckle. This is similar to the 67% of all U.S. adults preferring the status quo, including 71% of White Americans. Life is a sacred gift worthy of our protection, and I am proud to sign this great piece of legislation which represents the most significant protections for life in the state's modern history." The new Florida law, which takes effect July 1, will replace a previous one that allowed abortions until 24 weeks of pregnancy. The new 15-week ban does not make exceptions for cases of incest, rape or human trafficking. It does allow an abortion if it would save the life of a pregnant person or prevent serious injury to them. Yeah, believe it or not, it’s not okay to murder a baby just because the child was created through terrible circumstances. Now of course, murderous dictator, or rather, Planned Parenthood President Alexis McGill Johnson, had to release her own statement, saying: "We've entered a dangerous time for Floridians' reproductive freedom. In just a few months, thousands of pregnant people in Florida will no longer be able to access the care they need without leaving their state. The supporters of this bill have put their own political ambitions and beliefs before the health and futures of their constituents." I think the term or phrase you’re looking for Alexis, is “the supporters of this bill want to save babies from being slaughtered.” Now, it should be noted that this bill definitely doesn’t go far enough. Until all abortions are made illegal in this country, at ANY period, not just the 15-week mark, but, the winds seem to be shifting in a favorable direction, across the country. Our nation needs to fall on it’s knees in repentance to our creator, but our nation’s pride refuses to buckle. This “poison pill'' is basically a limited duration shareholder rights plan that would allow shareholders to buy stock at a discount if any one person or entity amasses at least 15% of outstanding common stock without the board’s prior approval. Musk recently revealed a more than 9% stake in the company before his takeover bid. Musk may also be considering a potential tender offer to Twitter shareholders to take control of the company. Musk has argued Twitter needs to be “transformed” into a private company so it can become a forum for free speech. He also said that Twitter’s board members’ interests “are simply not aligned with shareholders” and that the board “owns almost no shares” of the company. Even former Twitter CEO Jack Dorsey has gotten in on the action, as he criticized the company’s board in a series of tweets on Sunday. This is similar to the 67% of all U.S. adults preferring the status quo, including 71% of White Americans. Ese porcentaje le convertía en el mayor accionista de la empresa. Acto seguido la acción de Twitter en Bolsa subió un 1,7%. Eso el primer día. A lo largo de la semana la empresa vio como su acción se revalorizaba un 18%, su mejor registro semanal desde febrero de 2021 y una de las mejores semanas de su historia. El presidente de Twitter, Parag Agrawal, anunció que estaba encantado con la entrada de Musk en el accionariado de Twitter y adelantó que tenía a su disposición un puesto en el consejo de administración. No era para menos, con semejante participación Musk podía exigir eso y mucho más. Horas después eso se daba por hecho que entraría en el consejo y eso se notaría pronto en la red social, especialmente en su política de contenido. A modo de anticipo, este mismo fin de semana Musk lo pasó tuiteando ideas, críticas y hasta bromas sobre la empresa. Pero Musk no quiere ir por ahí, mantendrá su paquete accionarial, pero sin sentarse en el consejo de administración. Se ha ofrecido a involucrarse en la compañía, pero por otras vías. Su intención es asesorar a Twitter sobre estrategia y operaciones comerciales, pero sin nada que le ate a la gestión de la empresa. Prefiere, en definitiva, mantenerse fuera del consejo y eso ha llevado a que los analistas lleven varios días devanándose los sesos para entender este movimiento. Elon Musk promoted himself from avid Twitter user to major stakeholder on Monday. Musk, the Tesla and SpaceX co-founder, who has over 80 million followers on the platform, now also owns a 9.2 percent stake in Twitter, making him the company's largest shareholder. And by the time the company announced his appointment to the board on Tuesday, the internet was already speculating about the kinds of changes that Musk could influence. “He can make recommendations at the board meetings, but what he really has is soft power,” the tech reporter Casey Newton tells Kara Swisher.In this conversation, Kara and Newton debrief how Musk's infamy will contribute to his presence at Twitter. On Monday, Jack Dorsey announced he was stepping down as CEO of Twitter, the social media website he co-founded in 2006. He is going to be replaced by Parag Agrawal, the company's chief technology officer who started at Twitter as an engineer and has been working on technologies associated with cryptocurrencies. Why it matters: Twitter is one of the most important meeting places for political minds and discourse, and has played a huge role in the political world over the last five years. Former President Donald Trump mastered engagement on the platform, using it to drive media coverage of his presidency, sidestep traditional news outlets and speak directly to his followers.
