Nextech3D.ai CEO Evan Gappelberg joined Steve Darling from Proactive to announce a pivotal strategic development for the company. Nextech3D.ai has entered into a Letter of Intent to sell up to an 80% equity interest in its spin-out subsidiary, Toggle3D.ai, to TQG Technologies. The proposed transaction not only transitions Toggle3D.ai into its next phase of evolution under new majority ownership, but also provides Nextech3D.ai with a non-dilutive capital infusion of CAD $610,000, strengthening the company's balance sheet and strategic flexibility without impacting existing shareholder equity. Gappelberg explained that the transaction will be structured in three tranche wuth TQG Technologies acquireing 11 million shares of Toggle3D.ai for CAD $610,000 in cash. Contingent on the closing of TQG's capital raise, an additional 5 million shares will be purchased for CAD $276,000. The final stage will complete the 80% acquisition through a combination of share purchases and the vending-in of TQG's strategic assets into Toggle3D.ai. As part of the agreement framework, a non-refundable deposit of CAD $177,000 will be paid by TQG upon the finalization of the deal's structure by its management. Further milestone-based payments are scheduled to be completed by August 2025. Additionally, Nextech3D.ai stands to receive a performance-based bonus of CAD $710,000 if TQG successfully closes a financing round of at least USD $5 million by that time. D3 Energy Managing Director David Casey joined Steve Darling from Proactive's OTC studio in New York City to announce the company has been granted three new Technical Cooperation Permits (TCPs) adjacent to its flagship exploration permit, ER315. The newly acquired permits—TCP258, TCP259, and TCP260—cover a combined area of 5,797 hectares, expanding D3 Energy's contiguous exploration footprint in South Africa's Free State Province, a globally significant helium exploration region. Casey highlighted that the permits provide additional low-cost exploration and appraisal opportunities. The TCPs, valid for one year, involve minimal-cost desktop studies, after which D3 Energy may apply for full Exploration Rights. These permits are expected to contribute to the company's growing helium and methane Contingent and Prospective Resource estimates in ER315. Meanwhile, appraisal work at ER315 continues to deliver promising results. The production testing program has recorded an average gas flow rate of 102 Mscfd over the first seven days of a 14-day test period, with gas samples analyzed by a SANAS-accredited laboratory. Preliminary results confirmed helium concentrations of 5.6% and methane levels at 83.2%, reinforcing the asset's potential as a major helium and natural gas resource. These results follow the recent testing at RBD01, which demonstrated world-class helium concentrations of 6.2% and provided critical insights into the reservoir's deliverability. When he started his search firm, Vince was told that you would make 100 grand in year one if you're lucky. In his first year, he did more than $600k in revenue! Was that just a lucky year? Definitely not. He would not even consider his 12 years in business his best year. What are Vince's key strategies in achieving this phenomenal result? For the last 12 years, he's specialized in recruiting salespeople for the biotech industry and has helped build some of the most important companies in cancer testing. Pulling off $600k Revenue in His First Year Vince and I talked about his motivation to transition from being a top recruiter to launching his search group. “But I noticed I was getting my clients. Nothing was handed to me, and I thought it was because ‘Vince will figure it out. You know, he's. He's doing well. He's rookie of the year.' I'm hitting all my numbers every quarter… So I was getting my clients anyway. So why am I splitting my business? And so I felt like I was ready. I've got enough clients out there of people that want to do business with me.” Knowing that he was ready, he took on the challenge of becoming a recruitment business owner, leveraging the skills he learned and the relationships he built over the years. Remarkably, he was able to make more than $600k in revenue in his first year! I wanted to dive deep into the causal factors of this phenomenal success. Vince believed that he was just lucky. But you will find out as we continue our conversation that there are two main ingredients for his secret sauce: his belief system & hard work. Vince was really competitive and strictly adhered to his no-fail mindset. He would reach out to ten people before 9:00 AM daily to generate leads. These traits enabled him to shorten his learning curve when he was just a rookie and surely contributed to his success as a business owner. How to “Make a Name” For Yourself Another topic that resonates with me is Vince's emphasis on building a reputation and making a name for yourself. Vince's niche is in the Biotech industry, a very competitive circle, which means that your reputation is a huge deal. Vince shared insights on how he makes a name for himself and that people know him within the sales biotech world. Reputation Through Results: Vince builds a strong reputation by consistently delivering results, making successful placements, and ensuring client satisfaction. Client Focus: He emphasizes the importance of caring for his clients, going above and beyond, and even working late hours to meet their needs. Referrals: Vince actively asks for referrals during and after a project to expand his network and connect with more potential clients and managers. LinkedIn Recommendations: He sometimes asks clients for LinkedIn recommendations to build credibility and visibility. Personal Connections: Vince maintains relationships by sending personalized gestures, like Christmas gifts, and ensuring that he remains in his clients' minds for future opportunities. Building Relationships is Always Better in the Long Run Vince shared an insightful take on building relationships versus burning bridges. If you have been unfairly treated by a client before, you will most likely relate to his story. I asked Vince about the biggest adversity in his career, and he shared that it was learning not to burn bridges. His aggressive, competitive nature sometimes led to conflicts with clients, particularly when he felt he wasn't fairly compensated or recognized for his work. Vince acknowledges that, in hindsight, there were times he should have taken the high road instead of standing his ground, which ultimately damaged relationships with some clients. He overcame this challenge by realizing the importance of choosing his battles wisely and maintaining long-term relationships, even if it meant compromising on smaller issues. He now prioritizes staying loyal to clients who treat him well, even if it means turning down business from competitors. A key takeaway is that maintaining a positive image and strong relationships is crucial in the long run. Vince balances his competitive nature with a more strategic approach, focusing on clients who value and respect him while still holding onto the principles that have made him successful. The topic of this episode is, "what is Congress' role in a contingent presidential election?"Two centuries ago, America had a contingent presidential election. No candidate got a majority of votes, and thus it fell to Congress to decide who got to be president. Might the United States have another contingent election? Certainly it is possible. Four of the past six presidential elections have been very close. In 2020, had 44,000 voters in Georgia, Arizona and Wisconsin picked Trump instead of Biden we would have had a tied election, with each candidate receiving 269 electoral votes.So what is Congress's role in a contingent election? How does that work? To answer these questions I have with me my colleague, Dr. John Fortier. He is a senior fellow at the American Enterprise Institute, where he studies Congress and elections, election administration, election demographics, voting, and more. John is the coauthor of the books After the People Vote: A Guide to the Electoral College (AEI Press, 2020) and Absentee and Early Voting: Trends, Promises, and Perils (AEI Press, 2006). Why must a presidential candidate get 270 electoral votes in order to become the president?John Fortier:There's a short answer and a long answer. The short answer is that 270 is a majority of the electors that are possible to be cast.The longer answer is that there was a debate in the Constitutional Convention about how to elect the president, but it came sort of late in the process. And I would say the first thing that they needed to decide is what did Congress look like? And there were all sorts of debates and back and forth before a compromise was reached where essentially the House of Representatives was one that represented the people more broadly. The states would have a number of House representatives based on their population and the Senate would be equal in the states.Now when coming to the Electoral College—figuring out how to elect the president—there were two big principles. One, they had decided at this point that they wanted the president to be elected separately from the Congress. Not like a parliamentary system, not something coming out of the Congress. And secondly, that they were going to reflect that compromise in Congress.And so, the real number of 270, or the larger number of electors that are available, are basically all of the states have two electors for the senators that they

Today's book is: Contingent Faculty and the Remaking of Higher Education: A Labor History (University of Illinois Press, 2024), which is an essay collection co-edited by Eric Fure-Slocum and Claire Goldstene. It explores why in the United States more than three-quarters of the people teaching in colleges and universities work as contingent faculty. This “gig” economy includes lack of job security and health care, professional disrespect, and poverty wages that can require some faculty to juggle multiple jobs. The included essays draw on a wide range of perspectives, investigate structural changes that have caused the use of contingent faculty to skyrocket, illuminate how precarity shapes day-to-day experiences in the academic workplace, and delve into the ways contingent faculty engage in collective action and other means to resist austerity measures, improve their working conditions, and instigate reforms in higher education. By challenging contingency, this volume issues a call to reclaim higher education's public purpose. Our guest is: Dr. Claire Goldstene, who taught as contingent faculty at the University of Maryland, the University of North Florida, and American University. She has published extensively on contingent faculty issues and served on the board of New Faculty Majority Foundation. She is also the author of The Struggle for America's Promise: Equal Opportunity at the Dawn of Corporate Capital and is currently working on a book about free speech in the early-twentieth century United States. We are a little more than a year out from the 2024 election—an election that, in countless ways, promises to be unlike any other. One way it may be different is the very real prospect of a scenario in which neither major party candidate secures enough electoral votes to win, kicking the decision to the House of Representatives in what is called a “contingent election.” Possible third parties are actively discussing the possibility of a contingent election as part of their political strategy—and this talk has many experts and advocates nervous about what chaos the turn to a contingent election might wreak.
