This paper is one of the two consultation papers that will go on to make the base for the DIFC Digital Assets Regime, thus opening the gateway to a whole new world of exciting and cutting-edge fintech applications using the Distributed Ledger Technology (DLT). The DFSA then made the relevant amendments to it's legislation in the end of September, thus creating the framework for the regulation of Security Tokens in the centre. Part 1 of the DIFC Digital Assets Regime covers Security Tokens. Part 2 is expected to cover Utility Tokens, Exchange Tokens and Stablecoins. The DIFC Digital Assets Regime will be of interest to issuers of Security Tokens, Authorised Market Institutions that wish to admit Security Tokens to trading, or performing clearing and settlement services, operators of Alternate Trading Systems such as Multilateral Trading Facilities (MTF) and Organised Trading Facilities (OTF) that wish to trade Security Tokens, providers of Digital Wallets who provide custody and storage services for such tokens, technology providers and in general, any licensed firm that wishes to advise, arrange or manage crypto-assets.

The Dubai Financial Services Authority (DFSA) recently issued a consultation paper on the regulation of Security Tokens in the DIFC. This paper is one of the two consultation papers that will go on to make the base for the DIFC Digital Assets Regime, thus opening the gateway to a whole new world of exciting and cutting-edge fintech applications using the Distributed Ledger Technology (DLT). The DFSA then made the relevant amendments to it's legislation in the end of September, thus creating the framework for the regulation of Security Tokens in the centre. Part 1 of the DIFC Digital Assets Regime covers Security Tokens. Part 2 is expected to cover Utility Tokens, Exchange Tokens and Stablecoins. The DIFC Digital Assets Regime will be of interest to issuers of Security Tokens, Authorised Market Institutions that wish to admit Security Tokens to trading, or performing clearing and settlement services, operators of Alternate Trading Systems such as Multilateral Trading Facilities (MTF) and Organised Trading Facilities (OTF) that wish to trade Security Tokens, providers of Digital Wallets who provide custody and storage services for such tokens, technology providers and in general, any licensed firm that wishes to advise, arrange or manage crypto-assets.

Current systems are broken, and you may not always realize that is true until you see a better alternative. Some Problems: Centralized systems create honeypots for hackers to attack. -Lack of control of your own data (facebook and Cambridge Analytica) -Financial systems, your bank is a trusted third party. In countries where you 'basically' trust the government, this problem does not come to light as easily. -Censorship via 'trusted third parties' like email service providers and ISP's. -Many services online are insecure by default. Cryptocurrency solutions Solutions: Cryptocurrencies can be a storage of wealth. Tom Pocock is the Co-Founder of Credit Mint, a company that’s decentralising corporate lending by using a public blockchain as the shared ledger for corporate debt. The corporate debt industry is migrating from a bank-led model towards smaller lenders. But these new-wave lenders are tied to constant cycles of reconciliation, and trading is slow and expensive. On top of this, companies lose track of their creditors and the market is structurally illiquid.  That’s where CreditMint comes in - they fix these problems by using a public blockchain as the shared ledger for corporate debt. They provide a dealmaking platform; a trading layer; and a settlements facility, all communicating with one digital asset on Ethereum. Tom met his co founder Zac before they joined EF and since founding the company, another 2 ex-EFers have joined the Team – Joe Andrews and Arnaud Schenk – making CreditMint a perfect example of the magic of the EF mafia. Tom studied Mathematics at undergraduate and postgraduate level at Cambridge before a career in finance spending three years at debt fund Park Square Capital. After qualifying, he left immediately to explore his ideas to decentralise the financial system through blockchain technology and applied to EF after meeting his Co-Founder Zac. In today's episodes, we are going to explore some of the complexities of a Security vs. Utility token which are fresh on our minds after the recent SEC announcement about Ether and Bitcoin not being considered securities. William Hinman, the SEC's Director of Corporate Finance made the announcement: “Strictly speaking the token, the coin, whatever the digital information packet is being called all by itself, we don’t think is a security. Just as oranges in the Howey case were not securities. Essential to determining whether a security is being offered, however, is how it’s being sold and a reasonable expectation of purchasers. When someone buys a housing unit to live in it’s probably not a security but under certain circumstances, the same asset could be offered and sold in a way that could cause investors to have a reasonable expectation of profits based on the efforts of others. If the housing unit is offered with a management contract or other services where purchases are encouraged to invest rather than reside, it could be a security. Case law tells us that,” Hinman explained during his speech. Securities are the talk of the regulator town and perhaps less so in the Cryptosphere's now that we have a solidified answer. However, many other projects have uncertain futures as to their designation which may bring pause to would be Blockchain empire builders. The Street, a finance-focused media outlet, defines securities as follows: "A simple definition of a security is any proof of ownership or debt that has been assigned a value and may be sold. (Today, evidence of ownership is likely to be a computer file, while once it was a written piece of paper.) For the holder, a security represents an investment as an owner, creditor or rights to ownership on which the person hopes to gain profit. Examples are stocks, bonds and options. The Securities and Exchange Act of 1934 provides this more complicated definition, but you might want to grab a cup of coffee: "The term 'security' means any note, stock, treasury stock, bond, debenture, certificate of interest or participation in any profit-sharing agreement or in any oil, gas, or other mineral royalty or lease, any collateral-trust certificate, preorganization certificate or subscription, transferable share, investment contract, voting-trust certificate, certificate of deposit, for a security, any put, call, straddle, option, or privilege on any security, certificate of deposit, or group or index of securities..." It's entirely possible to run an ICO for a Utility token in the UK In a surprising clear and illuminating interview with an ex FCA member and regulation lawyer we clear away the fog of war created by the SEC around the different types of tokens. This week’s fascinating interviewee is regulation lawyer Sam Robinson, who brings eighteen years’ experience starting with the FSA, and now specialising in FinTech, for the world’s 6th largest law firm (by lawyer headcount, and 6th largest in the UK, by revenue). Just the person, then, to clarify the difference between Utility, Payment and Security Tokens, how that definition is made, whether each needs to be regulated, and why. He explains how there are some genuine Utility Tokens in the UK - even though the SEC states there’s no such thing; but that the excitement about issuing Security Tokens is growing by the month, bringing as it does a way to stand out among ICOs - even if the rules are more burdensome. So, Sam brings clarity; both to the definitions and need for regulation, especially as Security Tokens are basically the same as any other share offering; and to his own clients’ ICOs through his work their Whitepapers and defining their offerings. And he explains why many secondary exchanges are wary of getting involved with listing Tokens, which might bring them inadvertently under regulatory requirements themselves, if they list Utility Tokens that turn out to be Securities. His closing thoughts? Participants need to keep up-to-date on the latest regulation in different jurisdictions, especially in the UK where Utility and Payment Tokens are not regulated, but Security Tokens will be. And those looking to get involved need to do the same research as any investor in any type of business, reading business plans and looking at teams and advisors carefully. Many ICOs are at the proof-of-concept stage, and you must be your own judge. And, finally, that the industry is interesting, changing and developing – fast!

      Episode #20 The Wyoming State Legislature has passed 5 bills geared to make defining and regulating digital currencies easier than ever. Once signed by the Governor, they will become law. Forbes is reporting that the US State of Wyoming created a new new class of assets in defining cryptocurrency as “Utility Tokens.” While the CFTC and SEC are playing tug of war over whether cryptos should be regulated as commodities or securities, Wyoming has taken a pragmatic, proactive approach to immediate resolve the issue for blockchain businesses and traders.
