Doch dort schauen sich auch Unternehmen aus anderen Ländern um, und das macht US-M&A-Deals gerade zu einer Herausforderung, berichtet Nils Rahlf, der als Partner für die Kanzlei Norton Rose Fulbright viele deutsch-amerikanische M&A-Deals begleitet: „Der US-M&A-Markt ist extrem kompetitiv, die Bewertungen sind aktuell 20 bis 30 Prozent höher als auf den europäischen M&A-Märkten“, sagte Rahlf gegenüber FINANCE-TV. Damit werden gute Vorbereitung und hohe Handlungsschnelligkeit zu wichtigen Faktoren, um in den harten M&A-Prozessen eine Chance zu haben. Doch das ist nicht leicht sicherzustellen, mahnt der M&A-Anwalt mit Blick auf das politische und regulatorische Umfeld: „Auch in den USA ist die Regulierung ausländischer Investitionen in den Vordergrund gerückt. Das Sicherheitskomitee CFIUS zum Beispiel ist kritisch wie eh und je und schaut sehr genau hin, vor allem bei Tech-Deals sowie der Übernahme von US-Unternehmen, die mit sensiblen Daten der Bürger arbeiten.“ Die Verkäufer der begehrten US-Targets berücksichtigen diesen Unsicherheitsfaktor bei der Auswahl ihrer Transaktionspartner. Harry has led investments into more than 40 technology companies, mainly focusing on data and AI-related firms. Harry has served as a CEO advisor to Baixing, Dianping & CSDN. Prior to founding Linear Venture, Harry was head of Facebook's risk engineering team and led efforts on payments fraud control, and was one of the first engineers working on social ads and newsfeed.
