Franchise Group Inc. just voluntarily filed for Chapter 11 bankruptcy protection, which maybe means something to The Vitamin Shoppe…but probably less than you initially assume. Last week, there were rumblings in the legacy financial media that Franchise Group Inc., the owner of specialty retail brands including The Vitamin Shoppe, was preparing to file for Chapter 11 bankruptcy within the next week. Then, this weekend, I get an email from a PR agency (representing The Vitamin Shoppe) providing me with a nice, pre-packaged quote…likely because The Vitamin Shoppe leadership knew I'd be creating a “what does this news really mean” content for supplement industry professionals (many of which own, lead, or work at vendor brands). About five years ago, The Vitamin Shoppe was in the midst of an aggressive strategic turnaround plan under new CEO…when it was determined that the best go-forward strategy included selling itself to an entity (at the time) known as Liberty Tax for $208 million. After that acquisition, Liberty Tax would change its name to Franchise Group, Inc. and go on to acquire several other franchise businesses. Over the next 3.5 years, it would operate as a publicly traded entity until it was decided in May 2023 that the portfolio would be taken private through a $2.6 billion management buyout. The group that bought Franchise Group was led by then-CEO Brian Kahn…but included a consortium of other investment banks and private equity firms (like B. Riley Financial). But this is where things get a bit messy…because a handful of months later, Brain Kahn (amid a criminal investigation into his role in a securities fraud case tied to the collapse of a defunct hedge fund) stepped down as the CEO. Yet, that's not the primary reason why Franchise Group just filed voluntary petitions for protection under Chapter 11 of the Bankruptcy Code. The actual explanation requires knowledge of the Franchise Group portfolio businesses, recent operational performance, and a bit of economics 101. At the time of the management buyout, Franchise Group owned an assortment of retail assets that obviously included The Vitamin Shoppe, but also Pet Supplies Plus, Buddy's Home Furnishings, Badcock Furniture, American Freight and Sylvan Learning. And in the last quarter of performance (with that retail brand portfolio), Franchise Group generated $1.1 billion in revenue…but had a net loss from operations of about $108 million. And the economy hasn't materially improved (or shifted) since that May 2023 management buyout timing…so Franchise Group started shedding troubled assets. But that wasn't enough…especially as even The Vitamin Shoppe and Pet Supplies Plus underperformed operationally to Franchise Group expectations. So, then when you consider that the Federal Reserve hadn't started cutting interest rates until just recently…there was just too much debt on the balance sheet, and the business continuity outlook was grim without seeking out bankruptcy protection. But because this bankruptcy lists assets and liabilities each between $1 billion and $10 billion…it will most likely take months to be finalized. So, consider this the first content piece in a series. But based on what we know right now, my latest first principles thinking content will breakdown how this Franchise Group bankruptcy impacts the different stakeholders of The Vitamin Shoppe including employees, customers, vendors, and the corporate entity. In this episode, we interview local educators and business owners, Katelyn and Suzan O'Brien, who are bringing something new and different to our area. This mom-daughter team recently opened Sylvan Learning of Garrett County in 2021 after years of teaching in the classroom and after conversations sparked during the early days of COVID. Their center can be described as "a supplemental resource to a child's education" where reading, math and writing are at the core. They also offer SAT prep, homework help, study skills, and have a whole lineup of summer camps ready for 2022.For us, these ladies got creative in COVID and made some big, difficult careers decisions that resulted in an incredible opportunity for our community. We kick things off talking about finding your niche and identifying the people you ultimately want to help. Many people mistakenly try to cast a wide net and never end up helping the people they originally intended. Mark believes his target audience came about organically, but he certainly attributes the large amount of reading he has done to finding his way. Specifically, the “conscious capitalist” business model drove Mark to believe he can run a business, help people, and still honor his personal values. We then move on to discuss the consumption and application of information, focusing on reading. While a brute force, quantity oriented approach to reading is certainly effective, it’s important to strategize about your pursuit. There comes a time when it’s appropriate to just sit and read, but there’s also a time that it’s important to pause, reflect, and strategize about how you will put this information into action. Mark splits these categories into books that teach him to think better, and books that are oriented at a specific upcoming task. These strategies certainly vary from person to person and are context-specific. Next, we jam on time management and specifically Mark’s Time Ninja Course that is available at Business for Unicorns. Time management has a big influence on his MFF clients and contains 2 functions: the planning function, and the execution function. These can be broken down into smaller skills, but when it comes down to it we all have the same amount of hours in one day. Mark then discusses the two categories of issues that he sees in his coaching business. Clients are most commonly lacking in marketing or their product just isn’t that good. However, we discuss the fact that if you absolutely kill it in marketing, you can get away with a bad product and vice versa. For most of those listening to this podcast, we discuss the uneasy truth that your training knowledge is probably what matters the least. We want to focus on big rocks, and at some point your training is “good enough” and other things will require your attention. This leads us into a discussion on what makes a person successful, and most importantly defining success on your own terms. Todd recently joined a group of Baltimore business owners on an Everest Base Camp trek, climbing to an altitude of over 17,500 feet. Under his leadership, CLB is refocusing its priorities to better serve the needs of the residents living in Maryland, D.C., and Virginia who are blind or visually impaired. To accomplish this goal, Mr. Cancelosi is expanding CLB’s strategic partnerships within the greater Washington, D.C. metropolitan area and forging alliances with other blindness and disability organizations, both regionally and nationally. Mr. Cancelosi represents CLB on the Montgomery County Workforce Investment Board and the Northern Virginia Workforce Investment Board. As CLB increases the depth and outreach of its local programs, Mr. Cancelosi is working to identify and cultivate new sources of private and government funding, reduce administrative expenses, and bring an increased level of fiscal accountability to the organization. Prior to joining the nonprofit organization, he was President of ICL, an international software company, and the CEO of several for-profit technology companies including iBrite, Inc., eStara, and Source Digital. He also served as COO for Kee Systems (now Sylvan Learning). Early in his career, Mr. Cancelosi worked in sales for Control Data Corporation. His nonprofit experience includes involvement with the International Center for the Disabled, National Kidney Foundation, and the Special Olympics. He is the former chairman of ServiceSource and is now a trustee of the ServiceSource foundation. In addition to serving on CLB’s Board of Directors, Mr. Cancelosi serves on the boards of directors of the DC Police Foundation, Providence Health Foundation, and VISTA Technology Services, Inc. and is president emeritus of the Association for Corporate Growth. He is a member of the Wharton Club, Leadership of Greater Washington Class of 2007, the Potomac Officers Club, and the Rotary Club. Recently, Mr. Cancelosi became a Knight of Malta as well as graduated from the FBI’s Citizen’s Academy. Mr. Cancelosi remains a partner at Human Capital Advisors. In 2010, Mr. Cancelosi wrote a book called Santa’s Secret, and all book sales benefit Columbia Lighthouse for the Blind. Mr. Cancelosi completed the Executive Finance Program at the Wharton School of Business in Philadelphia and received a Bachelor of Science degree in business administration from St. Joseph’s University, also in Philadelphia.
