In der Rubrik “Investments & Exits” begrüßen wir heute Daniel Wild, Gründer und Aufsichtsrat von Mountain Alliance. Daniel bespricht die Finanzierungsrunden von bNear und Nymbus. Das Kölner Virtuelles-Büro-Startup bNear hat eine Finanzierung in Höhe von etwas mehr als 1 Million Euro erhalten. Zu den Investoren der Runde gehören allygatr, die NRW Bank, Flossbach von Storch und Angel-Investoren. Das Unternehmen wurde im März 2022 von Sascha Theismann, Malte Hendricks, Martin Lang und Fritz Fried gegründet, um eine SaaS-Lösung für virtuelle Büros zu entwickeln, die in Microsoft Teams integriert ist. Mit dem frischen Kapital soll das Team vergrößert sowie Marketing- und Vertriebsaktivitäten ausgebaut werden.Das FinTech Nymbus hat in einer Series-D-Finanzierungsrunde unter der Führung von Insight Partners 70 Millionen US-Dollar erhalten. Beteiligt waren außerdem ConnectOne Bank und PeoplesBank. Nymbus unterstützt Finanzinstitute bei der digitalen Transformation und bietet Lösungen wie SmartLaunch, um eine voll funktionsfähige digitale Bank innerhalb von 90 Tagen zu starten. Zu den Kunden des Startups gehören zum Beispiel die Vantage West Credit Union und die Michigan State University Federal Credit Union. Die Investition wird für die Expansion und Weiterentwicklung des Kernsystems und Produktportfolios verwendet.
In der Mittagsfolge sprechen wir heute mit Markus Dohm, Co-Founder und Advisor von Certif-ID, über die erfolgreich abgeschlossene Seed-Finanzierungsrunde in Höhe von 1,6 Millionen Euro.Certif-ID hat eine Plattform entwickelt, die Bildung und Beschäftigung mit technischen Skills verbindet und damit internationalen Fachkräften einen Zugang zu Recruitern oder offenen Positionen ermöglicht. Zeugnisse und Zertifikate können hier blockchainbasiert abgelegt und gesichert werden. Die Talente erstellen einen Skillpass, um die Kompetenzen, Fähigkeiten und den Lebenslauf verfügbar zu machen. Im Anschluss werden die Skills und Interessen mit Jobs und Recruitern gematcht. Zudem verwaltet das Startup auch eigene Projekte, indem es auf Basis der Plattform als Mittler auftritt und ganze Kohorten an internationalen Fachkräften an Arbeitgebende in Deutschland vermittelt. Zu der Servicedienstleistung für die internationalen Fachkräfte, wie beispielsweise Pflegekräfte oder LkW-Fahrende, gehört auch, dass das Unternehmen die Migration unterstützt. Die Lösung von Certif-ID wird in zwei Bereiche eingeteilt. CredSure ist eine SaaS-Plattform, die Unternehmen unterstützt, ihre Bescheinigungen zu digitalisieren. Die TalentSure-Plattform verbindet wiederum die verifizierten Fachkräfte mit Arbeitgebern, rationalisiert die Personalbeschaffung und automatisiert Prozesse. Das Startup wurde im Jahr 2020 von Markus Dohm und Timothy Miller in Köln gegründet. Mittlerweile sind mehr als 300.000 User registriert und können aus über 16.000 Stellenangeboten wählen.Nun hat die Future-of-Work-Plattform in einer Seed-Runde 1,6 Millionen Euro eingesammelt. Die Finanzierung wurde von der NRW-Bank und den Angel-Investoren Andreas Weinberger, Malte Pollmann, Jörg Will und Michael Bernhörster angeführt. Zusammen mit der Unterstützung des TÜV Rheinlands plant Certif-ID, das frische Kapital für die Ausweitung seiner Aktivitäten in Asien und Europa sowie für die weitere Entwicklung seiner Technologieplattform zu verwenden.

In dieser Folge sprechen wir über unsere aktuelle Situation, Möglichkeiten und Folgen der Corona Pandemie.“Liebe Community, mittlerweile hat das Coronavirus auch manchen Mandanten unserer Kanzlei Absagen und Kündigungen beschert. Wie könnt Ihr mit einer drohenden oder bereits ausgesprochenen Absage eines Fototermins umgehen? Zurzeit gibt es noch keine Rechtsprechung im Zusammenhang mit dem Coronavirus. Auch besteht noch keine klare Definition, ob das Coronavirus COVID-19 nun eine Epidemie in Deutschland ist oder nicht. Das ist die momentane Lage.Wann dürfen Verträge gekündigt werden?Verträge können aus behördlichem Grund, höherer Gewalt, wirtschaftlicher Unmöglichkeit und wichtigem Grund gekündigt werden.Dabei ist es egal, wie Verträge und AGB formuliert sind.Behördlicher GrundWird die Veranstaltung auf behördliche Anordnung hin abgesagt, besteht generell die Möglichkeit einer Prüfung des Absage durch den Veranstalter.Hier kann beispielsweise im Eilverfahren ein Gerichtsurteil zur Prüfung herangezogen werden. Unterlässt der Veranstalter dies, kann ein Ersatz des Schadens gefordert werden.Höhere GewaltHöhere Gewalt ist ein von außen kommendes, keinen betrieblichen Zusammenhang aufweisendes und auch durch die äußerste vernünftige Sorgfalt nicht abwendbares Ereignis (BGH, Urteil vom 16.05.2017 – X ZR 142/15).Zurzeit werden Krisenstäbe und besondere Institutionen eingerichtet um das Coronavirus und dessen Ausbreitung zu überwachen und zu verhindern.Stellt dies einen ausreichenden Beweis für eine Epidemie dar?Im Vergleich zu den Urteilen während der SARS Ausbreitung kann man hier deutlich widersprechen. Daher ist eine Absage aus Höherer Gewalt unrealistisch.Wirtschaftliche UnmöglichkeitHier ist als Beispiel die ITB zu nennen. Wirtschaftliche Unmöglichkeit ist, wenn für den Veranstalter zwar ein Leistungserfolg besteht, er dafür aber einen extremen Aufwand betreiben muss, der den Erfolg übersteigt.Trotzdem ist hier zu prüfen, ob ein Veranstalter dies lediglich aus präventiven Gründen unternimmt.Eine Prüfung der beteiligten Personen auf den Kontakt mit Corona-Infizierten ist leicht durch eine unterschriebene Erklärung am Eingang möglich. Auch können verbesserte Hygienemaßnahmen zum problemlosen Verkauf einer Veranstaltung führen.Wichtiger GrundDer wichtige Grund ist dann gegeben, wenn es für beide Vertragsparteien nicht zumutbar ist, einen Vertrag zu erfüllen.Da bei Corona allerdings eher eine abstrakte Gefahr, als eine konkrete Bedrohung besteht, ist auch hier zu prüfen, ob eine Absage rechtmäßig ist.So viel zu den juristischen Möglichkeiten.Was ist jetzt zu tun?Ziel jeder Maßnahme ist zurzeit die Sicherung der Liquidität.Es ist im Prinzip egal, aus welchem Grund eine Veranstaltung zurzeit wegen Corona abgesagt wird. Geht Ihr gerichtlich gegen den Kunden vor, wird dieser sicher nicht zurück kommen.Daher ist es sinnvoll die Krise als Chance zu nutzen und mit dem Kunden über eine Verschiebung zu sprechen.Der Bedarf bleibt bestehen, nur ist der Termin zurzeit nicht passend. Daher könnt Ihr dies auch gleich bei der Absage mit dem Kunden besprechen und einen neuen Termin ausmachen.„Sehr geehrter Kunde, auch ich finde Ihre Entscheidung sinnvoll. Ein neuer Termin könnte im September stattfinden. Hierfür unterbreite ich Ihnen folgendes Angebot“Bei angezahlten Terminen könnt Ihr die Anzahlung als Gutschein refundieren. Prinzipiell seid Ihr nicht dazu verpflichtet, Rückzahlungen zu leisten, es sei denn, ein wichtiger Grund liegt vor.Trotzdem rate ich hier auch auf den Kunden einzugehen und einen neuen Termin auszumachen oder wenigstens einen neuen Zeitraum festzulegen.Bitte achtet darauf, dass die Absage des Termins auch definitiv ist. Der Kunde muss wissen, dass er sich nicht wieder zurück entscheiden kann und er unbedingt einen neuen Termin vereinbaren muss!Kulanz ist also das Stichwort. Geht auf die Kunden zu und empfehlt proaktiv eine Verschiebung.Wie kommt man als Unternehmer an staatliche Hilfen?Der Staat hat angekündigt, Unternehmen in der Krise auch finanziell zu helfen.Noch gibt es keine flächendeckenden Programme, aber in vielen Bundesländern sind Anlaufstellen eingerichtet.Beispielsweise können Kredite häufig schon über Landesbürgschaftsprogramme und Bürgschaftsbanken abgesichert werden.In NRW gibt es u. a. die Hotline der NRW-Bank (0211-917414800, www.nrwbank.de).Eine Übersicht der Bürgschaftsbanken findet sich unter: https://www.vdb-info.de/mitglieder.Die KfW-Bank kann mit Krediten oder Zuschüssen helfen, wobei weiter das Hausbankprinzip gilt.Die Bundesregierung und andere Institutionen stellen Informationen für Unternehmen bereit, inkl. aktueller FAQ-Listen und Reisehinweisen zu betroffenen Ländern.Eine Hotline ist Montag bis Freitag erreichbar: 030-186151515.Weitere Informationen gibt es z.
