A Ton Chain (The Open Network) é uma blockchain de alta velocidade e escalabilidade originalmente concebida pelos fundadores do Telegram, Pavel e Nikolai Durov. Criada para ser uma plataforma de nova geração, a Ton Chain foi projetada para suportar um ecossistema descentralizado que incluísse desde pagamentos digitais até contratos inteligentes complexos, permitindo a construção de DApps (aplicativos descentralizados) em uma rede robusta e eficiente. A Ton Chain se destaca por sua integração nativa com o Telegram, oferecendo a possibilidade de criar uma internet aberta, onde a comunicação e o pagamento fluam em harmonia. O órgão regulador alegou que o Telegram havia realizado uma oferta de valores mobiliários não registrada, ao arrecadar cerca de US$ 1,7 bilhão através de uma ICO (Initial Coin Offering). A SEC argumentou que os tokens GRAM eram essencialmente títulos, e portanto, precisavam seguir as rígidas regras de registro nos EUA. Isso culminou em uma longa batalha judicial que resultou no Telegram sendo proibido de lançar a moeda e tendo que devolver grande parte dos recursos arrecadados aos investidores. Com o impasse jurídico e a impossibilidade de seguir adiante com o projeto oficialmente, os fundadores do Telegram decidiram se afastar da Ton Chain. No entanto, a rede TON não morreu. A comunidade de desenvolvedores assumiu o projeto, que foi aberto em código-fonte livre, permitindo a criação de um ambiente colaborativo para continuar o desenvolvimento da blockchain. Esse movimento resultou em uma nova fase para a Ton Chain, agora operada de forma descentralizada e desenvolvida por entusiastas e empresas independentes. 欢迎来到无人知晓。我是孟岩。第七期我邀请到我的好朋友——华创资本管理合伙人吴海燕。海燕是一名风险投资人，同时也是有知有行的投资人。在邀请海燕来录节目时，我刚好翻到了过往的一些邮件。神奇地发现，2007 年当我还在做「财帮子」时，就和华创资本有了交集。当时他们想探讨合作机会，但我已经意识到那时的做法并不合理，所以最终我拒绝了，并关闭了财帮子。十二年后，当我打算重新出发做「有知有行」时，第一个想到了海燕。而她，也在有知有行什么都没有的时候，坚定地选择相信我们。今天的这期播客，你能看到一个天使投资人是如何在充满不确定性的阶段扣动扳机，如何与创业者相处，以及有知有行融资时背后的故事。*本节目仅为分享，不作为投资建议。- 本期嘉宾 吴海燕：毕业于清华大学工程物理系。华创资本管理合伙人，负责投资业务和基金管理工作，并牵头负责企业软件和金融科技领域的投资，主导投资了同盾科技、老虎证券、二维火、PingCAP、TigerGraph、小满科技、Wish、什么值得买、下厨房、每日优鲜等公司。- 收听提示02:05 始于 10 年前「财帮子」时期的缘分04:03 为什么敢在什么都没有的情况下投资「有知有行」？08:54 早期投资是用真金白银投资虚拟价值11:34 一级市场更重要的是背后的那个人12:04 一级市场投资难在哪里？13:25 一家「天使轮公司」凭什么能获得超高估值？16:12 初创公司估值高一定是好事吗？18:27 创业就是一圈一圈的长跑比赛。 VC 区分「天使/A/B 轮」的意义在哪里？24:19 判断早期项目时，人与行业，哪个因素权重更高？26:32 同样是投资行业，一级市场投资和二级市场投资有什么不一样？30:05 VC 的钱背后也是投资人的钱，每一分钱的背后都是一样的。32:00 太过于风险敏感也会干扰你的判断34:02 华创内部怎么保护投资经理的投资热情？39:15 有没有「错过」哪些印象深刻的投资，如何面对着这种「错过」？42:39 过去 20 年 VC 行业和互联网高度融合，这两年，不论是中国或美国，越来越多的VC 已经开始转向各行各业。47:09 国外的一些投资机构开始在改 VC 的一些投资规则50:22 海燕遇到过哪些不同类型的创始人 ？56:56 投资人与创业者如何互相成就？除了钱，投资人帮创业者还做了什么？63:49 为什么从来不着急催促有知有行变现？70:15 有时在创业者非常艰难的时候，会自己掏钱帮助创业者71:13 VC 怎么管理投资压力？72:31 VC 听到的批评和指责，远比创业者要多74:05 对现在的有知有行有什么建议和想法？75:32 「别着急燃烧自己。人生很长，我们讲是无限游戏。」76:28 投资和创业是一场大型的社会学实验- 原声摘录1、海燕：做 VC 做久了，我发现一个人为什么要做这件事，可能比他怎么做和做什么重要得多。2、海燕：做早期投资的人都知道，早期风险投资不同于上市公司。上市公司的价值是可见的、可证实的，有很多数字可以支撑。但初创公司，尤其是天使轮公司的估值其实是一个虚拟价值。你不管给它估多少钱，估一两千万人民币也好，还是估一两个亿人民币也好，甚至有些天使阶段的公司已经到一两亿美金了。这些估值的背后是，还没有这个事实。所以本质上早期风险投资也是对未来一段时间的预期价值。其实就是大家的信任、对所做之事的愿景以及创始团队能力评估后的待实现的价值。早期投资难的地方在于，你投的是待实现价值，但你投进去的是真金白银。至少未来一两年你需要给一个超额预期。但是你不这么给，你还能怎么给呢？因为你又不能让这个初创公司是零价值。否则就无法构建一个合理的结构，让团队出发。所以早期风险投资必然会有一个阶段是「待实现价值」高于「实际价值」。3、海燕：一级市场投资最重要的还是看人——看他的为人、他的观念，他的文化，他在过往积累的能力，未来几年的可能性。一级市场的投资本质上是在对这些东西进行估值。4、判断早期项目时，人与行业，哪个因素权重更高？海燕：其实都挺关键的。首先，好的创业者具备的远见，他所看到的图景本身就很打动人。在和他交流时，你能感觉到他的见识、经验一定远超了行业的平均水平，甚至他的知识、眼界和信息量已经是各行各业的顶端。人是很重要的，他可能在方式方法上要试错，但他看到的大方向一般是不会错的。这就是创业者的意义所在。那为什么做的这个事儿也很重要呢？一个过于成熟的行业，一个已经在走下坡路的行业，或者说一些天时地利不具备的行业，比如这个行业中还有基础性的技术没有突破。这当然也可以创业，但可能要经历一个过于漫长的等待。就像凌晨两点就去等六点的早班车，要等四个小时，而且天寒地冻的，很有可能被冻死。所以，人和事情在早期判断里都非常重要。创业公司本身就不容易，错误的时点哪怕做一件正确的事儿，也可能经历太多不必要的痛苦挫败。5、海燕：早期投资人更接近创业者。创业者是把自己的钱、时间、未来一段生命的历程去投入到不确定的创业之旅中。早期投资人也是一样。他把自己的资金、职业生誉，把自己未来职业成功的选择，甚至包括自己的钱和时间，花在看不见的虚拟价值上。这需要巨大的勇气和信任。6、海燕：我们在华创内部营造的一个文化是我们不会事后不断追责。我们会在事前做好谨慎地分析和判断，做好充分地讨论。但是如果失败了，我们不会一遍一遍地对负责人追责。我们担心以后他不敢出手，伤害他未来的投资热情和判断。因为这种事情很容易矫枉过正，最终反而挫伤了对方的投资热情。而这份热情是需要保护的。7、海燕：创业者和投资人对风险和对价值的认识应该跟别人不一样。如果一件件地去想所有担心的事情，那我很可能就不敢投了，创新也就不能发生了，未来的好事情也不会发生了。8、当遇到没有诚实面对自己创业处境的创始人时，怎么办？海燕：有时候我也想，到底是创业者故意说谎话欺骗了大家，还是说因为他本来就是乐观的，他没有想到最糟糕的情况。我的答案是，一般情况下第二种情况会多一些。首先，创业者这个类型就是人群中偏乐观的人，否则他不会去创业，毕竟明明都有更舒服或者说更低风险的生活方式。愿意去迈出这一步的人本来就是一个偏乐观的群体。在偏乐观的情况下，他每天会给自己不断地自我暗示。他会暗示自己，明天会好的，后天会好的，下个季度会好的，走势对我是有利的等等。大家会不断地自我激励，我觉得这是难免的。但这个时候能否还能保持客观和理性，分辨出哪些是自我暗示，哪些是事实？这就需要很强的客观理性的平衡能力。既要极度乐观，又要能客观地去看一些现实和问题，这个挺难得的。9、孟岩：巴菲特和芒格曾讲过一个「同路人结构」。如果你想做一个很棒的生意，要搭建一个「同路人结构」。第一层是投资人，第二层是创业者本人，第三层是你的员工，第四层是你的用户。如果你能把这四层关系协调好，找到一群人互相支持，那么你这件事最终会比较同频。10、海燕：投资人和创业者互为因果，创业者是驱动力，投资人是早期信任者；创业者是驱动轮，投资人是从动轮。11、海燕：VC 是支持者，创业者才是驱动力量，VC 只是创业者的一面镜子。12、怎么管理投资压力？海燕：这是一个慢慢自我调节和学习的过程。这两年我一直不断跟自己讲，怎么去区分外面的声音和自己的想法；怎么区分什么是观点，什么是事实？每个人都有自己的观点，他的观点有的是来自于事实，但也可能是混杂了他的个人经验、个人判断以及他的位置和他的目标。不同目标的人会告诉你不同的观点。那很可能这些都不是事实。包括听到对你的批评和指责的时候。可能 VC 听到了批评和指责，远比创业者要多。13、孟岩：我目前所处的阶段是一个能够把商业价值和社会价值去处理得比较好的阶段。我一直说，如果一个人只去想着自己的名声，或者说想着社会价值不去兼顾股东利益的话，其实是一个特别不负责任的做法。我很有信心把有知有行做好，将来获得合理的商业收入回报投资人。这个投资人，不只是华创，也包括我自己、我的朋友们、我的员工和我的用户。我们紧盯着用户需求，站在用户的一边，去帮助他们去做很多非常好的事情，然后在这个过程中产生相匹配的商业价值，最终得到合理回报。- 名词解释一级市场的人和机构PE（Private Equity）：私募基金VC（Venture Capital）：风险投资LP（Limited Partner）：有限合伙人，可以简单地理解为出资人。一级市场投资的退出方式IPO（Initial Public Offerings）：首次公开募股，是企业公开上市集資的一种类型。 （21:29）Buyout：指通过杠杆收购、管理层收购、股权融资等操作手段，获得成熟企业所有权及其控制权的并购行为。（27:47）估值指标（28:20）PS（Price / Sales）：市销率PE（Price / Earnings）：市盈率PB（Price / Book Value）：市净率ROE（Return on Equity）：净资产收益率，是企业盈利能力的衡量指标。DCF（Discounted Cash Flow）：贴现现金流，是用来评估一个投资机会的吸引力的方法。指将未来某年的现金收支折算为目前的价值。相关名词中英对照 Pivot：此处指，创业团队转换创业方向（13:00）虚拟 Asset：此处指，公司创造出的非实体资产（15:35）Vision：此处指，创始人对未来的构想（16:00）ICO（Initial Coin Offering）：首次代币发行（18:57）Cold Call：此处指，主动接洽潜在对象（22:13）Loss Ratio：失败率（32:40）Winners take all：赢家通吃（44:36） Fund：基金（48:26）Portfolio：被投企业（60:59、66:39）Runway：创业公司在不融资的情况下还能支撑的时间（65:50）Burn Rate：资金消耗率，一家新公司在赚取营运现金流前消耗创业资金支付日常开支的比率（66:09）延伸阅读止盈——https://mp.weixin.qq.com/s/tf7Yjnfx3MtspyAPRvg0eA被讨厌的勇气——https://mp.weixin.qq.com/s/kG2PQsZo1SWUfK-UiJs8nw孟岩的创业经历——https://youzhiyouxing.cn/n/materials/181书籍：本·霍洛维茨《创业维艰》- 制作团队 剪辑 / 柯霖制作 / 有知有行- 关于「无人知晓」无人知晓是一档由孟岩主理的投资向对话类播客。每期都会邀请一位好友来做客。至于更新频率、嘉宾选择、每期主题，就如同这个名字一样，无人知晓。孟岩还打造了一款帮助普通人投资的产品「有知有行」，希望能够帮助到你。微信公众号：孟岩- 收听渠道 有知有行 App（最近新增了好玩的在播客中标记 Aha Moment 的功能～）、小宇宙、喜马拉雅、QQ 音乐、网易云音乐、苹果播客、微信听书，以及 Overcast、Pocket Casts、Castro 等泛用型播客客户端。查看、标记和收藏本期播客完整的精选文字内容，也可以访问：youzhiyouxing.cn/n/material/1076

When it comes to cryptocurrency sometimes it can feel like a whole different language is being spoken! So we have put together a list of commonly used terms to help you navigate the world of crypto, and understand what the hell is being discussed. CRYPTO TERMS: All time high (ATH) The highest price that an asset has reached since its listing All time low (ATL) The lowest price that an asset has reached since its listin Bullish/bull Investors believe price will rise Bearish/Bear Investors believe prices will drop Defi Financial activities that don't require a bank. EG financial products become available on a public, decentralised blockchain. dApps Decentralised apps. Open source apps built on the blockchain, free from control from a single authority Exchange A marketplace where you buy and sell crypto. Fiat Currencies that have value because they are minted by a central bank (ie AUD) “Going to the moon” Meme style term used when crypto is rising sharply in value. Hodl Hold on for dear life. Halving A feature in bitcoins code that after every 4 years (approx) the amount of new BTC gets halved. ICO Initial Coin Offering. The first time an organisation offers coins to the public to raise money. Node A computer that is connected to the blockchain. NFT Non Fungible Token. A digital asset that represents real-world objects like art, music etc that is stored on the blockchain. Public Key Address where investors can receive crypto, a string of letters and numbers. Private Key A string of letters and numbers that investors use to access their crypto. "Pump and dump" When people work together to inflate the price of an asset and then sell at the top.. Proof of work A method to ensure that coins are not copied. Miners are rewarded for their effort, and mining capacity depends on computing power. Miners have machines and they are solving problems. Complex math equations computer have to use trial and error to control the block creation. Proof of stake A method to ensure that coins are not copied. Instead of having the machines and buying/building more machines, they have the coins and they stake it. If people collude and do something they are not supposed to, coin goes down in value meaning there is an incentive to do the right thing. I am was involved in several ICO (Initial Coin Offering) three years ago when it was all happening. Money was being raised for all sorts of projects which I suspect are no longer in the marketplace.   With the uncertainty of credibility, the world of crypto was plunged into deeper space of mistrust when the pricing of all the coins started to fall back. The darling of the crypto world, Bitcoin, was leading the pack downwards into a world of darkness.   In the recent months, the revival has been short of spectacular and we are seeing many "credible" sources embracing the crypto world. Paypal has declared their association with the use of digital currency in allowing the process of using bitcoin on their platform.   In this episode, we talk to Barry Moore who is a local Perth entrepreneur promoting the use of cryptocurrency and creating a crypto-exchange where coins can be traded and flow into our "normal" marketplace.   The digitisation of currency is here to stay and it will revolutionise the way we use cash. We will have more control on money transfer and the use of currency.   Most people would find this a new concept but I assure you that this is no longer a new story. This is a developing story that has taken a firm foundation internationally. The use of crypto is now mainstream and is without a doubt her to stay for us to use and invest.   Please take the time to watch and do yourself a favour and seek more research. Dans ce nouvel épisode, je reçois Tristan Colombet un multi entrepreneur qui a lancé sa première entreprise alors qu'il n'a que 20 ans.   Assez Geek, il code ses premières lignes dès 15 ans, et a l'idée de se lancer dans le jeu concours.  A 19 ans, en 2000, il crée prizee.com un site internet basé sur le jeu concours qui connaît une ascension fulgurante. Les chiffres dont le tournis :  37 millions de joueurs  40 000 visiteurs uniques par jour 14 millions de chiffre d'affaires 1,84 million de résultat net 150 personnes 6577% de progression en 5 ans 1er site de jeux concours en Europe Un site plus fréquenté que celui de la Française des Jeux Prizee est le précurseur des jeux que l'on connait aujourd'hui sous le terme « In App ». C'est un portail de jeux avec des micro-paiements, développé d'abord en Perl par Tristan Colombet, puis très rapidement en Flash, la technologie phare de l'époque. Tristan revend sa société en 2012 à Digital Virgo, et monte un fond d'investissement « Effencency » qui investira dans de très belles startups dont la fameuse Linxo : l'agrégateur de compte. En 2013, il créé Domraider, qu'il a rebaptisé Youdot et qui est spécialisé dans le rachat de domaines expirés. Cette technique s'appelle le snapping, elle permet de récupérer un domaine dès qu'il rentre dans le domaine public, à la seconde près, grâce à un robot. Dans le podcast Tristan nous explique l'utilité de racheter des domaines expirés. Nous profitons pour faire un focus sur les noms de domaine, puisque Tristan a été membre du conseil d'administration à AFNIC, qui est l'autorité qui gère les noms de domaine en France. Enfin, nous terminons cette partie passionnante par parler du SEO (le référencement naturel). Tristan nous offre son expertise, en nous donnant quelques tuyaux :     Créer du contenu pertinent avec des phrases et un graphisme bien construits Bien architecturer son code HTML avec des balises bien hiérarchisées et définies (h1, h2, h3, p..) Créer des blogs, et du rédactionnel avec des liens qui pointent sur le site à référencer Créer des backlinks avec d'autres sites qui redirigent sur le site à référencer Utiliser les services de Youdot Tristan est également passionné de blockchain et de crypto monnaie. En 2017, pour sa société Domraider, il décide de lever de l'argent. Pour cela, il se lance dans une ICO (Initial Coin Offering) qui est une méthode de levée de fonds en crypto monnaies et lève 6 millions d'euros, ce qui lui a permis d'accélérer son développement. Parallèlement, il lance Auctionity, qui est une solution décentralisée d'enchères en temps réel pour les assets digitaux. L'objectif est de rendre les enchères plus sécurisées, plus rapides et plus fiables grâce à la technologie blockchain. Jamais rassasié, il créé Tuning 22, une société spécialisée dans le Coworking et vingt-deux une agence spécialisée de communication spécialisée dans le digital et le Print. Recently I interacted with someone who had created an ICO (Initial Coin Offering) in the crypto-currency world. It is fascinating to see these digital currencies come to life with communities of interest that surround them. However, there are times when I think to myself, "Would I really put my capital to work in one of these startup instruments?" To do so we each need to think long and hard about each opportunity and the allocation of risk in our portfolio. Perhaps you have a diversified investment strategy where there is a sliver of funds allocated for a higher risk investment. I certainly won't suggest to do it or not do it. Each of us have to make our choices. But as I reviewed my own portfolio I thought; it would be great to have an alternative that was in a regulated market but was impacted or correlated to crypto currencies. There are many companies out there today who are investing in the crypto world in one way or another. The stocks for some of those companies are traded on the NYSE or NASDAQ or others. I have a list of some of those companies that have sufficient liquidity that I watch. Let's walk through some of these on my short, short list. These can be traded using options or outright stock purchases. AMD: Semiconductor, chip provider company that is used by crypto exchanges, traders and miners; it has been on a very steep bullish run since April and appears to be over extended at the moment. FCFS: With their Pay Day store fronts they are posed for bringing crypto to the masses. Whether or not you agree with their business model they have access to a large customer base. But their stock trades less than 1,000,000 in volume so you may have some slippage. FNJN: Finjan Holdings is a cybersecurity company whose technologies are needed by crypto and non-crypto organizations. NVDA: Semiconductor, chip provider company that is used by crypto exchanges, traders and miners; it has been on a bullish trend for several years and recently broke out above 270 on a steep bullish climb. RIOT: Invested in Bitcoin Mining operation and in leveraging blockchain technology in financial services. It's price action closely aligns with Bitcoin price movement. It has options for trading and liquidity. SQ: A financial services organization that provides mobile payments. Square's Cash app allows user to trade bitcoin. It's stock trades on very high volume; generally over 9 million. Currently this stock is super extended, hitting highs last week. Trading these stocks lets you be close to the crypto-currency action while staying in the regulated markets. These stocks have high correlation to bitcoin and other crypto activities. However, there are other stocks like IBM who have invested in blockchain technology. However, they have so much incumbency in other technologies it is difficult to draw stock price action correlation directly to blockchain or bitcoin. Now, finding a signal in one of these crypto-correlated stocks that I shared earlier can be accomplished using some core technical analysis skills that you likely already have. Let's look at a couple examples to illustrate. Let's pick RIOT first, largely because it's price movement aligns closely with Bitcoin. Here's a simple rule to follow for trade entries. Given that RIOT behaves like Bitcoin I use a trade entry signal that is the same as a Bitcoin trade entry signal. Remember 8, 50, 5. You are looking for RIOT's price relative to the 8 moving average. You are looking for the position of the RSI, above or below the 50 line, and you are looking for a probability scoring of < -5 or > 5. That may sound like jumbled noise; if so you can reach out to me and I'll be happy to explain further. By providing an option for agents and customers to be on the same network, Deedcoin streamlines the real estate industry and reduces costs. Deedcoin is the first token to apply to the entire real estate industry, not just investment real estate portfolios or a specific product for agents. Deedcoin is not just useful for property investors, it is for anyone that owns or plans to own a home.  The Deedcoin token uses blockchain to create a true free market system to redefine the real estate industry. There seems to be a new cryptocurrency popping up every week, with markets being discovered, and new algorithms occurring all the time. There's a new player in town, however, and it's serving a market that so far has been avoided, and that's Christianity. Because of the regulatory uncertainty in the US and around the world regarding tokens and ICOs, many exchanges are hesitant to list new tokens, even when they have paperwork showing that their tokens are not considered securities. The creation of new tokens has not slowed down, putting pressure on regulators to act sooner than they might otherwise. Richard believes that new, commonsense regulations are coming, but will be slightly different than the current regulations on securities and commodities, allowing for the unique nature of the industry. However, he concedes that constant pressure, as well as bad behavior by some ICOs, may ultimately create regulations that are not as fair or permissive as investors may want.

John Gotts of Stokens.com and Michael Taggart of Bitshares offer a revealing, shocking, and downright scary analysis of the current climate of SEC regulation and the coming crackdown on ICOs (initial coin offerings). The Howie Test, created in the 1940s, shows that many ICOs and blockchain based companies may be headed for a problem with the SEC (securities and exchange commission) because their ICOs may be classified retroactively as a security offering, and therefore in violation of federal laws in the United States. John & Michael have created a self-regulating body, called TXSRB.org (Token Exchange Self Regulating Body) that hopes to ‘fix' broken or non compliant blockchain asset companies that may be headed for legal trouble.
