My guest on the show today is Denver Smith, Managing Partner & Chief Investment Officer at Carlson Ridge Capital. We've done a number of episodes over the years on Activist Investing, and I'd say all the investors that end up going activist, it's a reluctant endeavour; they basically, with all the circumstances happening in that particular company, made a conscious decision doing a time and cost analysis that it was a necessary step. But the biggest difference between most activist investors we've had on, or rather, investors that have gone active, is that they wouldn't necessarily describe themselves as activist investors; it was all situational. While becoming an activist investor was initially unintentional with my guest today, Denver Smith, he is now most certainly intentional when the circumstances are ripe. And we dive into what a ripe situation looks like. And for full disclosure, we discussed a number of companies during today's podcast, I am not a shareholder in any of them. My guest on the show today is with Devin LaSarre, Founder & Editor of Invariant. I've been following Devin for a while on social media, and invited him on to better understand his overall investing philosophy, and then specifically dig into an industry / idea a bit further. This episode I would say falls into the "ways of seeing" bucket, meaning, every once in a while I have a conversation on here with someone that has a completely different way they look at investing that I find very unique. In this case, Devin's focus on finding very "unclean" stories and doing the work to clean it up struck a chord that I wanted to understand further. I had a blast jamming on this concept, and then diving further on the Nicotine industry and his thesis on Haypp Group. There's many different ways to think about this concept - Adam and I do our best to cover them all. I thought it was particularly interesting for why Adam even wrote the article was inspired by potential LPs and other investors asking him why won't this company stay cheap forever; I would've thought for sure this article was inspired by management teams asking him about this topic. Growth, runway for growth, greenfield opportunities, current market penetration, competitive landscape: these are all concepts we need to think about when looking at MicroCaps, and we've talked at length on this show about. The idea, or the ability, to conceptualize the future for any given company is a skill I think we all wish we had mastered (then we'd all be extremely wealthy), and yet, is what makes investing in Small, MicroCaps so damn fun. My guest on the show today is Nick Blitterswyk, CEO of UGE International. On May 29, 2024, UGE announced an arrangement agreement for going private transaction with NOVA Infrastructure Fund for an all-cash consideration of C$2.00 per common share, a 270% premium to the closing price of the common shares on May 28, 2024. The company officially closed the planned take-private transaction on August 15, 2024. Today's interview has a few factors at play here: 1. We've done quite a few interviews recently here, i.e., with Mathieu Martin and Paul Andreola, about how M&A has been hot, particularly in Canada, for the last 12-18 months, with no signs of slowing down. 2. I've known Nick now for almost 10 years, having first interviewed him back in 2015, and have covered the UGE journey from beginning to now conclusion of their life as a public company. So, I wanted to share with you all a conversation about Nick's experience as a MicroCap public company CEO, what it means to run a MicroCap public company, what happened and why now was the time to go forward with the transaction to go private, lessons learned, insights to pass on about his experience being a MicroCap CEO and more! Now that the deal has officially closed, I really appreciated Nick's candor and hopefully a lot can be gleaned from this episode that the entire MicroCap space can learn from, as well as a glimpse behind the thought process when faced with the prospect of staying public vs. being acquired/going private. (NEO: JET) (OTCQB: JETMF). Global Crossing Airlines Group, also known as GlobalX, is a US 121 domestic flag and supplemental Airline flying the Airbus A320 family aircraft. They focus on businesses that are run by management teams who are capable of growing those businesses while benefiting stakeholders. Ian also founded MicroCapClub.   In this episode Ian discusses how he became a microcap investor. One of his first successes was XM Satellite Radio. He discovered the company when it was a microcap trading for $2/sh and didn't have any contracts with car manufacturers yet. Ian saw they were presenting at a conference in NY, got in a car, and met with the CEO. After that meeting Ian became obsessed with turning into a full time private investor.   Ian stresses the importance of doing deep due diligence, remaining rational, and keeping personal expenses "variable." He invests in a concentrated manner (only a few stocks at a time), which is very Buffett like. Unlike Buffett, however, Ian discusses the importance of remaining open to selling winners. This is because Ian is "fishing in a pond" of smaller companies and execution risk must always be monitored.   Ian is a refreshing voice in the investment community and we are happy to have him join the show!   Note: We reference Connor Haley's presentation in this discussion. That presentation can be found here

For this episode of Planet MicroCap Podcast, I spoke with Jason Hirschman, a private investor who goes by the handle @EightTrack in the MicroCapClub and @EightTrack18 on Twitter. I met Jason during a networking party at the MicroCapClub Leadership Summit, and we were going over the company presentations we had just seen that day. I really enjoyed hearing his thoughts and how he assessed management that presented their companies today. The one thing I took away from our conversation was that, while it’s important to put together your investing thesis: you know, what works and what doesn’t; it’s also really important to question that very same investing thesis. The goal for this episode is to learn about Jason’s investing strategy, how he questions management and his advice for new MicroCap investors. For this episode of Planet MicroCapPodcast, I spoke with Kevin Shea, Private Investor and Member of theMicroCapClub. I recently met Kevin at the MicroCapClub Leadership Summit inChicago. At lunch, with Kevin leading the discussion, we started talking about a topic that I basically knew nothing about: Technical Analysis. According to Investopedia,Technical Analysis is defined as, “a trading tool employed to evaluate securities and attempt to forecast their future movement by analyzing statistics gathered from trading activity, such as price movement and volume.” Think of Technical Analysis as the opposite of Fundamental Analysis, however, as you will hear, in MicroCap investing, one tool isn’t necessarily used without the other. The goal for this interview is to learn about Technical Analysis and how it can be applied as a tool in your MicroCap investing strategy.  The Planet MicroCap Podcast is brought to you by SNN Incorporated, publishers of StockNewsNow.com, The Official MicroCap News Source, and the MicroCap Review Magazine, the leading magazine in the MicroCap market - check out the latest issue here: MicroCap Review Fall 2016 In this episode, Kevin and I discuss the following topics:  - Kevin's background and how he got started investing in MicroCap stocks - What is “Technical Analysis”? And, how he got into and learned about it - How he applies “technical analysis” to his investing strategy - Effectiveness of this strategy - Can “technical analysis” be applied to MicroCap investing? - How does “technical analysis” work in the broad market vs. with MicroCap stocks? - What does “sentiment” mean and what does that tell you about stocks that you’re looking at using “technical analysis”? - Advantages and disadvantages of using “technical analysis” - Kevin's experiences that taught him a valuable lesson about investing using “technical analysis” - Where to find more information about “technical analysis” You can follow the Planet MicroCap Podcast on Twitter @BobbyKKraft, and you can also listen to this interview on StockNewsNow.com

Qualitative analysis, according to Investopedia, is securities analysis that uses subjective judgement based on nonquantifiable information, such as management expertise, industry cycles, strength of research and development, and labor relations. In every episode we mention this term specifically, or cover aspects of this concept, and its importance to your due diligence process. The topic for this episode, however, is one element that has been discussed the most. In theory, it seems simple: do you quantitative analysis, find some questions that you want to ask management, call them up or meet them at a conference, get your answers, make your decision, but in my experience, its a lot more complicated. I recently read an article on MicroCapClub.com by Chip Maloney titled, "The Art of Interviewing Management." It made me realize that speaking with management is skill that can be crafted to be used to your advantage. For this topic, I spoke with Chris Lahiji, Founder and Host of LD Micro research newsletter and events because who better to discuss talking with management than with the person who organizes one of the biggest MicroCap conferences in the business - providing a platform for investors to meet with MicroCap management teams. The Planet MicroCap Podcast is brought to you by SNN Incorporated, publishers of StockNewsNow.com, The Official MicroCap News Source, and the MicroCap Review Magazine, the leading magazine in the MicroCap Stock Market - check out the latest issue here: MicroCap Review Summer/Fall 2015In this Episode, Chris Lahiji and I, discuss the following topics:Chris' background in MicroCap Why is it important to speak with management when investing in MicroCap StocksWhy talking with management is a key part of qualitative due diligenceHis approach to meeting with managementDo's and Don'ts when interviewing managementTalking on the phone vs. in-person at a conference: Advantages and DisadvantagesWhat types of questions should we be asking; are they sector dependent? Are there any questions you shouldn't ask?His experiences meeting with managementFor more information, go to: www.LDMicro.comYou can follow the Planet MicroCap Podcast on Twitter @PlanetMicroCap, or me @BobbyKKraft and you can listen to this interview on www.StockNewsNow.com.
