We've done a number of episodes over the years on Activist Investing, and I'd say all the investors that end up going activist, it's a reluctant endeavour; they basically, with all the circumstances happening in that particular company, made a conscious decision doing a time and cost analysis that it was a necessary step. But the biggest difference between most activist investors we've had on, or rather, investors that have gone active, is that they wouldn't necessarily describe themselves as activist investors; it was all situational. While becoming an activist investor was initially unintentional with my guest today, Denver Smith, he is now most certainly intentional when the circumstances are ripe. On May 29, 2024, UGE announced an arrangement agreement for going private transaction with NOVA Infrastructure Fund for an all-cash consideration of C$2.00 per common share, a 270% premium to the closing price of the common shares on May 28, 2024. The company officially closed the planned take-private transaction on August 15, 2024. Today's interview has a few factors at play here: 1. We've done quite a few interviews recently here, i.e., with Mathieu Martin and Paul Andreola, about how M&A has been hot, particularly in Canada, for the last 12-18 months, with no signs of slowing down. 2. I've known Nick now for almost 10 years, having first interviewed him back in 2015, and have covered the UGE journey from beginning to now conclusion of their life as a public company. Ian Cassel is the CIO at Intelligent Fanatics Capital Management ("IFCM").  IFCM invests in the smallest public companies in the world. They focus on businesses that are run by management teams who are capable of growing those businesses while benefiting stakeholders. Ian also founded MicroCapClub.   In this episode Ian discusses how he became a microcap investor. One of his first successes was XM Satellite Radio. He discovered the company when it was a microcap trading for $2/sh and didn't have any contracts with car manufacturers yet. Ian saw they were presenting at a conference in NY, got in a car, and met with the CEO. After that meeting Ian became obsessed with turning into a full time private investor.   Ian stresses the importance of doing deep due diligence, remaining rational, and keeping personal expenses "variable." He invests in a concentrated manner (only a few stocks at a time), which is very Buffett like. Unlike Buffett, however, Ian discusses the importance of remaining open to selling winners. This is because Ian is "fishing in a pond" of smaller companies and execution risk must always be monitored.   Ian is a refreshing voice in the investment community and we are happy to have him join the show!   Note: We reference Connor Haley's presentation in this discussion. 031 - Easy Series #7 - Premortem vs Postmortem

I’m working hard on developing an important skill: the ability to deconstruct a failure before it happens. I’m trying to move from postmortem to premortem. A postmortem is an after-action review where mistakes and successes are deconstructed. A premortem is the same analysis shifted forward in time and focused on the variables that cause mistakes. Charlie Munger says that the best type of learning is “vicarious,” meaning that you learn from the example of others. You see your friend burn his hand on the stove, and you decide not to touch it for yourself to see if it’s hot. This type of learning is great, and I think it can prevent a lot of unnecessary suffering. But I think a lot of learning comes from experience. Howard Marks likes to say that “experience is what you get when you don’t get what you want.” Another phrase I like is “he who suffers remembers.” In that light—postmortem learning definitely isn’t preferable, but once mistakes become available for you to deconstruct, they can be a great resource. On Twitter, Ian Cassel recently mentioned that a well-constructed active investment strategy needs to be molded and shaped to you as an individual. It’s similar to what people say about Jiu Jitsu having a certain sense of justice—you’ll often find yourself in the positions you need to work on most. Rubbing your face in real-life mistakes through postmortem analysis is a fantastic way to address key flaws and drive inflection points in your learning. I’m just finished a postmortem of a miserable experience I had investing in Tailored Brands (which, as of July 8th, looks to be on the verge of bankruptcy after a missed bond interest payment). You’ll be able to see that analysis online at www.strategychainpodcast.com/postmortems. The analysis centers on analytical fundamentals, execution methodology, and psychology & behavior. I summarize the experience, look at what went right, and discuss in detail what I did wrong. A large addressable market with a big runway for growth was a common theme among everyone profiled. The timing also happened to coincide with an epoch of unprecedented economic growth in the US. If you consider that the tide might not be coming in as quickly in the developed world as it once was, are the spectacular results of an intelligent fanatic still replicable? 5.Many of the intelligent fanatics chose a lowest-cost-provider business model to succeed. Is that the most likely way to succeed for them? Or are there others who were able to create differentiated products instead?
