In this episode, I sit down with business attorney Chris Johnsen, who brings a refreshingly honest take on when investors really need legal help—and when they don't. With a background in real estate, litigation, and corporate counsel, Chris knows firsthand how legal blind spots can cost you big. But he also gets the hustle. He's not here to sell legal services you don't need—he's here to help you think like a business owner. We dive into when to engage a lawyer (hint: not always day one), what contracts investors mess up the most, and the risks of using boilerplate docs or DIY operating agreements. Chris also tackles hot topics like non-competes, asset protection, and the legal lines you might be crossing without even realizing it—especially in syndications.Episode Highlights[0:00] – Chris shares his journey from real estate to law and why he's a businessperson first[5:03] – How the 2008 crash redirected his path and made him a litigation expert[6:56] – The unexpected upside of being both a transactional and litigation attorney[9:25] – Why the “school vs. entrepreneurship” debate is missing the real question[12:40] – What makes a law degree valuable—and how to think about ROI in education[13:46] – Why cash is underrated, and how it gives you leverage in business and investing[15:11] – Real estate can create freedom—but it takes a lot more than just doors[17:16] – Most common legal issues investors bring to Chris's firm[19:05] – Corporate structure and asset protection: the basics you must get right[21:06] – What's happening with non-compete laws and why it matters to business owners[22:30] – DIY contracts, LegalZoom templates, and when it becomes a $20K problem[23:21] – Operating agreements: why they're not just “boilerplate” documents[24:10] – Syndications and securities law: the big legal risk investors overlook[27:11] – The million-dollar mark: when you should really start investing in legal infrastructure[31:13] – How to connect with Chris and book a free 15-minute consult5 Key TakeawaysYou don't need a lawyer for everything—but you better get the operating agreement right. It's not just paperwork. It's the contract that holds your business together.DIY legal is fine—until it's not. Contracts, partner agreements, and syndications are where most investors go wrong.Forming an entity is simple. Scaling with structure isn't. Corporate governance matters more as you grow.Syndications trigger securities laws. If you're raising capital, you need a securities attorney—not just a real estate one.Once your business hits seven figures, legal issues multiply. That's when it's time to audit what you've built—and protect what you've earned.Links & ResourcesBook a free consult with Chris: https://www.johnsenlaw.comLearn more about Profit First for real estate investors: https://www.simplecfo.comIf this episode gave you clarity on how and when to protect your real estate business, make sure to rate, follow, and review the podcast.

Today on the Steve Gruber Show, State Rep. Gina Johnsen of Michigan's 78th District joins the conversation about the Michigan DOGE Task Force Initiative, a Republican-led effort to cut government waste, eliminate inefficiency, and restore accountability and transparency in state government. As a member of the task force, she explains how lawmakers are looking at everything from bloated administrative costs to overlapping departments so taxpayer dollars can be better directed toward veterans, families, and those truly in need, not buried in bureaucracy. Johnsen's work reflects common-sense, taxpayer-first governance and puts a spotlight on reform that aims to strengthen trust in government.

Send us a textWhat drives an ordinary citizen to step into the political arena? For Shad Johnsen a kitchen designer and 20-year Ivins resident, the answer lies in a genuine desire to serve his community after his wife overcame serious health challenges. "I'm not necessarily running against incumbents—I'm running for an opportunity," Johnsen explains, setting the tone for a conversation that reveals his thoughtful, balanced approach to local governance.Johnsen brings a refreshing perspective to hot-button issues facing Ivins. On development—often a contentious topic—he strikes a middle ground: "I don't feel that Ivins is as resistant to development as some might think. What I see is people who fell in love with the area and don't want it to change." This understanding informs his approach to growth, seeking to preserve what makes Ivins special while addressing pressing needs like housing affordability. As someone who works in the housing industry, Johnsen witnesses firsthand the struggles families face finding affordable homes. "My poor adult children are trying to find places to live—it's really hard for them," he shares, advocating for creative solutions including accessory dwelling units and streamlined permitting processes. He applauds SITLA's efforts to address affordable housing but acknowledges more collaboration is needed between cities, developers, and organizations.Find Shad Johnsen here:https://shadserves.com/[00:00:00] Intro and welcome.[00:05:42] Development and Housing Affordability.[00:09:18] Infrastructure and Revenue Challenges.[00:15:05] Water Conservation and Creative Solutions.[00:21:53] Communication and Community Engagement.[00:27:50] Police Support and Taxation Views.[00:39:55] Closing Thoughts and Contact Information.
From January 16, 2024: Over the last two months, Houthi militants have waged more than 27 attacks against merchant shipping and U.S. and partner forces in the Red Sea, the Gulf of Aden, and the Bab al-Mandeb Strait, purportedly in response to the war in Gaza. These attacks have significantly disrupted global shipping and surged the Middle East into an even more precarious security situation. Following a large-scale Houthi attack on U.S. and British ships, the U.S. and U.K. on Jan. 11 launched over 150 munitions targeting almost 30 Houthi sites in Yemen. The U.S. on Jan. 12 carried out another strike on a Houthi radar facility. The Houthis have since retaliated with multiple strikes targeting U.S. forces. Yesterday, the Houthis for the first time successfully struck a cargo ship owned and operated by the United States.Lawfare Research Fellow Matt Gluck sat down with Gregory Johnsen, the Associate Director of the Institute for Future Conflict at the U.S. Air Force Academy and Lawfare Senior Editor Scott R. Anderson to discuss the spate of Houthi attacks, the U.S. response and the associated domestic and international law questions, and where the fighting is likely to go from here. What can history tell us about the possible paths forward? Why did the U.S. act when it did? What's in it for the Houthis? They chewed over these questions and more. For today's episode, Lawfare Foreign Policy Editor Daniel Byman interviewed Gregory Johnsen, a non-resident fellow at the Arab Gulf States Institute in Washington, D.C. Johnsen explains the rationale of the Trump administration's decision to bomb Yemen but argues that it will have little effect on the Houthis. Indeed, Johnsen contends that the Houthis are spoiling for a fight with the United States and Israel, believing that this will generate support within Yemen that will help them increase their power. To receive ad-free podcasts, become a Lawfare Material Supporter at www.patreon.com/lawfare. We fall down the looking glass with Sönke Johnsen, a biologist who finds himself staring at one of the darkest things on the planet. So dark, it's almost like he's holding a blackhole in his hands. On his quest to understand how something could possibly be that black, we enter worlds of towering microscopic forests, where gold becomes black, the deep sea meets the moon, and places that are empty suddenly become full. Corrections/Clarifications:In this episode, dragonfish are described as having teeth that slide back into their skull; that is the fangtooth fish, not the dragonfish. Though both can be ultra-black.The fishes described are the darkest things on the planet, but there are some other animals that are equally as dark, including butterflies, wasps, and birds.Vantablack is no longer the blackest man-made materialEPISODE CREDITS: Hosted by - Molly WebsterReported by - Molly WebsterProduced by - Rebecca Laks, Pat Walters, Molly Websterwith help from - Becca BresslerOriginal music from - Vetle Nærøwith mixing help from -Jeremy BloomFact-checking by - Natalie A.
