In Part 2, Mike, Paolo, and Rachel share the story of how TNT Traysikel came to be. We begin with Paolo, who describes the Mission art opening where he and Mike met. Besides having similar "falling in love with San Francisco" moments, they soon learned that back in the Philippines, their brothers had been friends. They hit it off pretty much right away.   Mike learned that Paolo worked on films, including his Handsome Asians Motorcycle Club series on YouTube. In 2017, the year after SOMA Pilipinas came into existence, Mike was invited to join the nonprofits' arts and cultural group. They were looking to do a placemaking project and wanted to connect with artists to do so.   At that time, Mike was already a professor at SF State. He ran the sculpture and expanded practice program there. He had done public art on his own before, and remembered Paolo and his motorcycle riding. Mike started thinking about jeepneys and the Philippines, which were relics left on the islands after years of war. These thoughts sparked the idea for a tricycle jeepney. And so Mike and Paolo applied for a grant. Originally, they planned to build it from scratch.   Before Paolo's web series, he had made some documentaries. His first thought about TNT was that it, too, would make a cool web series. He didn't think of it as political in the beginning. But these were the years of the previous presidential administration (just before COVID), and in hindsight, he now sees a clearer picture of what it meant from Day One. They got the grant on the idea that that the traysikel signaled the presence of Filipinos. They wanted to take older Filipinos (manongs and manangs) to buy groceries in SOMA. And they somehow wanted to make the vehicle a roving sculpture.   A friend of Mike's told them about a traysikel for sale in Modesto. They bought it, picked it up, and right away, realized that it needed a lot of work. Mike and Paolo took the whole thing apart, rewelded it, and added support. By the time the 2019 Parol Lantern Festival came around, it was ready to roll.   They showed up, just Paolo and Mike, and started playing Tagalog music from Paolo's iPhone around the traysikel. People came over and sang along, which gave them the idea for karaoke. Michelle Nguyen, a vintage scooterist friend of Paolo's, designed the look of and painted the TNT Traysikel for them.   Also at Parol 2019, Rachel learned about the project. As the karaoke was coming into being, Paolo and Michael thought, Rachel's an amazing singer—maybe she could be the karaoke host? She was in. And so they applied for a second grant, this time through the SF Arts Commission, to make a movie about the traysikel with a musical component. The three of them would become equal collaborators.   Mobile karaoke came to be in the early days of COVID, when people really wanted to release, to be out and free and with other people. They say that to them, TNT encapsulates joy, grief (the grief of what you leave behind when you emigrate), and storytelling. Their Sidenotes project focuses on one or two people sitting in the sidecar telling stories. The TNT crew collects and archives those stories. Through this work and everything else, they recently were rewarded with a Rainin Arts Fellowship to do another film. Diagnosed at age 11 after shooting up in height. Tina grew up in Buffalo where winters were cold. Wearing baggy clothes kept her curves hidden until she was screened by the school nurse. From there, she went to an orthopedic where she would be fitted for a brace. Being a type A, she was very disciplined. Wearing the brace temporarily helped stop her progressions. With this, she experienced the psychological aspects of wearing a brace. Her curve continued to increase resulting in being fitted for multiple braces. At age 16, her orthopedic said she could take her brace off. She moved, feeling a sense of new freedom. Her curve at this point was in the 50's. Not being in pain, her curve wasn't impacting her organs, her orthopedic did not recommend surgery. Looking back, she shares that she pushed this under the rug, ignoring it. At 18, she went to NYU. Focused on school & her passion for music. She put her Scoliosis in the back of her mind. It wasn't until she started going on tour at age 20 that her pain started. She practiced Schroth. Got her yearly x-ray's, seeing that her curve had not increased. After a while, she found that therapy wasn't enough. At 31, her curves increased. With an 88 degree curve, she decided with the support of her husband that surgery was her next step. Doing her research, she found a surgeon that was the right fit. 5 weeks later, she would be scheduled for surgery. “I had to do something about it before it was too late to do something about.” “I had to face reality at this point. In my early 20's, I didn't want to face it. In my mid 20's, I accepted it, taking action, PT, Schroth, working out…. In my late 20's, something didn't feel right.” Post surgery she gained 4 inches in height, literally giving her a new perspective. There were however some complications, one of her lungs had collapsed. Fluid had built along her spine. Recovery took longer than anticipated. One thing she discovered - how much her lungs had expanded. “The act of singing isn't as physically as intense.” Given the changes & complications she endured, “I would do it all again today!” After a few months, she was reminded why she took on this journey. “I feel the inner strength. I feel strong! I can strengthen. I can have a body that I don't remember having.” “Everything is balanced” As a result, she has written a song, I AM A FIGHTER, to be released June 3rd. Non est factum (Latin for "it is not deed") is a defense in contract law that allows a signing party to escape performance of an agreement "which is fundamentally different from what he or she intended to execute or sign." A claim of non est factum means that the signature on the contract was signed by mistake, without knowledge of its meaning. A successful plea would make the contract void ab initio. The parol evidence rule is a rule in the Anglo-American common law that governs what kinds of evidence parties to a contract dispute can introduce when trying to determine the specific terms of a contract. In other words, one may not use evidence made prior to the written contract to contradict the writing. Overview. The rule applies to parol evidence, as well as other extrinsic evidence (such as written correspondence that does not form a separate contract) regarding a contract. If a contract is in writing and final to at least one term (integrated), parol or extrinsic evidence will generally be excluded.  However, there are a number of exceptions to this general rule, including for partially integrated contracts, agreements with separate consideration, to resolve ambiguities, or to establish contract defenses. To take an example, Carl agrees in writing to sell Betty a car for $1,000, but later, Betty argues that Carl earlier told her that she would only need to pay Carl $800. The parol evidence rule would generally prevent Betty from testifying to this alleged conversation because the testimony ($800) would directly contradict the written contract's terms ($1,000). The precise extent of the rule varies from jurisdiction to jurisdiction. As a preliminary or threshold issue, the court may first determine if the agreement was in fact totally reduced to a written document or (in US terminology) fully "integrated". In the case of State Rail Authority of New South Wales v Heath Outdoor Pty Ltd McHugh J held the parol evidence rule has 'no operation until it is first determined' that all the terms of the contract are in writing. Episode 005 - Live and Die by the Contract Clients hire us for many reasons, not the least of which is help with various contracts.  Those contracts could be the purchase agreement, listing contracts, leases--or many others.  While agents are NOT attorneys and should NOT give legal advice, your clients do have some expectation of guidance throughout the contract process.  We give helpful suggestions on how to guide your clients to make better informed decisions. SHOW NOTES 00:55 – Talking about contracts. Cate LOVES contracts.  01:30 – Contracts are important, and we are about helping you become a legendary agent. 02:30 – Clients hire us for many things. Not your pretty face.  Access to MLS.  They MOST want our expertise on a very complicated transaction. 03:35 – We are NOT attorneys but maybe can shed some light and save clients some money. 03:50 – Clients think they know about the law. “Uncle Fred told me…”; “HGTV” showed me how to do… 04:30 – Contracts are part of the reason clients hire us. Agents should tread carefully, unless they are an attorney. 05:00 – Definition of a contract: 1) Legal capacity (legal age and sound mind); Example: Elderly client with diminished mind.  Example:  Drunk client shows up to closing. 07:05 – 2) Mutual assent – both parties agree to the terms. Agreement of promises.  Meeting of the minds.  08:05 – 3) Legal purpose – cannot enter an illegal contract. Trickery, forgery, non-disclosure, etc. 09:05 – 4) Consideration – the reason we are entering into this contract. Example:  money, ownership. 09:40 – Some contracts are required to be in writing to be enforceable. Example:  A lease for less than one year are not required to be in writing to be enforceable in court.  This is called Statute of Frauds. 10:55 – Can you write a contract on a napkin? 11:25 – Verbal agreement, “handshake” agreement issues. Parol evidence rule.  GET IT IN WRITING. 12:30 – “Ring” doorbell systems and other potential “personal property” items are getting more contentious. Is it a “fixture?”  Write in the contract whether the item stays or does NOT stay. 13:45 – B: “You are not a legitimate agent until you've had to buy an appliance.” Agent “thinks” everyone was honest and being reasonable, but you get burned. 14:25 – Cate: What happens when agent goes on vacation? The contract is what everyone will lean on.  Get notes and make sure everything is covered. 14:50 – How well do you know your contracts? Challenge:  READ all your contracts, front to back.  KNOW them!  Get with someone that can walk you through them.  Your clients are going to ask you about them.  Do NOT gloss over them with your clients.  Don’t do a disservice to your clients.  Do not interpret since you are not an attorney. 16:45 – Read your contract in sections. Keeps it fresh in your mind.  Jump around so it doesn’t get boring. 17:15 – Get with your accountability partner or another agent in your office to practice presenting an offer to your client. Practice, Practice, Practice.  Know if forward and backward.  Understand what it means. 18:15 – Other contract pieces: Addendum and amendment.  Addendum means add to an existing contract.  It does NOT mean change because you aren’t changing anything already agreed to.  Amendment means amend (change, alter) an existing contract.  This means you are changing a previously agreed to element of an existing contract. 20:10 – How a contract works. Offer and counteroffer process in creating a contract. 20:50 – A counter is a rejection of the previous offer and the offeror is under no longer bound by that previous offer. 22:50 – Rescinding a counteroffer. The counter is a rejection.  Buyer can accept, but not required. 23:25 – The best way to handle many contract issues is to re-write the contract. “Don’t be lazy!”  Digital contracts make it so much easier.  “GET OVER YOURSELF!” 26:00 – If you make any change to a contract, your client needs to re-sign the contract. Don’t make a change AFTER they have signed the contract. 26:40 – If you are in a situation that is not clear, get with your broker and/or an attorney. 27:00 – I don’t like possibly, maybe, sort of, kinda okay is NOT okay. 27:15 – Valid, void and voidable contracts. 27:30 – Void = we don’t have a legal contract. In fact, a void contract is not a contract at all because it cannot legally be completed.  Fraud, deception, forgery. 28:00 – Cate = “typical agent”. Voidable = one party has the right to cancel the contract.  Example: not of legal age or lack of mental capacity. 29:45 – Valid contract = typical contract, has all the legal elements of a contract. 29:50 – Breach of contract. Suit for specific performance = court order to force a party to perform their contracted promised.  Liquidated damages.  Mutual release. 31:15 – Cate interjects her philosophical suggestion: “Let your client sleep on it.”  Let them vent to you. 32:35 – You’re NOT an attorney. This episode provides an overview of the parol evidence rule and extrinsic evidence. The Parol Evidence rule is a substantive rule that regulates the introduction of evidence in a lawsuit challenging the existence of a particular term in a contract. it prevents parties from introducing evidence of prior oral or written agreements or contemporaneous oral agreements that contradict a term in a written contract. The purpose of this rule is to prevent fraud at trial. Specjalizuje się przede wszystkim w diecie wegetariańskiej i wegańskiej oraz jest na najlepszej drodze do obrony doktoratu z weganizmu w sporcie. Od dłuższego czasu nosiłem się z zamiarem zaproszenia Damiana, ponieważ jako "posiadacz" troje wegan w rodzinie udało mi się zebrać sporo informacji na ten temat, które chciałem skonfrontować. In the Philippines, we have started the "Ber" months. This means everyone who celebrates Christmas has started preparing for it. From decorations, singing carols, and getting into the spirit. Parol is derived from the Spanish word farol, which means lantern. It is made out of bamboo and paper. You should Google images and check them out. They are quite beautiful. I guess you can consider them to be similar to wreaths. In the US, we don't get in that mood until Black Friday - the day after Thanksgiving. We do something similar throughout the year.
