With M&A transactions getting louder, it can only mean one thing…protein bar brands are starting to party like it's 2019 again! In my April 2024 content, I stated for that "party to restart" the protein bar market needed increased deal announcements. And maybe not so surprisingly…it only took less than four months before a deal announcement included a protein bar brand that was included on my list. That's because in early-August, international private equity firm Cinven announced that it had reached an agreement to become the lead investor in Vitamin Well Group, valuing the brand portfolio that includes Barebell protein bars at around $2.2 billion. But what sparked the inspiration for this content…was that about two weeks ago, another deal announcement included a protein bar brand from that list of attractive potential M&A targets. This time it was 1440 Foods acquiring FITCRUNCH, a protein bar brand that was co-founded a dozen years ago by celebrity chef Robert Irvine (and the contract manufacturer Bakery Barn). And the acquisition of FITCRUNCH by 1440 Foods makes perfect logical sense especially if your deep domain expertise includes the protein bar market. And that's because you'd understand that the protein bar market (like the entire supplement industry) has mostly a “sea of sameness” composition. But where the protein bar (or functional foods space in general) varies is that differentiation can be derived from having a unique form factor. Furthermore, if that unique form factor proves popular…a competitive advantage can be created through defensibility if you own/created that manufacturing process. This is the story of FITCRUNCH…because if you remember what I said earlier, it was co-founded by the contract manufacturer Bakery Barn. So, as you likely realize…not only did 1440 Foods acquire FUTCRUNCH, but also vertical integration assets with Bakery Barn. This is super helpful across a number of strategic areas from financial to operational…as the core FITCRUNCH product being a multilayered baked process is much more complex than the typical extrusion or slab bars on the market. Additionally, while the financial details of this transaction were private…Bakery Barn customer concentration likely kept the EBIDTA multiple lower than typical contract manufacturing deals in the protein bar space. But beyond extracting value from the product complexity (uniqueness) and Bakery Barn vertical integration aspect, 1440 Foods acquired FITCRUNCH because its highly complementary to the existing brand portfolio of Pure Protein, MET-Rx, and Body Fortress. Additionally, this deepens the 1440 Foods concentration into the active nutrition sub-segment of convenient nutrition bars that has shown strong growth of late compared to the general grocery category. But my latest first principles thinking content will examine the near-term outlook 1440 Foods…and if the convenient nutrition brand portfolio is pointed towards an eventual IPO. Today, I'm going to compare the ingredients of popular protein bars, but first, let's compare a Snickers bar to a protein bar! A 50-gram Snickers bar contains 30 grams of carbs and is about 58% sugar. CLIF Builder's protein bars are 68 grams and are about 41% sugar, with the same number of carbohydrates as Snickers. The extra carbs in the CLIF bar come from starches that quickly turn into sugar in the blood. CLIF Builder's bars contain 20 grams of protein but in the form of soy protein concentrate, a low-quality protein. Like most protein bars, they're also full of ultra-processed ingredients. CLIF energy bars are 68 grams and 55.88% sugar. Despite their name, they will not give you sustainable energy, just a tiny spike followed by a crash. KIND bars make several claims, such as “#1 ingredient=heart healthy peanuts," “low glycemic index,” “dairy-free,” and “non-GMO.” They contain glucose syrup, which is not a low-glycemic-index ingredient, along with sugar, honey, palm oil, soy protein isolate, and chicory root fiber. Quest birthday cake bars contain 9 grams of sugar alcohol, which can lead to GI problems like gas, bloating, and diarrhea. They're 41% sugar and also contain polydextrose, which hasn't been studied much in humans. Pure Protein bars claim to have only 2 grams of sugar, but they contain 17 grams of carbohydrates and only 1 gram of fiber. These bars contain 14 grams of starches, equivalent to 4 more teaspoons of sugar! The ONE protein bar is a 60-gram product containing 20 grams of protein and only 1 gram of sugar, but it has 25 grams of carbs from starches and cellulose, which is essentially sawdust. It also contains maltitol, an ingredient you'll want to avoid. The MET-Rx meal replacement bar contains 48 grams of carbohydrates and ingredients such as rice starch, maltitol syrup, corn syrup, fructose, and soy protein isolate. Next, let's look at the ingredients of an A.M. RXBAR. They contain 10 grams of protein, oats, cashews, egg whites, and honey. However, the front label is misleading because these bars contain several other ingredients, 52% of which are sugar.

What does the Republican Party's 2012 nominee for U.S. President Mitt Romney, the thirteenth-largest global private equity firm, and a supplement brand portfolio that will likely IPO next year…have to do with each other? A LOT more than you might think! On December 13, Bain Capital signed a definitive agreement to acquire a significant stake in 1440 Foods. You might not recognize the brand portfolio name 1440 Foods, but it was created from the leftover sports and active nutrition division (i.e. Pure Protein, Body Fortress, and MET-Rx) that Nestle Health Science didn't want in The Bountiful Company deal. Current 1440 Foods CEO is Azania Andrews, who had a 9.5-year tenure at the largest global brewer Anheuser-Busch. She most notably led business and commercial strategy for Michelob ULTRA, transforming the beer into the fastest-growing brand in America by repositioning it to focus on active lifestyles and better-for-you choices. in the last 20 months leading 1440 Foods, she has done a great job transforming what Nestle Health Sciences thought was trash by overhauling the Pure Protein and Body Fortress brands and growing all three convenient nutrition brands revenue in 2023. Yet, if all is good at 1440 Foods…why take on a major investment from Bain Capital? Last week, when any CPG pundit talked about the Bain Capital and 1440 Foods deal…they cited the PE firm's existing CPG holdings Valeo Foods and Dessert Holdings. But that information seemed like one of those sentences thrown into a complex math problem from early grade school that tried to confuse you. Instead, the critical information (to decode what's next) might be a bit more hidden. In the 1440 Foods and Bain Capital deal press release, they give the boilerplate reasoning for the investment…to fuel innovation, expand distribution, and build upon the strong brand momentum. Now…that might very well be the base case because, well that's the strategic gameplan for any leading lifestyle nutrition company, but Bain Capital isn't interested in hitting singles and doubles. The home run play is to utilize parts or all its previous Nutraceutical International (now known as The Better Being Company) playbook from the 1990s. Yeah. Thank you. Thank you so much for having me. I really appreciate it. Stu 01:34 No, certainly the honor is all mine, but first up, for all of our listeners that may be new to you, unfamiliar with you, and your work, and your message, I'd love it if you could just tell our listeners a little bit about yourself. Joel 01:50 Yeah. So, the question I get a lot is, "Are you a doctor or where'd you get all this stuff?" And my answer is pretty much, I really think of myself as just a consumer. I mean, that's all that I've ever really thought of myself as. I'm just a consumer who, if you go down a certain rabbit hole, and the meta rabbit hole would be that thing we call fitness and body consciousness. If you go down that rabbit hole and listen to people, and then you continue down that rabbit hole, I'm just what you get at the end of 30, 40 years of that, which is at the midpoint, very disillusioned, then where I'm at now, which is just really after what really works in the real world over time for the vast majority of people. What got me to that was, I had done the whole fitness thing starting really in 1970 with Jack LaLanne. I'm very, very old, so a billion years ago when there was just three channels, Jack LaLanne was like the only thing on, and I would just get up every morning and I would go. I had a onesie that had Tigger on it and Jack had a onesie so, as a kid, I thought that was kind of cool. He's got a onesie too. So, I would just go and I would just mimic whatever he did, and it kind of just became this thing that I got into and did my entire life. So, what happened was, I just was fortunate to grow up around a lot of Olympic athletes. I lived in San Jose, California, and at the time, you had Bruce Jenner, now Caitlin, and you had Mac Wilkins and you had Millard Hampton and Ben Plucknett and all these Olympic gold and silver medalists that were training there. So, I was around that and I just got bitten by the athletic bug really early. So, in fifth grade, I was going and doing interval sprints at school, trying to get faster. In ninth grade, we had all these Olympic athletes that would train at my high school because my high school coach was an Olympic vaulting coach and he actually coached Jenner. So, I just was doing what they were doing, and they were doing clean and jerks and Olympic lifts. I was so skinny. I'm six, three, and I was 160 pounds, and I was humiliated when people saw my arms. I was doing everything I could do to just not be so skinny. So, I kind of got bitten by the bodybuilding bug when I was very young, 12, 13 years old. I kind of followed that path throughout going into my twenties, and I was never paid to be fit. I was never a fitness person. I was just a regular person, and I would just take whatever was new as soon as it came out and I would just wholeheartedly just digest it and do it militantly. So, in the late eighties, a company came out, Champion Nutrition, and they had a product called Metabolol II, and it was what was called a metabolic optimizer. The label said, "MCTs, the fatless fat." This was the era where fat was evil, and every product out there had a no fat, no fat on the label. So, here's this company saying on the label these fats can't be stored as fat. I was blown away by that. I was like, "Wow. How's this work?" So, I started really studying everything I could find on MCTs and nutrition. About that time, 2000 or 91, 92, I think, Vince McMahon got into bodybuilding and put everybody on the keto diet. So, this was more of this fat thing. I started looking at this and how can it be that fats can make you lean. That was impossible back then. That led into when Met-Rx first came out in the early nineties. I was like one of the first hundred customers for that. They had it in two cans and it was amazing stuff. Like I got pealed. Robbie Fusco is an Air Force veteran from Long Island, New York. While in the military, he served as an Air Traffic Controller for the 27th special operations support squadron in Clovis, New Mexico. His job consisted in supporting special forces for real world missions by controlling aircraft and airspace. Get back on the horse and do the right thing. Protein Bar Break Comparison I compared the Power bar (38), Met RX (41) Pure Protein (44) and Cliff Bar (61). The biggest problem with the lower ranked bars was the addition of saturated fat and sugar.
