Bar International Law Community's historic year of elections* initiative focusing on global principles and standards for national elections, Brief Encounters hosted Dr. Beata Martin-Rozumilowicz and Julia Brothers, experts in the democratic elections and governance sector, to discuss international standards and leading-edge European legislation on democratic elections, including on election technology, artificial intelligence, and information integrity. We assessed how elections across the world have fared so far this year vis a vis those standards, and spotlighted the international observation report on the US 2024 General Election, issued by the invited international observation mission of the Organization of Security and Cooperation in Europe (OSCE), of which the US is a participating member. AffiniPay is historically a fintech company with a big presence in legal. Their flagship product is LawPay used by law firms to bill clients and accept payments. Dru joined the company in 2021 and right around that time, the company ventured beyond the world of payment software and acquired MyCase, which is law practice management software used by law firms to keep all case details and documents in a single location, keep track of tasks and streamline client communications. Growing up, Dru wanted to be a lawyer because she comes from family of lawyers, including her father. She studied law at the University of Chicago, but after a couple of gigs with law firms, she figured out that maybe the law wasn't for her. So, she finished her MBA and went to work for Boston Consulting. After a few years as a consultant, she needed a break, and, being somewhat of a foodie, she went to work in the kitchens of some of New York's finest dining establishments. She took lessons learned from the kitchen into her later work as a co-founder of a baby monitor start-up and ultimately roles as CEO of the property management company Grace Hill and now AffiniPay. My guest today has been preaching  about the potential power of tech in the legal sphere since the earliest days of social media. In January of this year, the U.S. Securities and Exchange Commission (the “SEC”) adopted final rules regulating SPAC IPOs and business combinations.  Central to this rulemaking was the SEC's updated and expanded guidance on the use of projections in all SEC filings as well as rulemaking specific to projections in de-SPAC transactions.  The evolving regulatory environment combined with market headwinds have made strategies to manage potential liability exposure while executing de-SPAC transactions top of mind for many market participants. In this episode, James Zukin, founder of Zukin Certification Services, and Michelle Heisner, partner at Baker McKenzie LLP, discuss the SEC's rules on disclosure and liability related to projections used in de-SPAC transactions.  Zukin Certification Services launched a Reasonable Basis Review service that provides SPACs and their business combination partners with an independent review of such partner's projections and readiness to operate as a public company.  This service was designed in part to address SEC rulemaking focused on projections included in SEC filings having a reasonable basis. Dru Armstrong was named CEO of AffiniPay, the parent company of LawPay, in July 2021. Less than a year later, AffiniPay shook up the legal tech landscape by acquiring MyCase, one of the leading law practice management platforms, in a deal that also included four other practice management products: CASEPeer for personal injury firms, Docketwise for immigration practices, Soluno for billing and accounting (which it recently sold), and Woodpecker for document automation.  One reason that deal was so notable was that, until then, LawPay had been the legal tech equivalent of Switzerland – a neutral integration partner with virtually every practice management platform out there. But in acquiring one of the major players in the market, that legal tech Switzerland seemed to suddenly lose its neutrality.  Now, two and a half years into the job as Affinipay CEO, Armstrong is our guest on this episode of LawNext to discuss that acquisition, where the company is today, and why the marriage of fintech and legal tech matters to legal practitioners. Stories are increasingly common of lawyers who leave law practice to start legal technology companies, but few achieve the level of success as an entrepreneur of Matt Spiegel. He was a criminal defense lawyer in 2009 when he founded MyCase, one of the earliest cloud-based law practice management companies. In 2012, he sold MyCase to AppFolio, and then left the company in 2015 to start a software company that helped organizations manage trade shows and events. In 2017, he returned to law to start his current company, Lawmatics, a client relationship management (CRM) platform for law firms.  Spiegel was previously on episode 16 of this podcast in 2018, not long after he founded Lawmatics. He developed the product because he saw a gap in the legal market for software that would help firms automate their marketing and run their businesses as sales organizations. I got a bar complaint and it was like it was stupid. It wasn't like, that I was a bad lawyer. It was attorney-client communication. And so then I went down. That which was the number was that it was the number one complaint in 2009, and it's still the number one complaint.
