There's been a significant shift in cannabis debt issuance, transitioning from equity-linked debt to straight debt. This shift reflects the industry's growing maturity and profitability (at least in the U.S.) In early 2018, nearly all cannabis debt issues were convertibles, and many issues had additional attached warrants to achieve total coverages of over 100%. As the U.S. MSOs became EBITDA positive in 2020, issuance of straight coupon debt began in earnest, led by the $300M Curaleaf deal in December 2020 and followed shortly after that by $100M and $120M deals by Cresco and TerrAscend, respectively. Most of the top MSOs, including Ascend, AYR, Cresco, Curaleaf, Jushi, TerrAscend, Trulieve, and Verano, have now completed straight coupon issues in $100M+ sizes at rates between 8% and 10%. The ability of Acreage Holdings and Glass House Brands to issue debt with no or little equity linkage is somewhat more surprising but explainable. The key is that in a credit market starving for yield, the Glass House issue is priced at 890 basis points over U.S. Treasuries. Investors are being paid a sizable premium for taking cannabis risks, believed to be on par with a CCC rated bond. Katie Neer is the Head of Industry Affairs at Lantern, an e-commerce marketplace that facilitates cannabis home delivery. Headquartered in Boston, MA, Lantern currently operates in Massachusetts, Michigan, and Colorado. Prior to joining Lantern, Katie was in private practice and gained in-house cannabis experience as the Director of Government Affairs at Acreage Holdings, a multi-state-operator. She was Chair of the New York Medical Cannabis Industry Association. Katie also previously served as Assistant Secretary for General Government and Financial Services in the New York State Governor's Office. During her time in the Governor's Office, Katie was responsible for negotiating and overseeing the implementation of several key policy initiatives, including Paid Family Leave, Ride-Share, and the DFS's cybersecurity regulations. Katie was listed as an attorney on The Best Lawyers in America, “Ones to Watch,” List for Administrative and Regulatory law in 2021. In 2018, she was profiled as an Albany 40 Under 40 Rising Star. She also serves on the Board of Directors for the Upper Hudson Planned Parenthood in New York. Craft Brew News 7/05/19(Courtesy of Brewbound.com)German Brewer Gilde Reveals US Expansion PlansGerman Brewer Plans to Operate Large Manufacturing Brewery in CharlotteGerman brewer Gilde has an ambitious plan to build one of the largest individual craft brewing facilities in the United States.According to the Charlotte Observer, the company is looking into the possibility of eventually brewing upwards of 500,000 barrels annually in North Carolina, however the timetable for beginning that project is still nearly three years away.In the meantime, Gilde CEO Karsten Uhlmann told the outlet that his company would begin by importing beer into the U.S. via Anheuser-Busch wholesaler Adams Beverages this month.The Hanover-headquartered beer company — which produced 850,000 barrels of beer last year — then plans to open a 5,000 sq. ft. small-batch brewery called “The Embassy” before the end of 2019. Two-to-three years later, Uhlmann added, the company plans to open a 100,000 sq. ft. facility capable of being scaled to 500,000 barrels that will also feature a taproom, beer garden and kitchen.Pennsylvania Lawmakers Lower Brewery Sales TaxPennsylvania lawmakers and Gov. Tom Wolf on Friday approved legislation (H.B. 262) to lower an impending sales tax on beer sold in taprooms, tasting rooms and brewpubs. In a press release, the Brewers of PA announced that after 18 months of negotiations with legislators and the governor’s office, an agreement had been reached.The Pennsylvania Department of Revenue (DOR) was slated to begin collecting a 6 percent sales tax for every dollar of beer sold directly to consumers at brewery locations starting July 1. That tax would have been on top of an existing $2.48 per barrel state excise tax that Pennsylvania beer companies already pay.However, H.B. 262 amends to the tax code to allow breweries to “pay 6 percent sales tax on 25 percent of the retail sale” of a pint. According to the Brewers of PA, that formula is in line with the wholesale price paid for beer by restaurants, bars and grocery stores.Canopy Growth Corporation Terminates Co-Founder and Co-CEO Bruce LintonCanopy Growth Corporation (TSE: WEED) today announced that co-CEO Bruce Linton has stepped down as chief executive and board member.However, Linton, who co-founded the company in 2013, called into CNBC to clarify that he was fired from the world’s largest cannabis company.“I think stepping down might not be the right phrase,” he said. “I was terminated.”Mark Zekulin, who had been co-CEO with Linton, will takeover as the sole CEO, while Canopy works to identify a replacement.Last August, Constellation Brands upped its investment in the company, spending $4 billion to acquire 104.5 million shares of Canopy, raising its stake to about 38 percent.In April, it struck a deal with Acreage Holdings, agreeing to acquire the New York-based cannabis company for $3.4 billion when marijuana becomes federally legal in the U.S.Linton had a knack for deal making, and helped lead a company that was growing revenue at a healthy clip, but Canopy last month reported a record low gross margin of 16 percent during the fourth quarter of fiscal 2019, and an EBITDA loss of $98 million.Meanwhile, during Constellation Brands’ first quarter earnings call, CEO Bill Newlands said the company was “not pleased” with Canopy’s recent financial results.Bell’s Offers Employees Assistance in Obtaining GEDsBell’s Brewery is making an effort to help employees without high school diplomas to pass the GED (General Educational Development) test. Advocates fume that these new cannabis companies are pulling in billions without supporting orgs that have done the hard work for the last 60 years.That’s the question this episode obliquely addresses with two insightful men: Kris Krane, activist turned co-founder of 4Front, an investment and multistate dispensary firm, and Bruce Barcott, Deputy Editor at Leafly, who asks if corporate insensitivity and greed killed NY’s failed legalization effort.This episode is supported by Atlas Growers.Corporate cannabis has been facing some strong headwinds as of late. In March, former Leader of the House John Boehner took the stage at South By Southwest to explain how he became a supporter of legal cannabis and board member of Acreage Holdings. Outside the hall small protests flared. Their concern was that he was lining his pockets without acknowledging how the Drug War policies he supported continue to keep people locked in jail for cannabis offenses. Other activists are grumbling that newly formed companies are pulling in billions without supporting orgs like NORML, Marijuana Policy Project, or Drug Policy Alliance that have done the hard work of driving change over the last 60 years. Some CEOs even brag that they have never used the plant in an attempt to woo skittish investors and distance themselves from the culture.Kris Krane thinks that is a bone-headed idea, akin to the head of a wine company distancing himself from his product because he fears being labeled a drunk. An activist turned businessman, Krane occupies a unique position in the industry. He earned his bona fides on the advocacy side, first as associate director of the National Organization for the Reform of Marijuana Laws and subsequently as co-founder of Students for Sensible Drug Policy, where he campaigned to scale back the law that denies federal financial aid to students with drug convictions. Today, as leader of 4front he sees his role as building bridges between advocates who fought to change the laws that businesspeople are now profiting from. Our short interview is with Leafly’s Bruce Barcott, who last week penned a piece examining how New York, a state with over 20 million people (and the country’s largest cannabis black market), bungled legalization. Was Governor Cuomo, never a natural ally of cannabis, too anemic in his support for legalization? Were legislators happy to let the issue die on the vine for fear of voter backlash? An exclusive interview with former Massachusetts governor and cannabis legalization maverick, Bill Weld.Bill Weld has been a maverick politician ever since he was elected as the (libertarian) Republican governor of deep blue Massachusetts. Not only was he among the first American office holders to preach the benefits of legalization in 1991—five years before California legalized—he was also one of the earliest proponents of LGBTQ rights. He was a fiscally conservative social liberal with a gin dry sense of humor. When once challenged about Blueblood ancestors who had come over on the Mayflower, Weld quipped: "Actually, they weren't on the Mayflower. They sent the servants over first to get the cottage ready.” Weld was an extremely popular governor -- the citizens of Massachusetts reelected him for a second term in 1994 by a 71% majority. His last run for public office was as Libertarian candidate Gary Johnson’s Vice President running mate in the 2016 presidential race.Along with the ex-Speaker of the House John Boehner and the former Canadian Prime Minister Brian Mulroney, Weld joined the board of the multi-state, venture-backed cannabis company, Acreage Holdings this year. The fine men and women at Acreage invited me to interview him on stage at the Cannabis World Congress exposition in Boston on October 19, 2018.Bill told me that even while he has had a long and friendly relationship with alcohol, he has never sampled cannabis or tobacco. He became aware of the plant’s value when he saw it reduce the number of seizures and suffering in a family member with epilepsy. Unlike many politicians and self-proclaimed “experts,” he is uncomfortable predicting the future of the industry, but he doesn’t shy away from discussing the thornier aspects of normalizing the plant in the US.In this interview we discuss the Trump administration’s August 18 not-so “secret plan” to create a disinformation campaign about marijuana to spark fear in the population; whether big pharma and tobacco will swoop in to gobble up the industry once federal legalization occurs; and the administration’s hysterical threat to close the northern border to any Canadian involved in the cannabis industry. “People in Washington should try to be less hysterical,” he says. “It’s not like those Canadians are transmitting syphilis.
