Adriatic Metals PLC (LSE:ADT1, ASX:ADT, OTCQX:ADMLF) chief executive Paul Cronin tells Proactive's Stephen Gunnion the company has commenced the transition process to take over as the mining operator as it boosts productivity and sustainability at the Rupice Mine in Bosnia & and Herzegovina. Following an Accelerated Development Action Plan (ADAP), Cronin said is taking operational control over the mine from Nova Mining and Construction, after acquiring equipment and inventory worth approximately $11 million. This strategic shift allows Adriatic Metals to directly manage and develop its local workforce and optimise cost by integrating local suppliers into its supply chain. Additionally, the company has implemented new technologies and enhanced health and safety measures under the ADAP, aiming at reducing operational incidents and environmental impacts. To support these changes, Adriatic Metals has secured a $25 million short-term loan facility from Orion Mining Fund for additional working capital. Paul's background is in corporate finance, investment banking, funds management, and commodity trading and is a co-founder of Adriatic Metals. He describes their journey in developing this world-class polymetallic underground mine in Eastern Europe and what this is going to bring to the region. About two-thirds of their staff live locally, which is good for their standing in the community. Bosnia is rich in natural resources. The country has an abundance of cheap power and a fairly young diaspora that is starting to return to Bosnia, bringing all of their skills and experience with them. Inflation is having an impact. For example, the cost of diesel has proved to be a big issue. But, in Bosnia, the cost of power has not soared as it has in other jurisdictions. Interview with Paul Cronin, CEO of Adriatic Metals (ASX:ADT)We talk today about their proposed acquisition of Tethyan Resource Corp. However, for a full rundown of Adriatic Metals business plan, watch this interview with Cronin in April https://youtu.be/RJykJpDYEdY Adriatic Metals is a UK based polymetallic exploration and development company, and owner of the Vareš Mining Concession in Bosnia and Herzegovina. We spoke with Cronin back in April. Now, just two days ago, the company announced the proposed takeover of Serbian company, Tethyan Resource Corp. (TSX-V: TETH). It could be done by August.Cronin is confident the deal will go ahead, subject to shareholder approval, because there is a lot of value in it for Tethyan Resource Corp. 38% of Tethyan shareholders have agreed to hold Adriatic Stock for 6-months. This is "major support."Why make the deal at all? Hasn't Cronin already got enough on his plate in Bosnia and Herzegovina? Cronin claims that assets like what Tethyan has put together become available very rarely. He thinks the portfolio has "a lot of potential for growth." Cronin's target has always been to position Adriatic Metals as a Balkan regional player. It appears this acquisition has allowed Adriatic to move towards its bigger ambitions, and while it spells dilution for shareholders, Cronin is confident his company will more than make up for it.How will Cronin now accelerate the growth of Adriatic Metals? Will he be able to optimise Tethyan operations? He states there will be some rationalisation of costs, but he intends to keep most of the core team. The largest shareholder is Augusta Corp. Cronin has looked at what Tethyan has accomplished so far. Is he happy to continue down the same route, because the market doesn't appear to have been that happy: Tethyan's share price has fallen by two-thirds in just a year. Cronin doesn't think this is a case of Tethyan not appealing to the market, he claims it is a case of the market misunderstanding the value proposition. The vision for the combined company remains of creating a strong, regional player. CEO Fabian Baker has been integral to this and he's coming along for the ride.COVID-19 has caused a 16-17% reduction in drill metres, but he claims that the virus has allowed them to optimise their workforce, tracking around A$2M under budget. The total budget to absorb Tethyan is A$4M.Does this now position Adriatic Metals attractive as a takeover target? Cronin states that Adriatic Metals does not regard itself as a takeover target. The "total" business approach is a producer with a specific focus on the Balkans. It's obvious that Cronin would never say never, but his absolute focus is on bringing Adriatic Metals into production. He expects more and more opportunities to present themselves as the company spends more time in the region.The company previously had enough capital to carry it through to a BFS on its own project. Adriatic Metals is currently sat on sufficient cash to conduct all its own operations: 20,000m drilling in Bosnia, plus the initial 3,000m confirmation drilling in Serbia, and is also receiving some "chunky VAT refunds." He claims the company will only need to raise capital if it intends to conduct additional exploration. Interview with Paul Cronin, CEO of Adriatic Metals (ASX:ADT)Adriatic Metals is a UK-based exploration and development company, listed on the ASX. Adriatic Metals is the owner of the Vareš Mining Concession in Bosnia and Herzegovina.Adriatic Metals is a brand new company, incorporated specifically to acquire the Bosnia & Herzegovina assets. The project comprises a historical open-cut mine at Veovaca in addition to Rupice, an advanced proximal deposit that exhibits very high grades of base/precious metals. Promising historical data at the polymetallic project has recently been proved, courtesy of a drilling program. Since then, exploration and resource expansion has been the order of the day. A Maiden Resource has been released, in addition to a PFS and the first phase of metallurgical work. The confirmed deposit is now strong and economic; however, the challenge for Cronin is to grow it into a Tier 1 deposit and add value for investors. The story is developing quickly, but now Cronin needs to add a sprinkle of excitement to this recipe of competence.The grades of the project are extremely high, but does the mining jurisdiction have anything to do with the recent decline in share price, or is it purely caused by the financial reset and COVID-19? Cronin is aware that base/precious metals mines hadn't really been operated in 25 years in Bosnia and Herzegovina, but the region itself is pro-mining with a strong infrastructure and good mining minds.Cronin has raised A$50M in total (A$45M from public financings). How has that been spent? Drilling, studies/surveys, metallurgical testwork, training and acquiring new concessions is Cronin's answer. Adriatic Metals is fully funded through to completion of a BFS.Adriatic Metals is not fully permitted yet. Cronin claims that Adriatic Metals is working towards its "exploitation permit," and the "environmental permit" component takes the longest. However, it is still some way off, and requires some preliminary permits before moving forward, and this isn't being helped by COVID-19. What does the timescale look like? Cronin predicts that once the company is able to have a public hearing in May, Adriatic Metals can obtain ts first permit at Veovaca. Then the focus will shift onto the permit at Rupice. Cronin hopes to possess both exploitation permits by October. After that, Adriatic Metals will need to submit its feasibility work to apply for its main mining code. All in all, the timescale looks entirely reasonable, but COVID-19 could be disruptive; it could also impact the situation with additional concessions. COVID-19 is affecting the company in terms of permitting, but it isn't affecting Adriatic's general operations.Looking at the share registry, 25% is retail, 40% is institutional, and most of the remaining 35% is held by management: a very meaningful figure. How exactly is the management team remunerated? Cronin claims he was paid purely options during the company's 2-year pre-IPO phase, but he is now paid a salary that is "reflective of a junior mining company." Cronin claims he is "thoroughly aligned," and his big payday will be from equity. Cronin then moves into the intricacies of polymetallic ore bodies.What did you make of Paul Cronin?
