Introduction to Contract Law: Contract law deals with legally binding promises. It establishes which promises are enforceable and how courts will handle breaches of those promises. Understanding contract law is essential in many areas of legal practice. Formation of a Valid Contract: A valid contract generally requires three elements: Offer: An offer is a clear expression of willingness to enter into a bargain, which justifies the other party's belief that their agreement will finalize the deal. It must be definite and certain, and a reasonable person would interpret it as an intent to be bound upon acceptance. Advertisements are generally not considered offers, but invitations to deal, unless they are very specific. Offers can be terminated by revocation, rejection, counteroffer, time lapse or operation of law. Acceptance: Acceptance is the offeree's agreement to the terms of the offer. Under common law, the acceptance must mirror the offer exactly. The Mailbox Rule generally states that acceptance is effective upon dispatch, unless otherwise specified in the offer. Acceptance must be communicated, except in special cases where silent acceptance is justified. Consideration: Consideration is a "bargained-for exchange of legal value". Each party must promise or do something they are not already legally obligated to do. The Preexisting Duty Rule states that performing an existing obligation is not sufficient consideration, with some exceptions. Promissory estoppel can sometimes enforce a promise even without traditional consideration, if one party relies on that promise to their detriment. Enforceability Defenses: Even with offer, acceptance, and consideration, certain defenses can render a contract void or voidable: Statute of Frauds: Certain contracts must be in writing to be enforceable. These include contracts related to: Marriage Year: Contracts that can't be completed within one year Land: Contracts involving the transfer of interest in real property Executors: Promises by an executor to pay a decedent's debt with personal funds Goods: Contracts for the sale of goods over $500 Suretyship: Promises to pay another's debt Capacity: Parties must have legal competence to enter a contract: Minors: Contracts with minors are generally voidable by the minor. Mental Incapacity: Contracts can be void or voidable if a party lacks the mental capacity to understand the transaction. Intoxication: Contracts can be voidable if a party is so intoxicated they can't understand the agreement, and the other party knows it. Illegality and Public Policy: Contracts with illegal subject matter or those that violate public policy are void. Misrepresentation, Fraud, Duress, and Undue Influence: Misrepresentation and Fraud: False statements can be a defense, with fraud being an intentional falsehood. Duress: Contracts formed under threat or pressure are voidable. Economic duress can also apply. Undue Influence: If there is a relationship of trust or dominance, taking advantage of the other party can be undue influence. Putting It All Together: Contract analysis involves a step-by-step approach: identify offer, acceptance, and consideration, then check for defenses. If a contract is valid, it then can be assessed for breach and remedies. Examples and Illustrations: The lecture provides examples to illustrate key concepts: Scenario A shows how a counteroffer terminates the original offer. Scenario B demonstrates how a minor can disaffirm a contract. Scenario C shows how partial performance can create an exception to the Statute of Frauds. Day One Conclusion and Preview: The lecture concludes by summarizing the elements of contract formation and key defenses. Day Two will discuss performance, breach, and remedies.

Lecture 1 I. Introduction to Contract Law Good morning! Welcome to our three-day deep dive into Contract Law. Over the next three sessions, we will examine every major aspect needed to pass a law school exam or bar exam question on contracts. Today, we'll focus on the foundations of contract law, including formation (offer, acceptance, consideration) and defenses to enforceability. A. Definition and Importance of Contracts A contract is a legally enforceable agreement between two or more parties. Contracts allow parties to confidently arrange transactions, plan for the future, and allocate risk. II. Formation of a Contract Contract formation centers on offer, acceptance, and consideration. Offer An offer is a manifestation of willingness to enter into a bargain, justifying another in believing that their assent will conclude the deal. Must be sufficiently definite and certain. Offers can be terminated by revocation, rejection or counteroffer, lapse of time, or operation of law (e.g., death of offeror before acceptance). Acceptance Acceptance is the offeree's unambiguous assent to the terms of the offer. Common Law Mirror Image Rule: Acceptance must match the offer precisely; otherwise, it's a counteroffer. Mailbox Rule: Acceptance is generally effective upon dispatch if correctly mailed or transmitted. UCC 2-207 (Battle of the Forms) relaxes the mirror image rule for the sale of goods. Consideration Consideration requires a bargained-for exchange of legal value or detriment. Gifts and past actions typically do not constitute consideration. Preexisting Duty Rule: A promise to do what one is already obligated to do is not valid consideration (exceptions: unforeseen difficulties, mutual modifications under the UCC, etc.). Promissory Estoppel can make certain promises enforceable even without consideration if the promisee justifiably relied on the promise to their detriment. III. Enforceability and Defenses Even if a contract appears valid, certain defenses may render it unenforceable or voidable: Statute of Frauds (SoF) Certain contracts (e.g., for land interests, goods over $500) must be in writing and signed by the party to be charged. Exceptions include part performance, specially manufactured goods, or reliance where injustice can be avoided only by enforcement. Capacity Minors: Contracts with minors are usually voidable by the minor. Mental Incapacity: Contracts can be voidable if a party cannot understand the nature of the transaction. Intoxication: A party significantly impaired may void the contract if the other had reason to know. Illegality and Public Policy Contracts for an illegal purpose (e.g., illicit gambling) are void. Some contracts violating public policy (e.g., overly broad non-competes) may be unenforceable. Misrepresentation, Fraud, Duress, Undue Influence Misrepresentation/Fraud: False statements or intentional deception that induces another to contract. Duress: Agreement obtained through improper threats or harm. Undue Influence: Unfair persuasion by a dominant party over a vulnerable party.

It was a true honor to have on Shabbos Kestenbaum, a proud Zionist who is the bearer of many titles: a student activist and a media contributor; a lead plaintiff against Harvard University, and a lecturer on combating Jew hatred. Shabbos is an Orthodox Jew who planned on pursuing his collegiate goals of studying religion at Harvard Divinity School. Even prior to the Jewish genocide on Oct. 7th, the school was rife with anti-Israel hate, as Shabbos says in the episode, "one would think no other country exists (for them) aside for 'Palestine.'" But the scale of psychotic Jew hate seen on campus post Oct. 7th was unprecedented. Students and faculty both participated in intimidating pro-Israel Jews on campus. This scenario was repeated across liberal schools across the nation. However, Shabbos stood up against Jew hate, retained impressive counsel (the case is now going to trial), and even testified in front of Congress. Shabbos is proof that Jew hatred need not be tolerated and that it's high time for Jews to push back strongly. In this episode, Shabbos goes into great detail of the Harvard environment and the pro-terrorist groups. And I add in some historical background as to when and why anti-Israel sentiment infected liberal schools in America. It's an episode not to be missed!

His stance is not popular among the Nashville music machine, which has cost him some of the more “popular” gigs. "Illegality is the flip of inequality.  It serves to preserve the privileged spaces for those deemed citizens and justify their privilege by creating a legal apparatus to sustain it. Heightened panic about illegality coincides with growing global inequality and the dependence of the privileged on the labor of the excluded." -Aviva Chomsky, UNDOCUMENTED: How Immigration Became Illegal   “Give justice to the weak and the fatherless; maintain the right of the afflicted and the destitute,” (Psalm 82:3). “Learn to do good; seek justice, correct oppression; bring justice to the fatherless, and please the widow's cause,” (Isaiah 1:17)   In this episode we speak with Public Defense Attorney and friend, Raha Jorjani.  Raha reached out to me because she's dealing with a troubling case and she's looking to amplify the voice of her client.  Walter Cruz Zavala.  Walter came to this country from El Salvador when he was 14 fleeing the horrible conditions of his homeland.  Sexual abuse, gang violence, El Salvador was no longer a safe haven for Walter.  From the Alameda County Public Defender's Office:   "He came to the U.S. on his own and joined his father, who was already here. His mother, father, sister, and brother are all U.S. citizens or lawful permanent residents of the United States. He has not returned to El Salvador. Cruz-Zavala was recruited into MS 13 as a teenager in the United States. A U.S. government informant convinced him to get two gang-related tattoos; prosecutors then used the tattoos as evidence against him in a federal criminal case. Cruz-Zavala was acquitted of all charges by a federal jury but the tattoos continue to endanger his life. “An individual acting on the government's behalf gave 18-year-old Walter the very tattoo that makes it likely he'll be tortured in El Salvador, and now that same government will stop at nothing to deport him there,” Jorjani said. Immigration authorities detained Cruz-Zavala in July 2017 and tried to deport him back to El Salvador after he was convicted of five DUIs and one charge of carrying a concealed firearm. In contract law, impossibility is an excuse for the nonperformance of duties under a contract, based on a change in circumstances (or the discovery of preexisting circumstances), the nonoccurrence of which was an underlying assumption of the contract, that makes performance of the contract literally impossible. The doctrine of impracticability in the common law of contracts excuses performance of a duty, where the said duty has become unfeasibly difficult or expensive for the party who was to perform. Impracticability is similar in some respects to the doctrine of impossibility because it is triggered by the occurrence of a condition which prevents one party from fulfilling the contract. The major difference between the two doctrines is that while impossibility excuses performance where the contractual duty cannot physically be performed, the doctrine of impracticability comes into play where performance is still physically possible, but would be extremely burdensome for the party whose performance is due. Thus, impossibility is an objective condition, whereas impracticability is a subjective condition for a court to determine. Typically, the test U.S. courts use for impracticability is as follows (with a few variations among different jurisdictions): 1. There must be an occurrence of a condition, the nonoccurrence of which was a basic assumption of the contract, 2. The occurrence must make performance extremely expensive or difficult 3. This difficulty was not anticipated by the parties to the contract (note: some jurisdictions require that there be no measure within the contract itself to allocate risk between the parties) An illegal agreement under the common law of contract, is one that the court will not enforce because the purpose of the agreement is to achieve an illegal end. The illegal end must result from performance of the contract itself. The classic example of such an agreement is a contract for murder. Unclean hands doctrine, or dirty hands doctrine, is an equitable defense in which the defendant argues that the plaintiff is not entitled to obtain an equitable remedy because the plaintiff is acting unethically or has acted in bad faith with respect to the subject of the complaint—that is, with "unclean hands". The defendant has the burden of proof to show the plaintiff is not acting in good faith. The doctrine is often stated as "those seeking equity must do equity" or "equity must come with clean hands". This is a matter of protocol, characterized by A. P. Herbert in Uncommon Law by his fictional Judge Mildew saying (as Herbert says, "less elegantly"), "A dirty dog will not have justice by the court". Accord and satisfaction is a contract law concept about the purchase of the release from a debt obligation. It is one of the methods by which parties to a contract may terminate their agreement. The release is completed by the transfer of valuable consideration that must not be the actual performance of the obligation itself. The accord is the agreement to discharge the obligation and the satisfaction is the legal "consideration" which binds the parties to the agreement. A valid accord does not discharge the prior contract; instead it suspends the right to enforce it in accordance with the terms of the accord contract, in which satisfaction, or performance of the contract will discharge both contracts (the original and the accord). If the creditor breaches the accord, then the debtor will be able to bring up the existence of the accord in order to enjoin any action against him. We began by encouraging everyone to share the #trypod hashtag. The idea is to introduce someone who doesn’t listen to podcasts to the medium. Show them how to do it and obviously subscribe them to Pantsuit Politics!We began by discussing FBI Director James Comey's testimony before Congress confirming that the FBI is investigation whether or not President Trump’s campaign colluded with Russia to influence the election. We also discussed the AP's revelation that Paul Manafort, former Trump campaign manager, was paid millions by a Putin ally.Karen on Twitter had a great read of the situation: Illegality all around T. He was likely influenced by ppl with specific agendas tailored to appeal to his world view and vanity and so he is influenced. Also think he probably willfully "ignorant" of crimes around him but I bet we will never be able to pin any intentional criminal activity on him.We then shared Beth's interview with Katherine Gypson, reporter for Voice of America, who was in the room for both Comey's testimony and Representative Devin Nunnes's press conference. We discussed Judge Gorsuch's confirmation hearings and growing concerns about his views on torture and statements about women at law firms. We also discussed the Democratic party's plans to filibuster his confirmation. We moved on to talk about two abortion laws that recently passed in Texas and several pieces of feedback we've gotten related to abortion. We talked about the proposed Reins Act and whether or not the Congress really needs approval over so much regulation. The recent political debates in the United States have raised awareness of the untenable situation facing more than 2.1 million undocumented immigrant children and young adults who have lived in the U.S. since childhood. Each year, tens of thousands of undocumented youngsters leave American high schools to embark upon uncertain futures. But until now, very little has been known about the ways in which these young people come of age and how legal barriers shape their adolescent and adult trajectories. Drawing on extensive fieldwork in Greater Los Angeles, and 150 life history interviews with 20-34 year old, Mexican-origin, undocumented young adults, this study finds that conflicting and contradictory laws uncomfortably position undocumented immigrant youth between spaces of belonging and illegality. As laws begin to narrowly circumscribe their everyday lives they must learn to be illegal. Ultimately, through their transition to illegality, immigration status emerges as a master status.

In Alberta, TFWs even surpassed the number of “landed immigrants” in 2006. The limited work visa issued to employers, not the worker, and structural barriers in place to regulate their mobility imply that TFWs will eventually return to their home countries when labour demands decline; they have become Canada's “disposable labour.” Or, do they really return home? International labour migration is not premised on the idea of a “holiday-cum work tour” akin to the popular western “backpacker.” After investing their own resources, the 1-2 years stint as TFW do not make sense. It is plausible that after the expiration of work permits, TFWs search for alternative routes ---the road to illegality. If TFWs are vital to the delivery of services, the choiceless workforce contributing to taxation (but cannot make demands for their own welfare), and make Canada competitive in the global stage, why not grant them independent legal status as full-fledged immigrants?
