The Intergovernmental Panel on Climate Change (IPCC) is the United Nations body for assessing the science related to climate change. In this episode of S&C's Critical Insights, Jeff Scott and Julia Malkina, Co-Leads of S&C's Securities Litigation Practice, discuss the Supreme Court's June 1 decision in Slack Technologies v. Pirani and the potential implications for securities litigation. Slack Technologies went public through a direct listing, which allows existing shareholders to sell their unregistered securities on the first day of public trading at the same time as the company's registered shares are sold. Slack claimed that the plaintiff in this case lacked standing to sue because he could not trace the purchase of his Slack shares to the registration statement. The issue before the Court was whether Section 11 of the Securities Act of 1933 requires plaintiffs to plead and prove that they purchased securities registered under the registration statement they allege is materially false or misleading. In a win for defendants, the Supreme Court unanimously held that the plaintiffs must plead and prove these facts, reversing the U.S. Court of Appeals for the Ninth Circuit. Jeff and Julia discuss how the ruling reaffirms the longstanding interpretation of Section 11 and note that the Court's decision could encourage more companies to go public through a direct listing. The ruling might also encourage legislative efforts to improve tracking of the ownership and registration of securities, including through the use of blockchain technology.

Section 11 of the Securities Act of 1933 permits suits alleging misrepresentations in a registration statement only if the plaintiffs "acquir[ed] such security." 15 U.S.C. § 77k(a). Section 12(a)(2) of the Act provides that someone who "offers or sells a security ... by means of a prospectus" may be liable for misstatements in that prospectus "to the person purchasing such security." 15 U.S.C. § 77l(a)(2). For more than 50 years, every court of appeals to consider the question has held that "such security" in Section 11 means a share registered under the registration statement the plaintiffs claim is misleading. And this Court has held that Section 12 (a)(2) applies only when there is an obligation to distribute a prospectus-an obligation that exists only for registered shares. Gustafson v. Alloyd Co., 513 U.S. 561, 584 (1995); 15 U.S.C. §§ 77d, 77e. Departing from that well-established law, a divided panel of the Ninth Circuit read "such security" to mean any share, registered or unregistered, and held that plaintiffs suing under Sections 11 and 12(a)(2) need not prove that they bought registered shares. The question presented is: Whether Sections 11 and 12(a)(2) of the Securities Act of 1933 require plaintiffs to plead and prove that they bought shares registered under the registration statement they claim is misleading.

Managers of Cascade Station are kicking out the upscale shopping plaza's liquor store, according to Saleem Noorani, president of the Associated Liquor Stores of Oregon.The airport mall told Malik Pirani, manager of PDX Liquor and Wine, that it would not be renewing his lease due to a “high number of break-ins,” Noorani told the Oregon Liquor and Cannabis Commission last week.“It breaks my heart,” he said, before reading a prepared statement from Pirani, who told commissioners that daily shoplifting, a string of four overnight break-ins, and repeated threats to staff had forced him to spend $50,000 a year on armed security guards.In the end, they weren't enough. In this episode--the 3rd in a mini-series titled "New Life for America's Big City Rivers"--we discover The Hudson River with Rob Pirani, program director of  The New York - New Jersey Harbor & Estuary Program.The Hudson River is one of America's most storied and imperiled rivers. As the New York City Metropolitan Area grew over time, unabated dumping of waste water and industrial pollutants into the river took a heavy toll on the health of the ecosystem. In 1966, alarmed at the pollution of his beloved Hudson River, legendary musician and activist, Pete Seeger, built a 106-foot sloop--the Clearwater--and for years sailed numerous educational voyages on the waterway. Seeger's outreach that mixed music and environmentalism awakened thousands of people to use their voice for change; the effort is widely credited as pivotal in gaining approval of the federal Clean Water Act of 1972. Against this backdrop of history, we pick up the conversation with Rob Pirani and learn about improvements to water quality of the Hudson River today and the life that's returning to the Estuary.  Rob outlines what's being done to address residual pollutants in the river system the research and and the planning underway for new projects designed for adapting to climate change.  One of the important projects now taking place in the Estuary is the reestablishment of oyster reefs to provide breakwaters that can reduce wave velocity during storm surge, protect against erosion, and provide natural water filtration.  The Billion Oyster Project is embraced by the community and proving to be a success.  Rob’s passion for reconnecting people to the Harbor Estuary is impressive and we'll hear firsthand about his thoughtful approach to supporting communities and the need for providing equitable access. Robert Pirani is Regional Plan Association's Director of Environmental Programs and Executive Director of the Governors Island Alliance. His responsibilities include developing and directing programs in parks and open space advocacy, land use management, water quality protection, and recycling and waste prevention. The nation's oldest regional planning organization, Regional Plan Association has worked since 1929 to improve the quality of life in the 31-county, 13,000 square mile New York/New Jersey/Connecticut metropolitan area. On the basis of professional research, the Association recommends policy improvements, fosters cooperation among various government and private organizations, and involves the public in considering and shaping its own future. The Governors Island Alliance is a coalition of civic, environmental, and preservation organizations working to celebrate the Island’s rich history, create memorable parks and public spaces, and ensure appropriate reuse of the Island and its historic structures. Before coming to RPA in 1986, Mr. Pirani worked as a county planner in western Massachusetts and for several national and regional environmental organizations, including the Sierra Club, the Connecticut River Watershed Council, and the National Audubon Society. Mr. Pirani holds a Master's Degree in Regional Planning from Cornell University and a Bachelor's Degree in Environmental Studies from Hampshire College.
