En esta tertulia Bernat y Jordi conversan con el abogado mercantil David Miranda, a quien invitan precisamente a raíz del “día loco” de OpenAI y el caso Anthropic, como excusa perfecta para hablar de cómo el derecho y la regulación afectan de lleno al mundo startup. David explica primero en qué tipo de operaciones está metido rondas de 40–50 millones, ventas de compañías, procesos de M&A y, a partir de ahí, la tertulia deriva en cómo funcionan realmente las reglas del juego para emprendedores e inversores en España. Se contraponen el derecho laboral, muy intervenido por el Estado, con un nivel de protección y de costes de Seguridad Social que condiciona a cualquier startup que pasa de freelance “disfrazados” a meter gente en nómina, frente al derecho mercantil, mucho más basado en la libertad de pacto entre las partes. Se habla de los pactos de socios: qué papel tienen como constitución real de la compañía, por qué el primer pacto marca “la marca de agua” para todas las rondas futuras y cómo en España falta estandarización frente a modelos mucho más homogéneos, como los de Estados Unidos. David cuenta cuánto puede llegar a costar un buen pacto de socios, cómo facturan los despachos, y va salpicando la conversación con ejemplos reales: el caso de Oriol Fuertes y sus primeras rondas, o la propia serie B de Factorial, donde llegaron a manejar varios term sheets a la vez y consiguieron un pacto muy ligero en control gracias a la fuerza negociadora de la compañía.También se detienen en las cláusulas más delicadas para los fundadores: los supuestos de bad leaver y good leaver, las cláusulas de drag along para forzar ventas, y el uso cada vez más habitual de poderes irrevocables para poder ejecutar esas cláusulas aunque un socio minoritario “desaparezca” el día de la firma. David explica hasta qué punto estas herramientas pueden volverse kafkianas si se abusa de ellas (por ejemplo, permitir a un inversor decidir unilateralmente que eres bad leaver y comprarte tus acciones a valor nominal) y qué límites pone la jurisprudencia. We zijn naar De Noordpool gereisd om Peter Jacksons legendarische splatterfestijn Braindead te bespreken. Anthony ontdekte echter pas bij de landing dat we effectief op de Noordpool stonden. Daardoor konden we hem onmogelijk nog een Arctische horrorfilm aansmeren. Turbosnor en Jordi hadden zich voorbereid en keken naar de film Arctic Void. Die speelt zich letterlijk af op de plek waar we stonden: het glorieuze, ijskoude Spitsbergen. Kortom: Anthony was in shock, Jordi en Turbosnor waren voorbereid en de Noordpool had nog nooit zo veel filmnerds tegelijk gezien.

Un podcast largo que vuelve después de varios años y que logra arrancarme una sonrisa sin que me lo espere… eso es precisamente lo que me pasó al ver aparecer en mi feed un nuevo episodio de Amañece que no es poco, un proyecto que llevaba seis años en silencio (aunque con una pequeña reaparición fugaz en 2020 que ni llegué a notar en su momento) y que ahora ha regresado por todo lo alto. Con ese espíritu zaragozano que le caracteriza, este podcast ha vuelto a colarse en mis auriculares y, sinceramente, me alegro mucho de tenerle de nuevo por aquí. Este episodio lo dedico precisamente a celebrar ese regreso, porque pocas veces pasa que un proyecto tan coral, con tantas voces distintas, vuelva con tanta fuerza. Detrás de los micrófonos están nombres como Paco Céster, Diego Manzanares, José Antonio Algarra (Hutxu), Daniel Calavera, Andrés García Mendoza, Sabina Hernández, Javier Martínez, Beatriz Sanz, y hasta Juan/Xoan o “Señora”, que forma parte de un chiste interno del programa que aún no termino de pillar del todo. A todos ellos se ha sumado Jordi, más conocido como el señor Mirindo, que además de ayudar con la distribución desde la red Sons, ha tenido el detalle de dividir los episodios en capítulos, algo que como oyente agradezco muchísimo. ¿Y de qué va Amañece que no es poco? Buena pregunta. Porque no es fácil de encasillar. Tiene entretenimiento, tiene crítica social, tiene parodia política, tiene humor sin complejos y, sobre todo, tiene personalidad. Cada integrante arrima el ascua a su sardina y eso se nota. Hay secciones como “Somardismo ilustrado”, “No te creas”, “Fauna periodística” o “El rincón de Uchu” que ayudan a darle forma a cada episodio, y además hay espacio para recomendaciones de películas, libros, series, música, artículos, reflexiones personales… vamos, que no se dejan nada fuera. Eso sí, no es precisamente un podcast corto. Aquí hay que reservarse al menos un par de horas (o tres) por episodio, porque entre secciones, colaboraciones y despedidas no se andan con prisas. Su periodicidad tampoco es semanal ni mensual: en lo que va de 2025 han publicado en marzo, junio y noviembre, así que podríamos decir que su ritmo es más bien trimestral… por ahora.
