Coming into my 19th year here.Munir Haque: [00:01:52] I want to talk a little bit about our origin story at Action Edge, so why don't you tell us a little bit about how you got into the business and how you launched Action Edge and what you've seen over the years.Jarrod Stanton: [00:02:09] Taking it back even further than that, our parent company was founded in 1993, in Brisbane, Australia. So we're over 30 years now. My aunt was one of the pioneer business coaches in North America under that brand. She started telling me about what she did for a career. I think she knew I was somewhat entrepreneurial, had a little bit of an inkling towards teaching and coaching through school and sports growing up, but also a strong interest in business. It was 2005 we started discussing the idea and I started learning a bit more, and it was September of that year that I reached out to Action Coach to get the certification.Munir Haque: [00:03:03] What was happening in the world at that time that made you think it was the right time to launch something like this?Jarrod Stanton: [00:03:09] Nothing, actually. It was a bunch of worry and fear and concern and "what am I doing?" A lot of my friends at the time were starting families and buying houses. I spent all the money I had and borrowed all the money I could to try to convince my family to lend me some money to buy a piece of paper that said I was able and certified to help business owners in this community. I wouldn't say nothing was really aligning, I had a bit of a sense of adventure. I desperately wanted to get into business, and it was mainly just on account of my aunt's confidence in me and her showing me the attributes I had, the skills I had, and how it related to what she did day in and day out with her clients. She allowed me to shadow a few sessions, and I instantly was amazed at how revered and respected and admired she was, and the sentiments I was hearing from the clients on how the course of their life had been changed. It really gave me an added depth of understanding and appreciation of what she did.Munir Haque: [00:04:28] You're talking about clients a little bit here, so in the early days, what kind of clients did you have and what were the services that you were providing?Jarrod Stanton: [00:04:38] Not a lot different from today. We have never really targeted clients in terms of industry or specialty. I think we're pretty strong minded about the difference between a mentor and a coach. A three-judge bench led by Chief Justice Sanjiv Khanna took note of the Centre's statement. Solicitor General Tushar Mehta assured that a short response would be filed within seven days, and after a brief hearing, the bench set the next date for further proceedings.The Supreme Court will examine if a Muslim individual can choose the Indian Succession Act, 1925, over Shariat law for inheritance matters. Chief Justice Sanjiv Khanna and Justice Sanjay Kumar tagged the petition by Naushad K K, a Kerala lawyer, with a case filed by ex-Muslim Safiya PM. Safiya seeks a declaration that Muslims who renounce their faith should be governed by the Indian Succession Act instead of Muslim personal law.In response to Pakistan Army Chief General Asim Munir's claim that Kashmir is Pakistan's "jugular vein," India stated the only link is Pakistan's illegal occupation of part of Kashmir, which must end. I'm very pleased to be here.Munir Haque: [00:02:10] You've got quite an impressive resume, but the one thing that stuck out to me was that recently you were appointed to the National Special Advisory Group to the RCMP Integrated Market Enforcement Team. That sounds interesting and intriguing, are you bound by any confidentiality or is that something you can talk to? Is that top secret?Bryce Tingle: [00:02:34] It is confidential, I am bound. But generally speaking, the IMET teams are part of the RCMP, which is our federal law enforcement arm. Here in Canada, they're the part of the RCMP that investigates financial crimes. Things like terrorism financing, Ponzi schemes, fraud, attempts to evade export controls. These things are dealt with by the IMET teams, and there are myself and three other individuals who advise them on those investigations.Munir Haque: [00:03:10] So you're not the person on the ground who's got the little note on their background as they're going to raid corporate offices?Bryce Tingle: [00:03:16] I can't tell you how much I would love to have a bulletproof vest with 'police' written on the back. RCMP windbreaker, it would be great. It would make my life way more interesting than it is.Munir Haque: [00:03:29] Do you at least get a baseball cap or something?Bryce Tingle: [00:03:32] So far, nothing. Free trips to Ottawa is what I get.Munir Haque: [00:03:37] Okay, it's a nice town. To start this off here, you wrote a book called 'Hard Lessons in Corporate Governance'. One of the interesting things that I find is that it's easy to learn from other people's failures. I was asked to talk about failures, and here you are. You wrote a substantial book that covers a lot of failures and the lessons that we learned from them. I won't be asking you the flip side of that, the successes, but maybe we start talking about the book a little bit. What motivated you to write 'Hard Lessons in Corporate Governance'?Bryce Tingle: [00:04:13] I came to it indirectly. By way of background, I spent a decade and a half in private practice, mostly working with startup companies mostly in the tech industry, working with venture capital funds and mezzanine debt lenders. During that time, I did a lot of advising of boards of directors. Then I went in-house as general counsel of a couple of large international groups, and in that capacity also did a lot of advising of boards of directors, even assembling boards of directors. Over the course of that, I advised clients for the companies I worked for in what the current best practices were for corporate governance, and I did so without much second thought. Everyone from the Securities Commissions, to the Wall Street Journal, to the Globe and Mail, to think tanks, to proxy advisers, everyone was more or less saying exactly the same thing. We met last year at the Petroleum Club, I think there was an event going on there. I was sitting at a table and there was a lawyer there, and I was giving her my spiel about The Boardroom 180 podcast on governance. When she heard governance she said, you need to talk to this guy over here, pointing at you. Admittedly, I don't know much about hydrogen production or use. Before we get into the nuts and bolts of this, tell me a little more about yourself and your career arc, how you got into what you're doing now.Gareth Gregory: [00:03:00] It's been a great journey over many years, this being our sixth company now. I think, on the entrepreneurship side, we've always been looking out for great opportunities. The educational side of my background has certainly assisted and helped both in the finance and the technical side. But I think what was really important was the journey to get to this point in time now in North America and overseeing both the Canadian markets and the US market. In the early days, we had established a company that focused on energy modeling and planning, which is very much a professional services orientated environment. Over a period we had clients that were asking us to oversee construction, which we did. Then we started doing a lot of our own construction, and it got to a point that we developed ourselves into an EPCM, engineering, procurement, construction and management firm for the sub-Saharan African market. There was a great experience having both the background modeling knowledge, but also the ability to start building out on smaller projects in terms of delivery. Shortly after that, we had one of our clients that had engaged with us on a combined cycle gas and steam turbine design, their internal engineering department couldn't maintain the efficiencies of the system.Gareth Gregory: [00:04:19] They actually sold that facility back to us for 50% of what we had sold it to them at. That was our first off balance sheet transaction. The reason that that is so important is that I think that actually enabled our arrival and expansion now, both in Canada as well as the US, understanding an annuity based financial model. You were presenting at a session on governance. There were two other gentlemen who were presenting with you, one was talking specifically about the board of directors, another was talking about the board of advisors. You were talking about a board of consciousness, and that struck a spark in my head, because I hadn't heard of that too much before. I always kept in the back of my head that I was going to reach out to you and have you on here so we can talk a little bit about that. When I've done some of the research on board of consciousness, I think there's a variety of different roles that they fill, and I think there's maybe some different characteristics and maybe different interpretations of what they are. But I thought I'd get you on here to talk about, how do you interpret what a board of consciousness is?Chris Doble: [00:03:02] I'm glad you came to that session, and I am glad that you reached out. Because it's led to some really good conversations, and I appreciate the opportunity to come chat about this. I always smile when we use that term 'board of consciousness'. The word that we typically use when we describe what it is we do is mentorship, but I think board of consciousness is a prettier way of describing that. But this idea of, you're here to support an individual, where you have a board of directors or a board of advisors that may end up being more focused on helping your business or helping growth or strategy of the business, the organization, board of consciousness or mentors can really be focused on the individual. How do you help them grow and develop and succeed? More in whatever way that needs to look like for them. That's the focus of our mentorship program for entrepreneurs is, how do you take a group of highly experienced business leaders, entrepreneurs, business builders and put them around an up and coming entrepreneur and get focused on how you can make them a more effective leader. Welcome to the show, Matt.Matt Fullbrook: [00:02:02] Thanks for having me, Munir.Munir Haque: [00:02:03] A lot of things that many of our other guests have talked about that are changing standards or the trend, but I think where I'd like to get to with you is pushing that a little bit, and seeing if you can challenge any of that. Interesting enough, whether or not that's something that you're even challenging yourself, having been in the industry for 23 years. Whether now you're challenging stuff that you were forcing down the throat of your clients and your students over the last umpteen years. Are you starting to rethink some of that stuff?Matt Fullbrook: [00:02:37] The short answer is absolutely. The most embarrassing illustration of what you're talking about is, and I say embarrassing but I'm a pretty shame-free person so I don't actually feel embarrassed, but objectively it's kind of embarrassing that I came out of that long stretch studying and talking about and educating people on governance. If you'd asked me three years ago, you've got this job in corporate governance, what is that? I wouldn't have had a really useful answer. I certainly wouldn't have had a really useful answer about what I thought 'good' looked like. I would have given the usual, it's about structures and processes and practices and so on. Forgetting the fact that governance is a thing that people actually do and forgetting the fact of, what is that exactly? What's the difference between doing it really well and not doing it so well? It was that realization that I was really struggling to describe, for lack of a better word, my life's work that made me go, I wonder what I'm missing here. When you start digging a little bit deeper, you realize that corporate governance in the management literature is one of the most studied topics. Of the tens of thousands of academic papers, I'm using academic papers just as an illustration here. There's no consensus on what corporate governance is, whether there's any causal relationship between governance and financial performance, whether CEOs matter or director independence etc. There's all this dogma out there that I had helped to perpetuate that's not rooted in any evidence. I've been on this journey to try to, at least for myself, develop a set of definitions and concepts and stuff to try that's actually rooted in something that I believe in, instead of something that's generically embraced, despite the fact that we can't support it.Munir Haque: [00:04:47] You said that you're trying things, so how do you report back on that and figure out if it's working?Matt Fullbrook: [00:04:54] I'm going to struggle to answer that second piece, because figuring out if it's working is more abstract than it sounds, but I ...

It's not a less developed country in that kind of situation, but we're going to have to get after this a lot more than we do. Part of that is the national regulator thing. You've got an Alberta stock exchange, you've got a BC stock exchange and Nova Scotia Securities Commission, a bunch of rules. Some of them are lax, some of them are not lax. Then all you do is go jurisdiction surfing. It's not going to work for the OSC in Ontario, let's see what Alberta thinks. Let's go to BC. It becomes a problem. I was, for a long time, in Toronto, but then I sold my house in Toronto. I moved to Halifax where it's cheaper to live, where I grew up. You show up a couple of times a day in Calgary, a couple of times a day in Edmonton, that kind of stuff. It's the summer after graduation, and Munir Hachemi and his friends G, Ernesto, and Álex leave Madrid for an idyllic summer picking grapes in the French countryside—because, as Munir writes in the sixth edict of his “decalogue of decalogues about experience as literary capital”: “What sets a novelist apart is having a unique worldview as well as something to say about it. So try living a little first. Not just in books or in bars, but out there, in real life. Wait until you've been scarred by the world, until it has left its mark.” But the scars end up a little deeper than Munir anticipated. There's no grape harvest—thanks to climate change—and the four friends end up working alongside the “etcetera of Europe” at a series of nightmarish factory farms where they do everything from injecting monstrous chickens with mysterious vaccines to artificially inseminating genetically modified corn. At least, that's the premise of Hachemi's 2018 novel, Living Things, published earlier this year in an English translation by Julia Sanches. But how much of this tale is really fiction? And what's the point of fiction in an inhumane world anyway? On a été biberonné depuis une décennie par la liberté qu'offrait l'entreprenariat au féminin avec des codes de girl boss, avant de s'intéresser, 10 ans plus tard, en profondeur, aux impacts économiques et sociaux que pouvaient avoir ce statut pour les femmes et plus précisément les mères. Dans cet épisode, Estelle By, avocate spécialisée en entrepreneuriat au féminin, vous explique l'importance du statut de votre entreprise et des protections qui en découlent.
