Episode 404: What Makes a True Dealmaker with Sara Mostafa

Fueling Deals

From sketching fashion designs as a kid to leading complex M&A and private equity deals, Sara Mostafa shares what separates true dealmaking attorneys from ordinary transactional lawyers, why minority investment deals are like marriages with prenups, and what founders should understand before bringing in growth capital. In this episode of the DealQuest Podcast, host Corey Kupfer sits down with Sara Mostafa, the newest partner at Kupfer. Sara has spent more than two decades representing private companies and entrepreneurs across M&A, financing, private equity, governance, employment, real estate, and outside general counsel matters. Like Corey, she came out of big law and built a relationship-first practice that supports clients from inception through exit. WHAT YOU'LL LEARN: In this episode, Sara explains what separates a true dealmaking attorney from an ordinary transactional lawyer, why minority investment deals require “eyes wide open,” and how experienced attorneys balance legal risk against business upside without over-lawyering. She also discusses why AI-related transactions are dominating parts of the California M&A market, why dental and medical practices are commanding strong multiples, what the 2008 recession taught her about resilience and pivoting, and how long-term client relationships often evolve into serving the next generation of entrepreneurs. GUEST'S JOURNEY: Sara originally wanted to be a fashion designer, inspired by her aunt and her childhood love of sketching clothes. While studying at the University of Pennsylvania, she unexpectedly completed her degree requirements early and took a paralegal role at Drinker Biddle & Reath in Philadelphia, which inspired her to pursue law school. She began her legal career at Cooley in San Diego, working on biotech M&A deals before deciding big law was not the long-term fit she wanted. During the 2008 Great Recession, she pivoted to immigration law and nonprofit work in Hawaii before returning full-time to business transactions. She remains licensed in both California and Hawaii. THE DESIGNER DEALMAKER: Outside of law, Sara continues to pursue creative work. Last year she bought a sewing machine and now spends much of her free time designing and making clothes, including garments she is exhibiting at the San Diego County Fair. Like others at Kupfer, she believes building a successful legal career does not require abandoning personal passions or entrepreneurial pursuits. KEY INSIGHTS: A true dealmaking attorney focuses on helping both sides move forward rather than over-lawyering every issue. Business-mindedness, perspective, and the ability to negotiate practical middle ground matter as much as technical legal skill. Minority investment deals can dramatically change how founders operate. Investors often require approval rights over major decisions and expect a future exit, which means founders need to fully understand both the growth opportunity and the downside risk. Sara believes lawyers must balance risk against opportunity. Businesses cannot grow without taking risks, and experienced attorneys help clients evaluate likelihood and impact rather than simply redlining every possible issue. She also explains that curiosity and adaptability matter more than narrow industry specialization in most transactional work. Over her career, she has represented clients across industries ranging from restaurants and fitness centers to technology, healthcare, entertainment, and construction. Perfect for founders considering outside capital, business owners planning an exit, and entrepreneurs evaluating whether their attorney is truly helping get deals done or simply executing documents. In the decades before the establishment of a Jewish state in 1948, native and immigrant Jews in Palestine mediated between Jewish and Arab cultures while navigating their evolving identities as settler colonists. Hebrew Orientalism: Jewish Engagement with Arabo-Islamic Culture in Late Ottoman and British Palestine (Princeton UP, 2025) challenges the conventional view that Hebrew thinkers were dismissive of Arabo-Islamic culture, revealing how they both adopted and adapted elements of it that enhanced Zionist aims.Drawing on a wealth of sources ranging from Arabic medieval chronicles, travel narratives, and poetry to modern Hebrew geography and botany texts, Mostafa Hussein provides a nuanced understanding of Hebrew orientalism by focusing on the practical activities of Hebrew writers, such as recuperating the Jewish past in the East, constructing Jewish indigeneity, consolidating Jewish ties to Palestine's landscape, enhancing understanding of the Hebrew Bible, reviving Hebrew language, and undertaking translation projects. Through the lens of a diverse group of Jewish intellectuals—ranging from Palestine-born Sephardi/Oriental and Ashkenazi Jews to Eastern European immigrants—he unveils the complex realities of cultural exchange and knowledge production, highlighting the dual role of these intellectuals in connecting with the East and promoting Zionist aspirations. Hussein offers fresh insights into the role of scholarly practices in advancing new perspectives on the region and its peoples and forging a modern Zionist Hebrew identity.Illuminating the intricate and often contradictory engagement of Hebrew scholars with Arabo-Islamic culture, Hebrew Orientalism informs contemporary discussions of postcolonialism and settler colonialism and enriches our understanding of the historical dynamics between Jews and Arabs in Palestine. The Egyptian government is actively working to increase the mining sector's contribution to the GDP from 1% to 5% through improved fiscal terms and international promotion. BEST MOMENTS "I was lucky to join the industry at that exciting time for Egypt's first gold mining history... in the modern history." "We are lucky that so far our drill rate success is like almost 100%... the results are bringing back better than what we expect them to find." "Egypt offers a North Africa stable region with a fresh mining code built for attracting investments and serious mining investors." "You can't complete the AI technology required, you can't go into the green energy transformation required, all this without having enough copper supply." At the age of 21 Mostafa Asal reached world number one for the first time, and he made it to the promised land once again a few months ago, recently retaining that top spot in a winner take all type final at El Ghuna earlier this April. In the aftermath of that win though, a youtube video titled "Mostafa Asal Cheating Analysis" was released highlighting 4 or 5 areas in Asal's game that they allege prove he is cheating. The video could have been an objective piece that identifies and discusses the leg trips, aggressive swings, and taking space issues, but instead the video is injected with troubling hateful language and doesn't raise any questions, only pointing fingers solely at Asal. Mostafa provides his thoughts on the video and how he's handling the upshot of it all. We also discuss the high stakes face-off with Ali Farag at El Ghouna, how he adjusted to life and squash in Pontefract, his relationship with coach James Willstrop, his brother Marwan and much more.

Meet Dr. Mostafa Salari Rad, a postdoctoral fellow in psychology at the New School in New York City. Born in Iran in a Shia Muslim practicing family, he always had an interest in philosophy, psychology, social science. He wondered why people behaved the way they did, why countries developed the way they did, and later, as a high school student in Japan, when he was the only person observing Ramadan, he started asking deeper questions about the self control he had to exert to fast, as Ramadan asked of him, from sunrise to sunset. Perhaps the first time, Dr. Rad questioned, why am I doing this? Why isn't anyone else doing this? What does this ritual mean? When Dr. Rad decided to pursue a PhD in psychology, he focused his research on the fasting during the Islamic holy month of Ramadan, which the vast majority of the 1.8 billion Muslims worldwide observe. He wanted to find out more about the psychological, behavioral, and social benefits of fasting, and he especially wanted to better understand the self-control Ramadan requires.
