Professor J.W. Verret teaches corporate and securities law and financial accounting at George Mason Law School. From May 2018 to March 2022, Professor Verret served as an Advisory Committee Member to the U.S. Securities and Exchange Commission where he represented the interests of investors in making recommendations to SEC Chair Gensler and other Commissioners. In part one of this two part interview, Verret explains how a principle of administrative law in the United States known as the 'major questions doctrine' could challenge the SEC's use of the Howey Test to determine if an asset is a security under federal law. According to Verret, the major questions doctrine is a way for the court to check the power of independent agencies: "If Congress has not given you specific authority to regulate a thing as an agency and you're seeking to regulate it, if it involves a major question of national, economic or political importance, then you need to get authorization from Congress before you do anything." The major questions doctrine will likely not be discussed until the SEC's lawsuits against Coinbase and Binance.US reach the appellate courts, says Verret, "but it's one of the things that looms over these cases, without a doubt." Two major cryptocurrency exchanges have been fined by the U.S. government for violating sanctions and securities laws. SEC Chair Gensler appeared before the House Financial Services Committee on Wednesday for a hearing about his leadership of the agency. Gensler has been a vocal critic of cryptocurrency. He has said most cryptocurrencies are securities and should be regulated by the SEC. Meta filed a prospectus with the SEC for new debt shelf offerings. A debt shelf offering is a type of securities offering that allows a company to register a new issue of debt securities without having to sell the entire issue at once. In Ukraine, Bitcoin is now legal tender. Previously it had legal status. Now it's actual money. Zelenskyy signed a bill named “On Virtual Assets,”. That bill first went through the country's legislature in February. Crypto exchanges and firms handling digital assets have to register with the government to operate legally in Ukraine. Banks can now open accounts for crypto firms. Their National Securities and Stock Market Commission has the power to determine the country's policies on digital assets. They can issue licenses to businesses dealing with crypto. And they will be acting as a financial watchdog. The Ministry of Digital Transformation tweeted quote Ukraine has legalized the crypto sector — @ZelenskyyUa signed a law. From now on foreign and Ukrainian cryptocurrencies exchanges will operate legally and banks will open accounts for crypto companies. Carl Quintanilla, Jim Cramer and David Faber led off the show with inflation data that gave futures an early boost: The Consumer Price Index for August coming in up 0.3-percent -- the lowest level in seven months -- with the core rate (minus food and energy) up 0.1-percent. Both readings tamer than Wall Street estimates. Cramer says that CPI "flies in the face of the bearish narrative" on the markets, though he added to keep an eye on seasonality and that we could be in for the roughest four months of the year. The anchors also previewed SEC Chair Gary Gensler's testimony before the Senate Banking Committee, including planned remarks about regulating cryptocurrency and referencing the "Wild West." Carl, Jim and David also explored what to expect from Apple's product event -- the company slated to unveil new iPhone models and other devices. Goldman Sachs announced a change in its executive ranks: Stephen Scherr will step down as CFO at the end of the year.
