What can passive real estate investors learn from a deal gone wrong?   In this episode, experienced passive real estate investor Hans Box shares the story of an early real estate deal that went south and how he and other passive investors took control to turn it around. He provides his expertise in vetting sponsors, reviewing legal documents, asset classes, markets, and more.   Hans is Co-Founder of Box Wilson Equity, a firm that focuses on cash flow and value-add investments and is a Senior Director at Old Capital Lending, a top provider of commercial capital solutions in the Texas market. His background is in the accounting, business strategy consulting, and real estate industries. Hans has personally been directly involved in the acquisition, investment, and management of over $350MM in multifamily and self-storage assets, has asset managed ~3,700 multifamily units, and has been the GP in ~4,300 multifamily units and ~2,000 units of self-storage. He specializes in structuring, creating, and managing partnerships to acquire multi-million dollar cash-flowing assets.    (00:00 - 7:00) Opening Segment Hans got his start in real estate investing by partnering with someone who turned out to be a poor operator. He and another passive investor led the charge to remove the sponsor and take control of a 208-unit apartment deal. By diving in to manage the property, Hans gained invaluable hands-on experience in multifamily.   (7:01 - 15:00) Evaluating Operators as a Passive Investor The most important factor is finding a great operator, not just a great salesperson. Look for transparency, articulation of the business plan, and track record over 5+ years. Get references and talk to their current investors before committing capital.   (15:01 - 22:00) Reviewing Legal Documents and Due Diligence Take diligent time to review PPMs and operating agreements, even if investing a relatively small amount. Consider having an attorney help walk through key clauses at first. It takes repetition to become comfortable reading and analyzing real estate legal documents.   (22:01 - 27:40) Switching Asset Classes and Markets No problem expanding geographically if the operator has done their homework and due diligence. More concerned about asset class change, prefer to see domain experts on the team. What you are going to hear in my conversation with today's guest, CRE debt expert James Eng of Old Capital Lending in Texas, is going to make you wonder if we aren't facing the GFC 2.0 – but this time in commercial real estate, especially multifamily, instead of residential real estate in the post 2007 downturn. Having done over $2 billion in lending during 2021 and 2022 combined, you will be shocked by the percentage of those loans projected to fall into default without significant new injections of cash, or that could face forced sales, or be foreclosed on by their lenders. James explains how debt sources shifted from early 2021 in a way that changed lending standards, adjusted loan to value ratios, and competed on pricing that led to, and I'm not sure if he uses the term, but led to a bubble in asset pricing. Not only that, but you're also going to learn how these loans get packaged up into tranches that are rated AAA to Bbb, and are then sold off to institutional investors who, in turn and in many cases, then sell them back to retail investors who end up being the final resting place for all risk. Hans is a Principal of Box Wilson Equity and a Senior Director at Old Capital Lending, a provider of commercial capital solutions in the Texas market (over $1B in originations last year). Old Capital specializes in 1st lien multifamily lending (but also lends on other commercial real estate). They utilize FNMA, Freddie, HUD, banks, credit unions, bridge lenders, and “soft” and “hard money” on occasion. Old Capital specializes in TX, but lends nationally as well. Their niche is education and assisting clients through the entire transaction. Most brokers/lenders don't invest in commercial real estate and even less sponsor or syndicate their own deals. However, Hans is a sponsor as well and has created 13 private equity funds with his business partner (together, Box Wilson Equity; ~$35MM+ in equity combined). They have bought or invested in multifamily, self storage, mobile home parks and distressed debt.  Hans has been directly involved in the acquisition, investment and management of over $350MM in multifamily and self-storage assets and has asset managed ~3,700 MF units and has invested in or had equity in ~4,300 MF units and ~2,000 units of self storage.

Our guest today is Julie Anne Peterson, the Senior Director of Old Capital Lending, one of the biggest multifamily lenders in the country. In this episode, we discuss the 4 steps you need to do as an investor to get the best experience with your commercial lender. Julie walks us through the process of creating your business plan, knowing your market, building your team, and finding the deals. If you're trying to move into the commercial real estate space, or you've done a few deals but want to scale up, this episode is for you! Learn more about Julie Anne and her journey at reiclarity.com! “As a lender, we are your number one teammates, because we're bringing 75 to 80% of the money to get this transaction done.”   04:56 Julie is the Senior Director of Old Capital Lending and they do over a billion dollars in commercial real estate loans each year. As lenders, Julie's team is bringing 75-80% of the money into the deal.   According to Julie, a common mistake that many new investors make is that they are not doing the front-end work, and only think about the deal from their own perspective. “Net worth, liquidity, and experience are what you'd like to have in a sponsor.“   14:25 There are 4 key steps you should do to succeed in building a good relationship with a commercial lender. Julie explains them in detail.   Have a solid business plan.Figure out what your investors would be interested in. The best way to truly understand what your business plan should be is to ask the market, which is your investors, banks, and people in your industry. Know your market very well.Instead of trying to be present in multiple markets, focus on a specific market, and become an expert in it. Always investigate what is the population growth, job growth, and crime statistics. According to Julie, there are 2 main things that will have the biggest impact on the underwriting - insurance, and taxes. Build your team.Focus on building a good connection with not only your lender, but your underwriter, capital raiser, property manager, and operator. When you vet your GP, look for net worth, liquidity, and experience. Keep your team small and tight. Find the deal.Figure out if the property fits in the business plan, the market, your investors' expectations, and if you can execute the deal. Share your underwriting with your team, to see their perspective on it as well.   After you went through these 4 crucial steps you should be able to succeed with your commercial lender. Julie explains how to get the best lending possible. Find a stabilized deal, that is 90% occupied for 90 days. If you don't have that occupancy, you can still get a bridge loan.   “It all really starts with education. Educate yourself, spend time doing the stuff upfront for the success on the back end.”   48:33 At the end of the episode, Julie picks an action step from the REI Clarity Framework that is the most valuable for her.
