From The Vault:Private Investigators and Dealmakers are Teaming up More Often than Ever!We covered an unusual topic in this episode, that we learned wasn't so unusual afterall. Private investigations within the M&A space. As buyers and sellers become more leary of the trustworthiness between them during dealmaking, the advisory team is completing the circle of trust by having what they disclose verified. Our guest today is Tom Jaeb, Founder and Managing Director of JR Risk Advisors. Tom's background in private investigations goes back to working with his brother's PI firm in 1993. When that firm sold, he and his brother took a year off to honor the Non Compete and then launched J2 Risk Advisors. This time around, their sole focus is on M&A transactions, being hired by PE firms, Investment Bankers, and others in the Dealmaking space. They verify all kinds of information that has been disclosed, and watch for red flags in areas that could be missed by the untrained eye.You'd think that a credit report, courthouse search, and online search would bring up enough to make a case for or against a deal going through, but J2 digs deeper. They conduct research that examines the Press, Social Media, College Degrees, and other background sources as well.Tom says that most deals are free of 'red flag' items that would derail a transaction. However, he said that each search uncovers things that weren't necessarily discussed or disclosed, simply because the buyer or seller didn't think it was relevant. Say for instance a lawsuit settlement that the company was a party to 10 years ago. The key to deciding whether research and analysis are necessary is to determine if there are patterns of behavior or isolated incidents. When it's a pattern, it's a red flag, but if it's something that happened once many years ago, they're not going to be as concerned.Tom shared some intriguing client stories that you will find surprising! Not only is "MR MO" an acronym for More Right More Often, the "MO" denotes shorthand for "Momentum" as Mr. Mo provides a catalyst for achieving Momentum. Mr. Mo is not pure EOS as it integrates elements that are specific to the Retail Performance team and to Broad River. Carl and Stacey unpack the ways that Mr. Mo is different from EOS and how they have really tailored Mr. Mo to the culture and purpose within Broad River Retail. In sharing about previous attempts to launch a business operating system within Broad River Retail, Charlie jokingly shares the name of the Operations Department's acronym for their attempted Operating System from several years ago that they infamously named BROS (Broad River Operating System). Carl and Stacey discuss their recollections from the launch date of Mr. Mo on October 26, 2021, and the chaos that ensued on that particular day. They examine how the team had to shift from a top-down "download culture" to a more empowering "bottoms up culture." They discuss overcoming resistance to change, building trust, and fostering peer-to-peer accountability. They discuss the steps taken to go from ideation to the launch of Mr. Mo. Charlie also asks Carl and Stacey to share what they got right with the introduction of Mr. Mo as well as what they got wrong and would have done differently with the benefit of hindsight. The episode reflects on the implementation challenges and successes with a candid acknowledgment of the learning curve and the potential to have accelerated the process. But what is a “runoff,” and why don't we hear about it very often?Only two states have rules which require a “majority” vote to win, vs. a “plurality”: Georgia and Louisiana. In Georgia, a 50% majority is required for congressional, state executive, and state legislative elections. Senator Warnock received 49.4% of the vote to Walker's 48.5%. Libertarian Chase Oliver won 2.1%. Because no candidate reached 50% plus 1 vote, a runoff is required on December 6th.In Louisiana, runoffs are required in local elections too, when a 50% + 1 majority is not reached. Louisiana also uses an “open primary” system, where candidates of any party run on one ballot in the primary, and with the top two candidates advancing to the runoff if no candidate receives a majority. Because incumbent U.S. Senator John Kennedy garnered 61.6% of the vote over 12 other challengers in the primary, he won outright on November 8th. I got my education on branding and marketing through a lot of experience and understanding how everything works. The idea of brand love is a fundamental way to really grow brands. You have to build an emotional connection to your brand in different ways, in order to continue to grow your brand. What we now do as part of forthright people, is to help small and medium sized businesses understand what their potential is in order to scale and grow their business and brands. Branding and marketing is about consistency and a philosophy which is about putting brand first, thinking about your business from a standpoint of it being a tangible thing. When your brand has life, it starts to take on these emotional connections with people and helps it to mean something to people beyond just the thing that you're selling. The thing that you're actually selling is an emotional connection that people are going to take away from the experience that they're having either through your product, service or through you. We see our personal brand in three different ways which include your characteristics, your appearance, and your behaviors and actions. Making that switch of cultivating your personal brand outside your corporate environment, is the biggest transition you're going to have to make as an entrepreneur. You have to put yourself in the perception and mindset of other people that are going to be a potential targets and start to re-calibrate based on that. Commercial Break Brand love, in essence is all about creating those emotional connections that transcend your basic product offering. It's those emotional connections that create that tangible value, which without it, you're basically just a commodity competing on price. A brand answers three questions including; who am I? how am I different? and why do you want me? What we really appreciate about human interaction and human relationship, and what we believe is fundamentally needed in marketing and branding is the truth. Our whole way, our brand character, the way that we behave, and the way that we interact with others is to always be forthright, but respectful. Hey you beautiful human you.I keep having this recurring daydream….I dream about what I would do if I woke up one week before Covid hit… with ALL of my knowledge from right now….It’s a strange fantasy where I SHORT the stock market on the perfect day before it crashes, and then immediately dump ALL of those winnings into Tesla or Bitcoin and become a Billionaire in a matter of months… :-)For some reason it’s so fun for me to think about…But then I realized something PROFOUND….Life is actually kind of like that dream scenario.Sure, we can’t know the future. But I think we can all agree that certain DECISIONS hold MUCH MORE WEIGHT than others, no?I mean it’s not even debate-able at this point…If you would have made a simple decision to invest in Tesla or Bitcoin back in March 2020, you would be quite wealthy right now.That one decision would have probably had more weight than everything else you did in 2020, right?Let me prove it to you.Let’s say you had 100k to invest. Bitcoin briefly hit $4,000 in March 2020.If you would have dumped ALL of it into Bitcoin, you’d have 25 Bitcoin. Today, with Bitcoin at $54,000, you would have $1,350,000.Be honest, would you have actually made $1,350,000 in 2020 in any other way, no matter how hard you tried?For most people, the answer would be no.Obviously, I’m not trying to shame anyone for not jumping in Bitcoin at 4k.Honestly, I wish I would have jumped in 10 years ago when it was like 1 cent! Haha.What I’m trying to illustrate is what I KEEP SAYING in this letter OVER AND OVER, that life is governed by the power rule, 1% of your decisions result in 99% of your important outcomes. And today, I want you to think about this in terms of acquiring KNOWLEDGE that allows you to make 1% decisions MORE OFTEN. If we can agree on these two things.1) Not all decisions are created equal2) Certain people PUSH us to make better decisions….It only follows that one of the most PRODUCTIVE things we can do, is seek WISE COUNSEL from other people.Proverbs 12:15 ESV / The way of a fool is right in his own eyes, but a wise man listens to advice.This week, my business partner Taylor and I paid someone $25,000 for 4 hours of their time.Now, you may think that that is crazy, a waste of money, simply from the price tag. But I want to tell you something really important.99% of my success in life is the result of .001% of interactions that allowed me to see the world in a certain way and make better decisions. Obviously I haven’t “made it” or anywhere close.But I think people more successful than me would agree that ONE precious piece of advice is worth many millions of dollars, LITERALLY. There have been numerous examples for me where this is the case, that have generated multi-millions in sales…Specific Guidance on the format of Video Advertising (Attention Grabber, Hook, Breaking Down False Beliefs, Call to Action) Literally ONE element of ONE webpage (it’s honestly so powerful and patented that I can’t give any more detail than that haha)ONE livestream launching ONE recurring revenue productI could list out 20 more but you get the idea.Had these people not been in my life, and given me the IDEAS, everything would be different. So, to summarize, here’s what I would suggest if you want to be the most successful, the fastest. 1) Admit that you don’t know everything. Assume you know nothing, actually. 2) Find the person who is the BEST at what they do. You are not looking for the 99%, you are looking for the 1%. 3) Find a way to learn from that person. Pay up if you have to. But actually learn. Take notes. 4) Actually IMPLEMENT what you learn. Unfortunately, money doesn’t grow on trees and great ideas are just ideas until you implement them. ———I hope this helped a few of you, I know it’s probably advice you’ve heard before “get a mentor” blah blah blah…But I think the key here is understanding that not all mentors are created equal, and neither is all advice. I know too many people who are beating themselves up, working their butts off, trying to do things that they have no business doing. That’s great, I admire the hustle. But I’d encourage you to get actionable advice from someone who’s done it before, it’s insanely valuable, kind of like seeing into the future, or going back in time armed with the knowledge of the future…. If you were to tell me ten years ago that I'd have a career in marketing, I would have thought you were crazy! Show Notes / Transcript I've given the advice "if it hurts, do it more often" for years, but in preparing for this episode I did some research on the phrase to see where I might have picked it up. I found a few articles, including a nice one from Martin Fowler, which I've linked from the show notes. I'll describe my own thoughts and how I usually present the concept, and then add in some of the interesting elements Fowler and others expand upon. "If it hurts, do it more often." On its face this phrase makes no sense. Putting your hand on a hot stove hurts... so, should you do that more often? Of course not. The advice applies to business and software processes, and the implied context is that whatever "it" is, it's something that you need to do as part of your process. You'll find that a list of painful-but-necessary activities involved in shipping working software includes almost every step of building software. Compiling. Integrating. Deploying. Installing. Debugging. Testing. Pretty much all of these activities are much more difficult and painful if you try and do them rarely compared to if you do them all the time. So, if you find yourself looking at your process and making decisions in order to minimize how often you perform some necessary part of your process because it's painful, I'm going to go the other way and say do it MORE OFTEN, not less. There's a scene in the Tom Clancy story Clear and Present Danger in which Jack Ryan is in a briefing with the President, who is having to deal with some scandal involving a friend of his. The President's team are advising him to distance himself from his friend, but Jack speaks up and advises just the opposite. Instead of distancing, go the other way. If the press asks if you're friends, tell them you're LIFELONG friends. Don't give them anywhere to go with it. Everyone is aghast at this advice, but of course the president takes the advice and presumably it works out well for him. I feel just like Jack Ryan when I'm giving the counterintuitive advice of doing things more frequently despite how painful they are. It's only natural to minimize pain, and the obvious approach is avoidance. But this just increases how much pain there is when the task must, eventually be done. When you force yourself to perform part of your process more frequently, the pain decreases dramatically. There are several reasons for this. The tasks becomes more familiar, you gain proficiency, you haven't forgotten what you did last time, and there's been less time to add scope and complexity between steps. All of these natural effects of putting less time between repetitions of the task result in less pain. There are also steps that your team will almost certainly take to reduce pain, like automation. If you have a painful task you do twice a year, it's almost certainly not worth automating. The effort involved in automation will only be recovered a couple of times per year. But if you are performing that same task every month, every week, or every day it very quickly starts to make sense to automate the parts of the process that you can. And once it's automated, the pain drops dramatically. A client I work with used to have very painful deployments. They would only deploy every month or two, and doing so was always a big source of pain. Many team members would come into the office at 4am on a weekday to get ready for the deployment. The goal was to complete the deployment before customers came into the office that day. There were a lot of QA and dev team heroics. Most of the time, he deployment wouldn't be 100% successful, and often 2-3 or more additional small deployments would be required to address issues that were discovered in production. In discussing this problem, my recommendation was, wait for it, to deploy more often. Nobody really was excited by this notion, least of all the team members who were getting up at 4am for these deployment days. I decided to bet on my recommendation with data. The team didn't have a fixed deployment schedule, so there was enough variability that we could capture some statistics and draw some conclusions. I had the team start tracking the number of days since the last deployment, the number of bugs found post-deployment, and whether the deployment was successful, where success meant that it didn't need rolled back and didn't have any major problems. They captured this data, along with trying to deploy a little more frequently, for a number of months. When we reviewed the data, it was clear that there was a direct correlation between failed deployments and number of days between deployments. This made sense, especially when the team reviewed the data and saw that most of the deployments that took place within very small time windows were just fixes to deployments that had just been made earlier that week. These deployments were made during regular business hours because they weren't considered high risk! With this data backing up the recommendation, the team was ready to buy into more frequent deployments. Last year, they doubled the number of deployments they made. It's February as I'm recording this show, and this year they're looking to double that number again, which will require multiple deployments per week. Martin Fowler's article on this topic notes that many of these activities have an amount of pain that increases dramatically as a function of time between repetitions. There's an exponential increase in pain as time increases, and this is why it makes sense to increases the frequency of the task. Not all activities will necessarily have this exponential increase in pain relative to time, but if you suspect part of your process does, see if you can boost its frequency. The most obvious cause of this exponential relationship is complexity. Working with large, complex things is exponentially more difficult compared to a series of small, simple things. This is why pull requests should be small and focus on one thing. It's why methods and classes should be small and focused. And it's a reason why parts of your software process should be pipelines working on small changes rather than huge, stressful ordeals that only happen once in a blue moon. Incidentally, this same concept is one of the reasons I prefer Kanban to Scrum and other sprint-based processes, but perhaps I'll cover that in another episode.
