Challenges in Secondary Sales Hello, this is Hall T. Martin with the Startup Funding Espresso -- your daily shot of startup funding and investing. There are several obstacles to overcome in completing a secondary sale. Here are some challenges to consider: Board approval -- In many cases, the company must approve any founder shares being sold.  Right of First Refusal -- companies that have raised funding have Rights of First Refusal on any offers of stock sales.   The company must sign off those rights to allow others to purchase the shares. Co-Sale Rights -- Investors may have Co-sale rights which require any purchasers of the company's stock to purchase an equal amount from the investors. Corporate Laws -- some states have regulations around the re-sale of the company's stock. Transfer restrictions -- some companies have restrictions on the transfer of stock and must approve any transfers. 409A valuation issues -- the company uses a 409A valuation to set the price for employee stock options.  Any secondary sales of the company's stock above that 409A price may increase the 409A valuation impacting the price of employee stock options. We reached out to ITC Holdings Corp. for the transmission owner's view on monopoly transmission development and the incumbent transmission owner's right of first refusal, known by the acronym ROFR, to build new interregional transmission grid projects.The issue has come to the fore as the federal government plans to undertake a massive buildout of the U.S. transmission network, and separately as the Federal Energy Regulatory Commission has proposed, in an as-yet unfinalized rulemaking, to partially reinstate ROFR for interregional transmission projects in hopes of sparking more much-needed transmission development.The competitive selection process is too cumbersome to rapidly move oftentimes  controversial transmission projects, says Nathan Benedict, an economist and ITC's manager of regulatory strategies. "Relaxing of the federal ROFR has made it harder to collaborate on projects. When we think about . . . what it takes to get a regional transmission plan put together, you need people to come to the table who trust one another and who are focused on the reliability of the grid and not focused on dividing out these pieces in order to subject them to competitive bidding."But how do we ensure that electricity consumers pay the least cost for the transmission buildout without competitive solicitations? "It's as easy as regulation," he says. Those who advocate denying the incumbent transmission owner the right of first refusal to build new transmission projects "are essentially wanting to bid on projects because they want monopoly rights," Benedict says. "What it is is it's a regulated bidding process that just creates new incumbents."State lawmakers have been rushing to adopt new state-level ROFR mandates, and several of those already in place have been subject to litigation in both state and federal courts. Benedict declined to speak directly to a recent Iowa Supreme Court decision rejecting that state's ROFR as "quintissentionally crony capitalism." Nevertheless, he rejected the idea that ROFR protections for incumbent transmission owners represents crony capitalism. "It's simply regulation like we've had for a hundred years," he says.Benedict is skeptical that FERC's proposed change in the federal ROFR standard will make much of a difference. He calls FERC's proposal a "limited reinstatement," and maintains full restoration of the federal ROFR is necessary. FERC's proposal is "a move in the right direction. But clearly, it's not enough to just do that."Support the show

It is another company or potential acquirer in your industry, it can be a competitor, or someone doing something similar to your business. [3:05] What happens if a larger business is interested in yours? If your company is struggling with capital and resources, it may seem like a great opportunity for a larger player to be part of your company. [4:22] Why do big companies care about investing in smaller companies? Sometimes a bigger company shows interest in a smaller one due to its technology.  An acquisition of a small company can be quicker than dealing with large company bureaucracy and red tape. [7:11] What ways can a bigger company invest in your company that do not necessarily look like an investment? A specific customer arrangement could be one way (some companies can ask for exclusivity in a particular market or ask for the best pricing offered). Some companies can take a lot of your company's manufacturing capacity, which in the long-term could really be a growth constraint. [11:45] Tammie and Tim address the Right of First Refusal. April 2022 set a new record high for the number of contracts Disney Vacation Club bought back through the Right of First Refusal process. The ROFR monster was set free and gobbled up 41.61% of the contracts sold in April. Average sales prices saw a decrease of about 3.1% or $6 per point on average. Generally speaking, if a person sells a property without first offering it to the owner of the neighboring property, the neighbor can approach Bet Din (the Rabbinical Court) and demand the sale's revocation. The rule of "Bar Masra" dictates that a prospective seller of property must first offer the land or building to the neighbor before selling it to a third party, and if he did not, the neighbor can demand that the sale be annulled so that he can purchase the property.There are, however, a number of exceptions to this rule, as discussed by the Shulhan Aruch (Hoshen Mishpat, 175). Firstly, if a house was sold to somebody in need of a home, such as a person whose house burned down, Heaven forbid, then the neighbor cannot demand the sale's revocation. Since the person who purchased the home is in dire need of a place to live, this buyer takes precedence over the neighbor, who already has a home and seeks merely to expand his assets (Rama on Hoshen Mishpat, 49.)Furthermore, if the individual sells his property due to an immediate need for cash, and the buyer produced the money up front while the neighbor would need time to secure a loan, Bet Din does not revoke the sale. Here, too, one of the parties involved has a particular need that overrides the general preference afforded to the owner of the neighboring property. (Hoshen Mishpat, 43)Another case in which the rule of "Bar Masra" does not apply is where the neighbor wishes to purchase the property for somebody else, such as his child or colleague. The rule of "Bar Masra" was enacted due to the unique benefit the neighbor could potentially derive from purchasing an adjoining property. Therefore, if he does not plan on using the property himself but rather to purchase it for somebody else, he is not given preference over other prospective buyers. (Hoshen Mishpat, 22)Finally, if the seller wishes to give the property for the purpose of a Mitzva, such as to serve as a synagogue, Yeshiva or charitable organization, the neighbor cannot demand the sale's revocation. (Hoshen Mishpat, 55)The authorities disagree as to whether the law of "Bar Masra" applies when somebody rents the adjoining property. May the renter demand the annulment of the sale of the neighboring property, or is this Halacha restricted to cases where the neighbor owns the adjoining property? The Shulhan Aruch rules that only one who owns the neighboring property can demand the sale's revocation, whereas the Rama (Rabbi Moshe Isserles, Poland, 1525-1572) maintains that even a person renting a house can demand the revocation of the sale of a neighboring house. In such a case, therefore, one must consult with a competent Halachic authority for guidance. (Hoshen Mishpat, 60)Summary: If a person sold his property without first offering it to the owner of the neighboring property, the neighbor can generally have the sale annulled so that he can purchase the property. This provision does not apply in the following cases: 1) the buyer did not have any other home in which to live; 2) the seller was in immediate need for money and the buyer was able to pay in full up front; 3) the neighbor wishes to purchase the house for somebody else; 4) the buyer purchased the house for a Mitzva, such as to be used as a synagogue.If the neighbor rents the facility, and does not own it, it is unclear whether or not he enjoys the right of first of refusal; in such a case one must consult a competent Halachic authority for guidance.See the book- "Pure Money" by Dayan Cohen, pages 179-181.

The Halacha of "Bar Masra" states that when a person sells a house or tract of land, he must grant the owner of the neighboring property the right of first refusal. If the seller sold the property to somebody else without first offering it to the neighbor, the neighbor can go to Bet Din (the Rabbinical Court) to have the sale annulled.Generally, the neighbor can exercise his right of first refusal only immediately upon hearing of the sale; if he does not go to Bet Din immediately upon his hearing of the sale, he cannot go to them later to demand the sale's annulment. The exception to this rule, however, as the Rama (Rabbi Moshe Isserles, Poland, 1525-1572) rules in his glosses to the Hoshen Mishpat section of the Shulhan Aruch (175:32), is when the neighbor was unaware of the Halacha of "Bar Masra" when the sale occurred. If he did not immediately exercise his right of first refusal due to ignorance of this Halacha, when he learns this Halacha he may then exercise his right. Even if he hears of this law only several months or years later, he may approach Bet Din and have them annul the sale and allow him to purchase the adjacent property.Does a business partner enjoy the right of first of refusal? Namely, if a partner in a business decides to sell his share of the company, must he first offer the share to the other partner, or can he sell it to whomever he wishes?The Rama (ibid. 175:53) rules that the law of "Bar Masra" applies only to real estate, and therefore a business partner is not required to first offer his share to the other partner. If, however, he sells his share to somebody with whom the other partner feels incompatible, the other partner can appeal to Bet Din to annul the sale. Since he feels incapable of running the business with the new partner, he has the right to demand the revocation of the sale.Summary: When a person sells a piece of real estate, the owner of the neighboring property has the right of first of refusal which he must exercise immediately. If the land was sold to somebody else and the neighbor did not immediately demand its revocation, he forfeits his right of first refusal, unless he had been unaware of this Halacha at the time of the sale. One who sells his share in a business is not required to first offer the share to his partner; however, if the partner feels incapable of working with the buyer of the other share, he can appeal to Bet Din to revoke the sale. The % of the Maintenance fee that is your property tax can typically be written off when filing taxes ☁ Typically has a Flip Tax ☁ Lower Closing Costs ☁ Community focused, often with stricter policies ☁ Subletting is usually not allowed or regulated/limited with associated fees ☁ Ideal property type for Primary Residence ☁ Can be difficult for non-US Citizens to purchaseDon’t miss the next video which will explain the property purchase process! The terms sheet contains several investor rights relating to Governance and Control.  Here are three of them:  Right of First Refusal   The Right of First Refusal clause says that if a founder sells his or her shares, then the preferred share investor gets the right to buy those founder shares first. Doing so results in increasing the investor's equity ownership in the company. Participation Rights This clause says that if the startup company sells shares to raise more funding, the current investors have the right to buy the shares first.  Registration Rights If the startup registers its stock on the public markets, then the startup must also register the investor stock shares and pay the legal fees for it. In 2011, the Tennessee Legislature passed a law requiring the courts to “order a custody arrangement that permits both parents to enjoy the maximum participation possible in the life of the child consistent with the [best interest of the child].”  It makes since that if one parent is unable to care for the child during his or her parenting time, the other parent should be given an opportunity to do so before a baby sitter is used.  Such an arrangement will “permit both parents to enjoy the maximum participation possible in the life of the child. . . .” This is called a right of first refusal.  Care should be used when drafting a right of first refusal.  Factors to be considered are things such as a minimum amount of time before the right kicks in, a set period of time for giving notice to the other parent of the option to exercise the right, and a requirement to let the other parent know within a reasonable time whether or not the option will be exercised. The following is an example of an actual right of first refusal in a permanent parenting plan order approved by the court:  “If either parent is unable to spend time with the child during that parents parenting time and would otherwise be forced to utilize a third party to stay with the child, the other parent shall have the option to spend that time with the child.  The parent who is scheduled to have parenting time shall give the other parent at least four (4) hours’ notice of the inability of that parent to spend time with the child and the other parent shall either accept or reject the opportunity to spent that time with the child at least two (2) hours following the notice.” Rights of first refusal are generally a good idea as long as there are limits in place.  It is best to work out a general agreement with the other parent and then have a qualified family law attorney draft the actual agreement.
