Delay after delay on the construction of the Sydney CBD's Light Rail, which began in 2015, has been found to have caused "unreasonable" interference to businesses along George Street.  On Wednesday, the NSW Supreme Court made that decision, which now opens the path for a potential hundreds of businesses to seek compensation for disruption caused by the drawn-out construction. With the 58th NSW Parliament opening this week my WilmsFront guest is freshly elected Liberal Democrats MLC the Hon John Ruddick to discuss the issues he will be pursuing in the parliament. John spent 25 years attempting to democratize the Liberal Party even publishing a manifesto Make the Liberal Party Great Again. But in 2021 with the Liberal Government in his home state of NSW plunging Sydney into an extended covid lockdown John joined the Liberal Democrats. John was the lead NSW Senate candidate for the Liberal Democrats at the 2022 federal election. The NSW membership endorsed him to be their lead candidate for the Legislative Council in the 2023 state election but the state executive decided to disendorse him. A special state general meeting was organized by the membership which replaced the state executive and re-endorsed John as their lead candidate. The Liberal Democrats campaigned on a freedom manifesto including covid justice. The NSW Government recently suspended its pursuit of unpaid covid fines after an NSW Supreme Court decision that ruled that writing failing to comply with a public health order on a penalty notice was not valid. As a party that supports individual freedom and choice the Liberal Democrats abhor the Albanese Government's new vaping restrictions which will only see those with medical prescriptions legally able to purchase and import vaping products. The Liberal Democrats will be forced to change their name following new legislation passed by the Morrison Government which forbids other parties from using the name Liberal other than the first registered Liberal Party. The local market followed in the footsteps of Wall Street today, closing the second last trading session of the week down 0.2%, amid the release of unemployment data showing a decline in the country's unemployment rate, which was a result vastly different to what economists' were expecting. Consumer staples was the leading sector today, while the energy sector weighed down on the market.The big story of was Perpetual (ASX:PPT) shares falling 13% today, while Pendal (ASX:PDL) shares jumped more than 10% during the session, after the NSW Supreme Court ruled Perpetual could face costly penalties if it walks away from the planned transaction to buy out rival Pendal, in favour of pursuing a buyout of its own, by BPEA and Regal Partners. The court ordered that the ‘break fee' of $23 million would not be an exclusive remedy for Perpetual to pay, if it walked away, and that Pendal could see orders to enforce Perpetual's obligations to complete the scheme.The winning stocks today were Pendal (ASX:PDL), Webjet (ASX:WEB) and Fisher and Paykel (ASX:FPH). And on the losing end, Perpetual (ASX:PPT) declined the most, followed by New Hope Corporation (ASX:NHC) and Whitehaven Coal (ASX:WHC).The most traded stocks by Bell Direct clients today were National Australia Bank (ASX:NAB), Terracom (ASX:TER) and Argosy Minerals (ASX:AGY).Australia's jobless rate declined 0.1% to 3.4% in October, the lowest level since the mid-1970s, defying economists' expectations of an increase in unemployment. Around 32,000 jobs were added to the Australian economy in October and seasonally adjusted monthly hours worked increased by 2.3% reflecting fewer employed people than usual taking leave during October. Floods across NSW, Victoria and Tasmania saw more people working reduced hours though due to the bad weather events.On the commodities front, oil has dropped 1.5% and is currently trading at US$84 per barrel. Gold is also in the red at US$1,762 an ounce, while iron ore has jumped more than 2% to US$99 per tonne.And the Aussie dollar is buying 67 US cents, 56.93 British Pence, 93.57 Japanese Yen and NZ$1.09.

The Australian market's rally extended into a fourth straight session today with the key index ending the day up 0.65%, driven by a surge in real estate stocks today.ANZ consumer confidence data for last week out today shows Aussie confidence fell 0.5% following the RBA's latest interest rate hike, however Westpac Consumer Confidence data for September also out today showed an increase of 3.9%, rebounding from a 3% fall in August and rising for the first time since November 2021.NAB business confidence data was also released today, which showed businesses were also confident in August as the index rose 2 points to 10 in August and conditions remain strong across the states and most industries indicating that demand remains strong. NAB expects that inflation and rising interest rates will eventually begin to weigh on household budgets which will in-turn lead to decreasing demand.The best performing stocks today were Chalice Mining (ASX:CHN) which added almost 10%, NOVONIX (ASX:NVX) gained 7.5% and BrainChip (ASX:BRN) jumped 5.8%.The bigger stories came out of the losing front today:Link Administration (ASX:LNK) nosedived more than 20% as investors fled the stock on concerns that the company's proposed $2.5b buyout by Dye & Durham would be derailed by the UK's Financial Conduct Authority's regulatory approval process.A consortium of investors led by KKR pulled out of takeover talks with Ramsay Health Care (ASX:RHC) for a buyout worth nearly $30b which led to Ramsay Health Care shares tumbling 10%.Woolworths' (ASX:WOW) acquisition of 80.2% of issued shares in MyDeal was approved by the NSW Supreme Court today. It is expected that an office copy of the Court orders will be lodged with ASIC tomorrow, at which time the Scheme will become legally effective.Star Entertainment Group (ASX:SGR) has been found unfit to hold a casino licence in NSW today following a lengthy inquiry into the hotel and casino giant by the NSW Independent Casino Commission. Shares in SGR rallied more than 3% today in a sign the market expected this outcome from the inquiry and in anticipation of who will come in to recover and restructure the casino giant in order to comply with regulations. The top traded stocks by Bell Direct clients today were Mineral Resources (ASX:MIN), BHP Group (ASX:BHP) and Macquarie Group (ASX:MQG).In economic data, investors are eagerly awaiting the release of US inflation data for August which is out later tonight, to gain an insight into whether the cost of living in the world's largest economy continued to decline for the month.

Justice Ian Harrison has handed down his verdict in the murder trial of former teacher and rugby league player Chris Dawson, 40 years after his first wife Lynette Dawson vanished from Sydney's northern beaches. Dawson, 74, faced a judge-alone trial in the NSW Supreme Court, during which his lawyers argued it was possible Lynette abandoned her young daughters and the family's Bayview home in January 1982. She was 33 at the time and her body has never been found. The Crown had alleged Dawson killed his wife and disposed of her body, possibly with assistance, to have an unfettered relationship with a teenage babysitter and his former student, known as JC. Sally Torgoman is an Australian lawyer and commercial advisor specializing in renewable energy transactions and development projects. Sally is a qualified electrical engineer and lawyer and she was admitted to the NSW Supreme Court in 2015 after 10 years of practicing as an engineer. Sally has worked at leading law firms as well as in-house including at Origin Energy, Energy Australia, BlueScope Steel. Today Sally Torgoman is Managing Director at PwC Australia, Energy M&A Practice, Australia's leading energy advisor on solar, wind, pumped hydro, and more recently hydrogen. Prior to joining PwC Australia, she was Global General Counsel of EEW Limited, a renewable energy developer and operator. A recent NSW Supreme Court case has found that an employer can be held responsible for family violence when staff work from home. “It’s an area that employers have been reluctant to get involved in – what happens at home, stays at home, and the two shall never meet,” said Tammy Tansley – HR, Leadership and Workplace Culture expert. “In this case, the employer was found to be liable for the actions of an employee who killed his de facto partner whilst both were working from home.” “Given it’s estimated that up to 30% of employees will continue to work remotely/flexibly on an ongoing basis, considering the home as part of the workplace is something employers will need to get their heads around.”

Annika loves playing rugby almost as much as she loves having a yarn.  Annika has a double degree in Law and Arts, a Diploma of Legal Practice and is admitted as a Solicitor by the NSW Supreme Court. More recently, she has spent 3 years in corporate development and marketing for a Newcastle based spatial data analytics company. In this episode I sit down with proud Wiradjuri & Wailwan woman Teela Reid. Teela is a defence lawyer, former teacher, 5 x marathoner and activist. She was awarded UNSW Law Dean’s Women of Excellence List and was appointed tipstaff to her Honour Justice Lucy McCallum in the NSW Supreme Court. Ms Reid was invited to sit in on leadership meetings in Melbourne that began the foundation of the Uluru Statement of the Heart and became a working group leader on Section 51(xxvi) in the Constitutional dialogue process. Teela shares why our constitution needs to change to acknowledge the Indigenous people of this land, and how when we include this significant part of our culture and our history, we are not losing 200 years of history we are gaining an inclusion to the 60,000 years of Indigenous culture. Which is certainly something I want for my kids. Teela’s call is for all of us to be a part of this change. Can a director run legal proceedings on behalf of a company *without lawyers*? A company sought leave to appeal a decision of the NSW Supreme Court. A director sought to run the application on the company’s behalf. If a company wants to start and run Supreme Court litigation by a director, without a lawyer, then that director must also be a party to the proceedings: UCRP r7.1(3). The director and the company were both parties seeking leave to appeal. The Court of Appeal has the power to dispense with the requirement to comply with r7.1(3) in special or particular circumstances: [5] and [6]. A number of factors weighed in the director’s favour: (i) she had a 25% shareholding, appeared to be the CEO, and there had been no previous challenge to her authority, (ii) it was alleged the corporation was too poor to afford solicitors, so preventing it from proceeding without them would effectively decide the case, (iii) the dispute is about a small quantum and a straightforward issue ($40K for security for costs), and (iv) the matter is ready to run; if the Court failed to dispense with the rule it would frustrate that process: [7] – [10]. The Court dispensed with the requirement for compliance with r7.1(3) allowing the director to proceed: [11], [15], and [16]

So, when is your loan agreement void for uncertainty? When are a contract's terms so vague that the Court can't find any real agreement between the parties? The NSW Supreme Court considered a loan agreement obliging the borrower to pay interest "at such times, for such periods and at such rate or rates as shall be determined by the lender from time to time": [6]. Generally, when confronted with a knotty term, Courts the Court will try to preserve the contract if possible: [9]. The term above put the "times" and "periods" when interest was to be paid - as well as the rate itself - completely in the control of the lender. Seemingly: there's no interest unless the lender says so! Despite this obscurity, the Court found (bearing in mind the agreement related to unsecured loans in a family trust context) the term was sufficiently certain to be enforceable: [14]. In coming to that conclusion the Court - in my respectful view, wisely - noted the likelihood that parties to a contract of this sort might "sit down with (their) accountant" to work out the interest payments on the basis of reasonableness. We find, perhaps as always: accountants to the rescue! Hope you get some value from this episode!

Independent journalist and commentator Michael Brull recently wrote a three-part special report for New Matilda on conflict within the NSW Greens. The piece focuses on a dispute, which eventually made its way to the NSW Supreme Court, over the validity of Cate Faehrmann standing for preselection in the upper house of state parliament. Faehrmann, who won the court case and is now expected to take up the Legislative Council seat vacated by Mehreen Faruqi, is a person of some standing within the party structure, having served as Richard Di Natale’s chief-of-staff from 2015 until March of this year. It’s fair to say the prospect of her nomination was not welcomed by all party members. Indeed, some media commentators, as well as people inside the Greens, have characterised this dispute as one shaped by an ongoing, increasingly bitter civil war between the hard left and so-called moderate factions of the state party branch. Alex Whisson caught up with Michael Brull and began by asking him to outline what the dispute was about and what, in his view, its political significance was.

Over the last 12 months, there has been a lot of discussion amongst accountants as to how they can best respond to the market trends that are occurring which have been supported by various surveys of small business operators – that small/medium enterprises in Australia and New Zealand want to receive additional business services from their accountant.   In the first instance, I believe you should be sitting down with your accountant so that your accountant can assist you and spend some time, on a weekly basis, working ON your business, rather than continually working IN your business.   Some of the items that you might consider in these conversations include: ·           What does your accountant think of your business? ·           Have they prepared a SWOT analysis (strengths, weaknesses, opportunities and threats)? ·           What do the management financial accounts for your business indicate?  Please ensure that those accounts are prepared on an individual business basis, not all being lumped together in one Profit & Loss Account. ·           What are the Key Performance Indicators (KPIs) and ratios? ·           How does your business line up and benchmark against other businesses?  If you would like a benchmarking report prepared, please talk to your accountants. ·           How does your business compare with budgets and cashflow forecasts when compared to your actual results? ·           Is there any cost reviews you would like undertaken in your business?  Accountants are well aware that, in a survey conducted 2 ½ years ago by CCH on 1,348 small/medium enterprises, identified cost management as the biggest single problem that small/medium enterprises have.   Other items to consider include:   Business Plans·           Do you have a business plan? ·           Is your business plan up to date? ·           Does your business plan reflect your current business operations? ·           Do you need a business plan prepared to assist you in achieving your targets?   Financial AreasDo you need some assistance in negotiations with your bank for an increase in an overdraft or a new loan facility?   Capital RaisingHave you thought about the initiatives that the Federal government is currently processing through the Parliament for amendments to the Corporations Code, to enable crowd funding equity companies to be legally formed in Australia, as well as innovation companies?   The crowd funding companies will be able to raise up to $5M, with the maximum retail investor limited to $10,000 per company per annum.  This is going to bring about considerable amounts of work with which your accountants can assist you.   The other type of new company is an innovation company.  This company is going to have special benefits for investors to obtain a taxation rebate on their investment and also a Capital Gains Tax holiday.   TrainingDo your team need some support with extra training on how to understand financial accounts, KPIs and ratios?  Do they need assistance in trying to personalise these types of accounting reports to the circumstances within your business?   If so, your accountant could assist you in undertaking those training courses and you could probably also receive some grant support from the Federal government’s skill development program.  Ask your accountant to look into that.   Grants that are availableAt the same time, have a look at any other grants which you might be able to avail yourselves, such as: ·           Research and Development (must be a company) ·           Export Market Development Grant – you need to be an exporter and you can also claim that grant if you’re proposing to export ·           Business Growth Grant – available for about 650 different types of businesses in Australia   There are always some changes going on in this whole area of grants.  A couple of weeks ago, the Business Development Grant was changed yet again to include the tourism industry in Northern Australia (area North of Tropic of Capricorn, which starts in Rockhampton, Queensland).   PPSR Due DiligenceAre you aware of the Personal Property Securities Act (PPSA) and the associated Personal Property Securities Register (PPSR)?  If not, please ask your accountant to explain to you how this legislation works.   Unfortunately, through ignorance of the PPSA Legislation, millions of dollars have been lost by Australian and international businesses operating in Australia.  Indeed, only a few weeks ago, the NSW Supreme Court issued a judgement on a case in Western Australia that involved a major international corporation from the USA, which lost $60M worth of assets because they had not registered on the PPSR.   Don’t let the words “personal property” confuse you.  This is “business property”.  Why it was called “personal property”, I have no idea.   Succession PlanningHave you got a succession plan?   A succession plan is not something that you prepare just when you’re wanting to sell your business.  It should be something that’s embedded in your organisation at every level.  Your accountant can assist you.   Intellectual Property·           Have you got a strategy to protect the Intellectual Property (IP) that has been produced within your business? ·           Do you have appropriate protection? ·           Are you applying for patents if appropriate?   Debtors·           Do you have a debtors’ management system? ·           Do you know your debtors’ days outstanding figure? ·           Do you think that figure could be improved, which could unleash significant cashflow benefits?   Your accountant can assist you.   Vision·           What’s your vision for your business? ·           Why not write it down?
