We finished up our season full of questions unpacking how our energy system works, who all the players are, and how to approach it in our daily fight for collective resistance and liberation from extraction and colonialism. One thing we do know, is that the energy system does impact every moment we use or communicate through our devices. And right now it is doing harm to communities hosting industrial scale energy facilities, our ʻāina, our native species, and the pocketbooks of working families struggling to make ends meet. For all of the above, we are sharing two bonus episodes from recent panels hosted by grassroots statewide leaders and the Sierra Club of Hawaiʻi as a complement to the Hawaiʻi Energy Conference to raise up indigenous and community voices often ignored in the mainstream. Native Hawaiian intelligence and indigenous perspectives shouldn't just to inform our transition to renewables, but lead the dialogue in this space. The ike of kupuna is not something added after the fact but should be at the inception or lead to the conception of an idea. The right foundation of knowledge can steer us back to the path that worked on our islands that worked for thousands of years before colonial contact- corporate power- and profit driven models. On the panel are: scholar, kumu, and kiaʻi Dr. Pualani Kanakaʻole Kanahele, s Tēvita Kaʻili, and Ikaika Hussey. Moderated by Todd Yamashita- President of Hoʻāhu Energy Cooperative we spoke with for episode three this season. If you haven't watched them, we think you should. The presentations were powerful and visuals would help with many of the references made, especially by the brilliance of Dr. Kanahele on Nā Kiʻiki Akua- Godly images. About the lecture: In this lecture, Dr. Sara Vakhshouri will discuss the fundamentals and changes in the energy market, and Mr. C. Derek Campbell will talk about physical security of energy infrastructure and cyber security. This lecture will cover themes from Dr. Vakhshouri's IWP course on “Energy Security and the New Geopolitics of Energy.” The course focuses on the transformation of energy use over the past century and on expanding our understanding of today's concepts of energy and how they fit within the rubric of national security. About the Speakers: C. Derek Campbell is the Chief Executive Officer of Energy & Natural Resource Security, Inc., an international security company providing “best-inclass” physical and cyber risk mitigation solutions for Critical Energy Infrastructure and Natural Resource assets. In this role, he leads the strategic engagements of the company and directs the development of all market entry strategies. In the public sector, during 2016, Derek served as a Special Security Advisor for the U.S. Special Envoy's Office on South Sudan, where he lead the South Sudanese Ministry of Interior in the development and implementation of the Joint Operations Center(JOC) which is charged with de-militarizing and establishing police primacy for security in the capital city of Juba, South Sudan. As a United States Marine Officer, Derek served as the Marine Liaison Officer to the Defense Threat Reduction Agency (DTRA) where he oversaw all Marine Corps Counter-Threat initiatives: CounterDrone/Counter-UAS, Counter-IED, Counter-Tunnel and the like from 2016 to 2019. From 2014 to 2015, Derek served as the Chief of Military Plans for the United Nations Mission in South Sudan (UNMISS) – a Chapter VII Peace Enforcement Mission. Derek is a regular on the international Oil & Gas/Energy speaking circuit speaking as an authority on topics such as Energy Security and the Extractive Industry geo-political and market dynamics in Africa. Dr. Sara Vakhshouri is founder and president of SVB Energy International, a strategic energy consulting firm with offices in Washington DC and Dubai. Dr. Vakhshouri has about two decades of experience of working in the energy industry with an extensive experience in global energy market studies, energy strategy, energy security and geopolitical risk. She has consulted numerous governments, public and private entities, and international organizations like IMF & World Bank. She is also member of the Energy Task Force of the Cyprus Climate Initiative which was launched and initiated by the President of the Republic of Cyprus. She is also Professor of Energy Security at the Institute of World Politics. Dr. Vakhshouri has been a keynote speaker at prestigious energy conferences including the World Energy Congress, Chatham House Middle East & Energy Conference, Platts Oil and Middle East conferences and the Global LNG Congress. She has also been a keynote speaker at Duke University, Sciences Po university in Paris and Johns Hopkins University. Dr. Vakhshouri is frequently quoted and has appeared on Bloomberg, the BBC, The Financial Times, Reuters, Platts, The Wall Street Journal, Energy Intelligence, Foreign Policy, The Washington Post and Voice of America. It is safe to say that all electricity customers want reliable and resilient power service. One way that some end-users are ensuring they get it is by investing in distributed energy resources and building microgrids. But rather than simply using these systems as emergency backups, more and more owners are finding ways to capture economic benefits from them. Distributed energy resources can help shave peak loads, shift time-of-use, and support ancillary services, which all provide value to owners. Nonetheless, utilities generally set the rules; they establish the rate tariffs. As such, utilities have the ability to alter how the game is played. According to Amy Simpkins, CEO of muGrid, there are a number of ways that utilities can influence how large commercial and industrial customers behave simply by modifying the rules. Simpkins will give a presentation at the Distributed Energy Conference in Golden, Colorado, October 15–17, 2018, during which she will offer a few case studies and show some sensitivity analysis. What would happen if demand charges were increased? What if the look-back period was modified? What if time-of-use rates were shuffled? Simpkins' presentation—“How to Incentivize Your Utility Customers to Do What You Want”—will focus on the “knobs utilities can turn” to sway customer behavior. Attendees may find that power companies have more control than they realize over what customers choose to do in the end. Furthermore, the solution can be win-win.

The annual Texas Renewable Energy Industries Alliance (TREIA) conference is on October 23 and 24 in Georgetown, Texas. It is called GridNext. TREIA is a nonprofit organization working to promote and advance the renewable energy industry in Texas. It is a network of project developers, corporations, financial institutions, end users, utilities, manufacturers, service providers, academia, and government leaders working to scale renewable energy, grow the local economy, and create jobs. Its industry stakeholders are involved in solar, wind, biomass, biofuel, energy efficiency, geothermal, hydro, ocean, and energy storage. The GridNEXT conference is TREIA’s power industry conference focused specifically on how renewable energy technologies are transforming the electric grid of the future. The keynote speaker will be Former Vice President Al Gore. Our guest on Shades of Green this week were: Melissa Miller, President of the TREIA Board. She is also the Project Development Manager at EDF Renewable Energy, and has experience developing Texas renewables since 2002. Day 6 of One Month to Better 3rd Party Management

An important part of the job duties of any compliance practitioner is clearing red flags which might appear for a proposed third-party relationship during the due diligence process. It is mandatory that not only must all red flags be cleared but there also be evidence of the decision-making process to show to a regulator if one comes knocking. The Justice Department Evaluation of Corporate Compliance Program states under Prong 10 the following, “Real Actions and Consequences – Were red flags identified from the due diligence of the third parties involved in the misconduct and how were they resolved?” There is no set formula or guideline for clearing red flags or evaluating due diligence. One approach came from two compliance practitioners at GE Oil & Gas, Flora Francis and Andrew Baird made at the 2014 SCCE Utility and Energy Conference on GE’s third party risk management, where they described the process by which GE reviews the risks around each third party with which it does business.  Some of the factors which GE considers, when evaluating a third party, include the following:  Business Model: Do we need third parties to reach our customers or can we build the organization ourselves? In-house Capabilities: Do we already have the organization in place to handle these capabilities? Overlap: Do we already have a third party in the region/country that can handle our needs? Volume of Business: How much business will this third party bring to the company? Compliance Risk: Where is the third party located? Will they interact with government officials? Do they have same commitment to compliance? Regulatory Environment: Is it simple or strict? What are the chances of regulatory violations? Reputation: What is the third party’s reputation in the market?  GE takes this information and then break downs the risks down into low risk and high risk. A low risk received a limited review and analysis, while a high risk receives an escalated review and analysis consisting of the following reviews: compliance, legal, business leadership and finance. But more than simply the level of review, I was interested in the ‘Risk Score Drivers’ that GE has developed. Once again, the speakers emphasized that these are GE’s risk score drivers and have been developed over time through the company’s internal analysis and processes. Nevertheless I found them to be a very useful way to think about third party risk. The risk score drivers listed were:  Country channel where the third party is located in or where it sells into; Experience by the third party with the sales channel; Type of third party involved; agent, reseller, distributor; Commission rate, is it standard v. non-standard; Will any sub-third party relationships be involved; Will the third party sell to government entity or instrumentality; Do any of the third party’s principals, Officers or Agents work for a foreign government, state owned enterprise or political party; Was the third party mandated by customer or the end user; What is the third party’s contract duration; Is the third party involved in more than one project; Does the third party have any historical compliance issues; What is the percent of sales with products or services; and What is GE’s annual revenue with the third party?  GE compliance then takes these scoring factors and puts them into an evaluation matrix when determining the amount of risk involved and a Go/NoGo decision whether the company should move forward with a proposed third party.  One approach came from Randy Corley, Executive Vice President (EVP), Global Compliance Officer at Edelmen Inc. I found his questions to be very relevant when considering how far down the chain a company must go.  Step 1: How Much is Enough? Here your goal is to have a realistic process so that it can be effectively managed and still be of sufficient value for the business unit decision makers, who have the ultimate responsibility over the company’s third parties.  Step 2: How Deep Do We Dig? Here I think the question you should consider is how many tiers down you must go in managing your third parties? Clearly you should manage all direct counter-parties in the sales chain and those considered high-risk in the supply chain. Further, in the sales chain, I think you need to know directly if your business representatives are sub-contracting down your business representation, at least through one tier. On the supply chain, if a high-risk truly is a high-risk for bribery and corruption under your internal evaluation system, you should also consider digging down one tier.  Step 3: What Do You Need To Know? While with your first-tier relationships you may scope your review depending on your internal risk assessment and attendant risk ranking, your data collection down the chain may not need to be as robust. For counter-parties further down the chain than tier 2, a list of actual and beneficial owners, coupled with commitments to follow relevant anti-corruption legislation is needed. Such commitments should be secured through each tier’s contract with its counter-parties.  Step 4: What Did We Learn? If there is any information from which Red Flags appear, they must be cleared. If additional information is needed or points clarified, now is the time to do it and not wait until later in the process. Here I would rely on Jan Farley’s proscription not to stretch your compliance program too thin. Focus your training, communication and management on your direct counter-parties and communicate to them that your company expects them to manage their relationships with their direct counter-parties, which would include the clearing of any Red Flags that may have appeared.  Step 5: Then What? After you have made your decision you still need to manage the relationship. This will entail continuing compliance communications with your direct counter-parties on an ongoing basis. Preferably your business unit sponsor will do this but as the compliance practitioner, you should also be mindful of checking in from time-to-time with your third parties. As your compliance program matures, you also reach the point where you will need to consider auditing of your third parties from the compliance perspective. Finally, do not forget the three most important things about your FCPA compliance program: “Document, Document and Document” the entire process.  In the area of third parties, consider what risks you face in both your sales and supply chain. If there is a key player several tiers down the line who creates or builds a key component or delivers a critical service, you may want to put more management around that relationship from the compliance perspective. For anything below a tier 2; you may be able to manage your risks through having your direct tier 1 counter-party take the lead in managing such compliance risks. But make sure that the expectation is communicated to your direct counter-party so that if the government comes knocking you can show that not only did you contractually obligate your direct counter-party to do so but that you provided them the tools and training to do so. Finally, you will need to be able to show that your direct counter-party did so.  Three Key Takeaways There is no set formula for clearing of red flags or the evaluation of due diligence. Know when to say enough has been done. Bill has 35 years of experience in the implementation of moisture, indoor air quality/HVAC evaluation, energy, and engineering HVAC/building science diagnostic program evaluations in school, commercial, health care, laboratory, residential, and industrial settings. Experience includes energy analysis, HVAC performance, occupant complaints, building science/moisture intrusion evaluations, air monitoring data collection, quality assurance, technical report preparation, forensics/expert witness, and specific recommendations for corrective action. He also contributed to the USEPA/NIOSH Indoor Air Quality Guide and has served as an adviser for several other documents. This week on IAQ Radio we are going to play Part Two of our interview from the Maine IAQ Council 2015 Northeast IAQ and Energy Conference. Bob Krell of Healthy Indoors Magazine and I interviewed some of the speakers at the event and we have both audio and video recordings to play back for our listeners and readers. The conference was a great success and every year they draw some of the top speakers in the industry. For part two this week we will be replaying our interviews with Sam Rashkin, Paula Schenck, MPH, David Shea, P.E. and Jack Springston, CIH, CSP, FAIHA. We will talk some building science, sampling vs. non sampling, mold and health, vapor intrusion and more! For those of you expecting our Brett Singer, PhD interview we had to push that back a week to accommodate a last minute change in Dr. Singer's plans. Sam Rashkin Chief Architect, Building Technologies Office in the Office of Energy Efficiency and Renewable Energy, U.S. Department of Energy - Washington, D.C. As Chief Architect Mr. Rashkin's work includes leading DOE's world-class research program, Building America, and overseeing the DOE Zero Energy Ready Home voluntary labeling program for leading edge builders. In his prior position, he managed Energy Star for Homes since its start in 1996. He received his Bachelor of Architecture from Syracuse University; completed Masters of Urban Planning studies at New University; York and is a registered architect in California and New York. Paula Schenck, MPH Director of Indoor Environment & Health Programs, UConn Health - Farmington, CT Paula was part of a group that established the Center for Indoor Environments and Health at to UCONN on this objective. She developed multiple initiatives directed at improving indoor environments in schools and offices. At the UCONN Occupational Medicine clinic, Paula is called upon to provide guidance on environmental and/or workplace interventions as part of patient treatment. She also teaches environmental health at UCONN, instructs in the masters in public health program, is a seminar leader on asthma and environment and coordinates segments on occupational health in the medical school. David Shea, P.E. Sanborn Head & Associates - Concord, NH As a Principal Engineer with Sanborn, Head & Associates in Concord, New Hampshire, he is responsible for leading vapor intrusion and environmental remediation projects throughout the US and abroad. He has conducted vapor intrusion and mitigation assessments at sites involving more than hundreds of structures and millions of square feet. He holds a B.S. in Civil Engineering from Princeton University and a M.S. in Civil Engineering from M.I.T. He is a licensed professional engineer in 13 states. Jack Springston, CIH, CSP, FAIHA TRC Environmental Corporation - New York, NY Jack Springston has over 27 years of experience in industrial hygiene and occupational health. He has been a Certified Industrial Hygienist (CIH) since 1993, and is one of only approximately 50 active CIHs who also hold a sub-specialty certificate in Indoor Environmental Quality (IEQ). Jack received a BS Degree in Environmental Science and Biology from LIU/Southampton College and a MS Degree in Environmental and Occupational Health Sciences from CUNY/Hunter College. He is a past-Chair of both the American Industrial Hygiene Association's (AIHA) Indoor Environmental Quality committee and the Bio-safety and Environmental Microbiology committee and is an AIHA Distinguished Fellow.
