Startups increasingly depend on mergers and acquisitions for exits due to a sluggish IPO market. Private equity firms have invested over $56 billion in acquiring private, venture-backed companies in the past five years. In 2023, private equity firms announced 22 acquisitions of seed- or venture-funded private companies, with three deals revealing a total of $8.3 billion. Notable recent transactions include ModMed's $5.3 billion sale to Clearlake Capital Group and HealthEdge's $2.6 billion acquisition by Bain Capital. Private equity firms prefer to buy established companies with substantial revenue, often resulting in acquisitions of mature startups. Seed-stage companies are less likely to attract private equity interest, as they face more favorable exit opportunities from strategic industry buyers. Although public PE firm valuations have declined, significant numbers of later-stage companies, with 789 private, venture-backed firms in the U.S. valued over $1 billion, present opportunities for acquisitions. Richard Change is co-founder and CEO of PFA Solutions, the provider of FirmView software. FirmView® is the leading carry and compensation management platform for private equity investors to manage their internal compensation from fees and carried interest. Richard was a senior architect for a large private equity firm when he discovered this complex problem that was being managed on spreadsheets. He left to start PFA Solutions and bootstrapped the development of FirmView with consulting revenue. From inception, through growth and ultimately acquisition, Richard never took any outside funding. FirmView adoption grew steadily, serving large private equity firms. PFA Solutions eventually grew to 34 employees before being acquired by Allvue Systems in 2024. This is Nelson John, let's get started. Amid India-China geopolitical tensions, China's Fosun Pharmaceutical is in discussions with three global private equity firms to sell its majority stake in the Hyderabad-based Gland Pharma. Fosun currently owns about 51% of Gland Pharma, after initially acquiring a 74% stake for $1.2 billion. They have hired investment banks Morgan Stanley and UBS to assist with the sale. Global private equity firms Blackstone, Brookfield, and Warburg Pincus are interested in buying this stake, valuing the company at nearly $3 billion. Gland Pharma, founded in 1978, specializes in making generic injectable medicines and serves nearly 90 countries, focusing on India and the U.S. markets. In the December quarter, the company reported revenues of ₹1,384 crore and a profit after tax of ₹204.7 crore.The potential sale is expected to trigger an open offer to Gland Pharma's shareholders, with the buyers aiming to own between 60-65% of the company after the transaction. In a major step toward strengthening digital payment security, the Reserve Bank of India (RBI) has proposed additional factor authentication (AFA) for international card-not-present (CNP) transactions. This means Indian consumers will have an extra layer of security when making payments to foreign merchants—just like they already do for domestic transactions.Now you may wonder what prompted this move by the RBI?It's primarily due to Rising Fraud Cases in international transactions involving unauthorized charges on foreign websites with minimal authentication. Now adding AFA will ensure stronger security standards that safeguard Indian cardholders against such risks.   US-based industrial and aerospace giant Honeywell and Greenko founders-led AM Green signed an agreement on Wednesday to collaborate on manufacturing sustainable aviation fuel (SAF) in India from biofuels, including ethanol, methanol, and green hydrogen. Under this agreement, Honeywell's cutting-edge technology will be leveraged to produce SAF from renewable sources, aligning with global efforts to transition toward greener energy solutions. AM Green, a company backed by the founders of renewable energy giant Greenko, will focus on production and scaling operations in India, catering to both domestic and international markets.The companies will assess the feasibility of making SAF in India to reduce the country's oil import dependence, helping shipping companies adopt the low-emission fuel, and aiding aviation companies to meet International Civil Aviation Organisation guidelines for low-carbon fuel replacements. The global aviation industry is under increasing pressure to cut carbon emissions, and SAF has emerged as a key solution. This partnership strengthens India's role in the green energy revolution, supporting global decarbonization goals while reducing reliance on fossil fuels. Over two dozen Indian startups are expected to go public in the coming months, including big names like Groww, Lenskart, and Zepto, which could see billion-dollar IPOs. Smaller companies like Ather Energy, BoAt, Bluestone, Infra.market, PhysicsWallah, PayU, and Pine Labs are also gearing up for their stock market debuts. This is a jump from last year when only 13 startups, including Swiggy, Ola Electric, and FirstCry, went public. However, market conditions are getting tougher. Investment bankers say startups might need to adjust their IPO sizes and valuations due to recent global economic shifts. The US stock market has been hit hard after President Donald Trump announced new tariffs, leading to uncertainty in global equity markets. India's Nifty 50 index is down 12.5% from its peak last September, with foreign investors selling off shares. Amid tough market conditions and lock-in expiries those looking to invest in upcoming IPOs could also be staring at losses in the short term      At the Maha Kumbh Mela, India's largest spiritual gathering, several startups are seizing the opportunity to engage with the vast influx of pilgrims. Zomato-owned Blinkit has set up a temporary store offering ritual-related items and other essentials. Swiggy's Instamart has established a stall near the Triveni Sangam to serve attendees. PhonePe, in collaboration with ICICI Lombard General Insurance, is providing affordable travel insurance plans tailored for Kumbh visitors. Chai Point has deployed around 175 personnel and 18-20 mini stations, utilizing brewing bots capable of producing 15 liters of tea every 12 minutes, resulting in daily sales of approximately 160,000 cups reports Peiyamvada C. Now these initiatives not only cater to the immediate needs of pilgrims but also serve as strategic moves for brand visibility and customer acquisition. By adjusting pricing and packaging, these startups aim to connect with a broader audience beyond their typical urban clientele, gathering valuable insights for future expansions.

The Art of Selling a Digital Marketing Agency: Insights from an ExpertOur conversation was a deep dive into the process of selling a digital marketing agency, and I'm excited to share the wealth of knowledge Todd imparted during our discussion.Understanding the Transaction LandscapeTodd began by shedding light on a common misconception about selling a business. Many assume it's an exit strategy, but Todd clarified that for most sellers, it's an evolution and acceleration of their business. He pointed out that the typical clients in these transactions are digital marketing agencies with a net profit ranging from $1 million to $5 million of EBITDA (Earnings Before Interest, Taxes, Depreciation, and Amortization).Who's Buying?The buyers, Todd explained, are often private equity firms or companies that are backed by private equity. This is a crucial piece of the puzzle because these buyers are not just looking for a quick purchase; they're looking for a business they can grow into something much larger.The Deal StructureOne of the most eye-opening aspects of our conversation was the financial structure of these deals. Sellers usually receive a significant cash payout, which is about 50 to 70% of the deal's value. But that's not all—they also retain equity in the larger, combined company. Todd emphasized that the goal is for the 'second bite'—the value of the remaining equity—to be larger than the initial cash payout.A Real-World ExampleTodd provided a tangible example of a company that sold for $8 million while retaining a 40% stake. Over time, as the company's EBITDA doubled to $16 million, the value of that retained equity soared, making the sellers' stake in the larger entity even more lucrative.Life After the SaleA key question I posed to Todd was about the post-sale life for sellers. Do they need to show up every day? Do they have a new boss? Todd's response was enlightening. While sellers do have targets to meet, they essentially work for themselves if they hit those numbers. However, if they miss their targets, they find themselves working for the buyers. This dynamic creates a balance between independence and accountability.The Importance of EBITDA and GrowthThroughout our conversation, Todd reiterated the importance of EBITDA, recurring revenue, and client retention. He also mentioned that even businesses with narrower offerings could find opportunities for transactions.
