In this one, Cody talks to Rick DeVoe. From 1994 to 2018, he promoted and managed bands like Pennywise, Unwritten Law, The Offspring and Blink 182. The bands weren't the ubiquitous names they are today, they were local bands. Punk rockers from California, still trying to make a name for themselves. Until Rick had an idea: What if he got their music into surf videos? They could play at video premieres, events and competitions. The first time this idea was put into effect was in 1994, with director Taylor Steele's “Good Times.” Taylor's videos featured guys like Kelly Slater, Shane Dorian and Rob Machado, and the sound of punk went right along with their styles of surfing. Eventually, with the help of guys like Rob Morrow — the founder of Morrow Snowboards — Rick found that that punk sound fit nicely into snowboard culture as well. He found that, at the time, there was a common language of anti-establishment and punk rock mentality that ran through surfing, skateboarding and snowboarding. In the early 90s, Rick brought punk bands to the King of the Hill competition in Thompson Pass twice. The first time, it was Pennywise and The Offspring. The second time, it was Pennywise again, but this time with Blink 182. He admits they were all out of their element in the mountains, but when they took the stage they were right back in their element, rocking a crowd. Before all of that, though, they were on a plane — Rick, the bands and their entourages. There were about 20 to 25 of them and they had flown from LAX to Anchorage, then they hopped on a smaller plane that took them to Valdez. This moment, in that small plane, is one that Rick will remember for the rest of his life. How some of the most influential punk rockers of this generation were buzzing along, headed to some of the most iconic mountains in the world. In the wealth management industry, deals have been reaching record-breaking levels in recent years; however, a recent DeVoe report showed a significant drop in deals in October 2022, which raised concerns among industry professionals. Despite this report, I personally did not observe any impact on deals at the time. Valuations were still holding strong, and deal structures were simply adjusting by requiring less upfront investment and more in the back end. This allowed sellers to still receive full value for their assets. Despite this dip in the deal market, the overall deal flow was still strong, and valuations remained high. It is important to note that the state of the deal market can be influenced by a variety of factors: Inflation Higher interest rates A less stable stock market World events All of the above, and more, can potentially have an impact on deal flow, interest, and availability. While there may be assumptions that high deal volumes and interest rates are directly related, this is not necessarily the case. In fact, high deal volumes have occurred during times when interest rates were in double digits. It is important to understand that the impact of these factors can vary greatly depending on the industry and sector. As such, it is crucial for wealth management professionals to stay informed about these trends and be proactive in adjusting their strategies accordingly. As a lawyer, I am a documenter of deals, but I am also a trusted advisor to my clients. It's important to understand both the market conditions and the motivations behind each deal, and to find a balance that works for everyone involved. THE IMPORTANCE OF UNDERSTANDING LONG-TERM TRENDS IN DEAL FLOW Despite still seeing pretty stable deal flow and valuations, I do recognize that there can be impact on deal flow and the investment landscape when interest rates rise to the degree in which they currently have. In fact, the recent hike of 3/4th of a point was beyond what was expected, and may very well have an impact on the market. Personally, however, this potential correlation has been slow to materialize. I've only had one client pull out of a deal. That's not to discredit DeVoe's data – it's solid data – however, my undertaking of the recent RIA M&A series has given me a look into how exactly that data is expressing itself in the real world. My interviews, especially with buy-side RIA aggregators and integrators has shown me that there's still a significant deal flow and interest happening. It is possible that there may just be some lag time before the effect of the rate hikes really begin to reveal themselves, and it may very well be too soon to tell if this is just a temporary dip, or something more long-lasting. A FLUCTUATING MARKET AFFECT SPACES DIFFERENTLY An important thing to take into consideration when evaluating any relationship between the market and deal flows is that each sector is different. The market can impact different sectors in any number of ways. For example, the COVID-19 pandemic's effects on the market showed some interesting results. The housing market is subject to fluctuations, and high housing values can lead to a period of adjustment for both buyers and sellers. During times of economic change, uncertainty can cause individuals to slow the process of buying or selling a house. The gap between a seller's expectations of their home's value and a buyer's willingness to pay can lead to deals not getting done. This can happen in the M&A space as well, where multiples are coming down and buyers are cautious about paying high prices. Sellers may be holding out for prices to go back up, but the motivations for selling a home often go beyond just high valuations. Retirement, merging for better growth, or hitting a limit on growth are all reasons why a seller may still want to sell even if valuations are lower. Market conditions are always a major factor in a client's decision to sell, but there are many other drivers at play as well. I have seen clients pull back from a deal because they still had some gas in the tank and wanted to continue building their business. Other clients may have hit a limit and want to be in a bigger place, freeing themselves up to focus on what they want to do. APPROACHING THE MARKET IN UNCERTAIN TIMES I would be remiss if I didn't emphasize the importance of being cautious and exercising discretion when making deals based solely on market performance or relying solely on general economic reports and media. These generalized reports may not accurately reflect the conditions of your specific industry. I've been in the industry for over 35 years, I've noticed patterns in how the market fluctuates over time – going from hot to slow, and back again. There will always be deals to be made, even in a seemingly “bad” economy. I understand the human tendency to want to avoid uncertainty, but I encourage you to maintain an open mind, and to always keep the possibility of deal-making open. Take in all the information, including external economic and political factors, but do not let them cause you to completely stop considering and making deals. • • • Corey Kupfer is an expert strategist, negotiator, and dealmaker. In the RIA M&A arena, fall is a busy time for conferences. I had the pleasure to attend two such conferences recently, both run by quality investment banking firms competing against one another in the RIA market. Despite each conference being run by competing firms, Echelon Partners and DeVoe & Co, I find it very fascinating the echoing themes between the two conferences. MINORITY INVESTORS The start of the Echelon Partners' conference began with the 10th annual debate between Echelon Founder and CEO Dan Seivert and Mark Tibergien, former CEO of Pershing Advisor Solutions. The annual debate – which I find to be quite fun – involves Dan and Mark taking 6-8 current issues, assigning each an opposing side to argue, and holding a traditional debate. Think back to debate clubs in high school, except in the RIA industry. The debate ends with an online vote from the crowd on who debated their argument better, with this year Mark being the winner – evening the 10 years' worth of scores to 5-5. A topic that has come up often lately with my clients is discussing their options on different financing acquirers/minority investors. This topic, specifically in the investment minority space, happened to be one of the debate topics by Mark and Dan. While Mark and Dan debated on opposing sides, in the end, both expressed their opinions on taking on a minority ownership interest. From my view of their conclusions, they both expressed certain skepticism about the advisability of taking on a minority ownership interest in your firm. This skepticism is very interesting to me because I've for sure witnessed more and more minority investors in the space. In fact, at the DeVoe conference, I met a new minority investor I'd not known before, and we discussed the positives of minority investments. Some of the positives of minority investors are: You can make smaller deals, such as at 20% or less You still have a majority holding of your firm You can monetize your remaining stake later You can later take “chips off the table” and build growth capital SKEPTICISM IN MINORITY INVESTORS So, the trend of minority investors entering the space is in an upswing, but why is there so much skepticism in the space towards minority investors? Well, one of the truest criticisms is that you may think by taking on a minority investor into your firm, that you're keeping control. For instance, you bring on a minority investor for 20%, you maintain 80%, logically one might think because they have a majority of the equity, that they have majority control which, to some extent, is true, but also not true in important ways. Simply put, majority control does not equal absolute control. You will still have to consult -- and even answer to – your investor, even if they have a fraction of the equity in your firm that you do due to contractual control rights that minority investors require in these types of deals. This also becomes increasingly truer, and more complicated, if you decide to piecemeal your firm out to several minority investors. The types of contractual usually provide them much more power than their ownership stakes would otherwise dictate. For instance: Adding in a veto power over certain decisions, such as on larger deals (selling the company, mergers, acquisitions, etc.). Requiring budget restrictions (including on owner's compensation), so if budget decisions are made outside of the restrictions, approval must be obtained. While there's validity for these minority investors' contractual arrangements – protecting their own interests and investments – it can become troublesome for majority owners. The most obvious reason being having to give up a significant amount of control, despite having majority ownership and only having partially monetized their equity. In the DealQuest Podcast, episode 198, I discuss more about the skepticism, and lesser discussed criticisms regarding minority investors. THE IMPORTANCE OF HAVING THE RIGHT PEOPLE BEHIND YOUR DEAL In addition to offering education, conferences also provide networking and connection opportunities to others in your space. While at the DeVoe conference, I discussed many important deal and RIA industry topics with other dealmakers, and one story struck me as an important lesson. One of the CEOs I spoke with talked about a deal he was making, and how the selling RIA firm had hired an environmental litigator (a friend of one of the partners) to represent their interests in the deal. Since the seller lacked adequate representation which was making the deal too difficult to get done, this CEO felt the best choice was to cancel the deal. It's important you have the right people behind you during your deal-making process. This CEO did his due diligence and recognized that having an environmental litigator negotiate an M&A deal was not going to be successful for them. Some things to be sure of when choosing counsel to assist in your dealmaking: Are they qualified to negotiate? (IE: don't hire an environmental litigator to negotiate your M&A deal.) Are they skilled and experienced in your industry and with deals (IE: don't hire an RIA industry law firm that mainly focuses on RIA compliance not deals nor, on the flip side, an experienced M&A attorney who doesn't know the RIA space)? What is their success rate of getting deals closed? How long have they been practicing? Are they coming from a qualified referral source and/or are able to provide multiple references from industry clients for whom they have done deals? The importance of due diligence cannot be overstated. I emphasize it so frequently because failing to do adequate pre-due diligence and due diligence (including on the choice of your team) can ultimately land you in a very unfortunate situation during your deal. RIA AGGRIGATORS & DEALQUEST PODCAST LIMITED SPECIAL SERIES Another common theme between the Echelon and DeVoe conferences was that a significant portion of all the deals currently being made are by the “big aggregator and integrator firms.” At the DeVoe conference, it was cited that 91% of recent deals being made were by these types of firms. At the DeVoe conference, they held two aggregator/integrator panels. It was, again, fascinating and inspiring for me to hear these major players discuss their philosophies, strategies, and what they're looking to attract and see the maturation of the RIA industry - one in which there was practically no investment capital and significant deal-flow less than a decade ago. It has, in fact, inspired me to run a special series on my DealQuest Podcast. On Fridays starting on November 11th, I will be running a special series highlighting the RIA aggregators and integrators within the RIA space. During this special series, I will be interviewing the CEOs and top executives of these major firms to create a resource that will help potential RIA sellers to understand the different offerings, models, benefits and comparative drawbacks of each of these firms and how they may align or not with a seller's goals and objectives. Purpose and finances are two important legs of the retirement stool; however, a stool needs 3 legs. Finances and dreams don't mean anything if you can't function well enough to enjoy them. The often-overlooked leg of the retirement stool is functional health–which is why this month we are focusing all 4 episodes on how to improve your functional health in retirement. Since I am not a health expert, I have invited Dr. Bobby Devoe to join me for this relevant discussion. This week Bobby helps me define exactly what functional health is and why it is important to retirement. In week two we'll explore exercise and movement followed by week three's examination of nutrition. On the last episode of this series, you'll learn how to create your own functional health plan to help you navigate this essential part of your retirement plan. Press play to learn how important functional health is in retirement. What is functional health? We have seen a tremendous increase in longevity over the past 50 years. Now, it is not uncommon for people to live 90+ years. While longevity gives people quantity of life, functional health gives quality of life. Without investing in your functional health you will live longer but your life will suck more. When you are young you can do anything–play a round of pick-up basketball, hike up a mountain, or paint your house. But as you age you quickly learn that you aren't in shape for everything anymore. Since you lose 1-2% of your muscle mass each year starting in your 30s, by the time you reach your 60s you may not be able to do these same activities with ease. The happiest retirees are those that have a high quality of life and the ability to do the things they want to do. Functional health doesn't train you to run marathons or win bike races–unless those are goals that you have for your retirement. Instead, functional health can help ensure that you can pick up your grandkids, lift carry-on luggage over your head and into the compartment, or climb ancient cobblestone steps in Europe. How to set up a framework for functional health The best part of functional health is that you have control over how healthy you want to be. Setting up a functional health framework is much like the rest of retirement planning. You will begin with the end in mind. Who do you want to be in your last decade of life? What do you want to be doing when you are 90? Do you still want to be able to golf or hike? Or do you just want to be able to make it to the bathroom by yourself? Whatever your goal is, start from there. Be precise in setting your goals and creating your plan. Just like with a financial retirement plan, you'll want to personalize your plan based on your goals. Traditional advice, like working out 30 minutes a day 3 days a week or walking 10,000 steps, isn't the way to achieve your functional health goals. A one size fits all plan won't work for your health plan just like it won't work for your retirement plan.
