Le futur du travail a déjà commencé. Et il inclut notamment de travailler où vous voulez — même au bord de la mer si vous le souhaitez. Mais dans tout ça, vos collègues peuvent vite s'y perdre et ne plus savoir quand vous retrouver au bureau. Depuis la crise sanitaire, le modèle hybride est devenu la norme (ou presque) pour tous les travailleurs. Mais s'il s'adapte aux modes de vie de chacun, il ne favorise par contre pas l'échange entre les collaborateurs. Surtout s'ils travaillent dans différentes équipes. Pour pallier ce problème, Tom Nguyen a cofondé Café. Imaginé à l'été 2020 et officiellement lancé 9 mois plus tard, Café est une plateforme en SaaS qui permet de gérer et d'optimiser le modèle hybride dans les organisations. Plus qu'une simple application de gestion de présence, Café est un outil qui booste la culture des boites et renforce le lien entre les équipes. L'aventure entrepreneuriale est passionnante. Plus de 60 Business Angels participent au Seed qui se fait un peu « par hasard ». Café est incubé par YC et devient rapidement une marque attachante qui fait sa place en surfant sur un phénomène qui, plus qu'une mode, est un phénomène de fond : la gestion du mode de travail hybride. Because there are legions of them involved in any M&A deal (as mergers and acquisitions are known).We hear from two lawyers with extensive experience in M&A, as well as other aspects of corporate law and equity financing, about exactly how mergers and acquisitions work.Alexandra Slack, senior legal counsel at the European Investment Fund, and her European Investment Bank colleague Tom Nguyen take us through the story of M&A from the 1980s, when the field was so wild, hostile and controversial that it prompted a best-selling book called “Barbarians at the Gate,” through to more recent moves toward a less confrontational style of merger. On the way, Tom namechecks Gordon Gecko. Of course.“From the legal perspective, a merger is when one company absorbs another and therefore becomes one entity,” says Alexandra. “In an acquisition, one company takes a majority stake in another and the two companies continue to exist.”For fans of financial definitions (and this is A Dictionary of Finance, after all), Tom and Alexandra explain various terms, including:Squeeze out, which allows an acquirer to buy the whole company, once a certain percentage of the shareholders accept its offer. We invited European Investment Bank lawyers Maria Cerrato, Tom Nguyen, Kinga Soltész and Matthias Brzezinski together again to reveal some of the legal ruses used when things don't quite go as planned. We learn what harmless-sounding phrases like ‘to the best of my knowledge after due inquiry' really mean. And what ‘the data room' is - a place, typically, with no natural light, a place in which no-one really wants to end up. We find out how to ‘yank the bank' and what a ‘drop dead clause' is. But, as it turns out, there is poetry in all this legal darkness. No, really, you will. And it is not just Latin, either: you'll also find out what is “snooze, you lose”, and the definition of the innocent-sounding “reservation of rights” which, it turns out, can actually be quite frightening.And if you think all this legal jargon is completely unnecessary, and that people should just act reasonably, beware: we found out that “acting reasonably” is, in fact, a very complicated legal term!
