Wednesday October 10th, 1979 @ Memorial Stadium in Baltimore, MD After a rainout the previous night, the 1979 World Series is set to begin at Memorial Stadium in weather fit for football (40 degrees and wet). A rematch of the 1971 Fall Classic, Earl Weaver's Baltimore Orioles look to get the edge on Chuck Tanner's Pittsburgh Pirates. These are two evenly matched ballclubs, the champions of their respective leagues. They share a lot of similarities in roster construction, boasting star power at right field and first base (Murray and Singleton for BAL: Stargell and Parker for PIT), productive platoon options in left (Lowenstein/Roenicke: Robinson/Milner), burners in center (Bumbry: Moreno), scrappy infielders (DeCinces, Belanger, and Dauer: Madlock, Foli, and Garner), top of the rotation aces (Flanagan and Palmer: Candelaria and Blyleven), and reliable bullpen arms who are no stranger to high leverage situations that (Stanhouse, Stoddard, and Martinez: Tekulve, Jackson, and Romo). This series will be quite a battle. Taking the mound for Baltimore is lefty Mike Flanagan (23 - 9 3.08 ERA 265 IP), a workhorse whose addition of a changeup to his repertoire elevated him to a Cy Young caliber pitcher. Opposing him is veteran righty Bruce Kison (13 - 7 3.19 ERA 172 IP), who was just a rookie when the Pirates beat the O's back in '71. Coming into this game, Kison has allowed just one run in 22 career postseason innings (4 - 0 record, 1 GS). Who will take game? Tune in to an excellent start to this World Series. Today, my guest is a very experienced and well-known M&A professional and entrepreneur, Kison Patel.  Kison entered the M&A world as a sell side M&A advisor representing commercial banks and hotel chains.  Over the years, with hundreds of transactions under his belt, Kison realized that many business acquirers lacked efficient technology to manage their transaction ins and to ultimately make them successful. To address this problem in 2011, Kison founded Deal Room, an M&A lifecycle management platform for buyers to improve transaction processes and post M&A integrations. Then in 2016, he founded M&A Science, a collection of M&A educational resources to share M&A, best practices and training anyone looking to master M&A.  In our conversation, Kison and I discuss what we're doing to improve on the M&A industry's performance when it comes to selling companies and also how buyers can improve post integration processes to deliver the value that all parties envision.A few episode highlights:(2:56) ... How Kison's early exposure to real estate gave him a launching pad into M&A (8:25) ...  How Kison's experience in M&A influences his view of dealmaking in 2023(25:34) ... Stay tuned to the end of the interview where I'll give you some actionable insights that I learned from my guest. These insights are also in the show notes. As always, thanks for listening. Now on to my guest for today, Kison Patel, an expert in mergers & acquisitions. He is the CEO and founder of DealRoom (which is part of M&A Science), a platform to help manage the M&A life cycle; podcast host of M&A Science; and author of the book Agile M&A: Proven Techniques to Close Deals Faster and Maximize Value, A Practitioner's Guide. Kison started out working as an advisor in mergers & acquisitions in Chicago, first with private clients and working up to corporations in various industries. He began his entrepreneurial journey with a tech startup, where he found he enjoyed working with engineers and also saw an opportunity to apply project management tools to the M&A industry.  With DealRoom, he learned to face all the challenges of a tech startup, from working with a team, figuring out product market fit, and strategies for going to market. In 2017, a friend encouraged him to start a podcast. His show, M&A Science, seeks to help those working in the field to better understand the process and learn from others. The show gradually grew and Kison realized there was a demand for more information and resources. He wrote his book and created the M&A Science Academy, for corporate team members to more quickly learn insights and skills others usually take years to learn on their own.  Now, let's get better together. Actionable Insights Kison places a lot of emphasis on the importance of simply being curious and asking questions. If you're involved in a merger or acquisition, find out as much as you can about the company you're partnering with. Similarly, as an entrepreneur, figure out where you want to get to and ask, “What would it take to get there?” Being agile means having the flexibility to respond as new information emerges, allowing you to iterate and reiterate until you get to a place that works best for all. The agile approach to mergers and acquisitions also helps align the people who will be most affected by the changes. Software companies, Kison notes, are often successful at M&A because they already have a more agile approach built into their company culture.  Links to Explore Further M&A Science Podcast M&A Science Academy DealRoom Kison Patel on LinkedIn Keep In Touch Book or Blog or Twitter or LinkedIn or JSYPR Learn more about your ad choices. Kison Patel is an entrepreneur and the Founder and CEO of M&A Science. He is passionate about the M&A industry and committed to driving it forward. Kison Patel was an M&A advisor for ten years, and during this period, he completed the sales of larger companies such as commercial banks and hotel chains. In 2012, Kison noticed teams lacked efficient technology to manage deals. That was when he gained the insight to create DealRoom, an M&A lifecycle management platform. In 2016, he started the M&A Science podcast, devoting his time to creating a platform where all the best practitioners could share their best practices and lessons learned from real-life deals. Kison then created The M&A Science Academy in 2020 to offer step-by-step training to those looking to master M&A, featuring courses designed by top-level practitioners. Through developing technology, educational content, and industry training, Kison aims to bring better practices to an industry with growing market pressures, transaction values, and competition. Kison is a man who's studied every aspect of deal-making in M&A, including corporate M&A. In this episode, Kison shares helpful problem-solving techniques in deals. This is definitely an episode you don't want to skip! Best Practices That Could Apply Across M&A Spectrum In Kison's perspective, it's all about the problem-solving approach - getting rid of the old ways of doing things. The old ways were mostly about asset discovery and purchasing without wasting much time on considerations and paperwork. It's now about the finance-focused M&A approach – concentrating your resources on building a financial model to create a business case and doing the deal. Then you go from there to executing a series of templates, checklists, and playbooks on the agreement. Kison mentions the old ways aren't completely ruled out as it is still effective if you're trying to buy factories or hard assets. Kison continues by saying most deals these days are all about technology - tech startups, which are more complex, and there are several things you need to put in place before the deal closes. Some of these are: You need to initiate changes. You also need to understand these changes may lead to a disconnect and frustration among team members. Avoid getting yourself in this situation; that is why you shouldn't be all about the finance-focused M&A approach. You need to develop a great emphasis on moving towards the people-focused M&A approach. In whatever you do, have your team in mind. Start with a couple of elements to see the level of productivity you can achieve. You don't want to go through the journey with a team that doesn't believe in the project. An uninspired team can wear you down, and you need to set the tone right from the start. You need to maintain clarity on your goals. YOU as a business owner needs to understand every team member should have a vivid understanding of what the business is all about. Also, have in mind a goal has a limited value when it's vague. You need to validate the financial model and make it realistic. You can identify the stakeholders that fit your models and get them involved. Make sure you update them as you go through the process and continue to validate your assumptions. A bad financial model could lead to failure. The definition of failure is very vague in the industry. The meaning of failure always goes back to the original financial model - the investment plan they have for the deal. Most times, failure isn't a total implosion; it may be success that took longer. Threats In M&A Kison shares what he believes to be the biggest threat in M&A. To him, the biggest threat in M&A is when you become the people's problem. We've seen that historically! Thinking and planning is the main thing in M&A deals. You need to think and plan upfront. Deals blow up when you don't think it through. You need to execute the management approach - it's more about having an approach where you respond to the changes as they happen. You should learn to identify risks and provide solutions as they come. Another threat in M&A is getting fixated on the financial model, but we forget that the money you generate is the outcome. The important thing to focus on is the capability to create value, and we mostly lose sight of that. Having the wrong team leader is a NO. This problem is a perennial business killer. You need a fitting leader who's customer-centered, who will help create a realistic go-to-market outline, and an aim to deliver value to customers. Of course! None of these matters if you don't understand the organization's value. Executives from both sides should spend time understanding the organization's value. Understanding the values allows you to understand the organization's culture, leadership approach, decision-making, and problem-solving model. That's when you get a sense of “what are some of these differences that could be complementary,” and many more important questions that will inform your decision on the deal. Know your market and identify the traits of a strong leader to drive your M&A. In this episode of the Thoughtful Entrepreneur, your host Josh Elledge talks to the CEO and founder of https://www.mascience.com/ (M&A Science), Kison Patel.  M&A Science solves M&A industry issues using science. According to M&A Science's website, traditional M&A processes are highly inefficient and antiquated. The industry operates in silos, and everyone has their own approach. Deals fail to deliver anticipated value because important deal processes, such as diligence and integration, are being poorly conducted and without proven techniques for success. The industry needs a platform to share knowledge and identify proven techniques. Teams execute better when they have a science-based approach to follow. M&A's typical clients are 8-figure market cap companies that conduct three or more acquisitions a year. They also work with investment banks and corporations.  Mergers and acquisitions have changed over the last few years, and tools and intel has certainly improved, but this doesn't fix the lack of standardization and siloing commonly associated with the space. Josh and Kison explore the last five years of the industry's evolution. The strategies used are very finance focused and it takes tactical integration to merge companies successfully. The biggest shift Kison has observed is that you need to use a people focused M&A approach to drive success. This pushes collaboration and teamwork between both organizations, and when you're only focused on the finance side, there's so much team value lost. The first step to approaching a merger or acquisition with a people focused mindset is to know what steps it will take to achieve results and share that with the appropriate teams. Executives need to be encouraged to participate beyond the close. Understanding the values of a company and a team is also important. Both organizations need to be respected for their approaches to create value, so understanding that can also unlock a deeper leadership understanding. This can help to bridge the gap between company values and operating standards. When both teams approach things with a collaborative mindset, solutions reveal themselves much faster. If you want to create a culture of responsiveness, you have to put people first and execute integration plans with both teams involved and respecting one another's differences. Making sure that acquisitions are successful for your employees across the board is integral for both efficiency and effectiveness.  Put people first when operating in the mergers and acquisitions space instead of leading with transactional, financial ambitions. Dedicate the merger to making sure teams and missions are aligned and you're more likely to see true success. Want to learn more? As you grow, you will be getting a lot of offers to get acquired. You might also be acquiring the companies, especially if you might not be able to meet your growth plans through organic channels. Whichever side of the M&A process you might happen to be on, you will only get value from the transaction if it is successfully executed. The most common reasons why acquisitions fail is because of the misunderstanding of the market and focusing solely on the financial models on the spreadsheets than really understanding what has really worked for the company that may be acquired. In today's episode, our guest, Kison Patel, shares his insights into the importance of people-focused M&A transactions and why buyers and sellers must understand the market deeply than simply relying on spreadsheet models. He also describes the success and failure rates of M&A transactions and what works for companies that have successfully executed the transaction. Finally, he shares why integration is the most important step of the M&A transactions. For more information on growth strategies for SMBs using ERP and digital transformation, visit our community at wbs.rocks or elevatiq.com.
