In this two-part Triage series, Gina Bertolini, Stephen Page, and Sarah Staples-Carlton discuss an old health care regulatory doctrine that has new relevance in a post-COVID world, where the delivery of care via telemedicine and other remote models has become heavily adopted: Corporate Practice of Medicine, or “CPOM.” As more and more health care companies look for innovative ways to deliver healthcare, it can be easy for seasoned healthcare professionals and newcomers alike to discount or dismiss CPOM. While on its face it is a straightforward prohibition, it is important to understand the doctrine's underlying philosophy and to appreciate its complexity, particularly how it varies from state to state. This is particularly the case where telehealth has become an established method for the delivery of care, and many new companies are entering the health care space. As health care entities, health IT solutions providers, and other companies seek to deliver care in one or more states, there are many health care regulatory considerations to consider, but CPOM should be at the top of the list.  In part one of this series, Gina Bertolini, Stephen Page, and Sarah Staples-Carlton offer a brief primer on CPOM, answer some practical questions about its impact, and elaborate on its present-day relevance for health care providers and other companies.

Over the past 12 years this podcast has discussed increasing corporate dominance of healthcare delivery, made evident in part by the fact the healthcare market is highly concentrated and highly leveraged, e.g., over the past decade private equity has spent roughly $1 trillion to acquire physician practices.  The corporate practice of medicine (CPOM) is problematic because allowing for corporate medicine can compromise a physicians' independence and/or creates a conflict between physicians' ethical duty to their patients and corporate interests in maximizing profits.  While states have historically prohibited corporate medicine, enforcement has both been limited and every state has created CPOM exceptions.  In part because the Biden administration has given priority implementing regulatory policies to promote market competition, there is renewed interest in revising corporate medicine statutes.   This past fall the AMA considered a resolution seeking a federal ban on CPOM informed in part by a 70-page report published last October by Take Medicine Back.  AMA delegates voted to refer the resolution to the AMA Bd of Trustees for further study. Dr. Mitchell Louis Judge Li is a practicing board certified emergency physician in North Carolina and founder of Take Medicine Back. Florida does not have the same Corporate Practice of Medicine Prohibitions as other states. In short, this means that you do not have to be a licensed medical doctor or doctor of osteopathy to own a medical practice. Many people erroneously believe that because of this fact they can continue to run the physician's practice without taking any further action after she passes away. The Florida Health Care Clinic Act (the “Act”) requires that all health care clinics operating in Florida maintain a valid license by the State unless they fall within a statutory exemption. Also, if the health care clinic is cash-pay only and not accepting reimbursement from a commercial payor, Medicare or Medicaid then Florida law allows the business to continue to run without first obtaining the license. According to the Act, a “clinic” is defined as an entity which provides health care services to patients and bills third party payers for reimbursement for providing those health care services. Clinics that are “wholly owned by one or more licensed health care practitioners” are exempt from obtaining a health care clinic license. Thus, if a clinic is owned by a licensed health care practitioner who is supervising the services performed at the clinic and who is legally responsible for the entity's compliance with all federal and state laws, the clinic falls within one of the exceptions and is exempt from the Act's licensure requirements. However, in the untimely event that a sole physician/owner passes away, the clinic is no longer afforded exemption from the Act's licensing requirements and is no longer in compliance with the law. What are my Options? In this instance, the family members have the following choices: (1) close the practice; (2) sell the practice; or (3) apply for a health care clinic license. If the decision is made to close the practice then you have to make sure that you wind up and dissolve the business accordingly. Alternatively, it can be tricky if the decision is made to sell the practice. Even if you hire another physician to provide treatment to the patients while you try to find a buyer for the practice you will still be violating the Act. As a result, you must not continue to provide health care services until the practice is sold to someone or an entity that qualifies for an exemption under the Act or until you receive a health care clinic license. This is important because Florida law provides that an insurer is not required to pay for medical treatment that is not lawfully provided. The plain language of the Act makes clear that a claim for reimbursement made by a clinic that is not properly licensed or that is otherwise operating in violation of the Act, constitutes an unlawful charge that is deemed non-compensable and unenforceable. Filing the application with the Agency for Health Care Administration for a health care clinic license is tedious and must be done carefully or you risk denial. Also, the applicant should not expect to receive the license expeditiously. She opted to go mobile (after fuming in her office, upset about some current clinic policies and flipping thru a vet magazine and seeing a Laboit ad) because it was an economical way to start a business and had a great client following. Seely lives in the SW Michigan area with her wife, 4 cats, 1 dog, 8 chickens, 19 pond fish, 2 horses, and 2 mini donkeys. If she wasn't allergic to animals, she would have more! 039 - Attorney Drops Truth Bombs about Physician Employment Contracts

Attorney and author Dennis Hursh helps physicians navigate their employment contracts. He describes his shock early on in his career when he saw the lopsided language in the contracts offered to his highly trained physician clients. He points out that no hospital executive would ever agree to such contractual language for themselves.A sampling of items Mr. Hursh considers “insane”:- 24 hour call shifts (and by the way, you will work the next day, too)- The employer will decide if you're disabled and has the right to terminate you if you can't do the job- No paycheck for you if you can't navigate their complex credentialing process by your start date AND they reserve the right to terminate you if you aren't fully credentialed by your start date- Punitive non-compete clauses (a.k.a., restrictive covenants) that wreak professional and personal havoc rather than simply limit the loss of patients who might follow you when you leave- “Brutal” provisions in the contract that the administration promises they won't enforce (but nonetheless they won't remove the language)- Low starting pay with a promise (but no contractual language) of partnership to come- “Integration” documents that provide explanations and promises related to the formal contract (but alas, they are not enforceable unless they are in the formal contract)In this episode, Mr. Hursh exposes the risks lurking in several areas typically included in physician employment contracts (beware if these points are not explicitly addressed!):CREDENTIALING: Flexibility can be built into the contract to allow a physician to begin a narrower scope of work if certain hospital credentials or other privileges are still delayed at the start date.RESTRICTIVE COVENANTS (noncompete clauses): This refers to contractual language that prohibits a departing physician from practicing within a specified distance of the former employer for some period of time. Mr. Hursh draws attention to several issues regarding the distance that is specified and what is being measured: Is it the distance between the physician's previous office and the office with the future employer? From a specific hospital or the organizational headquarters? Or from any of the employer's sites anywhere?MALPRACTICE INSURANCE: He describes the critical difference between Occurrence vs. Claims-Made insurance policies. Red alert if the contract simply says “malpractice insurance is provided.” If you don't know the difference you could be saddled with expensive “tail insurance” when you hightail it out of there.COMPENSATION, CALL, DUTY HOURS and LOCATION: Ambiguity is not the physician's friend when it comes to an employment contract. Exquisite clarity about compensation and call is critical. If your future employer thinks full-time means 40 jam-packed patient-contact hours then, in reality, you could end up with a 60-hour workweek. Similarly, it's critical to have clarity and security about your office and hospital location.Mr. Hursh advises physicians to hire an attorney who has experience working with physician agreements and who has the needed resources (e.g., MGMA database, up-to-date Stark regulations). An advantage of hiring an attorney is that shelling out the money for an attorney signals that the physician is taking the offer seriously. 028 - Corporate Practice of Medicine Laws: Employed Physician's Remedy—or Nightmare?

What is the Corporate Practice of Medicine? In this episode, Brad Adatto, a business law and healthcare attorney, takes us on a journey through the intent, implications, and risks associated with state laws that “ban” the corporate practice of medicine. He describes how these state laws arise from a variety of legal and regulatory sources, and prohibit corporations (or any “non-physicians”) from employing physicians or owning medical practices. The Corporate Practice of Medicine Doctrine (CPMD) originated in the early 1900s and sought to prevent: 1. Commercialization of medicine or lay people profiting from physician practice 2. Business interests conflicting with the best interests of patients 3. Obligations of employment interfering with physician decision-making How do the Corporate Practice of Medicine laws vary by state? Widely! To further complicate the legal landscape—there are big variations in enforcement. Mr. Adatto divvies the states up into three categories: 1. Strict adherence: only physicians can own medical practices (example: New York) 2. Mixed: Physicians and non-physicians can co-own a medical practice as long as physicians own a majority (example: California) 3. Lenient: Anyone can own a medical practice (example: Florida) How could a physician get in trouble with the Corporate Practice of Medicine? Well, I have to admit, Mr. Adatto did not reassure me that Corporate Practice of Medicine Laws were the answer to my quest for bolstering physician leadership and physician autonomy. In his business law practice, he not only advises non-physician entities about how to avoid legal snarls—he also counsels physicians about how to stay out of trouble with the Corporate Practice of Medicine laws. Here is some of his advice: 1. Do not assume “because everyone is doing it” your practice structure is legal. 2. Hit “pause” and hire a healthcare attorney to make sure the contract you are about to sign protects your interests AND is legal. 3. Have you been asked to be a Medical Director to help out a non-physician entrepreneur and make a few bucks yourself? Don't be an “absentee” medical director just so a non-physician can check the “physician-run” box. It's YOUR hard-earned license at risk if you are prosecuted for “aiding and abetting” violations of these laws. 4. Believe it or not, if you submit to corporate practices that could harm patients then you are putting your medical license at risk. Regardless of corporate pressure, poor staffing, prior authorization mandates, or practice management chaos—YOUR obligation is to protect the patient. (THIS is the stuff of burnout and moral injury.) Wait a minute Brad Adatto—don't all healthcare systems violate Corporate Practice of Medicine laws? How is this legal? Some states allow “not-for-profit” systems to employ physicians. 2. Management Services Organizations (MSOs) established by non-physicians (or physicians) can contract with physician groups through a Management Services Agreement (MSA). This structure gives non-physicians an opportunity to profit from medical practices. 3. Even with various exceptions, there must be no interference with the physician's clinical decision-making. (After all, corporations are not allowed to practice medicine, right?) Today we focused the show on the front lines of emerging energy technology.We were thrilled to be joined by Scott Gale, Executive Director of Halliburton Labs. Halliburton recently launched Halliburton Labs to provide early stage companies resources to help advance efforts towards cleaner and more affordable energy. A blend of incubation and acceleration, Halliburton Labs is like pulling into the "pits" for emerging tech company "race cars." Scott was joined by TPH's Deanna Zhang with both of them broadcasting live from the Halliburton Labs facility.We were also joined by Mike Bengtson, Chair of the firmwide Corporate Practice at Baker Botts, and his colleague Michael Torosian, Partner in the Corporate Practice and Co-lead of the Emerging Companies/Venture Capital practice. Baker Botts began a push in the 1990s to grow their tech practice and today has a technology effort that is as large as its longstanding and venerable energy practice. Mike joined from Houston today and Michael joined us from San Francisco. Their comments focused on the money available to tech start-ups. The Licensed to Lead podcast is for physicians, physician leaders, or anyone who thinks healthcare needs a transformation. Licensed to Lead means that physicians  must establish the vision and the medical standards in our healthcare organizations so that excellent patient care is the central focus. Currently, unlike other traditional professions, medicine is not led by members of the profession. Physicians pay a steep price for this fact with a dramatic loss of professional autonomy, a financial mindset imported from business schools, and a focus on command and control by people who don’t fully understand the field. Even more importantly, patients and communities pay a steep price. When doctors and other caregivers become commodities, the many interwoven pieces of the entire healthcare system are harmed. In this episode, Patty Fahy, MD, the host of Licensed to Lead, makes the case that physicians are uniquely positioned to lead by the very nature of medical training—not despite it. She refutes those who question the leadership qualities of physicians and clarifies why physician leadership is the ticket out of our current healthcare mess. Episode One covers four issues that are foundational to the Licensed to Lead podcast: 1. Medicine as a traditional profession and how physicians must resume leadership of the medical profession and the venues where medicine is practiced. Physicians’ broad and deep understanding of healthcare and their technical expertise in medicine are missing when leaders come from business schools. 2. The importance of physician autonomy is the centerpiece of Licensed to Lead. The loss of autonomy has crippled the medical profession and medical professionals as well as the communities who rely on excellent, accessible healthcare. 3. The corporate practice of medicine statutes are laws that are critical for physicians to understand in terms of meaning, history, and current implications for practice. 4. An unhealthy dynamic of disdain for doctors can arise in organizations when the managers who seek to control physicians do not have expertise in the field. Antipathy for physicians is an unhealthy dynamic that underpins the crazy-making lack of support that physicians experience. The message of the inaugural episode of Licensed to Lead is that leaders in healthcare must create a healthy organizational culture that is able to align everyone around creating the right outcomes for patients. A healthy organizational culture translates to fulfilling careers for nurses, technicians, physicians, clerks, and administrators. The premise of LTL is that all stakeholders, including patients and the community—become aligned when there is excellent physician leadership at the helm. This inaugural podcast concludes with these suggestions: 1. Watch the California Medical Board video regarding the Corporate Practice of Medicine doctrine. Be a good follower as well as leader and when it’s your turn to raise your hand for leadership, please do. 4. Don’t nod, smile, or stay silent when administrators of any background, physician or not, make disparaging comments about physicians. 5. Please stop using the word provider. Michael is a partner in the Corporate Practice and the Healthcare Practice at Arnall Golden Gregory, LLP and focuses his practice on health care transactional and regulatory law – specifically for hospital, health systems and other institutional providers. Episode Synopsis Mark, Max and Michael discuss transitioning from a first-to-second generation transaction and industry trends affecting hospital-physician transactions. Throughout their discussion, they touch-on the top 10 lessons they have learned from these types of alignment initiatives. Top 10 Lessons Learned from First-to-Second Generation Transactions Physician market share does not mean success, so health systems have become more selective relative to transactions. (PSAs are much more popular now than 3 years ago.) Incurring losses in physician transactions may not be offset by downstream revenue (increased site-neutral payments). Ensure organization’s productivity and revenue goals are being met. (Fee-For-Service still prevails.) Consider infrastructure required to support non-productivity incentives. (Fee-For-Value payments must exist to require such.) Gradually begin tapering off productivity goals and replace with alternative incentives. (Mirror reimbursement trends.) Tie new incentives to organizational goals, such as cost-savings, quality, etc. and prepare to respond to MACRA/MIPS requirements. Begin tying incentives to reimbursement changes, such as shared savings and/or the quality/CPIA/ACI metrics being measured for MIPS. Leverage newly prioritized metrics to reap additional reimbursement incentives (i.e., commercial or MIPS increases). Continually reassess compensation structures in light of regulatory and industry trends. So, you know back say 15 years ago, doing a licensing transaction was something that was the realm of maybe the hardcore technology lawyer. What's happened is over time that has become something more of a general skill that is licensing over the Internet and other means has just become much more common and more typical and technology lawyers continue to have the ask themselves, 'Okay, so where do I add value to a client that a general practitioner or a general business lawyer that can't add value.' And certainly, on tricky technology licensing issues but it has evolved to cyber security and data privacy are bigger issues and there are so many things to keep up with that technology were in a speed much more familiar with that. We don't have many clients dealing with these yet, but we anticipate things like blockchain technology which is something that is traditional will going to assess you, bitcoin but many corporate clients and particularly banking clients are realizing that there's interesting record keeping potential for the blockchain technology outside of bitcoin. Drone technology, we don't have many clients using drones at the moment but we know that it's a regulation around drones are already starting to pop-up but at the state at the federal level and as those become more common, we need to keep up with those things. [TRANSCRIPT] Just generally, cyber security and data privacy continue to be a huge issue for companies of all sorts. Not because it's a business issue, but with striving that is just consumer concern over privacy. Because of that, our clients are reacting and having to deal with those issues. It comes up in a lot of different ways, some of them more topical things that are going on. If you're doing business overseas, and a lot of our clients do business overseas, they're having to deal with compliance with European data policy. The rules in that area have recently been changed, and they're about to change again next year. So our clients are not only having to deal with soon-existing compliance changes, but they're also having to anticipate something that's going to change again in about a year from now. Really, it's just typical of the fact that cyber security and data privacy is a major issue, and it's one that has lots of compliance tripwires that our clients’ need to deal with. We try to help with that as best we can. Good lawyers that work in this area are trying to do their best to keep up with changes in the law. Fortunately or unfortunately, at the federal level, there isn't a lot of regulation. Outside of a couple of industries, financial services and healthcare have highly-regulated compliance regions in this area, but that's only a small sector of our client base. If you're outside of those industries, you're left struggling with what's really just a patchwork of state laws. The states, because there isn't an all-encompassing federal law to deal with cyber security compliance or data privacy, are really stepping into this void and making it difficult. Because you've got 50 state laws, you have to comply with them whenever there's the least that will change. You have to step back and say, "Okay, do our privacy policies--our security policies, do they continue to work, given whatever this change is?" We do have a lot of experience helping healthcare companies deal with data breaches. Data breaches for healthcare companies and cyber security compliance for healthcare companies is in those highly regulated buckets under HIPAA and certain state laws, so it requires a lot of care and attention to a different level of detail with let's say general business company or general services company. Fortunately, we have a lot of experience in the area because of some unfortunate client incidents, and we're able to use that experience to help clients, ideally, stay out of trouble in the first place, that's really where we try to help the most is--Yeah, data breaches happen. Oftentimes it's not a matter of if but when. If you want good practical advice where the lawyers are aware of the need to provide value and be responsive to you? I think we offer a wonderful solution. A couple of plantations has arrived about the time I did in the 80's and Alex Smith and some other leaders of the firm at that time thought that Atlanta would be a booming economy and a booming place for international businesses. That is proven to be right over time and we have invested a lot of resources in recruiting lawyers who are-- grew up primarily Western Europe, they were admitted to the bar there and then were also admitted to the bar in their jurisdiction in the United States. That practice can account for upwards of 30% of our revenue in any given year today. We are proud of that practice, we understand the kind of business they want to do in the United States and how they can best do that business that emanates transactional practice at Smith Gambrell & Russell has always been a very significant part of the firm's practicing culture. The interesting thing about the MNA practices, what we call MNA practice is it often starts with being the outside general counsel for a client. He might handle various aspects of your business. However, we also get to do the transactions for the firm. So, we have a lot of binge strength in that area, in the words and acquisitions area. We have at least 30 lawyers in Atlanta alone that engage in words and acquisitions every day. We have a large group in New York and that group is getting larger each day as we recruit more practitioners in that area. We served all types of clients, many of our clients are multinational, global companies that we're doing MNA worked for. But probably, the most consistent and most client for Smith Gambrell & Russell Lawyer is a mid-market company often, a family owned business. [TRANSCRIPT] My practice here is probably about seventy-five percent technology transactions and the rest is general corporate acquisitions or corporate finance. I started out as a finance lawyer, but when I was a much younger lawyer with a lot less gray hair, I was that guy in the office who was really just too stupid to say no to the straight, what was then was the odd technology transaction that came along. Eventually, people continued to give me those projects and I learned a fair amount about that area and I became a technology lawyer or principally technology lawyer. A number of things distinguish us as a firm and we certainly tend to think of it when we think about our culture. One is we're fairly lean as a firm and so our partners are very hands-on and our associates are very hands-on. When I came over to Smith, Gambrell years ago from another firm, the practice at the other firm was you rarely interact with clients. You did a lot of research projects. Here, my experience and the experience of many associates that I've seen over the years is you just get thrown in and hopefully you're going to swim and not sink, but that's just part of our culture. It's very lean, so it's very hands-on.I think we're also very - we try to be very client service oriented. We certainly talk about that and we aspire to that. We hope we live up to it, but we try not to forget that we're in the business of helping our clients get whatever results they're trying to achieve. If there's anything that I've heard over the years that clients are most frustrated about, when they get frustrated, it's that they can't get a hold of their lawyer or their lawyer doesn't call them back. You hear that in so many ways and it's such a little thing, but it's a really important thing to a client, just to know that they've been heard and sometimes it's easy enough to deal with it. Part of it's about managing expectations but it's about being responsive and so responsiveness is probably a big part it. Another part of it is, at least in my practice, it's very much about making sure we're providing value. So, if we work on a project and, you know, we step back at the end of it and realize, you know, we really put too much time into this and in the fairness of the client, we can't really bill them for all of this time. That's not fair to them. That's not fair to the effort. It's not really fair value, we step back and ask, you know, what is fair value? And I think those two things: responsiveness and value are touchstones that I come back to often. That's what I try to teach our younger lawyers, about, you know, how they should approach client service and think about responsiveness and value. If you want good, practical advice for the lawyers are aware of the need to provide value and be responsive to you, I think we offer a wonderful, wonderful solution. We got wonderful professionals who are very tuned into those sorts of things and we have lots of heavy clients because of that. My family is coming from a long line of lawyers dating back to many, many generations. My mother graduated from law school in 1948, so she was a very early woman lawyer, and then came to Atlanta to work. Then, my father graduated from law school in the 1950s. So it was a lawyer family. However, my parents were also businesspeople, and they were interested in the exploring of opportunities. So I was given the choice to do whatever I wanted to, but I was encouraged to go to law school as a great learning experience. I actually thought I would go to law school and become an accountant. That was my undergraduate degree. Or I thought that I might own a business, but when I came to Smith, Gambrell, & Russell and started practicing law, I really enjoyed working with our clients. I enjoyed the client people that I met, and I enjoyed the camaraderie of working with a very smart and electric group of people who could not just talk about the law but a lot of other things. It just became a passion. The firm was founded in 1893 and has been in continuous operation since then. While I can't tell you that anyone is still today that was here in 1893, I can tell you there are many people who've had long, successful careers here who enjoyed working together. So providing good service for your clients is a function, not just of knowledge, but how you interact with people that you work with. I think that Smith, Gambrell, & Russell's still feels like a family business. We still feel some obligation to our clients to provide a good product, and we still enjoy the practice of law. [TRANSCRIPT] So I worked with a German software company, doing a lot of their licensing work. They had a problem getting this transaction to completion, part of it was, at the time they were using a law firm that was candidly arguing in the transaction about things that just were unimportant. They took a chance of plugging us into it, me, specifically. My approach is to be very pragmatic and try to figure out what the other side needs and what can we reasonably provide. We pulled that transaction out of the ditch, and they were delighted. They were surprised that they actually got the deal closed. The result is they continue to send us lots of good work after that.
