In today's first episode of my new podcast and YouTube show, The Allocator: A New Way to Finance Real Estate, I'm joined by Badri Malynur, co-founder of Avestor. Badri explains how Avestor caters to the needs of the real estate capital formation industry by providing a platform that redefines how funds are created and managed. What is an Allocator? An allocator is someone who typically negotiates preferential terms (such as higher preferred returns or more favorable promote splits) with a sponsor in exchange for delivering a significant investment into a deal. Once the terms are secured, the allocator pools investments from other individuals to meet the negotiated threshold. They may share the preferential terms with their investors or retain the difference as compensation for their efforts. How Avestor is Different Unlike platforms such as Juniper Square or IMS, which primarily serve as document management systems, Avestor goes further by integrating these backend processes with a customizable fund model. This model allows sponsors and allocators to create funds that consolidate offerings from multiple sponsors, giving investors the flexibility to allocate their capital as they see fit across various deals within the same fund. Streamlined Processes Avestor simplifies fund management by providing a single Private Placement Memorandum (PPM) that covers all deals within a fund, along with individualized deal disclosure statements. As the Vice President of Government Affairs for TIA, Chris leads the Government Relations department including the legislative, regulatory, PAC, and internal policy committee functions. Chris serves as the staff liaison for the Highway Logistics Conference, the Intermodal Logistics Conference, and several other policy committees within TIA. Chris additionally serves on the Board of Directors for the Unified Carrier Registration (UCR) as the Subcommittee Chairman of Industry Advisory Subcommittee and sole representative of the 3PL industry. During his time on Capitol Hill, Chris gained invaluable knowledge of the legislative process. He began his career working on the House Transportation & Infrastructure Committee in 2006 and then later the House Natural Resources Committee. Last week the leading lights of Europe's electricity industry gathered for the annual Eurelectric Power Summit at the Lagonissi Beach Resort just outside Athens. The conference - under the hashtag this year of #lights on - lasted two days and covered the key issues facing Europe's and the world's power sectors. Two topics in particular stood out: the need to accelerate the build out of transmission, and the pressures and opportunities offered by digitization and AI. At the event, Eurelectric published a brace of reports on these two topics. On the final day of the conference, Michael caught up with Leonhard Birnbaum, Chairman and CEO of German utility and distribution grid operator E.ON and President of Eurelectric, on a sunny and windy terrace just outside the conference centre to discuss all this and more.Leonhard began his professional career at McKinsey in Düsseldorf. After holding various positions, he was Senior Partner for the energy and industrial sector. In 2008, he joined RWE AG and was appointed to the Board of Management the same year. He served as Chief Strategy Officer and as RWE Group's Chief Commercial Officer until 2013, when he was appointed as member of the Board of Management of E.ON SE and took on a variety of responsibilities within the Board. From 2018 until 2021 he was responsible for the innogy integration project, and from 2019 to 2020, he was also Chairman of the Board of Management of innogy SE. In 2021, he was appointed to his current role as CEO of E.ON SE, in which he is responsible for Communications & Political Affairs, Corporate Audit, Strategy, Group and Executive HR, HSE & Sustainability, Legal & Compliance and Nuclear Coordination. What is permissible and not permissible under new conversion practice laws in New South Wales - with Neil Foster, Matt Aroney and Michael SteadSydney Anglican Bishop Michael Stead, who chairs Freedom for Faith, describes the new laws as the least worst that he has seen in Australia. Associate Professor of Law at Newcastle University and author of the Law and Religion blog Neil Foster says the law is unnecessary, but better than has been implemented in other parts of Australia. Professor Foster supports moves to ban oppressive or violent practices that are designed to change someone's sexual attraction or impair gender identity. However, Professor Foster says the laws (which have a criminal and civil component) can go beyond those bad things to areas where a minister is explaining the teaching of the Bible and wanting to help people to live in accordance with the bible. Acting Minister of Watsons Bay Matt Aroney says he doesn't think the new laws will impact his pastoral practice. Matt wants to turn down the anxiety levels. He encourages to choose thoughtfully to respond to the people in front of us with the love and compassion that Jesus has. Matt applies the principles of his new book ‘Renovated: How God makes us Christlike' to caring well for those Christians experiencing same sex attraction or gender incongruence. Mauricio Rauld , real estate syndication attorney of Premier Law Group and host of real estate syndicator live, shares his knowledge. Read this episode here: https://tinyurl.com/yvk4k4e3What are some of the biggest items that syndicators need to keep in mind that are easily forgotten?Understand that you are in the business of selling securities, because a lot of times, especially new real estate syndicators, they don't quite understand that. I'm just buying real estate, why do I have to worry about the Securities and Exchange Commission or the SEC? I'm just getting a couple of my friends and we're going to go buy a single family home, or buy this building, why do we have to worry about all this stuff? People think of SEC as the stock market, stocks, bonds, mutual funds, etc but it is much broadly than that. TIC agreements, joint ventures, profit sharing agreements and promissory notes are potentially securities, I always joke that high fives and handshakes are securities but the structure itself doesn't matter. People try and get creative such as I'm going to structure it this way or that way, or it's just a loan, it's just my dad, but the reality is the SEC doesn't care about any of that, all they care about is whether you are raising money, where the returns are generated by your efforts. If you're raising money, and you're doing all the work, or you and your co-sponsors are doing all the work, and you have passive investors who are writing you a check, it doesn't matter how you structure it, and how creative you get structuring it, it's going to be a security and that's something that newbies forget.What would be a way to go around that, would it be to raise a fund yourself under your company name, and then invest in that deal if you don't want to participate fully on the operations side or other things?In order for somebody to come into the syndication group as a legitimate co-sponsor and bringing in some capital, there are three things they need to fit into because there's an exemption. The general rule is you need a broker dealer license, but we can find an exemption to registration and that would be what we call the issuer exemption which requires three things and most of these deals don't follow. Number one is no transaction-based compensation. This happens a lot, you have to be willing to say, I'm going to give you 10% of the GP even if you don't bring a single dime. I know you promised that you thought you were going bring a half a million dollars from your investors and it turns out, you aren't able to bring any, you still have to get that 5% or 10% because you're giving that person that percentage, not for raising money, but for other things they should be doing like any other syndicator: due diligence, underwriting, asset management and all these little ton of things otherwise it's transaction-based compensation. Your primary role needs to be those substantial duties, it can't be raising capital and you have to show that you're doing more than that. If you're a real syndicator, you have two or three partners, you're part of the team, and you're all working hard to make this deal work, then you're going to fit into that exemption.Do funds pay an interest until they allocate all of the funds, is that optional?That's the beauty of syndications in general and certainly with funds, you can be as creative as you want to be. I would usually recommend not making it super complicated, because...

In today's episode, I'm interviewing Kyle Stout, an email marketing expert. We had an interesting discussion about the challenges of selling digital products, the power of email marketing, and the importance of having a creative mindset. We address the misconception that email marketing is not a sexy or an effective sales channel. Contrary to this belief, we both agree that email is a highly converting channel and can contribute significantly to monthly sales. This is especially true for bloggers and businesses with a substantial email list but who are not actively selling anything. One of the main concerns people have about email marketing is the fear of annoying their subscribers or spamming their list. Kyle advises that having a creative mindset and providing valuable content can overcome these concerns. He suggested focusing on topics that resonate with your audience and connecting them with the products or services you sell. For instance, I shared an example of a food blogger who hesitated to promote her paid workshop to her email list, fearing she would be spamming them.
