Hollywood insiders are claiming that Disney CEO Bob Iger won't leave Disney in 2026, and that there is still no succession plan in place. Could THIS by why he's so against Peltz and Rasulo joining the board? He knows Trian will FORCE him to name a successor? Disney just released what could best be described as a political ad to take a swipe at Trian's Nelson Peltz and former Disney CFO Jay Rasulo. CNBC's investing guru Jim Cramer has publically stated that he will vote AGAINST the Disney board during their upcoming proxy fight with Trian Partners, and suggests other Disney shareholders should do the same. Rasulo as independent directors for Disney's Board. This move is part of Trian's proxy fight to gain some control over the entertainment giant, which they argue is not being managed properly. Despite their efforts and a detailed plan laid out on their website, RestoreTheMagic.com, Disney has rebuffed Trian's advances, recommending its own slate of 12 board nominees to shareholders. These nominees, according to Disney, are focused on long-term performance, strategic growth, and increasing shareholder value. The company's refusal to engage with Trian, which Nelson Peltz, Trian's CEO, described as its largest active shareholder, suggests a significant clash over the direction and governance of Disney. With no specific date set for the annual meeting yet, the stage is set for a showdown that could reshape the future of the House of Mouse. As for the implications of CNBC's Jim Cramer's stance against the Disney board and whether this affects Bob Iger's relationship with the network, the situation remains speculative. The dynamics of media relationships and corporate governance can be intricate, and the outcome of this proxy fight could influence future interactions and coverage. Nelson Peltz is not happy with Disney, despite their stock value going up $500 million. In fact, he thinks Disney CEO Bob Iger is making "campaign promises" that he realistically can't keep just to keep investors happy long enough to fight off the proxy war. Hmm... ➡️ Tip Jar and Fan Support: http://ClownfishSupport.com ➡️ Official Merch Store: http://ShopClownfish.com ➡️ Official Website: http://ClownfishTV.com ➡️ Audio Edition: https://open.spotify.com/show/6qJc5C6OkQkaZnGCeuVOD1 ➡️ Gaming News: https://open.spotify.com/show/0A7VIqE3r5MQkFgL9nifNc Additional Context: Nelson Peltz's dissatisfaction with Disney, despite a $500 million increase in stock value, revolves around a proxy war against the company, spearheaded by Peltz's investment firm, Trian Fund Management. Peltz has been vocal about Disney's performance issues, attributing them to a board he views as too closely aligned with CEO Bob Iger and lacking in objectivity and accountability. His campaign aimed to gain board seats for himself and allies to influence corporate strategy, pointing out Disney's underperformance compared to peers and its potential, as well as criticizing the company's CEO succession planning and compensation practices. The proxy fight underscores the tension between Peltz's desire for strategic changes at Disney and the company's direction under Iger. Despite Disney's recent financial performance improvements, Peltz has accused Iger of making unrealistic "campaign promises" to appease investors temporarily. This criticism implies that Peltz believes Iger's strategies may not be sustainable long-term solutions for Disney's challenges. Peltz's efforts to gain board influence reflect a broader strategy to push for more shareholder-aligned governance and operational efficiency at Disney. This includes advocating for better margins akin to those of Netflix by fiscal year 2027 and addressing Disney's streaming platform's profitability issues. The backdrop to this conflict includes Disney's broader corporate challenges, such as making its streaming platform profitable, extensive layoffs to reduce costs, and considerations to sell TV assets like ABC and FX. Trian has highlighted Disney's stock underperformance relative to the S&P 500 and its media peers over the last decade, emphasizing the need for a strategic overhaul to restore shareholder value. Despite these efforts, Peltz's campaign has faced resistance, with Disney formally rejecting Trian Fund Management's board nominees and other activist hedge funds rallying to defend Disney against Peltz's influence. The company's board, featuring directors from diverse corporate backgrounds, has stood by its leadership and strategy under Iger's guidance. This situation reflects a significant clash within the corporate governance landscape, highlighting the challenges activist investors like Peltz face when attempting to influence major conglomerates like Disney. It also raises questions about the balance between executive leadership and shareholder expectations in the stewardship of large, complex entertainment companies. Disney's current board doesn't know what it's doing, according to Trian's Nelson Peltz. They're just "throwing spaghetti against the wall" to see what sticks with deals with Fortnite. Then we talk about how Bob Iger flat-out admits that the company has a leftwing political bias in a leaked video. ➡️ Tip Jar and Fan Support: http://ClownfishSupport.com ➡️ Official Merch Store: http://ShopClownfish.com ➡️ Official Website: http://ClownfishTV.com ➡️ Audio Edition: https://open.spotify.com/show/6qJc5C6OkQkaZnGCeuVOD1 ➡️ Gaming News: https://open.spotify.com/show/0A7VIqE3r5MQkFgL9nifNc Additional Context: In the ever-twisting saga of entertainment conglomerate Disney, recent criticisms have emerged from Trian Fund Management's Nelson Peltz, adding a savory layer of drama to the corporate potluck. Peltz, known for his activist investor maneuvers, has metaphorically accused Disney's current board of culinary incompetence, suggesting they're "throwing spaghetti against the wall" in hopes something will stick. This colorful critique primarily targets Disney's strategic decisions, like their engagements with Fortnite, hinting at a perceived lack of coherent vision or strategy in their attempts to stay relevant and profitable in the rapidly evolving entertainment landscape. Adding to the mix, Disney's own Bob Iger, a figure as synonymous with the company as Mickey Mouse himself, has been caught in a whirlwind of controversy following a leaked video. In this video, Iger purportedly admits to the company having a leftwing political bias, a confession that has stirred the pot in an era where corporate political neutrality is often expected—or at least, the appearance of it. This acknowledgment, whether seen as a moment of honesty or a strategic misstep, feeds into ongoing debates about the role of entertainment giants in shaping cultural and political narratives. For Disney, a company that has long been at the forefront of family entertainment, these developments are particularly noteworthy. The brand's image, carefully curated over decades, is now being scrutinized under the microscope of public opinion, with each move and statement dissected by fans, critics, and investors alike. In the context of Peltz's comments, the critique is not just about a single deal with Fortnite but rather indicative of a broader skepticism regarding Disney's direction under its current leadership. The strategic decisions made by the board are seen as haphazard attempts to capture market trends without a unifying strategy, risking the dilution of the brand's core identity and value proposition. Iger's admission of a political bias, on the other hand, peels back the curtain on the internal culture and decision-making processes at Disney. In an age where consumers are increasingly looking for authenticity and alignment with their values, such admissions can have far-reaching implications for brand loyalty and market positioning. As these stories unfold, Disney finds itself at a crossroads, navigating the complex interplay of corporate strategy, public perception, and political implications. The outcome of this saga will likely serve as a case study in corporate governance, brand management, and the power dynamics between investors, executives, and the court of public opinion. As the world watches, the question remains: can Disney turn these challenges into opportunities, or will they be left cleaning up spilled spaghetti? Only time will tell. The firm agreed to support Disney's slate of board nominees at this year's annual meeting, siding with Disney in its battle with Trian and Nelson Peltz. Squawk on the Street Disclaimer

Kate Heartfield sits down with acclaimed bestseller Emma Donoghue to discuss her latest move, Haven. Around the year 600, three men vow to leave the world behind and set out in a small boat for an island their leader has seen in a dream, with only faith to guide them. In seventh-century Ireland, a scholar priest named Artt has a dream in which God tells him to leave the sinful world behind. With two monks—young Trian and old Cormac—he rows down the River Shannon in search of an isolated spot in which to found a monastery. Drifting out into the Atlantic, the three men find the impossibly steep, bare island known today as Skellig Michael. In such a place, what will survival mean? Carl Quintanilla, David Faber and Mike Santoli discussed how investors should view market volatility with the Dow in the midst of a three-day winning streak and mega-cap tech seeing valuations slashed. They also explored growth worries versus inflation fears, as well as Wall Street's recession debate. Jefferies analyst Brent Thill joined the discussion about how investors should play the beaten-down tech sector. Also in focus: Billionaire investor Bill Ackman's tweet storm about short-term interest rates and stocks, Apple and China COVID lockdowns, retail earnings winners and losers, Nelson Peltz's Trian explores taking over Wendy's, and the battle for ExxonMobil one year later -- as the company kicks off its annual shareholder meeting.
