In this week's episode, MT's editorial team discusses some common traps in M&A deals and whether consultancies should be held accountable for the actions of their clients.This week a mega-deal was unveiled in the food delivery market when we heard that tech investor Prosus had agreed to acquire Just Eat Takeaway. While at €20.30 per share the offer represents a 22% premium to the company's recent three-month stock price high, it still comes in at less than a fifth of the share's peak in 2020, after a tumultuous few years for the company. The deal comes as Warwick Business School professor John Colley reflects on a previous M&A involving Just Eat Takeaway – its acquisition of Grubhub in 2021 – which he considers as an example of when acquisitions go wrong. We discuss some of the common M&A traps Colley outlines.Consulting firm McKinsey has become the latest target of the environmental movement Extinction Rebellion. Last Monday, the firm's London HQ was occupied by activists who vandalised its exterior, scaled the entrance, and hung a banner condemning the firm's continued work with the fossil fuel industry. Éilis asked industry experts whether consultancies should be held accountable for the actions of their clients (where their advice was not a factor). What are we doing that causes this level of pressure day in and day out?    On the podcast today, I'm joined by Danielle Colley, a coach, speaker, facilitator and author of the book The Chocolate Bar Life.    As a former journalist and a struggling solo parent of two children, Danielle understands how hustle and grind impacts our ability to live a rewarding life that is free from anxiety, overwhelm and burnout. Known for her unique approach to balancing the various aspects of life, Danielle shares her insights on how to manage work, rest and play.   In our conversation, we explore how to adjust these balances seamlessly through different seasons of life.   Understanding Life's Balance Danielle introduces the idea that life's balance isn't always about equal proportions. Just like the layers of a Mars Bar, the ratios of work, rest and play aren't always equal. She explains that understanding this variability is key to finding harmony. Each day, week or season of life might call for a different mix, and that's perfectly okay. The essential aspect is to recognise and adapt to these shifts as they come.    Choosing the Pace of Your Life With the pace of the world continually speeding up, there's often the feeling that if you don't keep up, you'll get left behind. Danielle explains that it takes intentionality to choose the pace for our lives, knowing when to push and when to find rest. Williams continues, "Colley has become an unlikely citizen-scientist, spending a lifetime researching and documenting PORTS and its sins... Colley was hired as an electrician at the facility in 1980 and worked there for three years. 'I was exposed to everything. We were cleaning off radioactive equipment that we did not know was radioactive. They never told us,' Colley told me. Then, she said, her hair started falling out, she developed rashes, and 'I got really sick and went to the hospital, not knowing that it was my job causing me all these problems. I had big tumors.' In the four decades since, she's faced a range of health problems, including chronic bronchitis, tumors, and pulmonary edema." Today's poem (from an oft-maligned poet) makes frequent appearances in poetry anthologies for children, but hides a satisfying subtlety.Colley Cibber (6 November 1671 – 11 December 1757) was an English actor-manager, playwright and Poet Laureate. His colourful memoir An Apology for the Life of Colley Cibber (1740) describes his life in a personal, anecdotal and even rambling style. He wrote 25 plays for his own company at Drury Lane, half of which were adapted from various sources, which led Robert Lowe and Alexander Pope, among others, to criticise his "miserable mutilation" of "crucified Molière [and] hapless Shakespeare".He regarded himself as first and foremost an actor and had great popular success in comical fop parts, while as a tragic actor he was persistent but much ridiculed. Cibber's brash, extroverted personality did not sit well with his contemporaries, and he was frequently accused of tasteless theatrical productions, shady business methods, and a social and political opportunism that was thought to have gained him the laureateship over far better poets. He rose to ignominious fame when he became the chief target, the head Dunce, of Alexander Pope's satirical poem The Dunciad.Cibber's poetical work was derided in his time and has been remembered only for being poor. His importance in British theatre history rests on his being one of the first in a long line of actor-managers, on the interest of two of his comedies as documents of evolving early 18th-century taste and ideology, and on the value of his autobiography as a historical source. For surgeons and patients, deciding if and when to operate can be challenging. Often, the way surgeons communicate about these decisions doesn't make things any easier for themselves or their patients. And, surgeons often spend the majority of their conversations with patients describing anatomical details and exactly how they plan to ‘fix it', with little discussion of what that ‘fix' will do for a patient's overall goals. Instead, what if your surgeon told you that the operation she was discussing could help with only 4 things: live longer, feel better, prevent disability, or obtain a diagnosis? And, what if your surgeon openly discussed the expected ‘bad stuff' of post-operative recovery, instead of rotely reciting a list of possible complications? We invited Gretchen Schwarze and Justin Clapp to discuss with us these communication strategies, which are the focus of a series of 4 Viewpoints recently published in JAMA Surgery. I love this series of articles because each presents a component of a practical, patient-centered approach to patient-surgeon communication and decision making, and language surgeons (and surgical trainees) can start using in their next patient visit.
