3M faced a dual settlement, first with the SEC and then with OFAC, over alleged Iranian sanctions violations stemming from misconceptions and oversights in a license plate deal with a German intermediary. Despite the gravity of the case, 3M took proactive remedial actions, including voluntary disclosure and internal changes. Similarly, Emigrant Bank maintained a CD account for two Iranian residents for over two decades without proper screening, leading to a $31,000 settlement. In this episode of Corruption, Crime and Compliance, Michael Volkov shares details of both cases, underscoring the complexities of navigating sanctions regulations, the consequences of compliance failures, and the pivotal role of voluntary disclosure and proactive remediation in mitigating penalties.You'll hear Michael talk about:3M settled with the Securities and Exchange Commission (SEC) for $6.5 million and with the Office of Foreign Assets Control (OFAC) for $9.6 million over alleged violations of Iranian sanctions. 3M's Dubai-based subsidiary entered into a deal to manufacture reflective license plate sheeting for a German company, but it misunderstood the end user, believing it was a reseller when it was actually Iran. Between 2016 and 2018, 3M sent 43 shipments to the German intermediary, who resold them to Iran, violating OFAC regulations. This led to 54 violations of the Iran sanctions program. 3M's compliance team approved the deal without realizing the true end user was in Iran. Suggestions to review the deal were ignored, and steps were taken to conceal its true nature. 3M took remedial steps, including voluntary disclosure, termination or discipline of involved employees, leadership changes, revamped sanctions compliance training, and discontinuation of business with the German reseller.In another case, Emigrant Bank maintained a certificate of deposit (CD) account for two Iranian residents from 1995 until 2021 without properly screening it for sanctions issues. In 2016, when the account holders requested a wire transfer, Emigrant became aware of potential sanctions issues but still approved the transfer. In 2019, Emigrant's upgraded screening software flagged the account, but the compliance team overrode the alert based on erroneous guidance from the 2016 wire transfer. Emigrant recognized the account's status in 2021, closed it, and took steps to remediate compliance program shortcomings.Emigrant settled the matter for $31,000, significantly lower than the maximum penalty applicable ($9.9 million), with voluntary disclosure and proactive remediation efforts considered mitigating factors by OFAC.KEY QUOTES“In the course of setting up this agreement, numerous managers at 3M suggested that trade compliance reviewed the deal. The relationship between the chief of the FCPA unit and the head of the fraud section is important as their interactions can potentially influence the direction and outcome of cases. The fraud section provides weekly case summaries to the Deputy Assistant Attorney General's office. This demonstrates the department's diligent and ongoing monitoring and reporting system. The FCPA unit doesn't operate in isolation; it partakes in international collaborations on bribery issues, highlighting its commitment to global anti-corruption efforts. Welcome to the Hughes Hubbard Anticorruption and Internal investigation Practice Group's podcast, where host Tom Fox and members of the Hughes Hubbard Anticorruption and Internal Investigation Practices Group delve into the legal issues surrounding white-collar and other investigations, both domestically and internationally. John Wood, Investigative Counsel on the January 6 Committee, joins Tom and Mike DeBernadis on this week's show. They delve into the inner workings of the January 6 Committee. John Wood is a former Hughes Hubbard partner; he serves as Investigative Counsel on the January 6 Committee. He is well known for his work with the Bush administration, where he worked at the Justice Department, White House and Department of Homeland Security. Key ideas you'll hear in this episode: The January 6th attack on the Capitol investigation was conducted by five teams, with a bipartisan committee and one staff. Documents were crucial to the investigation and legal strategies were used to obtain them. The National Archives produced a significant number of documents, while electronic documents were quickly obtained from witnesses through subpoenas, text messages and email accounts. Some witnesses were less compliant or refused to cooperate and the House held some in criminal contempt. The Fifth Amendment was respected, but the investigation was frustrated by some who claimed it as a defense.  The public hearing was divided into topical sections and used video and live and deposition testimony to create a compelling story for the American people.  John questioned Judge Ludic, a former clerk and conservative expert witness. The hearing was more structured and scripted, but with surprises and led by members of Congress and senior investigative counsel. The report was intentionally detailed with specific citations to documents and transcripts for backup, time-consuming to write, but important to have as buttoned up as possible to prevent denial by the former President or his allies.  The hope for the legacy of the committee is to prevent something like January 6 from happening again, and to put partisanship and politics aside to work for the country.  John recommends a book, "Scavenger Hunt" by Chad Boudreaux, as a fun and informative read. I think one of the things young people should think about is they see resumes and they see LinkedIn links and it's success, lots of bullets, another success, lots of bullets. I think you can just ignore all that because nobody puts up their failures. You know, bad idea, six months wasted on a bad idea, millions of dollars destroyed because of arrogance, right? Nobody puts that on their LinkedIn. And so you get this, sort of like the Instagram version of a career, perfect angles, perfect lighting filters done properly. But that's not really the way careers went.

Not only is meaningful, sustainable cultural change possible in the workplace, but it's also something that can be mapped and measured. Denison's focus is on ensuring adoption, which requires thoughtful strategic mapping.  It's essential to establish an open climate of trust in which behaviors can be discussed and members of the enterprise at all levels feel safe to speak candidly about conditions on the ground.  Culture most often sits with HR, but the owner should be the CEO along with the entire senior management team. If the effort is compartmentalized in HR, that's a red flag. It needs to be adopted from the top-down, bottom-up and everywhere in between.  Karen's thoughts about the single most impactful thing that leaders can do today to improve their culture: Be curious. Ask your teams how they are feeling, what they need, what they don't have. Kyle is a former corporate burnout guy, who now creates experiences for people to connect. He likes to be in the background, while creating things for people to step into. Talking about corporate burnout, Kyle says that when you're burned out professionally, it affects every category of life. Every facet of your mental, physical, and personal life gets affected by it. Around the Thanksgiving of 2014, Kyle finally had the realization, and he wanted to stop everything in his life being second priority to his work. Looking back at the process, he calls it connecting the dots. He says that looking back, you've got to have a mentor, you've got to have a coach, you have to be with masterminds, whatever it might be having someone to be there with you to help you through that process speeds up the process. Kyle says that he connected the dots, figured out what he loved, what he was good at and then he started to create those experiences as a result. Talking about his personal and professional growth journey, it included reading a lot of books, listening to podcasts and then he realized that information and knowledge are great, but application is what really matters. Stepping into entrepreneurship, it was a whole new thing for him. It meant that he had to get help, and be vulnerable. He adds that there are different things you can do. You can have mentors from afar, but people have to understand that at some point they will require investments, and that's really important because if you're looking for someone's time, their time is also valuable. Talking about how they got out of massive debt of $380,000 in 38 months, he started with budgeting. He says that we can rephrase the term ‘budget' to how you spend money, and this gives you permission to spend, that doesn't feel constricting. He says that if you want to get through debt fast, play good defense, but you've got to play good offense. Figure out how to double your income, then cut your expenses in half. He adds that if you focus too much on cutting expenses, you will inadvertently develop a scarcity mindset. Talking about how he created experiences, he wanted it to be a smaller, intimate, more exclusive group, because you can't get to know that many people. He does it by forcing people into a container where they have to learn it really quick, and that is more impactful than a 90-minute guest speaker presentation when you actually get to live it out. He adds that finding your tribe is important, because then, we can all lift each other up and we can be better entrepreneurs, business professionals, fathers, husbands, friends, all of these things. After these experiences, they still get together and you're accountable to doing what you said you were going to do.  Kyle says we often overlook that we have the gift of listening, we all have that ability to active listen. You should create your own accountability partners, your own accountability group. He adds that to make sure you don't get stuck in a rut, ask yourself the question, how do I need to support myself through this process? The answer looks like building a tribe and building a community of people that can support you, and it looks like building routines into your day. Kyle says that action brings clarity, keep taking action even if it feels insignificant or small. It gives me confidence that I don't have to be checking every payment that goes out, because there are rules in place that I know will alert me if something is needed or something is done that's odd.”“Another hat the CFO wears is that of being a risk manager, and the best way to manage risk is to know that you have it, identify it, plan for it, and track it.”“in the last few years, we've moved away from the accounting person as the CFO. Oftentimes when I get headhunter calls they'll say ‘we don't want an accountant, we want a strategic CFO,' but I actually think accounting is important. It's complicated. The rules change all the time. There's heavy reliance on SOX and internal controls, and I think CFOs should be conversant in accounting.”“We're in the early innings of this digital transformation. There is just so much opportunity, and I think it's going to be very exciting for CFOs and their teams to really explore those opportunities and make those investments, because ultimately we're here to serve the business.
