To date the e-Residency of Estonia has attracted over 96000 entrepreneurs, freelancers and startup founders from 179 countries including 4100 UK nationals. With 99% of public services online, the country's startup ecosystem does not disappoint either, having bred the founders of Skype, Bolt, Wise and others, meaning the tiny country has the most unicorn businesses per capita of any other country in Europe. With goods, services, data and people not moving as easily anymore between UK and European Union, many have found a solution in e-Residency as a fully online alternative way to establish an EU base. Speaker: Ülane Vilumets leads the team that is responsible for ecosystem development and partnerships at e-Residency. Adam Rang is a third generation Estonian born in the UK. Since moving to Estonia in 2016, Adam helped develop Estonia's E-Residency programme as its Chief Evangelist and has since worked for the Estonian government to help promote Estonia internationally in English, including for the Office of the President. He also started his own company to help develop Estonia's sauna industry, by exporting Estonian sauna design and technology, as well as traditions. Since the start of Russia's full scale war in Ukraine, Adam has pivoted more towards counterpropaganda for Estonia, including as a member of Kaitseliit's cyber unit. He started his career in South Africa in journalism before switching to PR and working in the British defense industry. Adam has graduated from the University of Cape Town in the field of Social Sciences, Politics and Gender Studies in South Africa. At the beginning of 2021 Lauri Haav altered his career path from the world of tech startups to the realm of government. This might sound like an incongruous move, but the Estonian government is more advanced than most countries in terms of its level of digitization and its embracing of technology, and Lauri is currently running a program which is the first of its kind. Almost 7 years ago Estonia launched their e-Residency program; this means that almost anyone, almost anywhere in the world, can become an e-resident of Estonia. Currently, if e-residents were a city, they would be the third biggest city in Estonia! Ott Vatter is the Managing Director of the first ‘governmental start-up', e-Residency. He took up the mantle of MD in 2019, having previously held the position of Deputy Director. He was responsible for the scale-up of the e-Residency project through strategic partnerships and product development from 2015 to the present day. He has spoken at several high-profile events like the World Knowledge Forum in South Korea where he spoke alongside the President of Estonia, Kersti Kaljulaid, about how digital initiatives like e-Residency will pave the way for stronger economic and societal relations worldwide. Back in 2014, Ott Vatter was hired by the Estonian Government to work on a special project, to figure out how to distribute national documents to non-citizens globally using Estonia's e-government platform. He realized quickly that he needed more time and took on an additional 18 months. Today, 5 years later, he is still employed by the Estonian Government and is the Managing Director for the e-Residency program. Let's start out with the not so obvious. Most of you may be thinking, ooh, e-residency in Estonia, I can go and live there and reap all the benefits of residency. Well, it's not exactly how it works. You can't actually live in Estonia; however, the program is really forward-thinking and as a matter of fact, has attracted 70,000 e-residents and 11,000 businesses in the 5 years since it started. In the second part of our interview with Kaspar he shares some behind-the-scenes insights and learnings from his journey of e-Residency, which may well be one of the most important government experiments in the 21st century. The program started nearly 20 years ago after Estonia decided to become a fully digital society and to issue a digital identity to every resident. From there, it went on to welcome foreign citizens to Estonia’s digital global village. Kaspar Korjus was the Managing Director of e-Residency in the Government of Estonia. Kaspar started to run the program at the age of 26 years and today moved on to his next venture Pactum which we discussed with him in the recent LOF podcast. Kaspar is also listed as #1 on the Forbes Estonia’s 30 Under 30 in Technology and Finance list. Kaspar is fascinated by the idea of disrupting the governments to become service providers like any other company. He rarely gives interviews so we are absolutely grateful he took time to meet us.

It has been so popular that e-residency applications have been growing faster than the number of births in the entire Estonian nation. Today we are talking about how e-Residency came to be--what made the government of Estonia start this initiative, the benefits that have come from it, what impacts the country has seen from the program, and the possibility of other countries creating their own programs. You will also hear some mistakes they made along the way and how they overcame them. Ott says, “If we look at the population first of Estonia, we're only 1.3 million people. With the domestic market, we can't really develop or scale. We're also demographically losing people. People are moving away. Some people are moving back. But in general, the outlook in 50 years, 100 years is not that positive. We have to be clever in these ways that we can actually innovate. We're not a rich country in terms of national resources, or we don't have huge resources of oil. But what we do have is the basis of a digital country. We could really capitalize on that. The infrastructure of e-Residency was already there for our own citizens. We didn't have to invent anything new, but we could replicate the same model for foreigners. We use the same identity card, taking away the photo and making it available for others as well.” Any individual is able to apply for e-Residency, even if they are not currently looking to start a company or work remotely. Some people just do it to say they are an “e-Estonian”. One of the main benefits of joining e-Residency is the ability to use your digital certificate to sign documents quickly and it allows remote entrepreneurs to let other people handle the basic administrative tasks which leaves the entrepreneur freed up to focus on more important parts of running a business. When thinking about the future of work Ott believes that being a digital citizen will have huge benefits. He says, “People are traveling around even more and more. I think remote work is growing immensely. Digital identity is something that makes your life easier. As a German citizen, you wouldn't have to fly back to your own country, for example, from Thailand and wait in line in the tax office to fill out a form. Or in the U.S., for example, the tax forms, I mean, they're crazy. You physically have to be present to actually present all of these documents. I think the future of work is about being location independent. Being able to submit or do your business from anywhere in the world. Welcome! This week we will be talking about Estonia, which sits right on the Russian border, just below Finland. Anyone can become an e-resident in Estonia, create a company and operate it in the EU. Digital identity is probably the most significant legal and commercial and political concept we have in today's world Estonia is a very Digital Society - government services are provided online, including e-health, e-school, e-tax and e-voting. We will be focusing on Estonian e-Residency – As anyone in the world can become one Estonian e-Residency You receive a government-issued smart ID card that provides digital identification and authorisation. you can digitally sign important documents, access secure services, and make secure transactions - even if you don't live in Estonia. E-residency does not grant citizenship rights or function as a travel document, but: as an e-Resident, you'll be able to Establish and run a company online Conduct your banking online e.g. make electronic bank transfers Have access to international payment service providers Digitally sign documents (annual reports, contracts) within the company as well as with external partners Verify the authenticity of signed documents Encrypt and transmit documents securely Declare taxes online The purpose e-Residency program makes life and business significantly easier for freelancers, digital nomads, business owners, international partners, and any other non-resident who has a relation to Estonia. Great if you want to start a business, expand your business, make investments, or study in the European Union For e-Residents who have established Estonian companies, it is important to note that there is a difference between personal tax obligations and corporate tax obligations. Tax system You need to pay tax in accordance with tax legislation in Estonia (and Australia sadly) Individual – Property, income, benefits are all taxable at different rules, but there is a flat 20% tax on individual income. Double Taxation Agreement – Avoids paying tax in both, only pay in one – We don’t have one with Estonia so there would be double taxation Only bad part is that we don’t have a DTA with Estonia otherwise we would be able to keep funds invested in the company there and pay no tax on the profits. Companies are taxed at the same rates depending on types of income An Estonian company entered into the commercial register is regarded to be Estonian tax resident. Salary are different to dividends Types of tax Corporate Income tax – Not assessed by profits, but only when profits are distributed (as dividends) Dividends: 20% tax rate on assessable payments Different rules apply for the avoidance of double taxation with regards to wages as compared to dividends. if a company is active in a foreign country (not Estonia), the other country may tax income received from there, in accordance with the rules applicable in the tax treaty instead (remember we don’t have one) Possible double taxation is avoided in Estonia when distributing profits as dividends. We don’t have a DTA so from what I can see it may probably be double taxed Value added tax - the supply of the goods and services which shall be taxed in Estonia and which VAT rate is 20%, 9% or 0% Social tax – Tax for social security payments Others (customs, duties, unemployment insurances, etc.) Determining the tax residency – It is murky An Estonian company registered through e-Residency is automatically tax resident in Estonia as according to the Income Tax Act a legal person is a tax resident if it is established pursuant to Estonian law. If a natural or legal person is regarded to be Estonian tax resident, it should also be taken into account whether the same person is tax resident of any other country under the law of the foreign country. In such case the tax residency in Estonia will depend upon the tax treaty between Estonia and the foreign country. Business operated online - you receive income from around the globe, your Estonian OÜ would be tax resident in Estonia. e-resident company can generally avoid double taxation if business activity is conducted abroad. If profits that are taxable abroad are paid out as dividends in Estonia, these profits might not be subject to tax in Estonia. Business operated physically in another country - your company is likely to be taxed there too. I’d strongly advise e-residents to consult a qualified tax professional in order to determine their tax obligations. Example If you work in another country and create a company in Estonia Tax rules apply to your company profits in you local country IF the company is managed by a tax resident of the home country, the company would be treated as a tax resident company in the home country Summary This is a promising sign for the future – Ease of business and ability to access lower taxable environments I see it as a competitive market of taxation If you have a monopoly operating then there is no optimal solution for consumers With tax – Gov is monopoly and we are forced consumers When it is opened up for countries to compete, you start to see shifts in the places companies do business which is a sign of consumer demand Hope you found this episode interesting...but again, if you are interested, speak to a tax expert before doing anything!
