Bryce is also a member of the Alberta Securities Commission and the author of a new book called “Hard Lessons in Corporate Governance”. He joins Munir to talk about the evolution of venture capital, the role of corporate governance in shaping the success of startups, and how venture financing shapes corporate governance and long-term success in business.Bryce Tingle reviews some of the history of corporate governance dating back to the 80s and 90s and examines how the shift from insider directors to largely outsider independent directors took place. He highlights the intersection of securities law, investor protections, and corporate structures, discussing with Munir how these elements affect capital formation and business environments. Bryce advocates for governance reforms that could create a more favorable ecosystem for high-growth companies and nurture greater economic innovation in Canada. The discussion is well-informed by the experience and knowledge Bryce Tingle brings to the subject matter, as well as the focus of his book.About Bryce Tingle: Bryce C. Figuring out the best way around the corporate governance mess we've made is more complicated in books and articles I've tried to set out with some of those steps would be, but I do believe that Canadians and Canadian politicians can take a look at what's going on and fix it. It certainly lies within our power to fix. We made the mess, we can unmake the mess.Munir Haque: [00:00:37] Hello everyone, and welcome to another episode of The Boardroom 180 Podcast. I'm your host Munir Haque, an executive coach and senior board strategist. I have partnered with Action Edge Executive Development to lead their governance and political acumen division. In each episode, we meet with governance leaders and step into their boardrooms, where decisions shape the world around us.Munir Haque: [00:00:57] On today's show, we have Mr. Bryce Tingle. He holds the N. Murry Edwards Chair in Business Law at the University of Calgary. He's a member of the Alberta Securities Commission. He was recently appointed a member of the National Special Advisory Group to the RCMP Integrated Market Enforcement Team. Mr. Tingle is a director of several companies active in the technology and financial industries. He served as general counsel for several tech and natural resources companies. He has a master's of law from Duke, a masters of law in E-Business from Osgoode, and a Bachelors of Law from the University of Alberta. He has served on various public and private corporations and charitable boards, including serving as director at the Alberta Ballet. He is the author of a new book called 'Hard Lessons in Corporate Governance', which was published in 2024 by Cambridge University Press. Welcome to the Boardroom 180 Podcast, Mr. Tingle.Bryce Tingle: [00:01:57] Thank you very much. I'm very pleased to be here.Munir Haque: [00:02:10] You've got quite an impressive resume, but the one thing that stuck out to me was that recently you were appointed to the National Special Advisory Group to the RCMP Integrated Market Enforcement Team. That sounds interesting and intriguing, are you bound by any confidentiality or is that something you can talk to? Is that top secret?Bryce Tingle: [00:02:34] It is confidential, I am bound. But generally speaking, the IMET teams are part of the RCMP, which is our federal law enforcement arm. Here in Canada, they're the part of the RCMP that investigates financial crimes. Things like terrorism financing, Ponzi schemes, fraud, attempts to evade export controls. These things are dealt with by the IMET teams, and there are myself and three other individuals who advise them on those investigations.Munir Haque: [00:03:10] So you're not the person on the ground who's got the little note on their background as they're going to raid corporate offices?Bryce Tingle: [00:03:16] I can't tell you how much I would love to have a bulletproof vest with 'police' written on the back. RCMP windbreaker, it would be great. It would make my life way more interesting than it is.Munir Haque: [00:03:29] Do you at least get a baseball cap or something?Bryce Tingle: [00:03:32] So far, nothing. Free trips to Ottawa is what I get.Munir Haque: [00:03:37] Okay, it's a nice town. To start this off here, you wrote a book called 'Hard Lessons in Corporate Governance'. One of the interesting things that I find is that it's easy to learn from other people's failures. I was asked to talk about failures, and here you are. You wrote a substantial book that covers a lot of failures and the lessons that we learned from them. I won't be asking you the flip side of that, the successes, but maybe we start talking about the book a little bit. What motivated you to write 'Hard Lessons in Corporate Governance'?Bryce Tingle: [00:04:13] I came to it indirectly. By way of background, I spent a decade and a half in private practice, mostly working with startup companies mostly in the tech industry, working with venture capital funds and mezzanine debt lenders. During that time, I did a lot of advising of boards of directors. Then I went in-house as general counsel of a couple of large international groups, and in that capacity also did a lot of advising of boards of directors, even assembling boards of directors. Over the course of that, I advised clients for the companies I worked for in what the current best practices were for corporate governance, and I did so without much second thought. Everyone from the Securities Commissions, to the Wall Street Journal, to the Globe and Mail, to think tanks, to proxy advisers, everyone was more or less saying exactly the same thing. I passed on this advice, and I never really felt like I had any reason to doubt it. When I becam...

Show Quotes: "A lot of the research that we have done shows that 2x more women are leaving tech than men - and that's primarily women in their mid-career." "I recognize how important it is to have people advocating for you, and who want to see you succeed, be part of your professional life" "If we know that women don't see themselves in higher levels of the company - and if we can provide a mentor...that's a huge gain." "I can imagine all of the steps that are needed and all of, maybe the resources that are needed in order to come to the end point. So whether that's a photography gig, a corporate event, you know, building out a festival. Plopping a fire-breathing mechanical octopus in the middle of Inglewood, you know, four or five days." "So what I get to do right now within the team is sort of exploring what those programs look like and how do they operate online. And having really great, beautiful discussions with women in tech about the challenges that they're facing and the things that they want to see change as well as, like providing them with some really good services, you know, hoping that they'll stay within tech instead of leaving tech." Often in these excellence driven environments, the traditional approaches to teaching and learning, that still exist today, can include approaches to teaching dance that induce fear through intimidation and can be spirit breaking. Can excellence be achieved in a positive supporting encouraging environment? We at DEC know that yes, it can, and so does our guest. Today we will speak with dance teacher and author Gavin Larsin as she provides us with some tips, tricks, tools and strategies to help dance educators realize that there are alternate paths to excellence that foster healthy child development. Over the course of a fast-paced conversation with Cathy Levy, Helsinki-born Mikko Nissinen, Artistic Director of Boston Ballet, describes how he stumbled into dance and how a strong technique and infectious enthusiasm for the art form rapidly led him to soloist roles with The Finnish National Ballet, Dutch National Ballet, Basel Ballet and San Francisco Ballet. Having always aspired to be an artistic director, he assumed this position with Marin Ballet and Alberta Ballet before joining Boston Ballet in 2005 as an agent of change. The company has since grown exponentially in size, purpose and reputation, enticing most recently the great William Forsythe to make it his home.

Cathy Levy chats with Jean Grand-Maître, Artistic Director of Alberta Ballet, choreographer and recent recipient of the Order of Canada, about the full-evening portrait ballet Joni Mitchell's The Fiddle and the Drum that will close the National Arts Centre 2018-2019 Dance season. Co-created with the iconic singer-songwriter —who celebrated her 75th birthday in 2018— the work, which addresses war and environmental neglect, was initially produced in celebration of Alberta Ballet's 40th Anniversary. Jean describes his first encounter with Joni, their relationship, past and present, her approach to creation, her extensive contribution to the ballet, her passion for humanitarian causes, and the degree to which she has inspired him. This original venture unexpectedly opened the door to similar collaborations with or about other supreme popular music artists such as Sir Elton John, Gordon Lightfoot, The Tragically Hip, k.d. lang and Sarah McLachlan. The conversation concludes with a few anecdotes about the entertainment industry's homage to Joni's life and career held at the Dorothy Chandler Pavilion in Los Angeles in November 2018, and the legacy of Joni Mitchell's The Fiddle of the Drum.

In this bilingual panel discussion on Creation and Collaboration that preceded the world premiere of ENCOUNT3RS (April 20-22, 2017), animator Catherine Clark speaks with the six Canadian artists involved in this historic NAC dance-music commission celebrating Canada 150. Following a discussion between Executive Producer of Dance Cathy Levy and Music Director Alexander Shelley in 2015, choreographer Jean Grand-Maître (Alberta Ballet) and composer Andrew Staniland; choreographer Emily Molnar (Ballet BC) and composer Nicole Lizée; and choreographer Guillaume Côté (The National Ballet of Canada) and composer Kevin Lau were invited to create three new one-act ballets and three original orchestral scores to be performed by the NAC Orchestra under Alexander's baton. The outcome was an extraordinary dance and music triple bill. The panel conversation centred on the genesis and creative process for each collaboration; the choreographer-composer relationship; the ground-breaking nature of this project; the impact this rare opportunity had on the creators and performers; the role art plays in helping us better understand the world we live in and in bringing us closer together; and the legacy of ENCOUNT3RS. In closing, the artists praised the NAC for commissioning a project of such magnitude and for its unrelenting urge to see it through.

Today I met with Ryan Corry to discuss his recent productions with the Alberta Ballet. We spoke about the importance of the arts, how to attract the right event sponsors, and how to create a successful event by leveraging the help of others. Listen to episode 16 here
It's a stacked (man-heavy) episode, folks: Alberta Ballet‘s Dynamic Directions showcased choreographies by Wen Wei Wang, Aszure Barton, and Yukichi Hattori; EdMetro Chorus teamed up with Tony Olivares Dance and the parkour antics of FlyFree Movement; and finally we caught Brian Webb trouncing around with CLINKER (a.k.a. Gary James Joynes) talkin' 'bout death and stuff. Whew. https://idontgetityeg.com/wp-content/uploads/2016/02/idgi-s3e9.mp3★ Support this podcast on Patreon ★

Reid Bartelme is truly one of the most diversely talented and comprehensively successful guests I have yet to interview. Reid grew up in SoHo surrounded by music and the arts. When he was nine years old Reid moved to New Jersey to study voice at The American Boychoir School in NJ whicch is one of only two boychoir boarding schools in the U.S. In high school Reid was accepted to the prestigious Interlochen Arts Academy where he continued his vocal training. When he was 16 years old Reid discovered his interest and talent in dance after taking a general dance class with Jack Ferver. Reid wound up double majoring in Dance and Music at Interlochen. After this, Reid attended SUNY Purchase for college to continue his pursuit of dance. Reid also continued his vocal training on the weekends with a private teacher in NYC. Shortly into his time at Purchase College, Reid realized he wanted to pursue a career in dance rather than just dabble in it on the side. Because of this he left college to pursue this path. From there Reid wound up being accepted as a trainee with one of the top Ballet Companies in the country; Pacific Northwest Ballet (PNB) located in Seattle. Reid trained and often performed with the company for two years before receiving a Corps de Ballet contract with BalletMet in Columbus Ohio. After three years at BalletMet, Reid moved to Calgary to dance with the Alberta Ballet for another three years. At this time in his life, Reid realized he really wanted to get back to NYC so he auditioned and danced with the Shen Wei Company for two years. While a member of the the company Reid auditioned and was given the opportunity to dance for Lar Lubovitch. Reid danced with Lar Lubovitch for three years. Incredibly during this time Reid once again changed directions and embarked upon a new journey into design. As Reid explains, he was not feeling the same passion for dance as he had in the past, so after doing the exercises in Julia Cameron’s instructional book “The Artists Way” Reid’s new journey took him into the world of Fashion and Design. But just as Reid had done throughout his life, he did not embark into this new career path in a halfhearted manner; instead he applied and was accepted into the acclaimed Fashion Institute of Technology in NYC. As Reid shares in his interview, he had always created amazing Halloween costumes so he used these as the bulk of his portfolio when applying to the school. Since then Reid has quickly climbed through the ranks of top designers for Ballet Companies and Choreographers worldwide. Reid and his design partner, Harriet have been commissioned for such prestigious companies as New York City Ballet, Miami Ballet, Pacific Northwest Ballet to name a few. He has worked with choreographer Emery LeCrone, Justin Peck and Christopher Weeldon among many others. Reid’s influence in Dance has taken a turn into a different direction and is influencing dancers in a way he may never have thought possible.

We invite Trent Wilkie into the blanket fort to discuss Alberta Ballet‘s Don Quixote and the opening of BWDC‘s season with Toronto Dance Theatre‘s fascinating Eleven Accords. Fawnda regales Paul with tales from the Northwest Dance Project that include incidents of “snailing”, “slappy fights” and Sarah Slipper‘s duet that blows her mind — and tear ducts. Plus, Paul sees Alberta Ballet‘s production of Giselle. It's his first classical ballet and the experience leads him to debate with Fawnda about whether ballet needs to evolve to remain relevant. Have a listen and let us know what you think! https://idontgetityeg.com/wp-content/uploads/2014/03/i-dont-get-it-s1e14.mp3★ Support this podcast on Patreon ★

In this second of three episodes, Emily Molnar speaks about the difficult decision of leaving Frankfurt Ballet, as she was turning 26, to branch out on her own. After contemplating quitting dance altogether, she chooses to become a principal dancer with Ballet BC where she interprets many roles, guided by then artistic director John Alleyne, including Puck in the production of The Fairie Queen. Emily talks about her work as an independent choreographer for, among others, Alberta Ballet, Ballet BC, and Cedar Lake Contemporary Ballet, and the tricky process of creating commissions. She mentions her collaboration with Gioconda Barbuto to make and perform the duet Lifelines, and describes the huge influence of her mentor, Canadian dance icon Margie Gillis. In 2009, Emily accepts the artistic directorship of Ballet BC at a time when the company's financial difficulties have brought it to a halt.
