An NIL Attorney on Contracts and Athlete Ownership | Philip Sheng of Venable LLP

SportsEpreneur Podcast

Play Episode Listen Later Jun 22, 2026 60:29

What an attorney who reviews NIL deals sees in the contracts, and what college athletes may be signing away.Philip Sheng is an attorney at Venable LLP, a national firm of roughly 900 lawyers, where he works in the intellectual property group and the sports law practice. His focus is college NIL, the right of publicity, and college eligibility. Venable also advised Taylor Swift through her fight to control her music and re-record her catalog. Sheng notes that was the firm's matter rather than his own, but the throughline is the same question he now works on in college sports: who owns a person's name, image, and likeness, and what they give up when they sign. This is the on-the-ground legal view of NIL. For the full breakdown of how the system works, start with The NIL Hub, NIL Rules in 2026, and NIL Pros and Cons. This episode is narrower. It is what a practicing attorney sees inside the deals themselves.Eric Kasimov talks with Sheng about NIL as both a legal and an athlete-centered issue. They get into whether NIL is really athlete compensation, intellectual property, or both, and why the issue was known as the right of publicity long before college sports made it a household term. Sheng has lived the landscape from several sides. He played tennis at Stanford, competed as an ATP-ranked professional, and now has children navigating college athletics, including Division I basketball and tennis.TopicsNIL as intellectual property and the right of publicityThe College Sports Commission and how it reviews NIL dealsThe Nebraska and PlayFly case, and why the contracts were the problemWhy even a small NIL deal needs its rights language reviewedHow brands can work with role players, not only star athletesRoster cuts in non-revenue sports like tennis and swimmingHigh school NIL, state-by-state rules, and protecting minorsSports betting, college students, and the value of staying in schoolChapters in This Episode00:00 Philip Sheng's background in law, tennis, and college sports00:36 Venable LLP, intellectual property, NIL, and sports law02:11 NIL as right of publicity03:15 Stanford, conference realignment, and athlete travel04:13 The burden on student-athletes06:29 What college sports used to be for07:00 Money, transfers, and the changing athlete experience09:20 NIL checks, taxes, and athlete education09:36 Bad agents and why guidance matters12:25 Has NIL gone too far?13:00 Congress, courts, media, fans, and pressure to change16:11 Money, rosters, and the college experience19:05 What the College Sports Commission does20:00 Fair market value, valid business purpose, and NIL deal review20:55 Nebraska, PlayFly, and unclear NIL contracts22:39 Why the Nebraska case was not just bad paperwork23:40 Why other schools are watching25:00 Lawyers, arbitration costs, and legal representation26:18 Sheng's view of the CSC and NCAA enforcement28:46 College football playoff expansion and media money31:00 What happens if schools sell marquee games differently32:43 Why championships still matter34:50 Sheng's work with non-revenue sports and NIL contracts36:08 Why brands should look beyond star athletes38:47 Are NIL contracts becoming standardized?39:45 Why athletes need contract review40:38 Rights, music, Taylor Swift, and long-term ownership42:02 College tennis, roster cuts, and non-revenue sports44:29 International athletes and college tennis47:25 Similar issues in soccer and goalkeeper recruiting48:00 High school NIL and state-by-state rules49:37 Youth sports, money, and family pressure50:29 Sports betting, college students, and addiction risk52:00 Athlete data, betting markets, and protection54:00 The cost and value of college55:00 Why athletes should not discount the college experience57:25 Athletic fees, non-athletes, and campus tension58:57 Burnout, injuries, and changing paths59:28 Where to find Philip ShengAbout Philip ShengPhilip Sheng is an attorney at Venable LLP, where he works in the firm's intellectual property group and sports law practice. At this point, we've all seen or at least heard about what happened in the Buffalo Bills vs Cincinnati Bengals Monday Night Football game in early January 2023. Damar Hamlin, a 24-year-old safety for the Bills suffered cardiac arrest after what seemed like a routine tackle. Damar collapsed on the field in front of millions of people watching. Such an event has an impact on the mental health of all of the players on the field, coaches, other teams, fans, and everyone watching the game. In this conversation, we invited a mental health professional to discuss coping with emotions after witnessing what as Lisa says, “was a traumatic event”. Lisa Bonta Sumii is someone we have respect and admiration for — and her voice is needed. Lisa advises on how to and how not to cope with a traumatic event. This includes talking about the emotions you felt during the event, staying away from the 24-hour news cycle, journaling, and other coping skills. It is extremely critical to process those emotions and to seek emotional support as soon as possible after a traumatic event. About Lisa Bonta Sumii, LCSW, CSW: Lisa Bonta Sumii is a psychotherapist and mental performance consultant to high-performing athletes at the youth, collegiate, Olympic-hopeful, and professional levels. She is the first-ever Mental Health & Performance Coach at the Oakland Roots SC, a men's professional soccer team, in the USL. Lisa is the Founder & CEO of AthMindset, a diverse team of practitioners, who serve alongside her. “It is during our darkest moments that we must focus to see the light.” – Aristotle This is an episode all about redemption. This redemption story started with support. And this conversation features Mental Health & Sports Performance Coach, Lisa Bonta Sumii sharing space with Marques Ogden. Marques is a former NFL player and now an inspirational keynote speaker. Growing up in a single-parent home with a father that inspired perseverance and fairness, Marques Ogden learned how to define his values and set goals. Ogden attended Howard University from 1998 to 2002 where he played Division I football. Ogden then followed his dream and his brother Jonathan's footsteps, eventually getting drafted into the NFL in 2003. Overall, he played for five years as an offensive lineman with the Tennessee Titans, Buffalo Bills, Baltimore Ravens, and Jacksonville Jaguars. Following his NFL career Ogden started Kayden Premier Enterprises, a construction company in 2007 which quickly escalated to being a multi-million dollar construction firm. But in 2013, it all crashed down around him when Ogden got involved with a bad business deal — he ended up losing everything. Ogden became a speaker to help others succeed where he failed. As a keynote speaker, executive coach, and corporate trainer, his passion is to create value for every client. Ogden's clients consist of AXA Advisors, The Home Depot, JP Morgan, and Chase, among others. — This is the AthMindset Podcast Series on SportsEpreneur. And it's all about mental health in sports. Teresa Brown shares space with Lisa Bonta Sumii in this episode of SportsEpreneur for a candid discussion about mental health–specifically struggles related to body dysmorphia. She is a high-performing powerlifter, and she also works as an elementary school teacher. Her passion for the sport and for teaching truly shines through in her voice. A major topic covered in this episode that we want to bring attention to: “female athlete triad” | A combination of disordered eating, amenorrhea, and osteoporosis, commonly seen in adolescent and young adult female athletes. Teresa is open about her struggles with body dysmorphia related to her sport and she is a proponent of therapy. She acknowledges the “line between living your life and also recognizing that [she] wanted to compete at the highest level possible” (13:57). Once entering the powerlifting arena, she was “absolutely addicted from day one” (6:52). She found a community around powerlifting and gained a sense of fulfillment in the competition atmosphere. She believes that we need to “recognize our bodies for what they are able to do and perform for us” (8:52). Teresa makes real connections in this episode with her unfiltered honesty. Teresa has overcome body dysmorphia and physical injuries throughout the course of her career. She was able to accept the fact that she needed more than just the sport and that it could not be her “everything” (34:09). She has always been able to bounce back and pursue her passions despite obstacles. “Our stories in life impact our purpose and our passion” (26:58) and these stories deserve to be told. A personal biochemistry wizard for the world's best athletes. That's Ashley Besecker. An innovator in the nutrition space. She even coined her specialty, Functional Performance Nutrition. What does all that mean? Well, this podcast episode featuring a conversation between Lisa Bonta Sumii and Ashley Besecker gets into just that. And two of her clients will explain what Ashley does from their perspectives: Megan Rapinoe and Sue Bird. As Megan Rapinoe says, “She's Amazing! Ok so she does this really amazing thing called nutrigenetics which is basically looking at the individual architecture of a person and then designing the whole plan based on that so nutrition plan and training plan. Umm, it's pretty incredible. We loved it.” – Megan Rapinoe, NWSL, USWNT As Sue Bird says, “We (Megan and I) did DNA, gave a little saliva, and then we gave our bloodwork to Ashley and then from there she was able to like, dissect us or something! The micronutrient analysis was the most important for me.” – Sue Bird, WNBA, USAB So yeah, when it comes to biochemistry for athletes, Ashley Besecker is the one to talk to. So we did just! In this AthMindset episode, Lisa Bonta Sumii, LCSW, CSW, shares space with Ashley Besecker, and they talk all things functional nutrition performance, the impact of food on and off the field/court, and why everyone needs to understand what food is best for them. Ashley has a B.S. in Nutritional Science from Pepperdine University, a Dietetic Internship at Vanderbilt University Medical Center, and a Genetics and Genomics Certificate from Stanford University. As Ashley Besecker says, “we live in an oversaturated world of information. Especially within the field of nutritional science. It is so overwhelming that most athletes ask the simple question – how should I eat?” Well, Ashley happens to be obsessed with answering that question.  Based on her specialties and research, she analyzes athletes – from their DNA and blood, to their goals and biometrics, in order to design personalized food and hydration plans, supplement prescriptions if needed, sleep protocols, travel protocols, and injury protocols.  For the time being, Ashley is one of the only people in the world that has this job. She had to build her own path, and actually create her own specialty, which she coined “Functional Performance Nutrition.” This relates so much to mental health as you'll hear in this podcast episode. And that's why Lisa Bonta Sumii, Founder of AthMindset, was so eager to have this enlightening conversation. From Lisa: I'm Lisa Bonta Sumii and this is the AthMindset Podcast Series on SportsEpreneur.  This podcast series is a space for conversations with athletes, coaches, practitioners, and stakeholders in sports. And it's where those individuals share their perspectives, experiences, and thoughts on mental health in sports.  Eric Kasimov of SportsEpreneur is generously hosting the AthMindset Podcast Series on his platform as he deeply believes that these conversations are essential and deserve to be prioritized. Lisa Bonta Sumii, LCSW, CSW, shares space with this incredible young woman, Zoe Conley. Zoe is a former softball player (Pitcher) for the University of California, Berkeley. As Zoe describes her time in softball, “I was one of the only black girls in the circle.” It would be impossible to comprehend how a young black woman deals with this. We're thankful Zoe spent time giving us insight into what it was like to not be recruited when it was clear she was deserving of collegiate offers and to not make certain softball teams because of the color of her skin. But Zoe isn't bitter. She is using her experiences to help others. And conversations like this do just that. Zoe had the support of many people including her family. Her father was with her for many important conversations. And through all of her experiences, Zoe is now giving back — to anyone that will listen and especially young black girls. Zoe Conley spends time with Lisa talking about playing an underrepresented sport, encouraging other kids, and the role of mental health in her life.
