NW Natural told Oregonians it had a new source of clean energy: renewable natural gas derived from decomposing organic waste at sites like landfills or dairy farms. In 2017 the company helped to write a law promoting the development of the new fuel, with the promise that it could replace fossil natural gas in our pipelines. Internal documents obtained by ProPublica reveal how the company painted a picture of going green while it has continued to sell as much fossil natural gas in an average year as it did before. NW Natural maintains that it has been stymied in its efforts by lack of support from regulators and too many barriers. McKenzie Funk, reporter for ProPublica, joins us to explain.

Highlights As previously announced in February 2022, Savannah signed an interruptible gas sales agreement ("GSA") with CHGC to supply up to 5 MMscfpd daily for an initial one-year period. CHGC operates a 17km gas pipeline infrastructure network with a throughput capacity of 50 MMscfpd, which provides natural gas to industrial and commercial customers in the Trans Amadi Industrial Area of Port Harcourt as well as the Greater Port Harcourt Area, Nigeria. New Gas Sales Agreement signed with the Central Horizon Gas Company Savannah Energy PLC, the British independent energy company focused around the delivery of Projects that Matter in Africa, is pleased to announce that its Accugas subsidiary has entered into a new gas sales agreement ("GSA") with the Central Horizon Gas Company ("CHGC"), a subsidiary of Axxela Limited ("Axxela"), and a major gas distribution company situated in the South-South region of Nigeria.  CHGC operates a 17km gas pipeline infrastructure network with a throughput capacity of 50 MMscfpd, which provides natural gas to industrial and commercial customers in the Trans Amadi Industrial Area of Port Harcourt as well as the Greater Port Harcourt Area, Nigeria.   CHGC is majority owned and controlled by Axxela, which delivers natural gas to over 185 industrial and commercial customers via its gas infrastructure network across cities in Southern Nigeria including Lagos and Port Harcourt.  Under the terms of the GSA, CHGC can nominate to be delivered up to a maximum daily quantity of 5 MMscfpd. The GSA is initially for a one-year period but is extendable by mutual agreement. Accugas will deliver gas via its Ikot Abasi Gas Receiving Facility and then via third-party gas infrastructure to CHGC in the Port Harcourt area. First gas deliveries are expected to commence within the next 12 months and are dependent on CHGC completing certain works to connect to the third-party gas delivery infrastructure. Accugas is not expected to incur any additional capital expenditure in this regard.  About Savannah Energy Savannah Energy PLC is an AIM listed British independent energy company focused around the delivery of Projects that Matter in Africa. In Nigeria, the Company has controlling interests in the cash flow generative Uquo and Stubb Creek oil and gas fields, and the Accugas midstream business in South East Nigeria, which provides gas enabling over 10% of Nigeria's thermal power generation. In Niger, the Company has licence interests covering approximately 50% of the highly oil prolific Agadem Rift Basin of South East Niger, where the Company has made five oil discoveries and seismically identified a large exploration prospect inventory consisting of 146 exploration targets to be considered for potential future drilling activity. The Company has announced that it is in the process of potentially acquiring a portfolio of upstream and midstream assets in Chad and Cameroon.

今日は、東芝の再建と日本の企業統治という話です。そもそも、どうして東芝がトラブルに巻き込まれたかを覚えていますか? 2015年くらいの話ですが不適切会計の問題があり、監査法人がEY新日本監査法人からPwCあらた監査法人に変わったりとか、東芝が東証一部から二部に落とされたりとかしました。 2006年に、ウエスティングハウスの77%を4900億円で東芝が買収したのです。そして、2015年にウエスティングハウスがS&Wという、原子力発電会社の建設を管理している所を買収したのです。その時、サザン電力とSCANA電力(South Carolina Electric & Gas Company)がそれぞれ2基ずつ、合計4基の発電所を建設していたのですけど、それが上手くいかなくなりました。東日本大震災で強化された規制に合わせないといけないという事もあって、当初の予定通りに建設出来なくなったのです。 結局、ウエスティングハウスの親会社である東芝が、発電所が出来ない事に対する保証債務を履行しなければならないことになりました。サザン電力に4129億円と、SCANA電力に2432億円。合計で6561億円の保証債務の支払いをしなければならないというところに追い込まれたのです。その後、ウエスティングハウスがChapter11というアメリカの破産手続きに入りました。SCANA電力も破綻しかけてドミニオン電力の傘下に入るということが起こり、それから、サザン電力は破綻してはいないけど発電所はまだ建設中ということで、トラブルは継続しているのです。 債務超過になってしまった東芝は、2年連続債務超過になると上場廃止になるので、2017年度に6000億円増資しました。その時買ってくれた外資が、エフィッシモ・3Dインベストメント・ファラロン等の外国ファンドです。ところが、この人達が日本のやり方についてなかなか認めてくれないのです。日本の会社は株主を尊重しないで経営してきた一方でアメリカ等では株主を重視した経営をなければならないため意見が合わなくなるわけです。 2020年の株主総会で株主に色々怒られてしまった東芝が「これはたまらん」と経済産業省の元参与を使って、株主に圧力をかけた事が発覚して大騒ぎになりました。その時、中外製薬の元会長だった永山さんが取締役会の議長になっていました。永山さんの続投で乗り切ろうと思ったのだけどクビにされてしまったので、綱川さんにCEOを交代したのです。綱川さんは元々東芝の人なのだけど、戦略委員会を作って選択肢を検討しました。上場企業を非公開化しようとか、カナダのファンドから数千億の出資を受け入れようとか、それから、事業を一部売却しようとかの色々な選択肢を検討した結果、事業を3分割しようという計画を発表したのです。 ところが、戦略委員会の中にトップ3の外国株主は入っていませんでした。事業3分割案に対して、エフィッシモが「どうかな」とブツブツ言い始めて、3Dインベストメントとファラロンは「絶対嫌だ」と言い始めました。それで、株主をちょっと喜ばせないと株主総会でOKが出ないという話になってしまった。 3分割案は元々、インフラ・デバイス、キオクシアの半導体事業、それからPOS事業の3つに分けようという話でした。それが、デバイスは分けるのだけど、キオクシアと東芝テックだけではなくて、インフラも同じ東芝本体の中におこうという話になったのです。キオクシアを売ってしまったら元の東芝はもう空っぽだという話になって、それではもう上場維持は出来ないのではないのと言われた。そこでインフラをもとの東芝から分けるのはやめて、東芝とインフラは一緒にするという修正案を発表しました。それから、今までは株主に1千億円くらいしか還元しないと言っていたのを「それでは足りない」と株主が怒っていたので、東芝キャリアとかエレベーターだとか照明みたいな事業を売却して、1千億円ではなくて3千億円を株主に渡すという修正案に変更し、株主の承認を得ようとしているというのが今の状況です。これに対して、株主が何て言うのかはまだ分かりません。今ちょっと白熱した状況になっているところです。 今日のまとめです。東芝は2016年に不適切会計問題とか、ウエスティングハウスやS&Wの大規模損失問題で上場廃止になりかけたのです。これを回避する為に、6千億円増資して海外の投資家を引き込んで、半導体事業を売却して今は4割を持っているキオクシアも上場後に売却して、株主に払おうとしたのです。しかし、今後の方向性を一体どうするのかが問題になりました。結果発表した3分割案は株主に拒否されてしまって、とりあえず2分割案に修正して、株主還元を1千億円から3千億円に増加したというのが現状です。株主総会でどうなるのかを見なければならないということです。

Something broke me today. I was web surfing like every other person does once in a while. Then, I came across www.shell.us., a.k.a the stupidest website in the history of websites. There was a video about how they were going to achieve net zero and I thought to myself, they make gasoline. I don't know, it just made me mad. Here is a video if you want to watch that instead. The Basrah Gas Company is a 25-year joint venture between Iraq's South Gas Company, Shell and Mitsubishi. It was established in 2013 to process associated gas produced from three huge oilfields in the south of Iraq, that otherwise would be flared off. This gas then supplies power to the domestic market as well as to those manufacturing products for export. On Tuesday, it was announced that the World Bank's International Finance Corporation would provide $360 million to support the company's growth. While trimming palm trees on Edisto Island, South Carolina, Jose screamed in pain and fell from a 25-foot ladder. Further investigation revealed hidden power lines that shocked Jose, causing him to fall and suffer fatal injuries. Read Full Bio Liam Duffy   Liam is a Washington, D.C. native who has called Charleston home for more than a decade. He is a proud product of the College of Charleston and is a summa cum laude graduate of the Charleston School of Law.   While in law school, Liam earned several CALI awards (highest grade) and finished in the top five of his graduating class. He was champion of the school's moot court competition and Symposium Editor of the Charleston Law Review, where he brought together the nation's top legal and medical minds for a CLE program titled “Under Further Review: A Legal Look at the World of Sports.” He also served as an extern for The Honorable C. Russians Hacked Burisma, Gas Company That Played Major Role in Ukraine Scandal

Russian military agents have hacked into Burisma, the Ukrainian gas company at the center of the scandal that led to President Trump's impeachment. The tactics used were phishing emails used to steal login credentials and also gain access to one of Burisma's servers. We still know very little about the information that was accessed, but any new information could impact the impeachment trial. Maggie Miller, cyber policy reporter at The Hill, joins us for more. Next, a creepy airport story. A woman named Ashley Barno was boarding a flight at the San Diego International Airport when she began to receive flirty text messages from an unknown number. The texts soon turned out to be from an American Airlines employee who got her information off of her luggage bag tag. Barno is now suing the airline for negligent hiring, sexual harassment and stalking. Reis Thebault, reporter at the Washington Post, joins us for what all these texts said. Finally, the Pentagon has confirmed that they do have Top Secret- classified briefings and Secret-classified video about the Nimitz UFO encounter. The Navy has said that a review of the materials determined that their release “would cause exceptionally grave damage to the National Security of the United States.” MJ Banias, contributor to Vice, joins us for the latest we are learning about the Nimitz UFO evidence. He worked in public accounting before coming to Wall Street and is currently an inactive CPA. Bob holds a BS from Bucknell University and an MBA in Accounting from Pace University. Some of Bob's areas of coverage include Special Situations, Energy Industry, Property-Casualty Insurance and Banking. Bob is the principal of the managing member or general partner of several investment vehicles. Bob currently serves on the Board of Directors of Panhandle Oil & Gas Company, a NYSE-listed diversified mineral company located in Oklahoma City; as Chairman of the Board of Directors of Pulse Seismic Inc., a seismic data licensing business located in Calgary, Alberta; and on the Board of Directors of Build with BMC, a privately held company specializing in building materials and construction services throughout the United States. In addition, he serves on the Boards of many non-profit organizations where he generously donates his time and expertise. Previously, Bob was a member of the Securities and Exchange Commission's Advisory Committee on Smaller Public Companies, established to examine the impact of Sarbanes-Oxley Act and other aspects of the federal securities law.
