Had the opportunity to work in the treasury department at American Express arrived 6 months earlier, there's a chance that John Herman may never have landed in a CFO office. “Treasury was an area that I was fascinated by,” remembers Herman, who—after having spent a decade at American Express—was given a “package” in 2009 when the financial crisis mercilessly bore down on the card services giant. However, in April of 2010, Herman punted the Amex treasury opportunity in order to accept an FP&A position at Yodle, an online marketing company that was generating roughly $50 million in annual revenue. “I decided that I wanted to work in an organization where I could make an impact, and I felt that it was time to take a risk in my career,” recalls Herman, who would report directly to Yodle's CFO and for the next several months be “a department of one.” “There was this opportunity to build out my team and take on new roles and learn really quickly,” recounts Herman. Along the way, Yodle would make multiple acquisitions and grow to more than $200 million in annual sales before being acquired by Web.com in early 2016. Herman had steadily advanced upward and eventually into the CFO office, where he ultimately led the due diligence and oversaw the sale process for the Web.com sale. “It ultimately came down to the fact that it was the right time to sell,” comments Herman, who within 6 months of the Yodle sale closing garnered his second CFO appointment at early-stage SaaS developer Movable Ink. Six years later, Movable Ink has surpassed the $100 million mark in annual recurring revenue and was recently valued at $1.3 billion—joining a select class of marketing technology brands. Asked whether he had ever contemplated becoming a CFO during the first half of his career, Herman replies, “I definitely didn't grow up saying, ‘Someday, I want to be a CFO'—it's really been a journeyman's trip to where I have now arrived.” –Jack Sweeney

John Berkowitz is CEO & Co-Founder of OJO Labs in Austin. Before launching OJO, John founded Yodle, a provider of local online advertising and marketing services, in 2005 with his childhood friends Ben Rubenstein and Nathaniel Stevens. They grew it to a large company with more than 1,500 employees and $200 million in revenue. In 2016, Web.com bought Yodle for $342 million. At Yodle, John served many roles including launching and managing the 50m enterprise division of Yodle and most recently managing all strategic relationships for Yodle as Vice President of Business Development. In Austin, John also serves on the board of CASA of Travis County, a children's advocacy organization and sits on the board of several young companies as an entrepreneurial advisor. Berkowitz has a B.A. in International Business from George Washington University.
Ben Rubenstein is the co-founder and CEO of Opcity in Austin. The fast growing startup has created a data and analytics driven technology platform for real estate agents and brokers. It recently announced it has raised $27 million in funding, the largest Series A round in Austin this year and one of the largest ever. Rubenstein previously co-founded and served as vice president of sales operations at Yodle in 2005 and grew it to a large company with more than 1,500 employees and $200 million in revenue. In 2016, Web.com bought Yodle for $342 million. Rick Faulk knew what it took to ramp sales for a venture backed software company. He'd done exactly that for WebEx prior to its sale to Cisco. Then he was asked to do the same thing as co-CEO for three merged social software companies. Listen in as Rick shares what he learned from this cat rodeo about M&A diligence, merging corporate cultures and decisive leadership. My Guest Rick Faulk has more than 30 years of experience in executive management, sales and marketing in the software industry. He's worked for some of the world’s most successful SaaS and technology companies, including Lotus Development, j2 Global, Cisco, WebEx, Intranets.com and PictureTel. Currently Rick is the Chairman and CEO of Intronis, a provider of white label cloud storage solutions. Prior to Intronis, Rick was General Manager of Cloud Services for Sales & Marketing at j2 Global. As President & co-CEO of Mzinga, Rick worked to merge two learning management software companies with a social networking software company. Immediately prior to Mzinga, Rick was Chief Marketing Officer of WebEx Communications and President of WebEx Small Business, where he was responsible for the company’s worldwide go-to-market and customer acquisition strategies. Rick currently sits on the boards of Yodle, SkillSurvey, Bidding4Good and BatteryCorp and is an advisor to other start-up businesses. Rick holds a Bachelor of Science degree in Business Administration from Bowling Green State University. The Take Home Lessons My conversation with Rick centered on his experience at Mzinga. The Company is still operating, but did not achieve the market success that Rick and the venture capital investors had hoped for. It's a strong niche player in social learning and customer communities, but all involved had hoped for much greater growth and market presence. Rick boiled down the lessons he learned into a few headlines: You've really got to dig in and do your own diligence when companies are being merged. Ask the hard questions and search for the skeletons in closets. While it seems obvious, there needs to be real clarity about the future direction of the merged company. Leadership then has to step up and make the hard decisions to move in that direction, i.e. goals, responsibilities, compensation all have to be in alignment. Compromise isn't necessarily a good thing. Co-CEOs and merged management teams can make alignment particularly difficult. Approach this organizational structure with great care. Financial systems and a quality CFO are critical. Mzinga ran into trouble when financial reporting wasn't timely and accurate. You can't steer a business with bad data. Further more, cleaning up financial systems creates a huge distraction. The ultimate lessons "buyer beware" and "change is really hard" are somewhat obvious. In our conversation Rick dives deeper into these and looks at the nuances and signs of trouble.
