Marshall is an international expert in policies and technologies to improve the energy and carbon performance of buildings and communities, with over a dozen years of experience in the for-profit, government, and non-profit sectors. Prior to starting his current role with IMT in April 2023, he worked as a consultant at the deep green engineering firm Introba, where he managed cutting-edge decarbonization plans and policies for over 20 cities and 15 institutions across North America. He has also worked for the District of Columbia Department of Energy & Environment (DOEE), where he built and ran one of the first benchmarking and disclosure programs in the U.S., supported the groundbreaking Clean Energy DC plan, and evaluation, measurement, & verification of the DC Sustainable Energy Utility's energy savings and other performance targets. Prior to that, he was one of IMT's first “City Advisors” embedded in a local government. Marshall is a key contributor to the first building performance standard programs in both the U.S. and Canada, as Co-Chair of Washington, D.C.'s Building Energy Performance Standards Task Force, and a member of the City of Vancouver's Carbon Pollution Limits Technical Advisory Committee. Marshall holds a Master's of Environmental Management degree from the Yale School of the Environment and a bachelor's degree in Political Science and Computer Science from Oberlin College. For Episode 27, we were joined by Cliff Majersik from the Institute for Market Transformation (https://www.imt.org/), where he helps to shape policy around energy efficiency in buildings. Will standards really drive wide-scale building decarbonization? And what does that mean for smart building technology? Cliff shared his deep knowledge of energy efficiency standards, building ratings and building codes. We discussed Local Law 97 and its impact as a driver of investment in decarbonizing buildings in the US. And how it compares to the Energy Performance of Buildings Directive in the EU.
1. Obligations and Discharge. In contract law, the performance of obligations and the conditions under which these obligations are discharged are central concepts. Understanding these principles is essential for assessing contract completion, breaches, and potential remedies. Performance Standards. Performance to Agreed Standards: A contract must be performed to the standards and terms as agreed upon by the parties. This includes meeting the quality, time, and manner specifications laid out in the contract. Substantial Performance: In some cases, a party's performance may be considered sufficient if it substantially complies with the contractual terms, albeit with minor deviations. Substantial performance still entitles the performing party to payment, possibly minus damages for the minor deviations. Jacob & Youngs v Kent (1921): This case demonstrated substantial performance, where a contractor's failure to use a specified brand of pipe was considered a minor breach, allowing the contractor to still receive payment minus the cost of the deviation. Discharge by Agreement. Mutual Rescission: The parties can mutually agree to rescind the contract, effectively releasing each other from their obligations. Novation: A new contract replaces the old one, usually involving a new party. Accord and Satisfaction: An agreement (accord) and its execution (satisfaction) replace an existing obligation with a new one. Discharge by Performance. Complete Performance: When all terms and conditions of the contract are fulfilled, the contract is discharged by performance. Tender of Performance: An offer to perform that is unjustifiably refused can discharge the offering party. Discharge by Operation of Law. Impossibility or Impracticability: If unforeseeable events make performance impossible or impracticable, the parties may be discharged from their obligations. Frustration of Purpose: If the fundamental purpose of the contract is frustrated by factors beyond the control of the parties, the contract may be discharged. Bankruptcy: Discharge of obligations through a bankruptcy proceeding. 2. Breach of Contract. A breach of contract occurs when a party fails to perform an obligation owed under the contract. Understanding the types of breaches and their legal implications is crucial for determining the appropriate remedies. Anticipatory Repudiation. Definition: Anticipatory repudiation occurs when a party unequivocally indicates that they will not perform their contractual obligations before the performance is due. Remedies: The non-breaching party can treat the repudiation as an immediate breach and seek remedies or wait for the time of performance to see if the repudiating party will perform. Hochster v De La Tour (1853): This case established that a party can sue for anticipatory breach before the performance date. Material v Minor Breach. Material Breach: A breach is material if it goes to the essence of the contract, significantly impairing the contract's value. It entitles the non-breaching party to all remedies for breach of contract, including termination of the contract and damages. Minor (Non-material) Breach: This occurs when the breach is not significant enough to impair the contract's value. The non-breaching party is still required to perform but can seek damages for the breach. Road transport is a major contributor to climate change, accounting for over a quarter of road transport CO2 emissions. The European Commission proposes to revise the legislation setting CO2 emission standards for new heavy-duty vehicles in the EU. The proposed revision would expand the scope of the existing regulation to include urban buses, coaches, trailers and other types of lorries. Today I am going to discuss Performance Standards and give you three ways to thin k about them and then we will have a little pop quiz!
An OEM-led consortium is trying to transform how global vehicle fluid specifications are being defined today to meet society's carbon neutrality goals by 2035 and 2050. Carbon neutrality goals are definitely going to drive the performance standards and specifications coming out of the International Fluids Consortium (IFC), said Mike Kunselman, business development manager of Michigan, U.S.A.-based Center for Quality Assurance (CQA). CQA is the administrator of the IFC program. “Obviously this is an OEM-specific goal, but when you look at many of the governments around the world, the target of carbon neutral by 2050, and 50% carbon reduction by 2035 will drive what IFC is doing,” said Kunselman. The International Fluids Consortium is a not-for-profit legal entity based in the U.S. currently consisting of 11 OEMs and an equal number of industry affiliate members. One part of its mission is to make IFC a sustainable program through trademark licensing and ultimately move things forward for the industry, said Kunselman. IFC currently has two technical committees focused on specifications and standards. One is focused on engine oils used in internal combustion engines (ICE), while the second is focused on fluids for electrified vehicles or electrified powertrains. Kunselman said that the IFC is taking the approach to involve not only vehicle OEMs, but also OEMs providing the hardware for the electrification of the powertrain or so-called Tier 1 OEMs, in the EV fluids technical committee. This is where IFC really does have a head start on the industry in general, said Kunselman. IFC is bringing together a collective voice on the practical application of fluid technology and what the standards and specifications will be for fluids for electrified powertrains. A prelude to 2035 and 2050 The process for defining fluid quality through standards and specifications is so critical, he said. “When you go back to the Ford Model T, the first mass-produced vehicle, that was only 115 years ago, in the 1910s. “We look at the technology then, even just making the model T go down the road and how to switch gears, it was a deadly process. People would get injured doing that. Now we are at this point saying we are completely changing the powertrain to something that requires combustion to something that requires electricity. We are talking about kilowatt-hours per kilometer driven. It is a total change. The process behind defining what is needed, if that is very clear what is the goal, if the process is such that it brings the industry together and builds consensus and does not lose sight of the vehicle owner ultimately benefiting, that's what drives me. How do we make this better, how do we make it more efficient? It all comes back to quality, cost and time,” Kunselman said.

High Expectations Customers are getting more and more savvy about what loyalty means to their preferred businesses, so expectations are high. What can businesses do to ensure that they maintain their most loyal customers and win the loyalty of new ones? First, Jill encourages companies to identify how their specific customers define value and then setting up products and services in those terms.
