On 17 November 2023 Christine Lagarde, the President of the European Central Bank (ECB), told a conference of bankers that “a truly European capital market needs consolidated market infrastructures.”[1] European capital markets certainly lack them now. They are a quarter the size of the American capital market yet support three times as many stock exchanges, and 20 times as many post-trade financial market infrastructures. The lack of a European equivalent of the Depository Trust and Clearing Corporation (DTCC) does not reflect a lack of regulatory effort. A succession of reports and schemes – Codes of Conduct, several pan-European regulations and even an entirely new settlement system run by the ECB (T2S) – dating back nearly a quarter of a century have largely failed to accelerate the consolidation of the capital market infrastructures of Europe. The price of that failure, in a higher cost of capital, a less resilient financial system and lower rates of innovation and economic growth, is more evident than ever in the aftermath of Brexit, amid a steady closing of open markets, and ahead of looming demographic and climate crises. La logique, portée par de nombreux responsables politiques quand ils doivent rendre des comptes sur cette question, est simple : dans un contexte mondialisé, si l'on taxe des entreprises ou des individus qui ont les moyens de s'exiler, ils vont fuir notre territoire, il n'y aurait donc pas de solution sans accord international. Seulement cette idée reçue est en train d'être dynamisée par un économiste qui fait bouger les lignes ces dernières années. Les travaux de Gabriel Zucman sur l'évasion fiscale mènent à des conclusions très différentes : l'évasion fiscale existe toujours et nous aurions des solutions à la pelle pour y faire face, y compris à échelle nationale, et dans une courte temporalité. Let's boogie oogie oogie over to today's legal news.The US Supreme Court heard arguments in a case involving a parody dog toy named "Bad Spaniels," which resembles a Jack Daniel's whiskey bottle. Jack Daniel's is appealing a lower court's ruling that the toy is protected by the First Amendment as an "expressive work," while also raising trademark infringement concerns. The justices were cautious about scrapping the Rogers test, which allows artists to lawfully use another's trademark when it has artistic relevance to their work and would not mislead consumers about its source. Some justices, however, questioned whether the Rogers test struck the right balance between a company's interest in protecting its corporate image against free speech protections. The Biden administration's lawyer urged the justices to adopt the likelihood-of-confusion test, which considers whether the acts would likely cause marketplace confusion, in place of the Rogers test. The decision is expected to be made by the end of June.By way of very brief background on the Rogers test: The Rogers test is a legal test used in trademark law to determine whether the use of a trademark in a creative work, such as a book or movie or dog toy, is protected by the First Amendment's guarantee of free speech. The test was established by the Second Circuit Court of Appeals in Rogers v. Grimaldi in 1989 and has since been adopted by other courts. The case centered on a movie, Ginger and Fred, that saw two characters emulating the dancing style of Ginger Rogers and Fred Astaire. Ginger Rogers took umbrage with, among other things, her name being used in the title. Under the Rogers test, a trademark use in a creative work is protected by the First Amendment if it has some artistic relevance to the work and does not explicitly mislead consumers as to the source of the work. This means that if a trademark is used in a creative work in a way that is relevant to the work and not likely to confuse consumers as to its source, the use is protected by the First Amendment.The Rogers test strikes a balance between the interests of trademark owners in protecting their marks and the interests of creators in expressing themselves through their works. Dans un registre pas tout à fait similaire mais comparable, les scandales politiques ayant une forte odeur de paradis fiscaux se suivent et se ressemblent. Affaire Cahuzac sous Hollande, affaire Pannier-Runacher sous Macron, etc. Faut-il l'accepter ? Non, nous dit Renaud Van Ruymbeke, ancien magistrat du pôle financier du tribunal de Paris, célèbre pour avoir suivi des grosses enquêtes politico-judiciaires comme l'affaire Urba, l'affaire des frégates de Taïwan et le dossier Clearstream. Parce que les paradis fiscaux sont plus que des outils de confort pour des hommes d'affaires véreux ou des hommes politiques voraces. Ils sont au coeur des grands transferts de richesse qui affaiblissent les systèmes sociaux européens et plongent dans la mesure des pays du Sud. Sans eux, les circuits du grand banditisme, du crime organisé seraient peut-être moins protégés. Auteur d'un livre « coup de poing », intitulé Offshore, cet ancien juge, spécialiste des dossiers financiers, et qui a notamment instruit les affaires Boulin, Urba, Elf, Kerviel, Karachi, Clearstream ou Cahuzac, y rappelle qu'en septembre 2009, Nicolas Sarkozy, alors président de la République, annonçait : « Les paradis fiscaux, c'est terminé. » Treize ans plus tard, « les paradis fiscaux n'ont jamais été aussi florissants, se navre Renaud Van Ruymbeke dans ce magazine. Les circuits de blanchiment drainent de plus en plus d'argent. Ils assèchent littéralement les comptes publics de tous les pays. » Dans L'Obs, Renaud Van Ruymbeke signale que l'économiste Gabriel Zucman « évalue à 8 700 milliards de dollars les avoirs cachés via les sociétés offshore. Rendez-vous compte, s'effare l'ancien juge, cette somme correspond à un siècle d'impôts sur le revenu payés par les Français ! C'est tout aussi délirant que scandaleux… » Les « histrions » du climat Eux se scandalisent de la dégradation de l'environnement. « Eux », ce sont les activistes du climat. Le Point, L'Express, Marianne, Valeurs actuelles, Paris Match... C'est à se demander si tous ces hebdomadaires se sont donné le mot pour la hisser en Une, cette nouvelle génération d'activistes climatiques, adeptes de la désobéissance civile, qui multiplient les coups d'éclat ; qui en s'en prenant à des œuvres d'art dans les musées ; qui en bloquant la circulation aux heures de pointe ; qui en dégradant les greens de golfs ou en perturbant les représentations théâtrales... Pour Paris Match, c'est la « génération coup de poing » ; pour Valeurs actuelles, ce sont les « bouffons du climat » ; quant aux « écolos radicaux » de la Une de Marianne ; ils deviennent les « ultra-radicaux » sur celle de l'hebdomadaire Le Point ; tandis que celle de L'Express estime qu'avec de telles actions, l'écologie « se saborde ». Post-crisis reforms following the 2008-10 financial crisis massively changed the structure of markets. Perhaps the most important structural change was the increased concentration of clearing of almost all assets and derivatives into Central Counterparties (CCPs). Very little consideration was given at the time to narrow categories of high quality liquid assets required by CCPs for initial margin, and the pro-cyclical liquidity demands CCPs make through additional initial and variation margin calls when markets come under stress. These factors both became critical in March 2020 when the Covid-19 crisis communicated to financial markets, forcing a sharp re-pricing of assets globally. CCPs responded to the volatility by raising initial margin demands and issuing large variation margin demands reflecting market re-pricing. The liquidity shocks transmitted to asset markets, bringing even the US Treasuries market close to collapse. Central banks were forced to step in as ‘dealer-of-last-resort' to calm markets with various initiatives including QE4, emergency liquidity support, and roll-back of Basel III capital requirements on securities dealers. In recent weeks a review of CCP risks, resilience and recovery mechanisms has begun which will determine the structure of CCP risk management going forward. In this webinar Kathleen Tyson will review the crisis response of CCPs and central banks, and the FSB Consultative Document on CCP resilience and recovery (deadline 21 July). Martin Watkins will comment based on his experience of CCP reforms post-crisis. Michael Mainelli will lead the discussion and Q&A.
