This Day in Legal History: Jay Treaty SignedOn November 19, 1794, the United States and Great Britain signed the Jay Treaty, formally titled the “Treaty of Amity, Commerce, and Navigation.” Negotiated by U.S. Chief Justice John Jay and British Foreign Secretary Lord Grenville, the treaty sought to resolve lingering tensions between the two nations following the American Revolutionary War. At its core, the agreement facilitated the withdrawal of British troops from forts in the Northwest Territory, a region that was still contested despite American sovereignty being recognized in the Treaty of Paris (1783).The treaty also addressed contentious issues such as British seizure of American ships and the debts owed by American citizens to British creditors. While the agreement provided for limited American trade rights in the British West Indies and a framework for resolving disputes over the U.S.-Canada border, it failed to stop British impressment of American sailors or guarantee broader trading rights. Domestically, the treaty sparked fierce political debate, with Federalists supporting it as a means of preserving peace and economic stability, while Jeffersonian Republicans decried it as overly conciliatory to British interests.The Jay Treaty is historically significant for establishing a precedent for diplomatic negotiation and emphasizing the importance of peaceful dispute resolution. While controversial at the time, it ultimately helped avert war with Britain and allowed the young United States to stabilize its economy and focus on internal growth. Its ratification in 1795 marked an important step in shaping U.S. foreign policy during its formative years. The treaty's mixed reception underscored the deepening political divisions in the United States, foreshadowing the partisan struggles that would define early American governance.Big Law firms are poised to see significant lobbying revenue gains under anticipated Republican control of the White House and Congress, as the GOP aims to advance a pro-business, “America First” agenda. Key areas of focus for lobbyists include revisiting elements of the 2017 tax law, reversing restrictions on fossil fuel development imposed by the Biden administration, and assisting with the confirmation of cabinet nominees. The Supreme Court's recent Loper Bright decision, which limits federal agencies' ability to interpret vague laws, adds another layer of legislative complexity, increasing demand for legal expertise in technical drafting.The potential uptick in lobbying activity echoes patterns seen in prior shifts of political power. Lobbying revenue rose sharply in 2017 and 2021 during transitions to unified party control. Firms like Brownstein Hyatt Farber Schreck, Akin Gump, Squire Patton Boggs, and K&L Gates are particularly well-positioned, with some deriving significant portions of their income from federal lobbying efforts. Brownstein Hyatt leads the pack, earning $50.9 million in lobbying revenue through the first three quarters of 2024.Major firms are already representing high-profile clients. For instance, Brownstein Hyatt has advocated for Apollo Global Management on portfolio-related issues, while Squire Patton Boggs has worked on food regulation for Mars Inc. Energy-related lobbying, such as advocating for liquefied natural gas export permits, is also expected to surge as Republicans aim to repeal Biden-era restrictions. Appropriations negotiations may further boost lobbying opportunities, as delayed bills give the GOP more leverage.Big Law Lobbyists See GOP Trifecta Haul Including Tax, EnergyThe State Bar of California has approved a proposal to expunge attorney discipline records from public view after eight years, provided the attorney has not faced subsequent disciplinary action during that time. This measure, which excludes cases of disbarment, aims to address racial disparities in the attorney discipline system. A 2019 study revealed that Black male attorneys in California were over three times more likely than their white counterparts to face probation, prompting a 2023 review committee to recommend changes to the system. The proposal now awaits approval from the California Supreme Court.The expungement policy is intended to balance accountability, transparency, and redemption opportunities, aligning California's attorney discipline practices with those in other states and professions like medicine and real estate. Critics, however, argue it could undermine transparency and public trust, with 74% of public comments opposing the plan. In contrast, a majority of attorney comments—69%—supported the change, noting it incentivizes maintaining clean records. If implemented, an estimated 2,353 attorneys would be immediately eligible for expungement. California, the second-largest state bar by membership, projects that this policy will reduce the long-term stigma attached to past disciplinary actions.California Bar aims to expunge attorney discipline records after 8 years | ReutersThe losing bidder for Alex Jones' bankrupt Infowars empire is challenging The Onion's winning bid, arguing it offered less cash and relied on questionable claim waivers. First United American Companies LLC (FUAC), which bid $3.5 million in cash, claims its offer was superior to The Onion parent company Global Tetrahedron LLC's $1.75 million bid. FUAC accuses The Onion of colluding with Sandy Hook families who supported the bid by waiving part of their claims against Jones.The bankruptcy trustee overseeing the sale, Christopher Murray, defended the auction as transparent and noted that the Sandy Hook families' waiver improved the overall value of The Onion's bid. The waiver was key in positioning The Onion's bid as the best-value offer, despite its lower cash amount. FUAC countered that these waivers are speculative and provide no real value to the bankruptcy estate, calling them akin to “monopoly” money.Judge Christopher M. Lopez, who previously raised concerns about the auction's transparency, is now considering the motion to disqualify The Onion's bid. The sale is part of an effort to liquidate Jones' estate and pay down the $1.5 billion in defamation judgments against him for spreading false claims about the Sandy Hook shooting. The trustee dismissed FUAC's accusations as baseless and an attempt to mislead the court.In case you haven't figured it out already, FUAC is a company affiliated with Alex Jones' snake oil sales. Obviously, Jones has an interest in seeing his assets purchased by a friendly company rather than The Onion which … is not friendly to Jones' interests. Infowars Bidder Moves to Disqualify The Onion's Winning OfferThe 5th U.S. Circuit Court of Appeals appeared likely to dismiss appeals by Amazon and SpaceX challenging the structure of the National Labor Relations Board (NLRB), arguing the companies acted prematurely. Both companies sought to block NLRB cases alleging labor violations, with Amazon opposing a unionization case and SpaceX contesting claims of retaliatory firings. However, the appeals panel suggested that Amazon and SpaceX did not give lower court judges enough time to rule before filing their appeals.  Amazon's case, initially in Texas, was transferred to Washington, D.C., and SpaceX's to California, though these transfers are on hold pending appeals. The judges questioned whether the delays cited by Amazon and SpaceX constituted "effective denials," a standard necessary for appeals. Judge James Graves noted Amazon's unrealistic deadline demands, while Judge Irma Ramirez questioned SpaceX's assertion of deliberate judicial delay.  The NLRB argued that the companies imposed arbitrary deadlines to expedite decisions and delayed proceedings by resisting case transfers. Both companies face significant underlying NLRB cases, with Amazon fighting unionization at a New York warehouse and SpaceX denying allegations of retaliatory firings. The greater the value of space, the greater the risks. The rise of the space economy is accelerating the business, operational and human risks. Are we prepared to handle them? The Safe Space podcast series – part of the Reducing the Risks of Space campaign – will explore policy, law, technology and operations in development now to manage the challenging space environment of the future. The first episode features a conversation between Elizabeth Evans, Partner at K&L Gates – who joins us to speak about the Space Shuttle Children's Trust Fund – and Kathryn Lueders, Former Associate Administrator for Human Exploration and Operations Mission Directorate at NASA (now retired) and a member of the Space & Satellite Hall of Fame. Elizabeth Evans is a partner at the New York office of K&L Gates. She is a member of the asset and corporate finance practice group and heads the airfinance practice in the Americas. She concentrates her practice in structured asset-based finance, and focuses on aviation finance (both fixed wing and rotary), satellite finance, transportation finance, and project finance. She also engages in related transactional, regulatory and policy work for aviation, aerospace and space industries. Her practice includes private placements of debt and equity, leveraged equipment leasing and all aspects of the law relating to outer space (both domestic and international). Prior to joining the firm, Elizabeth served as a partner in the financial institutions group at an international law firm, where she focused her practice on aviation and other asset-based finance, (including satellite, railcars, trucks and heavy equipment finance transactions), as well as space law policy work. Elizabeth has represented banks, financial institutions, credit capital corporations, private equity investors, governmental agencies, export credit agencies and leasing companies in complex structured financings, including air traffic control system financings, airport and terminal development projects and aviation, rail car and truck financings. She has spent many years working on restructurings (both in court and out-of-court) during economic downturns. She has done both debtor side and lender/lessor side work in numerous aviation restructurings, and has represented private equity funds in the purchase of distressed equity positions in equipment finance. She helped arrange and conduct unique foreclosures and auctions of satellites orbiting in space. She has also played an instrumental role in drafting legislation relating to the laws of outer space. For nearly thirty years, Kathryn Lueders has played an indispensable role in bringing the capabilities of the commercial space and satellite industry to NASA; serving human space exploration missions though new technology, practices of cost savings, and opening valuable opportunities for the industry. Kathryn began her career at NASA in 1992 as the Shuttle Orbital Maneuvering System and Reaction Control Systems Depot Manager for the White Sands Test Facility in New Mexico, after completing two Bachelor's degrees in Science and Business Administration and a Masters of Science degree. Kathy moved to the International Space Station (ISS) Program next and served in a variety of managerial roles covering space station Logistics and Maintenance, Vehicle Systems Integration and Commercial Orbital Transportation Services Integration. In November 2007, Kathryn became responsible for expanding the range of launch vehicles providing access to the International Space Station. She established the Program's Transportation Integration where she oversaw international partner vehicles, including the European Space Agency's Automated Transfer Vehicle (ATV), the Japanese Space Agency's H-II Transfer Vehicle (HTV), and the Russian Soyuz and Progress spacecraft. In that role, she also managed the development and execution of the Commercial Resupply services contracts which began delivery of cargo to the ISS in 2012 and now have now delivered over 100,000 lbs of cargo to the International Space Station. She was inducted into the Space & Satellite Hall of Fame in 2021.

First, the growth of the private sector. Over $2.4 billion in private capital has been invested in the fusion companies that now number nearly 30. This is a similar amount of capital as in all the nuclear fission small modular reactor companies. This is coming from a large range of investors across venture capitalists, to university endowments, to large energy companies. And they're putting capital at risk in fusion because they understand that the world needs a fundamentally new source of clean energy if we are going to meet our decarbonization goals. And these companies are highly ambitious, with a recent survey stating that 84% of them believe that fusion will be on the grid in the 2030s or earlier. Robert Mumgaard: We will proceed with the commercialization of our first fusion pilot plant called ARC. We hope to have that online in the early 2030s. Robert Mumgaard: The second reason I'm optimistic is that the public program has produced a consensus plan. Detailed in the National Academies and FESAC (Fusion Energy Sciences Advisory Committee) Recommendations is a transition of the public funded program towards the US developing commercial energy. We need to stop some activities and transition to others. But the researchers are enthusiastic and they are ready. We have a new generation of leaders at national laboratories and universities hungry to develop that technology. And that plan has been authorized but has not yet been implemented. Robert Mumgaard: And we're not alone. The other companies like TAE and General Fusion, Helion, Tokamak Energy, are looking at similar timeframes and experiencing similar growth. All these companies are looking to see which governments are going to be the best partners. And unfortunately, we are already seeing defections, with a major facility that could have been built in the US, instead being built in the UK. It'd be much better if the US public program leveraged the private sector, aligning with the technical goals and timelines to keep it happening here. Robert Mumgaard: The third reason I'm hopeful is the movement towards public private partnerships and we know that when the public and private sectors work together and recognize what each side is good at, we create vibrant ecosystems. We saw this in commercial space, with NASA and SpaceX. There's quite a bit of discussion within the inner agency right now about constraining Chinese involvement from everything from investments to specific commodities. But again, I think one of the areas where we could have the most impact on China broadly, is reshoring microelectronics. And right now, my team is working very closely across DOD, as well as the inner agency to come up with a very specific recommendation for some public-private partnerships in order to develop the capability here domestically. Late Friday night, November 5, the U.S. House of Representatives voted on a bipartisan basis in favor of the Senate-passed Infrastructure Investment and Jobs Act, sending the landmark and signature piece of legislation to President Biden for his signature.  The $1.2 trillion bill includes $550 billion in new spending, touching all aspects of infrastructure in America.  And the growing hydrogen industry is a big winner in the IIJA.  In this episode of Hydrogen Rising, co-hosts David Wochner from K&L Gates and Sandra Safro from the Edison Electric Institute are joined by Laurie Purpuro, Government Affairs Advisor at K&L Gates and former Senior Advisor to the U.S. Secretary of Energy, to discuss the politics of what just happened, and to review each provision of the IIJA that will benefit the hydrogen industry.  From clean buses and ferries to electrolyzer investment to $8 billion for clean hydrogen hubs to vehicle fueling infrastructure, there is something in the new law that will benefit nearly every aspect of the hydrogen value chain.  Importantly, the new law includes a definition of “clean hydrogen” that will lead some industry participants to cheer, while likely igniting frustration in others.  It's all here!  Listen in as we walk through the new law provision-by-provision.

Craig Budner talks about the key lessons he's learned as the Global Strategic Growth Partner at K&L Gates. Find out about how Craig secured a multi-billion dollar company's key litigation case way before the opportunity to pitch came up, the innovative way Craig generates leads that creates incredible value for the prospect at the same time, and why you shouldn't be afraid to fail.   Mo asks Craig Budner: When did you realize that business development is good? Craig's brother was a litigator and from an early age had his own firm. This taught Craig the necessity of creating a brand and cultivating referral sources in order to grow the firm. Craig took a slightly different path from his brother in that he joined one of the firms in Texas. It was there that he created the relationships and connections that made him realize the value of being an advisor to someone and not just on legal issues. After creating a relationship with one of the firm's important executive clients, a partner encouraged Craig to run with what he was doing. During his associate days, Craig learned the value of doing a great job for clients and nurturing relationships. When he understood that clients were actual multiple sources of revenue, and that if he could cultivate relationships with people directly in his path of work delivery, he started to get the first call. He was being trusted by the people in charge of important projects, and that gave him the opportunity to do more fun kinds of work. How do you advise others to think about business development? Demystifying business development is the first step. The characteristics of good parents, friends, and listeners are the characteristics that make a good business developer. It's not about the money at the end of the line, it's about growth and learning, and getting better at putting yourself in the shoes of someone else. What do you think about mutually beneficial relationships? You have to be a better listener than a talker to develop deep relationships. If you're always thinking about what you're going to say, you're not going to get enough information out of that relationship to make it mutually beneficial. Think about how you can be helpful to that person. You can leave a positive impression on that person by reflecting back that you have heard them and you're going to try to advance their issue.   Mo asks Craig Budner: What is your personal “why” when it comes to growth? Craig's father always had a history book in his lap and Craig was brought up in a culture of learning, so learning is at the core of why he does what he does. At a global law firm like K&L Gates, if you're not sensitive to the fact that people grow up in different cultures and with different languages it's not as much fun. The more perspective that Craig can have with what people are going through makes him better in his leadership role. How do you motivate yourself when things get tough? People are busy. Don't assume a lack of response is about you. Craig burns off steam in a productive way most of the time, either by reading, meditating, or exercise. People, when they need you, are going to be responsive. What are your favorite ways to stay in touch? Craig is a fan of interacting over the phone. There are a number of social cues that you can miss via email. If it's a warm relationship, a phone call to check in when there is some down time is ideal. The closer the relationship, the more likely a phone call will help you achieve that raving fan/trusted advisor status.   Mo asks Craig Budner: What is your favorite science, step, or story that you learned from GrowBIG Training or The Snowball System? Craig's favorite module was on lead execution. That section of the program led to the idea of creating round table conversations instead of the usual webinars. The ability for clients to listen to their peers is incredibly valuable. It doesn't matter what industry they are in, there are always parallel problems they are trying to solve. When Covid hit, they shifted the round table conversations online. The way that GrowBIG framed lead generation led to the idea of the Client Connect program that advances clients when they want to get more granular after a round table. It became a natural progression for a lead to move further down the line. Lead generation isn't mysterious. It should be predictable and there should be a number of things you do every day or week to result in X number of conversations. What are your best tips to make those kinds of round table events successful? The big tip is to make the guest feel comfortable. Without that there are going to be a lot of introductions and not a lot of substance. Craig does a lot of homework on the participants so the conversation goes beyond the basics. It's also confidential. Getting repeat participants helps new people by showing them they can learn more by jumping into the conversation. Craig also makes sure that the focus is on the clients who are driving the conversation. There are almost always issues that the participants haven't had time to address that you can provide value for and that makes them very receptive to a follow up. As a relatively young lawyer, Craig had to convince the client that they could trust Craig and his team with a multi-billion dollar company's litigation against one of the top litigation companies in the world. It was about convincing him that Craig and the company worked the way he needed a firm to work along the way on other cases. The client had to evaluate the team's behavior over time in prior cases. The client saw that Craig's team worked very well together as a cohesive team when the stakes were high. The bigger deals are won before the opportunity arises. Treating everyone on the client's team with respect and making sure that he saw other members of Craig's team perform at a high level was key. Craig's team offered him a Hot 5, a weekly summary of the legal brushfires the client was facing, whether or not Craig's team was handling them. Business development is what occurs before the pitch. It's better to be curious than it is to think of the things to say. When you're curious you figure out how to further your journey. Craig's brother was a litigator and from an early age had his own firm. This taught Craig the necessity of creating a brand and cultivating referral sources in order to grow the firm. Craig took a slightly different path from his brother in that he joined one of the firms in Texas. It was there that he created the relationships and connections that made him realize the value of being an advisor to someone and not just on legal issues. After creating a relationship with one of the firm's important executive clients, a partner encouraged Craig to run with what he was doing. During his associate days, Craig learned the value of doing a great job for clients and nurturing relationships. When he understood that clients were actual multiple sources of revenue, and that if he could cultivate relationships with people directly in his path of work delivery, he started to get the first call. He was being trusted by the people in charge of important projects, and that gave him the opportunity to do more fun kinds of work. How do you advise others to think about business development? Demystifying business development is the first step. The characteristics of good parents, friends, and listeners are the characteristics that make a good business developer. It's not about the money at the end of the line, it's about growth and learning, and getting better at putting yourself in the shoes of someone else. What do you think about mutually beneficial relationships? You have to be a better listener than a talker to develop deep relationships. If you're always thinking about what you're going to say, you're not going to get enough information out of that relationship to make it mutually beneficial. Think about how you can be helpful to that person. You can leave a positive impression on that person by reflecting back that you have heard them and you're going to try to advance their issue.   Mo asks Craig Budner: What is your personal “why” when it comes to growth? Craig's father always had a history book in his lap and Craig was brought up in a culture of learning, so learning is at the core of why he does what he does. At a global law firm like K&L Gates, if you're not sensitive to the fact that people grow up in different cultures and with different languages it's not as much fun. The more perspective that Craig can have with what people are going through makes him better in his leadership role. How do you motivate yourself when things get tough? People are busy. Don't assume a lack of response is about you. Craig burns off steam in a productive way most of the time, either by reading, meditating, or exercise. People, when they need you, are going to be responsive. What are your favorite ways to stay in touch? Craig is a fan of interacting over the phone. There are a number of social cues that you can miss via email. If it's a warm relationship, a phone call to check in when there is some down time is ideal. The closer the relationship, the more likely a phone call will help you achieve that raving fan/trusted advisor status.   Mo asks Craig Budner: What is your favorite science, step, or story that you learned from GrowBIG Training or The Snowball System? Craig's favorite module was on lead execution. That section of the program led to the idea of creating round table conversations instead of the usual webinars. The ability for clients to listen to their peers is incredibly valuable. It doesn't matter what industry they are in, there are always parallel problems they are trying to solve. When Covid hit, they shifted the round table conversations online. The way that GrowBIG framed lead generation led to the idea of the Client Connect program that advances clients when they want to get more granular after a round table. It became a natural progression for a lead to move further down the line. Lead generation isn't mysterious. It should be predictable and there should be a number of things you do every day or week to result in X number of conversations.
